根據(jù)香港特別行政區(qū)有關(guān)法律，經(jīng)甲乙雙方友好協(xié)商，在平等、自愿、誠(chéng)信、互利的基礎(chǔ)上，乙方自愿申請(qǐng)加盟甲方“GlobalEducationAllianceLimited”連鎖特許經(jīng)營(yíng)體系，并愿意依照該體系統(tǒng)一的經(jīng)營(yíng)模式及甲方有關(guān)的管理制度、標(biāo)準(zhǔn)等開(kāi)設(shè)“GlobalEducationAllianceLimited”加盟店的事宜，達(dá)成一致協(xié)議如下： PursuanttothelawsoftheHKSAR,inlinewiththeprincipleofequality,voluntariness,integrity,andmutualbenefit,andthroughfriendlyconsultationbybothparties,partyBvoluntarilyappliestojoininchainfranchisesystemofpartyA“GlobalEducationAllianceLimited”,andpresentsthewillingnessandconsenttoopenissuesofGlobalEducationAllianceLimited”FranchisesinaccordancewiththesystemofunifiedbusinessmodelandtherelevantmanagementsystemandstandardofpartyA. 一、基本內(nèi)容 一：BasicContents 1、為了充分保障乙方的利益，甲方特許乙方在本合同自簽訂之日起20日內(nèi)為冷靜期，乙方擁有單方解除本合同的權(quán)利，甲方應(yīng)全額退還乙方所交納的加盟費(fèi)、保證金等費(fèi)用，且不視為乙方違約。 1.InordertofullyprotecttheinterestsofthePartyB,asoftheestablishmentdateofsigningthiscontract,partyBisgrantedfrompartyAacooling-offperiodwithin20days,duringwhichtherightstounilaterallyterminatethiscontractshallbegrantedtopartyBandpartyAshallpayparty Bafullrefundoftheinitialfee,depositandotherexpenses,whichshallnotbedeemedas breachingofpartyB. 2、甲方特許乙方依本合同的約定使用其商標(biāo)、商號(hào)、服務(wù)標(biāo)志、培訓(xùn)體系、營(yíng)運(yùn)體系、財(cái)務(wù)體系、信息網(wǎng)絡(luò)系統(tǒng)、專有技術(shù)系統(tǒng)等經(jīng)營(yíng)管理體系，開(kāi)辦甲方的一個(gè)特許加盟店。 2.partyBunderthiscontractagreementisgrantedconcessionfrompartyAtouseitstrademarks,tradename,servicemarks,trainingsystem,operatingsystem,financialsystem,informationworksystem,proprietarytechnologysystemandothermanagementsystems,andisgrantedtosetuponefranchiseofpartyA. 3、甲方為乙方提供開(kāi)店前的整體規(guī)劃，包括店址評(píng)估、投資預(yù)算、經(jīng)營(yíng)預(yù)算、人力配置、資源配置、經(jīng)營(yíng)技術(shù)的提供與傳授等，乙方需全力配合。 3.partyAshallprovidepartyBwithoverallplanningbeforeopeningthebusiness,includingshopassessment,investmentbu(于:wWw.z在點(diǎn)網(wǎng))dget,operatingbudget,staffing,resourceallocation,theprovidingandteachingofmanagementtechniquesandsoon,andpartyBshallfullycooperate. 4、甲方任何員工不得對(duì)乙方做任何承諾。若有承諾，以經(jīng)加蓋甲方公章的書(shū)面方式確認(rèn)為準(zhǔn)，任何沒(méi)有甲方公章的書(shū)面確認(rèn)與口頭承諾均不具法律效力。 4.noemployeeofpartyAisgrantedtherighttomakepromisestopartyB,onlywiththePartyAconfirmationinwritingalongwiththestampedsealthepromiseisthelegalmitment,otherwisethewrittenconfirmationandverbalpromisecarrynolegaleffect,andpartyAisoutofanyresponsibilitiesandduties. 5、乙方加盟店的經(jīng)營(yíng)範(fàn)圍限於海外留學(xué)顧問(wèn)服務(wù)(AgencyLink)、簽證服務(wù)、監(jiān)護(hù)人服務(wù)、機(jī)場(chǎng)接送及住宿服務(wù)、遊學(xué)咨詢服務(wù)及移民咨詢服務(wù)。 5.thebusinessscopeoffranchisingpartyBislimitedinoversea-studyadvisoryservice,agencyvisaservice,guardianservice,airportpickupagencyandacmodationservice,travelingadvisoryservice,andimmigrationadvisoryservice. 6、乙方須嚴(yán)格遵守當(dāng)?shù)貒?guó)家法律法規(guī)開(kāi)展經(jīng)營(yíng)活動(dòng)，除非事先得到甲方書(shū)面同意，乙方不得以承包、租賃等一切方式轉(zhuǎn)讓該加盟店的經(jīng)營(yíng)權(quán)。禁止乙方以加盟店的經(jīng)營(yíng)權(quán)設(shè)定擔(dān)保。 6.partyBshallstrictlyabidebylocallawsandregulationstocarryoutbusinessactivitiesinthecountry,exceptwiththewrittenconsentfrompartyAinadvance,partyBshallnotbegrantedtotransferthemanagementrightoffranchiseincontracting,leasingandotherways. 7、乙方未經(jīng)甲方書(shū)面同意不得擅自變更加盟店的經(jīng)營(yíng)范圍。 7.partyBshallnotbegrantedtoalterthebusinessscopeofthefranchiseinanywaywithoutthewrittenconsentconfirmationbypartyA. 8、為了擴(kuò)大甲方在乙方加盟店的所在國(guó)家或城市的院校網(wǎng)絡(luò)，在甲方的書(shū)面同意下，乙方有義務(wù)爭(zhēng)取更多優(yōu)質(zhì)的院校與甲方建立合作關(guān)係。任何由乙方促成的合作協(xié)議，乙方不需支付甲方所產(chǎn)生的行政費(fèi)用。 8.inordertoexpandpartyAsschoolsworkinthecountryorcitywherepartyBislocated,withthewrittenconsentconfirmationfrompartyA,PartyBisobligedtosecuremorehigh-qualityschoolstoestablishbusinessrelationswithpartyA.PartyBshallnotpaytheadministrativefeeincurringbypartyAifanyagreementisbrokeredbypartyB. 二、雙方法律關(guān)系 二：Bilaterallegalrelations 1、甲乙雙方之法律地位各自獨(dú)立，不存在任何合伙、雇傭或承包關(guān)系。 1.Thelegalstatusbetweenbothpartiesisrespectivelyindependentandnopartnership,no employmentandnocontractualrelationsshallbegrantedtomakeallowance. 2、乙方為甲方的加盟者，無(wú)權(quán)以甲方或甲方關(guān)系企業(yè)名義簽訂合同或從事法律活動(dòng)，使甲方或甲方關(guān)系企業(yè)對(duì)任何第三方承擔(dān)責(zé)任或負(fù)擔(dān)費(fèi)用。 2.AsafranchiseofPartyA,PartyBshallnotbegrantedanyrightstoconcludeandsignanycontractsorengageinanylegalactivitiesinthenameofPartyAorinthenameofaffiliatedpanyofpartyA,sothatpartyAortheaffiliatedpanyofpartyAshallbeliabletoundertaketeobligationsandcharges. 3、乙方對(duì)外的一切法律行為，除依本合同規(guī)定運(yùn)作或經(jīng)甲方另以書(shū)面同意或授權(quán)外，皆為乙方獨(dú)立行為，乙方須自行承擔(dān)一切責(zé)任。 3.ApartfromtheoperationunderthiscontractorintheconsentconfirmationorauthorizationinwritingbypartyA,PartyBshallbeobligedtoundertakeanyotherexternallegalactsindependentlyandundertakeanyotherresponsibilities. 三、商標(biāo)及經(jīng)營(yíng)技術(shù)資產(chǎn)的使用 三：useofthetrademarkandbusinesstechnologyassets 1、在本合同有效期內(nèi)，甲方（即商標(biāo)權(quán)人）許可乙方可使用甲方或其關(guān)系企業(yè)的相關(guān)商標(biāo)。乙方在超出本合同有效期或非為履行本合同的目的在加盟店以外使用甲方相關(guān)商標(biāo)，視為侵權(quán)行為，甲方將依法追究乙方之法律責(zé)任。 1.duringthevalidityofthiscontract,PartyA(namelytrademarkowner)authorizepartyBtousetherelevanttrademarksfrompartyAoraffiliatedpanies.PartyBbeyondthelifeofthecontractornon-fulfillmentofthepurposeofthiscontractusingthetrademarkoutsidethefranchiseshallbedeemedastortfeasor. 2、乙方及其加盟店使用被許可使用的商標(biāo)時(shí)，應(yīng)與甲方提供的商標(biāo)標(biāo)識(shí)一致，乙方及其加盟店不得申請(qǐng)注冊(cè)與被許可使用的商標(biāo)標(biāo)識(shí)相同或相似的商標(biāo)，否則甲方有權(quán)單方面解除本合同，并追究乙方因此給甲方造成的一切損失。 2.thetrademarkusedbypartyBorotherfranchisesshallbeconsistentwiththeoneauthorizedandprovidedbypartyA,aswellastherightstoapplyforregistrationwithidenticaltrademarksorsimilartrademarksauthorizedtobeusedbypartyAshallnotbegrantedtopartyBforanylegalorillegaluse,otherwisepartyAshallbegrantedtherightstounilaterallyterminatethiscontractandinvestigateallthelossescausedbypartyBintheissue. 3、乙方可在本合同有效期限內(nèi)在其加盟店的經(jīng)營(yíng)管理中使用甲方所提供的經(jīng)營(yíng)知識(shí)、技術(shù)或資料。 3.inthelifeofthiscontract,partyAauthorizespartyBintheoperationandmanagementofthefranchisetousebusinessknowledge,technologyandmaterialprovidedbypartyA. 4、乙方在使用經(jīng)甲方授權(quán)使用的商標(biāo)和經(jīng)營(yíng)技術(shù)資產(chǎn)時(shí)，不得有以下行為： 4.followingactsshallnotbepresentedbypartyBinthecasepartyBusesthetrademarksandbusinesstechnologyassetsauthorizedbypartyA: 1）降低甲方形象，損害甲方商標(biāo)和經(jīng)營(yíng)技術(shù)資產(chǎn)。 1)cetheimageofpartyA,damagethetrademarkandbusinesstechnologyassetsofpartyA. 2）除為該加盟店經(jīng)營(yíng)而向加盟店職工傳授甲方經(jīng)營(yíng)技術(shù)資產(chǎn)或甲方有特別許可外，向任何第三方泄露甲方經(jīng)營(yíng)技術(shù)資產(chǎn)。 2.exceptwiththespecialpermissionfrompartyAandtopassontheknowledgeaboutbusinesstechnologyassetsfrompartyAtothefranchiseemployeeforthepurposeoffranchisingoperation,partyBdisclosesbusinesstechnologyassetsofpartyAtoanythirdparty. 3）乙方及其加盟店為第三方模仿甲方商標(biāo)和經(jīng)營(yíng)技術(shù)資產(chǎn)，或幫助第三方模仿。 3)partyBandthefranchiseimitatethetrademarkandbusinesstechnologyassetsofpartyAforthirdparty,orpartyBandthefranchisehelpthirdpartyimitatethetrademarkandbusinesstechnologyassetsofpartyA. 四、加盟店址 Four:Addressoffranchises 1、雙方認(rèn)可的乙方加盟店地點(diǎn)為位于 1.thefranchiselocationmutuallyagreedforPartyBislocatedin. 2、加盟店面積不得少於五十平方米，地點(diǎn)必須為當(dāng)?shù)厥兄行奈恢谩?2.thefranchisingareamustnotbelessthan50squaremeters;thesitemustbeinthelocaldowntown. 3、加盟店地點(diǎn)經(jīng)甲乙雙方確認(rèn)后，以“GEA”命名該加盟店（本合同中簡(jiǎn)稱為“加盟店”），該加盟店命名必須遵守甲方關(guān)于加盟店的命名規(guī)范。 3.Aftertheconsensusoffranchiselocationaremadebybothparties,thefranchiseshallbenamedasGEA(hereinafterreferredtoasthefranchise)whichmustabidebythenameregulationofparty Aaboutfranchises. 4、乙方欲在該地點(diǎn)進(jìn)行營(yíng)業(yè)活動(dòng)，須依國(guó)家有關(guān)法律法規(guī)在規(guī)定時(shí)間內(nèi)取得相關(guān)的行政審批手續(xù)。相關(guān)行政審批手續(xù)由乙方自行辦理，甲方提供咨詢、協(xié)助。如因乙方未及時(shí)辦理相關(guān)的行政審批手續(xù)而產(chǎn)生的一切損失由乙方自行承擔(dān)。 4.Toconductbusinessactivitiesinthenamelyplace,partyBshallobtaintherelevantadministrativeexaminationandapprovalproreswithinthestipulatedtimeinaccordancewithnationallawsandregulationswhichshallbeconductedbypartyBandthatpartyAprovidesconsultancyandassistance. 5、乙方應(yīng)在本合同簽定之日起十二個(gè)月內(nèi)開(kāi)業(yè)，否則視為乙方單方違約。 5.partyBshallopenupbusinessfromthedateofsigningthiscontractandwithin12monthsfromsigning,orpartyBshallbedeemedasunilateralbreachofcontract. 五、加盟費(fèi)、行政費(fèi)及其他費(fèi)用 Five:InitialFee,AdministrativeExpensesandothercosts. 1、加盟費(fèi)： 1.InitialFee: 1）加盟費(fèi)定義：甲方將特許經(jīng)營(yíng)權(quán)授予乙方并許可乙方使用其商標(biāo)標(biāo)識(shí)、甲方為乙方提供籌備服務(wù)，由乙方每年支付一筆費(fèi)用，作為取得該特許經(jīng)營(yíng)權(quán)及商標(biāo)使用權(quán)的費(fèi)用，稱為加盟費(fèi)。 1)DefinitionofInitialFee:PartyAauthorizesfranchiserightandlicensetoPartyBtousetrademarksofPartyA,andPartyAprovidepartyBwithblueprintservicewhichshallcauseapaymentpaidbypartyBperyearasthechargeforpartyBobtainingthefranchiserightandtrademarksright,whichiscalledinitialfee. 2）在20天冷靜期之外，乙方承諾放棄在任何時(shí)間以任何理由要求返還加盟費(fèi)的請(qǐng)求權(quán)。 2)Afterthe20daycooling-off,partyBshallmakeamitmenttogiveupatanytimeforanyreasontherighttodemandthereturnoftheinitialfeerequest. 3）自此合同簽訂日起，乙方享有首2年免支付加盟費(fèi)的優(yōu)惠。加盟費(fèi)為金額在首2年優(yōu)惠期過(guò)后由雙方協(xié)商。 3)Sincethedateofsigningthecontract,partyBshallbegrantedtobeeligibletopayfreetheinitialfeeforthefirst2yearsofconcessions. 2、留學(xué)服務(wù)(AgencyLink)行政費(fèi)： 2.AdministrativeExpensesofAgencyLink 1）行政費(fèi)定義：甲方扣除加盟店來(lái)自海外留學(xué)顧問(wèn)服務(wù)收入的指定部份%為行政費(fèi)，作為持續(xù)使用甲方資源包括但不限于市場(chǎng)策劃推廣、課程申請(qǐng)?zhí)幚砑凹夹g(shù)支援服務(wù)。詳細(xì)留學(xué)服務(wù)行政費(fèi)計(jì)算方法，請(qǐng)參考附上的補(bǔ)充協(xié)議。 1)DefinitionofAdministrativeExpense:AEisthatPartyActsthedesignatedpartfromtheserviceineofoverseaAgencyLinkinthefranchise,whichisdeemedasthecontinseofresourcesfrompartyA,yetAEincludesbutisnotlimitedtomarketingpromotion,courseapplicationprocessingandtechnicalsupportservice.Concerningthedetailedcalculationmethodsofadministrativefeeforoverseastudyservice,pleaserefertotheattachedsupplementalagreement. 2）加盟店傭金收入的計(jì)算依據(jù)為加盟店所有來(lái)自院校傭金收入及其他有關(guān)學(xué)生升學(xué)的衍生收入等的收入。加盟店必須將前述每筆交易紀(jì)錄至甲方提供的銷售報(bào)告，每月更新一次，乙方須隨時(shí)接受甲方的監(jiān)督和稽核。 2）thecalculationbasisofthefranchisemissionineshallincludeallmissioninefromallschoolsinthefranchiseandotherinefromthederivedineoftheeollmentofrelatedstudents.Thefranchisemustrecordeachabove-mentioneddealtothesalereportpartyAprovided,andtherecordshallberenewedpermonth.PartBatanytimeshallacceptthesupervisionandaudi
