MEMORANDUM OF UNDERSTANDINGThis Memorandum of Understanding (“MOU”) is entered into on date by and between： (hereinafter referred to as Supplier),and (hereinafter referred to as Partner ),and (hereinafter referred to as Buyer). Supplier and Partner and Buyer are each hereinafter also referred to as the “Party” and, collectively, as the “Parties”.DEFINITIONSWherever used in this MOU the following terms shall have the meanings set forth below:“Affiliates” means any legal entity which, at the time of disclosure to it of any Confidential information, is directly or indirectly controlling, controlled by or under common control with any of the Parties.“關(guān)聯(lián)公司”指：在向其透露任何保密信息是，直接或間接控制、被任何一方控制或被共同控制的任何法律實體“Confidential Information” means any information disclosed in any form whatsoever (including, but not limited to, disclosure made in writing, orally or in the form of samples, models, computer programs or otherwise) by the Disclosing Party to the Receiving Party under this MOU, provided that (i) if such information is disclosed by the Disclosing Party in writing, it shall be marked as confidential at the time of disclosure, (ii) if such information is disclosed by the Disclosing Party orally, it shall be identified as confidential at the time disclosure, (iii) if disclosed in any other manner, it shall be designated in writing as confidential at the time of disclosure or (iv) notwithstanding subparagraphs (i), (ii) and (iii) of this definition, the nature of such information makes it obvious that it is confidential. However, the term Confidential Information shall not include any information disclosed by the Disclosing Party to the Receiving Party which a) is on the effective date, or thereafter becomes, publicly available otherwise than through an act or negligence of the Receiving Party, b) is demonstrably developed at any time by the Receiving Party without use of Confidential Information, or c) is legitimately obtained at any time by the Receiving Party from a third party without restrictions in respect of disclosure or use.“保密信息”指根據(jù)本備忘錄，有披露方向接收方以任何形式披露的（包括但不限于以書面、口頭或已標(biāo)本、模型、計算機程序或其他形式披露的）任何信息，如果：（i）披露方已書面方式披露該等信息，則改信息在披露時應(yīng)標(biāo)明其保密性；（ii）如果披露方以口頭方式披露該等信息，則該信息應(yīng)在被披露時確認其保密性；（iii）如果改信息以其他方式披露，則在披露該信息時應(yīng)書面標(biāo)明其保密性；（iv）無論上述第（i）（ii）（iii）項的定義，該信息的性質(zhì)使其顯然未保密。但是，“保密信息”一詞不包括下列由披露方向接收方提供的信息：a）在生效日當(dāng)日或其后，該信息非因接受方的行為或疏忽而成為公共信息；b）任何時候，明顯是接受方未使用保密信息而開發(fā)的任何信息；c）接受方從不受披露方或使用限制的第三方合法地獲得此信息?！癉isclosing Party” means the Party disclosing Confidential Information to the other Party under this MOU.“披露方”指根據(jù)本備忘錄而向另一方披露保密信息的一方?！癛eceiving Party” means the Party receiving Confidential Information from the other Party under this MOU.“接收方”指根據(jù)本備忘錄從另一方接受保密信息的一方。PURPOSE OF MOU The purpose with this MOU is to confirm and summarize the initial discussions between the Parties and outline and agree upon the next steps to be taken. Parties undertake to conduct the future discussions etc. in good faith with the aim to progress and conclude the discussions as soon as possible and in accordance with agreed upon times schedule. 本備忘錄的目的是確認和總結(jié)三方之間所進行的初步討論，并規(guī)劃和同意下一步所需采取的行動方案。三方均保證以誠信原則并按照三方一致同意的時間表進行進一步的討論，以求盡快推進和結(jié)束討論。In the event of the Parties are unable to reach mutually satisfactory agreements for any reason, any Party may terminate the discussions without liability to other Parties. Should any Party decide to terminate the discussions, the terminating Party shall immediately inform other Parties in writing about its decision. 如果三方由于任何原因而未能達成三方滿意的協(xié)議，任何一方均可終止討論而無需向其他方承擔(dān)責(zé)任。如果任何一方?jīng)Q定終止討論，提出終止方應(yīng)立即書面告知其他方該決定。PRELIMINARY STATEMENT前 言WHEREAS, - Supplier Comba group is a major Chinese wireless broadband system supplier and leading Wireless Solution provider, Supplier has a specific competence within LTE Mobile Broadband Wireless Access; - Partner is ;- Buyer is ;- The Parties may in these evaluations, discussions and negotiations disclose to each other certain Confidential Information; and- 三方可能在評估，討論并磋商過程中向?qū)Ψ酵嘎赌承┍Ｃ苄畔ⅲ徊? The Parties wish to confirm and summarize the initial discussions between them relating to the LTE Mobile Broadband Wireless Access project.- 三方希望確認并總結(jié)就LTE 移動寬帶接入項目所進行的前期討論情況。NOW, THEREFORE, the Parties have concluded this MOU.因此，三方達成本備忘錄如下： 1. CONFIDENTIAL INFORMATION保密資料4.1 From time to time prior to and during the term of this MOU any Party (“Disclosing Party”) have disclosed or may disclose to other Party (“Receiving Party”) business, marketing, technical, scientific or other information which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by the Parties, exercising reasonable business judgment, to be confidential (“Confidential Information”). PUBLIC ANNOUNCEMENTS本備忘內(nèi)容保密No Party shall make any announcement or disclosure concerning the MOU without any Partys prior written consent except as may be reasonably required by law.除非按照法律規(guī)定有合理必要，未經(jīng)任意一方事先書面同意，任何一方不得就本備忘錄發(fā)表任何公開聲明或進行任何披露。6. INTELLECTUAL PROPERTY RIGHTS知識產(chǎn)權(quán)All intellectual property, including copyrights, patents, patent applications, trademarks and other intellectual property shall remain the property of the originating Party or its licensors. Each Party shall retain all rights, title and interest in its intellectual property and no Party grants other Parties any rights to use its intellectual property unless and until otherwise provided in a written agreement signed by the Parties.所有的知識產(chǎn)權(quán)，包括著作權(quán)，專利，專利申請，商標(biāo)和其他知識產(chǎn)權(quán)應(yīng)為發(fā)起方或其授權(quán)人的財產(chǎn)。每一方應(yīng)保留所有權(quán)利，所有權(quán)和知識產(chǎn)權(quán)，沒有一方可授予他人使用自己的知識產(chǎn)權(quán)，除非以書面協(xié)議，由三方簽署另有規(guī)定的。7. AMENDMENT OF MOU本備忘錄的修改The terms and conditions of this MOU shall be amended only by mutual written consent between the Parties.對本備忘錄進行修改，須三方共同書面同意方可進行。8. ASSIGNABLITY OF MOU本備忘錄的轉(zhuǎn)讓Any Party may not assign this MOU to the other Party without the written consent of other Parties.未經(jīng)對方事先書面同意，任何一方不得轉(zhuǎn)讓本備忘錄。9. PARTY RESPONSIBLE FOR ITS OWN COSTS各方承擔(dān)各自費用Except as may be provided under this MOU, each Party is responsible for its own costs incurred in performing the activities contemplated by this MOU.除非本備忘錄另有明確約定，任何一方應(yīng)自行負擔(dān)其從事本備忘錄規(guī)定的活動所發(fā)生的費用。10. NO CONSEQUENTIAL DAMAGES不承擔(dān)間接損失No Party is liable for any indirect, special or consequential loss or damage or any loss or damage due to loss of goodwill or loss of revenue or profit arising in connection with this MOU.任何一方對與本備忘錄有關(guān)的任何間接或附帶損失或損害、商譽的損失或者損害或者收入或利潤的損失不承擔(dān)責(zé)任。11.
