Selleragrees tosell and the Buyeragrees tobuy HONGAI ANTHRACITE COALGrade10B2under theterms andconditions asfollows:按照以下條款，賣方同意賣出/買方同意買進等級為10B2的越南鴻基無煙煤1.MODITY:HONGAIANTHRACITECOAL GRADE10B2貨物越南鴻基無煙煤，等級為10B21.1Shipment運輸:1.2Sea Transportation海運Coal cargo shall beshipped byvessel fromVietnam to Xinsha port or xijiport,Guangzhou directly.Performance vesselsshall bemore than20000MT.煤炭直接從越南運到廣州新沙港或西基港，由大于20000噸海船運輸。 1.3The Buyer shall takecargo awaywithin freestorage periodstipulated bydischarging Port(s)Authority.Otherwise anystorage chargesand otherfees shall be forBuyer aount.The Seller shall assortwith the Buyer indelivery timeand quantityto keepcargo deliverysmoothly.買方應(yīng)在港務(wù)局規(guī)定的堆存時間內(nèi)全部運完，超過免堆期的所有費用由乙方自付。 Buyershallpurchase andaept200,000mt coalmentioned above.The Sellershall deliver200,000mt coalwithin oneyear and30,000mt pershipment10percent moreor lessat Sellers optionand quantityof eachshipment can be changedif both parties agree.賣方交付，買方購買并接受20萬噸煤炭，一年內(nèi)交付，每航次30,000噸，百分之十增減由賣方選擇，或經(jīng)雙方同意可調(diào)整每航次交貨量。 4.UNIT PRICE:單價:4.1RMB￥445.00per metric ton(including importtax,value-added taxand dischargecharge),CIF Xinshaor Xiji port,Guangzhou,Guangdong province,China.中國廣東廣州新沙港或西基港到岸價每公噸人民幣445元,其中包括進口關(guān)稅和增值稅以及卸貨費。 4.2This aboveunit priceis appliedbefore20th.,Decemberxx.In caseif the Sellers supplierchange theprice dueto Vietnamcoal exporttax increased,the Sellershall informthe BuyerNEW priceand appliedperiod assoon aspossible andthe Sellershall consultwith the Buyer onhow toperform thecontract continuously.以上價格只適用于xx年12月20日前，如果因越南出口煤關(guān)稅上升及出口價格調(diào)整而改變價格，則賣方應(yīng)該及時提供有效證據(jù)給買家協(xié)商調(diào)整價格，繼續(xù)履行本合同。 5.LOADING PORT:Hongai/Campha port,Vietnam.裝貨港越南鴻基/錦普6.DISCHARGING PORT:1SB,Huangpu portor Xinshaport,Guangdong,China.卸貨港中國廣東新沙港或西基港一個安全泊位。 7.DELIVERY SCHEDULE交貨期The Sellershall deliver the cargoto dischargeport within30working daysafter receivingLetter ofBank Guaranteewhich confirmto pay80%of totalcargo valuewithin5working daysafter cargoarriving discharging port andto settlethe remaining20%of totalcargo valueagainst qualityand weightcertificate signedby CIQ.賣方在收到買方銀行開出的銀行保證貨到5個工作日內(nèi)支付80%貨款和剩余20%貨款在收到中國進出口商品檢驗檢疫出具的質(zhì)量和重量證后結(jié)算的銀行保函之日起30個工作日內(nèi)交貨。 8.TERMS OFDELIVERY交貨條款8.1The Sellershall loadthe modityat Hongai/Campha portin Vietnamand delivertoXinshaportorXijiport,Guangdong province,China atSellers option.賣方在越南鴻基/錦普港裝船，在中國廣東新沙港或西基港交貨,由賣方選擇。 12%0.9%30%6%,8%0-15mm62%8.2Chargers費用承擔All taxesand leviesor othercharges incurredat theloading portare on Sellers aounts.At dischargingport,all charges(Pilot,shipping agency,Tug,union inspection)for the vessel areon Sellers aountand importTax,Value AddedTax,Discharge Fee,import agentfee andcargo inspectionfee areonSellers aount.The Sellershall responsible for allcharges exceptcharges above.任何于裝運港產(chǎn)生的稅項或其他費用均由賣方支付。 在卸貨港，賣方負擔針對船舶征收的所有費用（如引水費、船代費、領(lǐng)航費、拖輪費、船舶報關(guān)聯(lián)檢費等）,負擔貨物的進口關(guān)稅及增值稅,負擔卸貨費和貨物進口報關(guān)代理費和貨物商檢費;買方負擔在卸貨港由港務(wù)局針對貨物征收的除卸貨費以外的所有費用。 8.3Within twelve (12)hours after the vesseldeparture from the port of loading,the Sellers shippingagent shalladvise the Buyer byway oftelex/cable/fax indicatingthe vesselsailing date,the name of thenominated vessel,name ofsteamship pany,tonnage,the flagsof thevessel,ocean billof ladingnumber,Contract number, quantityloaded,nameofmodity andestimated timeof arrival(ETA).貨船于離開裝運港后的12小時內(nèi)，賣方的海運代理須以電報/傳真形式通知買方貨船啟航日期、指定貨船名稱、船公司、噸位、船旗、海運提單號、合約號、凈裝運數(shù)量、貨物名稱以及預計到達時間。 The captainshall informthe Buyer3,2,1days beforearrival atport ofdestination toconfirm thelocation of thevesselandtheestimated timeof arrival(ETA).船長須于貨船到達目的港前分3天、2天、1天以電報或傳真形式通知買方貨船位置和預計到港日期（ETA）。 9.INSPECTIONS OFQUALITY ANDWEIGHT重量及質(zhì)量檢驗9.1The Sellershall arrangeand payfor TheMeasure andQuality ControlCompany,Quangninh(QUACONTROL)to ascertainthe weightand issuea Certificate of Weightbased onthe determinationof mass(weight)by surveyof theDesignated Vessels draftand utilizingvessel immersionscale at the LoadingPort in aordance withthe standardcode ofpractice.賣方在裝貨港應(yīng)安排Quangninh(QUACONTROL)機構(gòu)對貨物進行取樣和分析，并對指定船只做總重量測量、以及利用船只在裝貨港的慣例吃水量，確定貨物的總重量并出具煤的重量檢驗證書，同時負責支付相關(guān)費用。 9.2After arrivalof the goods atthe dischargingport,the Sellershall applyto CIQ(China Importand ExportCommodity Inspectionand QuarantineBureau)for aninspection of the goodsin respectof theirquality,specifications andquantity/weight.The samplestaken shall be dividedinto3equal partsand sealedinaordancewith aeptedpractice andthe thirdto beretained bySeller for the thirdparty surveyors Re-analysis ifit isrequired.Sellershalldeliver theCertificateofCIQ to the Buyerat once.在貨物運至卸港后，賣方應(yīng)向中國進出口商品檢驗檢疫局(以下簡稱CIQ)報檢，對商品質(zhì)量、規(guī)格、數(shù)量/重量進行檢驗。 樣本應(yīng)分作3等份，并根據(jù)可接受慣例進行密封。 如有需要，第三份樣本則被賣方保留做第三公證方重新分析。 賣方應(yīng)將CIQ的檢驗報告立即交給買方.9.3In theevent thereis anyobjection forthe resultof anyanalysis madeattheportofdischarging by the eitherparty,it shalldo soin writingwithin fiveworking daysaftertheaomplishment of the resultreport atthe dischargingport to the other party.The sampleremained byCIQ shall be submittedto are-inspection institutionconfirmed by the bothparties.任何一方對卸貨港CIQ的質(zhì)量證書有異議，將于CIQ的質(zhì)量證書出具后的五天內(nèi)提出,并將CIQ的留樣提交雙方均認可的檢驗機構(gòu)進行復檢。 10.INSURANCE:Shipping Insuranceforthecargoshall be forSellers aount.貨物的海上運輸保險由賣方負責。 11.PAYMENT TERMS付款條件11.1Upon vesselarrival atdischargingport,the Buyershall pay80%of cargo value totheSelleragainst followingdocuments(except documentIV).The remaining20%cargovalueshallbepaid byBuyer againstCIQs Quality and WeightCertificate.每船煤炭運抵卸港，買方在收到賣方以下單據(jù)（除第四項）的5個工作日內(nèi)支付80%的,剩余的20%貨款在買方收到中國檢驗檢疫局的質(zhì)量證書及甲方開具正式增值稅發(fā)票后支付。 I.Bill ofLading提單II.Arrival/Landing Billsissued bydischarging inspectionauthority卸貨港出具的中國檢驗檢疫局的質(zhì)量證書V.原產(chǎn)地證明一份One Certificateof OriginVI.一份保險證明One certificateof Insurance上述單據(jù)應(yīng)在付款前由賣方提供買方。 All documentsabove shallbe submittedbytheSeller tothe Buyerbefore payment.11.2賣方須開具正式的增值稅發(fā)票給買方憑以付款。 The Sellershall issueofficial VATinvoices forBuyers payment.12.每船煤質(zhì)量扣罰Penaltymeasured pervessel:12.1.若煤炭質(zhì)量不符合合同規(guī)定的質(zhì)量要求買方將進行如下扣罰If coalquality provento bebelow standardsdescribed above,the followingshall apply:12.2.全水指標每升1%，結(jié)算單價按批例降低4.45元/噸。 如全水超過12%。 乙方有權(quán)拒收。 Every1%total moisturehigher than that of typical above,RMB4.45per metric ton shallbe deducted from the unit price.If totalmoisture is more than12%,the Buyermay rejectthe goods.12.3.全硫含量每升0.1%，結(jié)算單價降低4.00元/噸。 如全硫含量超過1%，乙方有權(quán)拒收。 Every0.1%of Sulphurhigher thanthat oftypical above,RMB4.00per metricton shallbe deducted fromthe unit price.If sulphuris morethan1%,theBuyermay rejectthe goods.12.4.發(fā)熱量每降低1大卡/千克，結(jié)算單價降低0.05元/噸，如空干基高位發(fā)熱量低于5600大卡/千克的，乙方有權(quán)拒收。 Every lkcal/kg Calorific value lower thanthat oftypical above,RMB permetrictonshallbedeductedfromtheunitprice.If GrossCalorificvalueis below5600kcal/kg,theBuyermay rejectthe goods.12.5.揮發(fā)份每降低1%，結(jié)算單價降低2.00元/噸。 若揮發(fā)份低于4%，乙方有權(quán)拒收。 Every1%of volatilelowerthanthatoftypicalabove,RMB2.00/metrictonshallbedeductedfromtheunitprice.If volatileis lower4%,theBuyermay rejectthe goods.12.6.如果灰份大于30%，乙方有權(quán)拒收。 If Ashismorethan30%,theBuyermay rejectthegoods.12.7.如因甲方原因而無法交貨,或組織貨源延誤,以致乙方不得不另行高價購買,從而造成了乙方損失的,甲方應(yīng)給予賠償。 賠償金額為另行購買數(shù)量的差價乘以最終購買的數(shù)量。 Should theSeller failto deliveror latedeliverthecoal goodstotheBuyer ontime dueto connectionwith thisContract orthe executionthereof shallbe settledthrough friendlynegotiations.In caseno settlementcanbereached throughnegotiations,then thecase shouldbe submittedfor arbitrationin HongKong InternationalArbitration Center.A solearbitrator isagreed.The awardshallbefinal andbinding uponbothparties.The arbitrationfee shallbe bornebythelosing party.一切爭端或與本合同有關(guān)的爭議，應(yīng)通過友好協(xié)商的方式解決。 如果不能夠通過談判解決，則案件應(yīng)提交香港國際仲裁中心，雙方同意指定單一仲裁員，仲裁結(jié)果是終局的，對雙方都具有約束力。 仲裁費用由敗訴方承擔。 15.FORCE MAJEURE不可抗力15.1The contractingparties shallnot beresponsibleforthe non-performance incase ofusual recognizedMajeure suchas:Fire,flood,acts ofGod,war,unforeseen circumstancesetc.如果發(fā)生不可抗力的災(zāi)害、如火災(zāi)、水災(zāi)、天災(zāi)，戰(zhàn)爭不可預測的情況等，買賣雙方不負毀約責任。 15.2In caseof forcemajeure circumstance,the partyconcerned shallnotify theother partypromptly byfax oremail,to befollowed bywritten noticesetting forththe particularitiesoftheevent reliedupon withpracticable evidences.在發(fā)生不可抗力情況下,當事人應(yīng)當以傳真或電子郵件的方式及時通知對方,然后依據(jù)實際證據(jù)，書面通知具體情況。 15.3Itismutually recognizedand agreedthat shouldthe Sellersbe unableto makedelivery orthe Buyersbe unableto takedelivery becauseof forcemajeure,each partyshall makeits bestefforts tominimize thefinancial consequencestotheparty sufferingsuch consequence.買賣雙方一致承認并同意,當遭遇不可抗力，賣方不能交付貨物或買方不能接收貨物時，賣方/買方應(yīng)盡最大努力減少遭受災(zāi)害一方的經(jīng)濟損失。 16.OTHER CONDITIONS:其它條款16.1Any amendmentsand/or
