4、kingsuitableforsubsequentlongdistanceroadoroceantransportoverroughterrain.商品應(yīng)以適于出口海運(yùn)的集裝箱包裝或適于各種長(zhǎng)途陸運(yùn)條件或海運(yùn)條件的包裝。3.shippingmark箱嘜tobedesignatedbythesellers/thesellersoption.賣方設(shè)計(jì)提供4.commodityinspection檢驗(yàn)條款itismutuallyagreedthathecertificateofqualityorweightandotherrequestissuedfromxxxxx(i.e.guangzhouent

9、fthetotalcontractvalues,55%willpaidagainstl/cpresentawholesetofshippingdocuments.買方應(yīng)在合同簽訂后35日內(nèi)提供不可撤銷即期信用證給賣方確認(rèn)，信用證為60%的合同金額，55%l/c為見單支付；(iii)5%ofthetotalcontractvaluesareasthebalance,willpaidbyl/cwithpresentthewholeequipmentsacceptancecertificatefromthebuyer.5%l/c的合同金額為尾款，出具買方簽字的驗(yàn)收證書后支付。sellersbanki

11、tractorbefore2012-12-12.undercfr/cifterms,thecarriervesselshallbeprovidedbysellers,afterloadingiscompleted,thesellershallinformthebuyersbyfaxaboutoftheloadedcontainersnumber,nameofcommodity,nameofthecarriervessel,within5workingdaysaftersaileddate.最晚裝運(yùn)日期為合同簽訂6個(gè)月后或在2012-12-12前。在cfr/cif術(shù)語(yǔ)下，拖車拖船應(yīng)由賣方提供，裝

12、運(yùn)完成后，賣方應(yīng)在開船后的5個(gè)工作日內(nèi)以傳真通知買方柜號(hào)、貨物名，航號(hào)。underfobterm,theshipmentwillbesequentiallymadeasthefollowingsteps:fob術(shù)語(yǔ)下，出貨應(yīng)按以下條款：buyershallbeprovidealocalprofessionalshippingagenttocontactselleronemonthbeforefat,itisconvenientforadvancebookingandsmoothlyarrangetheshipment.買方應(yīng)在賣方進(jìn)行fat的一個(gè)月前提供當(dāng)?shù)氐呢洿?lián)系方式給買方，以方便和順利地

13、安排預(yù)訂貨運(yùn)艙位。ifbuyerfailtoprovideapracticableshippingagentonemonthsafterfat,sellershallbehavetherighttoarrangetheformalexportdeclarationthroughchinalocalcustomsoffice,thenplacethealreadyexportedgoodsintothecustomsbondedwarehousetowaitingbuyersshippingarrangement,thiswillcauseanadditionalhighstorageandev

14、enbringmuchdisadvantageforl/cpayment.duetobuyerfaults,allofchargesandsellerslossesshallbebornebybuyer.如果買方未能在fat后的一個(gè)月內(nèi)提供一個(gè)可行的貨運(yùn)代理的，賣方有權(quán)安排報(bào)關(guān)，然后把已出口的貨物放置在海關(guān)保稅倉(cāng)庫(kù)等待買方裝運(yùn)安排，由此產(chǎn)生的額外存儲(chǔ),甚至帶來(lái)的損失，應(yīng)以信用證支付。由于買方的原因所產(chǎn)生的費(fèi)用和賣方的損失由買方承擔(dān)。ifbuyerfailtoprovideapracticableshippingagenttwomonthsafterfat,sellershallbehaveth

15、erighttokeeptheaforedown-paymentandcanceltherelatingsalescontract,andwithdrawthealreadyexportedgoodsfromthecustomsbondedwarehouse,thiswillcauseahighimportdutiesandvalueofadditionaltaxes,itshouldberesponsibilitiesofbuyer.duetotheirfatalfaultsandfailure,allofchargesandsellerslossesshallbebornebybuyer.

16、如果買方未能在fat后的兩個(gè)月內(nèi)提供一個(gè)可行的貨代，賣方有權(quán)保留訂金并取消合同，收回在海關(guān)保稅倉(cāng)庫(kù)內(nèi)的貨物，由此產(chǎn)生的進(jìn)口關(guān)稅和額外的稅費(fèi)，由買方承擔(dān)。由于買方原因產(chǎn)生的所有費(fèi)用和賣方損失由買方承擔(dān)。8.installationcommissioningandtesting安裝和調(diào)試(i)thebuyerwillberesponsibleforsupplyofutilitiesoffactory(water/electricity/compressedair/steam,etc),andmustprovidesuitablyexperiencedtechnicians,pipefitteran

17、dwelder,andsufficientskilledlabor(mechanicalandelectricalartisans)duringtheinstallationandcommissioningperiodtoassisttechniciansfromseller.買方提供公共設(shè)施的(水/電/壓縮空氣/蒸汽等)，并提供經(jīng)驗(yàn)豐富的技術(shù)人員、管道鉗工、焊工、和必要的熟練勞工（機(jī)械及電氣技術(shù)人員）在安裝和調(diào)試期間協(xié)助賣家工程人員。(ii)allthesuppliesofbelowshouldbereadyforthecommissioningbythebuyer:以下所有設(shè)施買方應(yīng)準(zhǔn)備到

18、位以供調(diào)試：threemaintenancestaff,3個(gè)維護(hù)員工electricity&cable,waterpipe,compressedairpipeconnectionuptosellersinterface,thesellerwillberesponsibleforallinternalconnectofsellersequipments.連接到賣方設(shè)備的電、電纜、水管、壓縮空氣管道，賣方將負(fù)責(zé)所有賣方設(shè)備的連接。(iii)thesellershallsendsupervisionandcommissioningengineerstothedestinationforinstall

19、ationandcommissioningtheequipmentinaccordancewiththecapacityandtechnicalrequirementasstipulatedinthiscontract.thebuyershallbeinchargeofroundtripairticketsfromchinatothedestination,visas,boardandloading,localtransportationexpensesforabove-mentionedpersonsduringtheinstallationandcommissioning.賣方應(yīng)根據(jù)合同規(guī)

20、定的能力及技術(shù)要求派工程師指導(dǎo)及調(diào)試設(shè)備，買方負(fù)責(zé)承擔(dān)工程人員從的往返機(jī)票、簽證、伙食、裝卸貨及當(dāng)?shù)氐慕煌ㄙM(fèi)用。(iv)workingtimeofsellerstechniciansiswithineighthoursperday,andnotexceedssixdaysperweek.賣方工程人員每天工作8小時(shí)，每周工作不超過(guò)6天。(v)thebuyermustsigncheckandacceptalloftheefficiencyperformancetestingcertificateswithinaweekafterefficiencytestinghasbeendone.furthe

21、rmorethehandovercertificatemustalsobesignedwithinaweekaftercommissionworkfinishesasperefficiencyrequirements,referredtonotenarrativebelowpricestable.howeveranyshortcomingsonefficienciesorproblemswiththeequipmentmustalsobementionedonthesecertificatesandtheseproblems/issuesmustberectifiedbythesellerwi

22、thinatimeframeagreeduponbetweenbothpartiesnormallynotexceeding30daysfromsigningofhandovercertificate.買方必須在效率測(cè)試后一周內(nèi)簽署驗(yàn)收和效率測(cè)試證書。此外，交接證書須在完成價(jià)格表上約定的效率要求的調(diào)試工作后一個(gè)星期內(nèi)簽署。如達(dá)不到效率要求或設(shè)備存在問(wèn)題，須在證書上說(shuō)明，并在雙方協(xié)商同意的時(shí)間內(nèi)（通常不超過(guò)交接證書簽訂后的30天內(nèi)），由賣方解決上述問(wèn)題。(vi)thebuyershouldsupplyenoughandqualifiedoperators,preforms,andothernec

23、essarymaterialsduringthecarryingoutofcommissioningandacceptancetestprocedure.買方應(yīng)提供調(diào)試和驗(yàn)收測(cè)試所必要的操作人員、瓶胚、及其他必要物料。9.machineefficiency機(jī)械效率efficiencyofthewholelineis85%,andefficiencyofthesoloequipmentis90%.整線效率85%，單機(jī)效率90%10.warranty保質(zhì)期theguaranteefor12monthsconsidering18hoursrunningperdaystartingfromthedat

24、eofstart-up.thefollowingitemsareexcludedfromtheguarantee:motors,theelectricsandpneumaticcomponents,materialandallthatwedonotmanufacture,andnormalwearandconsumableparts.保質(zhì)期為12個(gè)月，自設(shè)備運(yùn)行之日起每天18個(gè)小時(shí)。下列事項(xiàng)不在保修范圍內(nèi)：電機(jī)、電器、氣動(dòng)元件、材料以及非我司制造的及正常的磨損和易耗件。11.exclusions不包括事項(xiàng)(i)positioningofequipments機(jī)器定位(ii)civilworks土

25、建工事(iii)liftingmeansandlaborforunloadingandpositioningoftheequipmentinbuyersfactory在買方工廠進(jìn)行設(shè)備卸貨，定位的吊裝手段和人員(iv)powerconnectionstotheelectricalcabinets連接電柜的電力連接(v)compressedairconnectionstothemachines連接機(jī)器的壓縮空氣(vi)connectionswiththeexistingline與現(xiàn)有生產(chǎn)線的連接(vii)samplesfortests測(cè)試樣品(viii)transportandclearance

26、expensesforsamplesfortests樣品寄運(yùn)及清關(guān)費(fèi)用(ix)everythingwhichisnotindicatedinthesalescontract.其他合同未規(guī)定的事項(xiàng)12.forcemajeure不可抗力thesellershallnotbeliablefordelayeddeliveryornon-deliveryorlossthegoodsduetoforcemajeure(suchasflood,fire,earthquake,snowstorm,drought,hailstorm,hurricane,tunamiorotherevents,thatarebe

27、yondthecontrolundertheseller),butthesellershallpromptlynotifythebuyerbyfaxoremailassoonaspossible,andgivethebuyeracertificateissuedfromthechinacouncilforthepromotionofinternationaltradeorothercompetentauthoritieswithin15daysoccurredsuchevents.賣方不承擔(dān)因不可抗力(如水災(zāi)、火災(zāi)、地震、暴風(fēng)雪、旱災(zāi)、冰雹、颶風(fēng)、海嘯及其他賣方非可控的事故)導(dǎo)致的延期交貨或不

28、能交貨或貨物損失的責(zé)任，但賣方應(yīng)盡快通過(guò)傳真或電子郵件通知買方,并在事故發(fā)生后的15天內(nèi)向買方出具中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或其他主管機(jī)管簽發(fā)的證明。13.discrepancyandclaim爭(zhēng)議與索賠(i)thesellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditionandtheselleragreetopayapenaltywhichshallbedeductedfromthepayingbankatthetimeofpayment,therateofpenaltyischarge

29、dat0.05%ofthetotalvaluesofthegoodswhatdeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbecountedasaweek,butthetotalamountofpenaltyshallnotexceed3%ofthetotalvaluesofthegoodsinvolvedinthelatedelivery.incasethesellerfailtomakedelivery12weekslaterthanthetimeofshipmentstipulatedonthecontract,

30、thebuyershallbehavearighttocancelthecontractandthesellershallpaybacktheaforesaiddown-paymenttothebuyerwithoutdelay.(ii)賣方未能按時(shí)交貨，在賣方同意支付罰金條件下，買方應(yīng)同意延期交貨，并由付款行扣除相應(yīng)罰款，罰款金額為每推遲交貨一周（不到一個(gè)星期算作一個(gè)星期）即扣除貨物價(jià)值的0.05%，但罰款總額不得超過(guò)貨值的3%。如賣方未能在超過(guò)合同規(guī)定的裝船期限后12周內(nèi)交貨，買方有權(quán)撤銷合同，且賣方應(yīng)立即償還買方的訂金。(iii)incasethequalityorquantityorw

32、hileclaimforqualitydiscrepancyshouldbefiledbythebuyerswithin30daysafterthegoodsarrivalatthedestination,thesellersshallreplytothebuyerswithin30daysafterreceiptofthenotificationfortheaboveclaim,however,whichclaimssubjecttotheinsurancecompanyortheshippingcompanyshallnottobeheldresponsibleofseller.(iv)如

33、果買方在貨物抵達(dá)目的地后，發(fā)現(xiàn)貨物的質(zhì)量、或數(shù)量、或重量不符合合同規(guī)定,在雙方認(rèn)可的檢驗(yàn)單位出具的查勘報(bào)告后，買方可提出索賠。買方應(yīng)在到貨的15日內(nèi)要求數(shù)量/重量差異的賠償,買方可在到貨的30天內(nèi)要求質(zhì)量差異的賠償,賣方應(yīng)在收到買方索賠要求的30天內(nèi)回復(fù)買方,然而,上述索賠要求按保險(xiǎn)公司或船運(yùn)公司規(guī)定，賣家不承擔(dān)責(zé)任。14.arbitration仲裁(i)alldisputesinconnectionwithorarisingfromthecontractshallbesettledamicablythroughnegotiation.incasenosettlementcanbereache

34、dbetweenthetwoparties,thecaseshallbesubmittedtothechinainternationaleconomicandtradearbitrationcommission,beijingforarbitrationinaccordancewithitsrulesofarbitration.thearbitralawardisfinalandbindinguponbothparties.thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythearbitrationcou

35、rt.雙方應(yīng)通過(guò)友好協(xié)商解決所有爭(zhēng)端。如雙方不能達(dá)成協(xié)議,則應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)仲裁。仲裁是終局的,對(duì)雙方均有約束力。除非仲裁法院裁定，仲裁費(fèi)用由敗訴方承擔(dān)。(ii)alldisputesinconnectionwithorarisingfromthecontractshallbesettledamicablythroughnegotiation.incasenosettlementcanbereachedbetweenthetwoparties,thecaseshallbesubmittedtothelocalarbitrationshallbeinthecountryofthe

36、domicileofthedefendant.ifinchina,thearbitrationshallbeconductedbythechinainternationaleconomicandtradearbitration.ifinxxxxx,thearbitrationshallbeconductedbyxxxxxinaccordancewithitsarbitralrules.thearbitralawardisfinalandbindinguponbothparties.thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythearbitrationcourt.雙方應(yīng)通過(guò)友好協(xié)商解決所有爭(zhēng)端。如雙方不能達(dá)成協(xié)議,應(yīng)
