1、sales agency agreement銷售代理協(xié)議10manufacturer: agent: the two parties sign this agency agreement on the basis of equality, free will and mutual consultation. both sides must comply. 本著平等自愿,協(xié)商一致的原則,簽訂此協(xié)議。雙方均應(yīng)嚴(yán)格遵守。section 1: 第一條 the manufacturer appoints the agent to act as their exclusive selling agent

2、in china to sell the following products of the manufacturer: 制造商同意將其生產(chǎn)的下列產(chǎn)品在中國的獨(dú)家銷售代理權(quán)授予代理方: section 2: responsibility of the agent 第二條 代理人的職責(zé)the agent shall make all efforts to promote the sale of the products of the manufacturer using the agents marketing organization. the agent shall send all enq

3、uiries and orders received by them to the manufacturer and have no rights to sign any binding agreement on behalf of the manufacturer. the agent shall explain to the customers all the technical parameters and commercial terms stated by the manufacturer and take all steps to co-ordinate between the m

4、anufacturer and the customers to secure the orders. 代理人利用自身的銷售網(wǎng)絡(luò)在中華人民共和國積極拓展用戶。代理人向制造商轉(zhuǎn)送接收到的詢價和訂單。代理人無權(quán)代表制造商簽訂任何具有約束力的合約。代理人應(yīng)把制造商規(guī)定的技術(shù)參數(shù)和商業(yè)條款對用戶解釋。采取措施配合制造商獲得訂單。the agent, in relation to the products covered by this agency agreement, describe them only as sales and service agent for the products and

5、 not hold themselves out or permit any person to hold himself out as being authorized to bind the manufacturer in any way or to do any act which might reasonably create an impression that the agent is so authorized. the offers given and orders received will always include a clause “subject to approv

6、al/acceptance of the order by m/s veejay lakshmi engineering works limited.” the right to receive/accept the orders and making the invoices for the products is expressly reserved to the manufacturer.相關(guān)代理商只能介紹自己是這些產(chǎn)品的“銷售服務(wù)代理商”,不得以制造商授權(quán)自居去從事給制造商帶來不良印象的活動。所有報(bào)價和定單須包括這樣一個條款“需經(jīng)lakshmi engineering works li

7、mited.的m/s veejay批準(zhǔn)”。制造商有權(quán)保留收到的訂單和商品的銷售發(fā)票。the agent shall not make or give promises, warranties or guarantees or representations concerning the product other than those authorized by the manufacturer in writing.未經(jīng)制造商書面授權(quán),代理商不得做出對產(chǎn)品的承諾、擔(dān)保或保證、陳述。the agent shall not use any advertising, promotional or

8、selling materials in relation to the products except those supplied or approved by the manufacturer.除非制造商提供或批準(zhǔn),代理商不得使用任何與此產(chǎn)品相關(guān)的廣告、促銷和銷售材料。the agent shall obtain all the permissions required by them for carrying the business as agents for sales and service and shall also keep the manufacturer informe

9、d of the import duty rates and conditions for any concessions, the laws and regulations in china relating to method of manufacturing, labeling or sale of the products and will also notify the manufacturer in the event the agent is aware that any of the products of the manufacturer is in breach of an

10、y such laws or regulations.代理商須獲得規(guī)定的商品和服務(wù)的代理許可權(quán),還應(yīng)該告知制造商進(jìn)口稅率、優(yōu)惠條件以及適用于中國的加工方法的法律法規(guī)、商品標(biāo)記等,一旦意識到制造商的產(chǎn)品觸犯了中國的法律法規(guī),代理商應(yīng)及時告知制造商。section 3: training 第三條 培訓(xùn)3.1 in order to understand the technical characteristic of the products, the manufacturer agrees to assign technicians to train the sales personnel of

11、the agent in china. the no of persons to be trained and the place of training shall be discussed and finalized on mutual consent from time to time. 3.1為使代理人能了解所推銷產(chǎn)品的技術(shù)性能,制造商同意派人來中國對代理商的銷售團(tuán)隊(duì)進(jìn)行系統(tǒng)培訓(xùn)。培訓(xùn)人數(shù)及地點(diǎn)由雙方協(xié)商確定。3.2 in order to provide after-sales service like erection, commissioning and attending se

12、rvice calls during the warranty period, the manufacturer agrees to train two technicians of the agent (one is mechanical technician, the other is electrical). if it is necessary for these two technicians to be trained in india, the boarding and lodging and their local travel expenses in india will b

13、e borne by the manufacturer. air fare to & from china will be borne by the agent. similarly if the manufacturer deputes their engineers for training in china, air fare will be borne by the manufacturer and all expenses for boarding and lodging and local travel expenses in china for the manufacturers

14、 engineers will be borne by the agent. the after-sales service fee within guarantee period should be charged by the manufacture, if out the guarantee period should be charged by the agent to the customers, will be negotiated and finalized separately. 3.2為了在保修期內(nèi)向顧客提供售后服務(wù)(如安裝、試車和服務(wù)熱線),制造商委托代理方進(jìn)行必要的售后服

15、務(wù),制造商為代理方培訓(xùn)兩名技師(機(jī)械和電器技師各一名)。如果兩名技師需要在印度培訓(xùn),制造商應(yīng)當(dāng)承擔(dān)他們在印度的食宿費(fèi)和當(dāng)?shù)氐慕煌ㄙM(fèi)用。代理商承擔(dān)他們往返機(jī)票費(fèi)用。同樣,如果制造商派工程師來中國培訓(xùn),往返機(jī)票費(fèi)用應(yīng)自理,代理商負(fù)責(zé)制造商工程師在中國的食宿及交通費(fèi)用。保修期內(nèi)的售后服務(wù)費(fèi)用由制造商負(fù)擔(dān),假如超出保修期范圍,代理商向客戶收取售后服務(wù)費(fèi),此費(fèi)用應(yīng)當(dāng)另行商定。section 4: advertisement and exhibition 第四條 廣告和展覽會both the manufacturer and the agent will discuss and finalize the

16、budget for the sales promotion activities like advertisements in newspapers, road shows, seminars, participation in exhibitions etc and the expenses will be shared by both sides. the sharing pattern will be on mutual consent after discussions. the manufacturer at their own expense will provide the c

17、atalogues for all products printed in local language. the agent will provide all assistance for translation and printing.雙方應(yīng)就各種促銷活動的費(fèi)用展開討論,諸如在報(bào)紙上刊登廣告、路演、研討會、參展等活動。費(fèi)用由雙方共同承擔(dān)。分擔(dān)模式由雙方共同討論后確定。制造商須出資提供印刷有當(dāng)?shù)卣Z言的產(chǎn)品目錄。代理商負(fù)責(zé)提供翻譯和印刷的幫助。section 5: financial responsibility第五條 代理人的財(cái)務(wù)責(zé)任5.1 the agent is responsible

18、 for all activities relating to collection of payment for the goods sold like following with the customer for opening of letters of credit and collection of payment as per the terms of the order. the agent shall also adopt appropriate measures to inquire upon the customers credit worthiness and payi

19、ng capacity whenever the order is secured on credit terms. in the unlikely event of any litigation for collection of payment, the agent will provide all assistance required for such litigation. however, all expenses relating to the litigation will be borne by the manufacturer. 5.1代理商有義務(wù)按時收回信用證支付條件下的

20、貨款和訂單條款下的兌現(xiàn)。在賒賬付款條件下,代理商應(yīng)采取適當(dāng)方式了解當(dāng)?shù)赜嗀浫说男抛u(yù)和支付能力。假如出現(xiàn)對貨款回收的訴訟,代理商應(yīng)全力提供幫助。通常的索款及協(xié)助收回應(yīng)付貨款的開支應(yīng)由制造商負(fù)擔(dān)。5.2 the agent has no rights to accept payment on behalf of the manufacturer without permission. 5.2未經(jīng)同意,代理人無權(quán)利也無義務(wù)以制造商的名義接受付款。section 6: users opinion第六條 用戶意見the agent has rights to heed and accept the cu

21、stomers advice and complaints. the agent shall inform the manufacturer immediately and pay attention to the manufacturers vital interests. 代理人有權(quán)留心并接受用戶對產(chǎn)品的意見和申訴,及時通知制造商并關(guān)注制造商的切身利益。section 7: providing information第七條 提供信息the agent shall forward once every three months to the manufacturer detailed rep

22、orts on current market conditions and competition. the agent shall periodically visit all customers or potential customers in the territory for the purpose of promoting the product as the agent thinks fit and maintain an updated list of customers and potential customers for the products in the terri

23、tory and supply the manufacturer a copy of such list whenever required by the manufacturer. the agent shall also notify the manufacturer of all enquiries received and offers submitted for the products to prospective customers.代理人應(yīng)盡力向制造商提供當(dāng)前商品的市場行情和市場競爭等方面的信息,每季度需向制造商寄送工作報(bào)告。為了促進(jìn)銷售,代理商需定期走訪代理區(qū)域的所有客戶以及

24、潛在的客戶,還要保留一份客戶及潛在客戶的更新清單。假如制造商要求,還應(yīng)提供一份給制造商。代理商還應(yīng)把潛在客戶對產(chǎn)品的詢價以及報(bào)價告知給制造商。section 8: fair competition 第八條 公平競爭8.1 the agent undertakes the followinga) not to compete or help others compete with the manufacturerb) not to manufacture the products covered by this agreement or similar productsc) not to get

25、 any benefits from the manufacturers competitors and opponentsd) not to take agency or sell products similar to the products covered by this agreement8.1.代理人應(yīng)遵從以下要求:a) 不能與制造商或幫助他人與制造商競爭;b) 不能制造代理產(chǎn)品或類似于代理的產(chǎn)品;c) 不能從與制造商競爭的任何企業(yè)中獲利;d) 不能代理或銷售與代理產(chǎn)品相同或類似的任何產(chǎn)品。8.2 as soon as this agreement comes into effec

26、t, the agent shall inform the manufacturer of all their signed binding agreements with others. and all agreements signed in future shall be informed to the manufacturer. during the period when the agent is engaging in other business activities,the agent shall not ignore their obligations to the manu

27、facturer under this agreement. 8.2.此合約一經(jīng)生效,代理人應(yīng)將與其他企業(yè)簽訂的有約束性的協(xié)議告知制造商。不論是作為代理的或經(jīng)銷的,此后再簽訂的任何協(xié)議均應(yīng)告之制造商,代理人在進(jìn)行其他活動時,決不能忽視此條約中對制造商承擔(dān)的義務(wù)。section 9: secrecy 第九條 保 密9.1 the agent should not expose the business secrets of the manufacturer, and should not use confidential information exceeding the scope of th

28、e agreement. 9.1代理人不得泄露制造商的商業(yè)機(jī)密,也不得將該機(jī)密超越協(xié)議范圍使用。9.2 all the product design and specification belong to the manufacturer, and the agent shall return them to the manufacturer when the agreement is terminated. 9.2所有產(chǎn)品設(shè)計(jì)和說明均屬制造商所有,代理人應(yīng)在協(xié)議終止時歸還給制造商。section 10: sub-contract agent第十條 分包代理the agent can use

29、sub-contract agent if agreed by the manufacturer. the agent shall take full responsibility for the activities of the sub-contract agent. 代理人事先經(jīng)制造商同意后可聘用分包代理人,代理人應(yīng)對該分包代理人的活動負(fù)全部責(zé)任。section 11: protection of industrial property rights 第十一條 工業(yè)產(chǎn)權(quán)的保護(hù)if the agent finds any third party whose behavior is detr

30、imental to the manufacturers industrial property right and benefits, he shall report the truth to the manufacturer. the agent, in consultation with the manufacturer shall take all steps to prevent such illegal action by third parties, and the relevant expenses shall be borne by the manufacturer. thi

31、s will be subject to manufacturers prior acceptance, in writing, regarding quantum of expenses. 代理人發(fā)現(xiàn)第三方侵犯制造商的工業(yè)產(chǎn)權(quán)或有損于制造商利益的任何非法行為,代理人應(yīng)據(jù)實(shí)向制造商報(bào)告。在和制造商磋商后,代理人應(yīng)盡最大努力并按制造商的指示,幫助制造商使其不受這類行為的侵害,制造商將承擔(dān)正常代理活動以外的費(fèi)用。一切依照制造商先前書面承諾的相關(guān)費(fèi)用分擔(dān)。section 12: scope of exclusive selling right 第十二條 獨(dú)家銷售權(quán)的范圍this is an excl

32、usive selling agency agreement for the territories mentioned. the manufacturer, during the currency of this agreement, shall not appoint any other person, firm or company as agent for the promotion, sale or service of the products in the territory. however, the manufacturer can utilize the services

33、of third parties for sale of the products provided the same is approved by the agent in writing. the manufacturer also retains the right to utilize the services of third parties in china who are already involved in the promotion of the products for such further periods the manufacturer and the agent

34、 discuss and agree. when such third parties are involved, the commission will be shared with such third parties in such proportion as mutually agreed by all the parties-the manufacturer, the agent and the third parties. 這是一份該地區(qū)獨(dú)家代理協(xié)議。在協(xié)議執(zhí)行期間,制造商不得同意其他任何人、團(tuán)體或公司作為該地區(qū)促銷、銷售或服務(wù)的代理商。制造商應(yīng)把其收到的直接來自該地區(qū)用戶的訂單通

35、知代理人。代理人有權(quán)按第十五條規(guī)定獲得該訂單的傭金。然而,制造商可以利用代理商書面批準(zhǔn)的第三方為其提供服務(wù)。在制造商和代理商討論并同意的情況下,制造商可以有權(quán)使用那些長期合作過的第三方提供的服務(wù)。當(dāng)?shù)谌絽⑴c進(jìn)來時,關(guān)于傭金的分配,由三方共同商量決定。section 13: technical assistance 第十三條 技術(shù)幫助the manufacturer shall help the agent to train the agents employees to obtain knowledge of the products covered by this agreement. 制

36、造商應(yīng)幫助代理商培訓(xùn)雇員,使其獲得代理產(chǎn)品的技術(shù)知識。section 14: amount of the commission 第十四條 傭金數(shù)額the manufacturer shall pay to the agent 5% of the fob value of the goods invoiced as commission to the agent. this commission will become payable only after the goods are invoiced and the payment is realized in full by the manu

37、facturer. if the customers have not given the whole payment of the goods due to the reason of the products quality, the agent shall get commission in accordance with the manufacturers actual received payment. 制造商支付給代理商貨物fob價格的5%作為傭金。超出正常銷售價格,另行商談確定。只有在貨物開出發(fā)票且制造商得到全部貨款時,代理商才能得到傭金。若是由于產(chǎn)品質(zhì)量問題用戶沒有付清全部貨款

38、,代理商可以根據(jù)制造商實(shí)收貨款提取傭金。section 15: commission on a fifty-fifty basis 第十五條 平分傭金if two agents of different areas have made massive efforts to get one order or if the delivery against an order is made to a customers plant located in another agents territory, then the commission will be shared on a fifty-f

39、ifty basis between the two agents involved. 不同地區(qū)的兩個代理人為爭取一份訂單都作出極大努力,當(dāng)訂單于某一代理人所在地,而供貨之制造廠位于另一代理人所在地時,則傭金由兩個代理人平均分配。section 16: failure in business, or termination of the agreement第十六條 商業(yè)失敗、合約終止the agent cannot get commission if the manufacturer didnt accept the order; the agent cannot get the commis

40、sion if the contract introduced by the agent is terminated. this is not applicable when the termination of the contract is caused by the manufacturer. 如制造商不接受訂單,則代理人無傭金。代理人所介紹的訂單合約已中止,代理人無權(quán)索取傭金,若該合約的中止是由于制造商的責(zé)任,則不在此限。section 17: calculation of the commission 第十七條 傭金計(jì)算方法the commission will be calcula

41、ted on net realized value. net realized value will be fob value of the goods invoiced minus payments, if any, due to third parties. 傭金以凈實(shí)現(xiàn)價值計(jì)算,凈實(shí)現(xiàn)價值是開發(fā)票貨物的fob價格第三方費(fèi)用。section 18: date of paying commission 第十八條 支付傭金的時間the commission will be paid to the agent within 30 days of receipt of payment for th

42、e goods. for sales made on credit/deferred payment terms, if the credit is fully secured by letters of credit/bank guarantees, the payment of commission will be made within 30 days of delivery of the goods. if the transfer of currency abroad for payment of commission requires any permission from the

43、 government of india, payment shall be made after such permission is received.制造商在收到貨款后,應(yīng)在30天內(nèi)支付傭金。對于信用證或延期付款方式進(jìn)行的銷售,如果有信用證或銀行擔(dān)保保證買方信用,在交貨后三十天內(nèi)支付傭金。如果傭金支付貨幣轉(zhuǎn)移到國外需要印度政府的許可,傭金會在收到許可后支付。while making the commission payment, the manufacturer shall also send a credit note giving the details of the working

44、s for the commission with the details of the total invoice value, fob value and the commission amount. in addition, the manufacturer shall send to the agent a quarterly statement giving the details of the sales made in the territory, the details of the credit notes sent and payments due/made during

45、the quarter. this statement will be sent within 30 days of end of a quarter. 支付傭金時,制造商還應(yīng)提供一份保值單據(jù),上面列有支付傭金方式詳細(xì)資料和關(guān)于總發(fā)票金額、fob離岸價和傭金總數(shù)的詳單。除此之外,制造商還應(yīng)每一季度寄送給代理商報(bào)表,上面涉及該區(qū)域的銷售詳情,及每個季度信用證和貨款詳單。這個報(bào)表在每一季度的最后一月寄出。section 19: currency for commission 第十九條 支付傭金的貨幣the commission is calculated and paid in the same

46、currency in which the goods have been invoiced to the customer. 傭金按照開給顧客發(fā)票的貨幣種類來計(jì)算和支付。section 20: period of the agreement 第二十條 協(xié)議期限the agreement will become effective after being signed by both parties and will have duration of three years and can be renewed by giving three months notice before date

47、 of expiry subject to acceptance to the other party. if no such notice is given by either one of the parties the agreement will expire on the date of expiry.本協(xié)議在雙方簽字后生效,有效期三年。如果一方想續(xù)約,應(yīng)該提前3個月通知并得到對方的同意。如果雙方都無意續(xù)約,協(xié)議將在終止日終止。section 21: premature termination第二十一條 提前終止the agreement can be terminated earl

48、ier only if there is any breach of the duties and obligations under this agreement and one party is acting against the interest of the other party. the agreement also can be terminated earlier, before the expiry, if sufficient sales volumes are not achieved and if both the parties mutually come to a

49、 conclusion that it is not viable to continue the efforts for marketing the products in china. 只有在一方違背了協(xié)議規(guī)定的職責(zé)和義務(wù),或者一方侵犯了另一方的利益時,協(xié)議才可以提前終止。如果沒有達(dá)到預(yù)定的銷售量,或者雙方一致認(rèn)定沒有必要在中國繼續(xù)開拓市場時,協(xié)議也可先于最終期限提前中止。section 22: return of the stock第二十二條 存貨的退回 when the agreement is terminated, the agent shall return the produc

50、ts and spare parts on stock according to the manufacturers instruction, and the relevant expenses shall be borne by the manufacturer. 協(xié)議期滿時,代理人若儲有代理產(chǎn)品和備件,應(yīng)按制造商指示退回,費(fèi)用由制造商負(fù)擔(dān)。section 23: unfinished business affair第二十三條 未完之商務(wù)the agent is eligible for full 5% commission for all orders received and pending to be executed at the time of expiry of the agreement and also for orders received with advance or letters of credit within 60 days of expiry of the agreement for offer
