1、鋼廠原料碼頭工程設(shè)計(jì)合同DESIGN CONTRACT FOR CONSTRUCTION PROJECT OF RAW MATERIALS YARD發(fā)包人（甲方）：Party awarding contract (Party A):設(shè)計(jì)人（乙方）：Design Contractor(Party B):甲方委托乙方承擔(dān)從碼頭到原料廠200萬噸/年配套傳帶送系統(tǒng)，工程地點(diǎn)為 ，經(jīng)雙方協(xié)商一致，簽訂本合同。Party B is entrusted by Party A to design supporting Belt-Conveyor system with a capacity of 2 mil

2、lion ton/year from the wharf to the raw materials yard, and the construction location is . Both the two parties herewith agree to sign the contract based on the principle of common consensus.第一條 本合同依據(jù)下列文件簽訂：Clause 1 The contract is confirmed and signed on base of the following documents: 1.1中華人民共和國(guó)合

4、on.第二條 本合同設(shè)計(jì)項(xiàng)目的名稱、階段、規(guī)模、設(shè)計(jì)內(nèi)容及設(shè)計(jì)原則：Clause 2 Name, phase, scale, design content and design principle of the design items in scope of the contract.2.1名稱：原料場(chǎng)工程 Name: raw materials yard project for steel project2.2規(guī)模：運(yùn)轉(zhuǎn)能力達(dá)到600噸/小時(shí)（200萬噸/年） Scale : running capacity up to 600 ton/h (2 million ton/year)2.3階

5、段：施工圖（三個(gè)月完成） Phase: construction drawings( to be completed within 3months)2.4主要設(shè)計(jì)內(nèi)容：從碼頭（不含碼頭）到原料廠運(yùn)輸系統(tǒng)的工廠設(shè)計(jì)。主要設(shè)計(jì)內(nèi)容包括：Main design content: plant design from wharf(but not include the wharf) to raw materials yard transferring system, including:總平面布置圖的設(shè)計(jì)，工程項(xiàng)目的土建設(shè)計(jì)。Design for the general layout, civil wo

6、rk design for the project.傳送帶系統(tǒng)詳細(xì)設(shè)計(jì)圖。Detailed design drawing for belt-conveyor system.建筑物樁基圖設(shè)計(jì)Design for pile base of the constructions設(shè)備制造圖：料斗，稱量.Equipment manufacture drawing: hopper and weighing device.土建結(jié)構(gòu)設(shè)計(jì)圖：建筑物樁基結(jié)構(gòu)，傳送帶系統(tǒng)通廊，中轉(zhuǎn)站，料倉等。Design drawing of civil work structure: piling base structure o

7、f the constructions, passage for belt-conveyor system, transferring station, silo, etc.配套設(shè)施的設(shè)計(jì)圖：動(dòng)力系統(tǒng)，控制系統(tǒng)等Design drawing for supporting facilities: dynamic system, control system, etc.全部系統(tǒng)的設(shè)備安裝圖Equipment erection drawing for all the systems要求設(shè)計(jì)的圖紙保證能夠制造，對(duì)于要訂購的設(shè)備要求能夠保證運(yùn)輸物料的要求，滿足生產(chǎn)需要。The designed draw

For the equipment to be purchased, it is required to meet the requirements of transferring material and production.第三條 甲方向乙方提交的有關(guān)資料及文件：Clause 3 The relevant documents and data to be submitted by Party A to Party B are following:3.1廠區(qū)地形圖

9、（1：500）含電子版Plant topographic drawing(1:500) including soft copy3.2工程地質(zhì)報(bào)告Project geologic report3.3當(dāng)?shù)貧庀?、水文資料Local atmosphere and hydrology data3.4設(shè)備訂貨資料（按進(jìn)度分步提供）Equipment ordering data( to be submitted as per the progress schedule step by step)第四條 乙方向甲方交付的設(shè)計(jì)文件、份數(shù)及時(shí)間：Clause 4 The design documents，as w

10、ell as copies and time thereof, submitted by Party B to Party A.所有設(shè)計(jì)文件一式5份交付甲方，交付時(shí)間以不影響甲方施工進(jìn)度為原則，分批發(fā)圖。主要發(fā)圖時(shí)間確定如下：All the design documents shall be delivered in quintuplicate in batch based on the principle of no influence to the construction progress of Party A.The main date to deliver the drawings

11、are defined as follows:4.1合同簽定后,收到預(yù)付款之日起，10日內(nèi)書面提供總平面布置圖,及各工藝平、斷面布置圖The general layout and various technical plan and section drawings shall be submitted in written form within 10 days from the date of having received the advance payment after the signing of the contract. 4.2方案設(shè)計(jì)確定后,3日內(nèi)提供主要設(shè)備清單及詳勘設(shè)計(jì)委

12、托書. The list for main equipment and entrustment of detailed survey design shall be submitted within 3days after the design scheme is confirmed.4.3接到地質(zhì)報(bào)告15日內(nèi)，完成主要建筑物樁基圖,35天內(nèi)完成全部樁基及主要建筑物基礎(chǔ)圖。The pile base drawings for main buildings shall be completed within 15 days, and all pile base drawings and the

13、foundation drawings for main buildings within 35 days after receiving the geologic report.4.4在不影響施工進(jìn)度前提下，65天內(nèi)提供主要土建結(jié)構(gòu)圖, 3個(gè)月內(nèi)完成全部工程施工圖設(shè)計(jì)。The structure drawings for main civil work shall be submitted within 65 days, and all the construction drawings for the whole project shall be completed within 3mon

14、ths under the precondition of no influence to the construction progress.4.5甲方應(yīng)在設(shè)備清單收到之日起，15日內(nèi)返回設(shè)備訂貨資料（圖紙及可編輯的電子版）。主要設(shè)備合同的技術(shù)附件須經(jīng)設(shè)計(jì)院確認(rèn)。Party A shall return the equipment ordering data (drawings and editable soft copy) within 15 days after having received the equipment list. The technical annex of cont

15、ract for main equipment shall be confirmed by the design institute.第五條 甲方應(yīng)支付合同項(xiàng)目的稅后設(shè)計(jì)費(fèi)為 ：伍拾萬元人民幣（RMB）整The design fees after- tax in scope of the contract to be paid by Party A : 500000 (five hundred thousand) RMB Only設(shè)計(jì)費(fèi)的現(xiàn)金支付方法為：The design fee paid by cash:5.1本合同生效時(shí)，甲方支付設(shè)計(jì)費(fèi)總額的約50%（建設(shè)部、國(guó)家工商行政管理局建設(shè)工程設(shè)

16、計(jì)合同（示范文本）規(guī)定：為50%），即貳拾伍萬元人民幣（RMB）整，作為訂金及設(shè)計(jì)方案確定后首付設(shè)計(jì)費(fèi)。Party A shall pay about 50% of the total value of the design fees (50% as per the provision in Design Contract for Construction Project (trial edition) issued by the Ministry of Construction Department and National Industry & Commerce Administr

17、ative Bureau, that is 250000 (two hundred and fifty thousand) Yuan RMB Only5.2 完成全部樁基及主要建構(gòu)筑物基礎(chǔ)時(shí),甲方支付設(shè)計(jì)費(fèi)總額30%,即拾伍萬元人民幣（RMB）整。Party A shall pay 30% of the total value of the design fees after the completion of all the pile bases design and foundation design for main buildings, that is 150000(one hundr

18、ed and fifty thousand)Yuan RMB Only.5.3完成轉(zhuǎn)運(yùn)站，通廊（預(yù)計(jì)17條）等主要結(jié)構(gòu)圖時(shí), 甲方支付設(shè)計(jì)費(fèi)總額的約10%， 即伍萬元人民幣（RMB）整。Party A shall pay about 10% of the total value of the design fees after the completion of design drawings for main constructions like transferring station and passage(totally17, estimated), that is 50000(fif

21、六條 雙方責(zé)任及義務(wù)Clause 6 Liability and obligation for both parties6.1.1甲方按本合同第三條規(guī)定的內(nèi)容在規(guī)定的時(shí)間內(nèi)向乙方提交設(shè)計(jì)有關(guān)的技術(shù)資料及文件，并對(duì)其完整性、正確性及時(shí)限負(fù)責(zé)。Party A shall submit relevant technical data and documents to Party B within stipulated time according to the specification in Clause 3 of the contract, and shall be responsible fo

22、r its integrity, validity and time limit.甲方應(yīng)提交的: 乙方設(shè)計(jì)所需的技術(shù)資料及文件超過規(guī)定期限7天以內(nèi)，乙方按本合同第四條規(guī)定交付設(shè)計(jì)文件時(shí)間；規(guī)定期限超過7天以上，10天以內(nèi)時(shí)，乙方按本合同第四條規(guī)定交付設(shè)計(jì)文件時(shí)間順延。延遲超過10天時(shí)，另行商定設(shè)計(jì)周期及因甲方延誤，影響乙方工程組織所增加的費(fèi)用。For the documents and data required by Party B and submitted by Party A for design work, if they are submitted by Party A later

23、 than the stipulated date not more than 7days,Party B shall deliver the design documents according to the stipulation in Clause 4 of the contract; if more than 7days but within 10 days, Party B shall postpone the documents delivering date accordingly as per the stipulation in clause 4 of the contrac

24、t; if more than 10 days, both two parties shall define another design cycle and additional charges to Party B caused by the delay of Party A .6.1.2在合同履行期間，如甲方要求終止或解除合同，乙方未開始工作的，不退還甲方已付的定金；已開始設(shè)計(jì)工作的，甲方應(yīng)根據(jù)乙方已進(jìn)行的實(shí)際工作量，不足一半時(shí)，按該階段設(shè)計(jì)費(fèi)的一半支付，超過一半時(shí)，按該階段設(shè)計(jì)費(fèi)的全部支付。During the performance of the contract, if Party

25、 A requests to terminate or cancel the contract, and Party B has not started, Party B shall not return the advance money; if Party B has started, Party A shall pay to Party B as per the actual working volume, in case less than half, half of the design fees for that phase shall be paid; more than hal

26、f, the total design fees for that phase shall be paid.6.1.3甲方應(yīng)按本合同第五條規(guī)定的金額和時(shí)間向乙方支付設(shè)計(jì)費(fèi)用，每逾期支付一天，應(yīng)承擔(dān)應(yīng)支付金額的千分之二的逾期違約金。超過30天以上時(shí)，乙方有權(quán) 暫停履行下階段工作，并書面通知甲方。甲方上級(jí)對(duì)設(shè)計(jì)文件不審批或本合同項(xiàng)目暫停緩建，甲方均應(yīng)支付設(shè)計(jì)費(fèi)。Party A shall pay to Party B the design fees according to the amount of the design value within the time limit stipulate

27、d in Clause 5 of the contract, and shall be responsible for paying 2 demurrage liquidated damages out of the total amount of value for every single days delay. If more than 30days beyond the time limit in the contract, Party B shall have the right to stop the work for next step, and inform Party A i

28、n a written form. In case that the design documents are not approved by the superiors of Party A or the contract project is stopped to postpone, the design fee shall be paid Party A.6.1.4甲方要求乙方比合同規(guī)定時(shí)間提前交付設(shè)計(jì)文件時(shí)，甲方應(yīng)支付趕工費(fèi)。Party A shall pay extra charges for requesting Party B to deliver the design docu

29、ments prior to the stipulated data in the contract.6.1.5甲方負(fù)責(zé)乙方派駐現(xiàn)場(chǎng)服務(wù)人員的食宿Party A shall take charge of the foods and accommodation for the site representative from Party B6.1.6甲方應(yīng)保護(hù)乙方的設(shè)計(jì)版權(quán)，未經(jīng)乙方同意，甲方對(duì)乙方交付的設(shè)計(jì)文件不得復(fù)制或向第三者轉(zhuǎn)讓或用于本合同外項(xiàng)目的建設(shè)，如發(fā)生以上情況，乙方有權(quán)進(jìn)行索賠。Party shall protect the design copyright, and shall

30、not copy design documents or transfer to third party for the construction beyond the contract project without consent of Party B. Party B shall have the right to apply for claim provided the above situations occur.6.2乙方責(zé)任：liability for Party B6.2.1乙方按本合同第四條規(guī)定的內(nèi)容、時(shí)間及份數(shù)向甲方交付設(shè)計(jì)文件。 因乙方原因延期交付圖紙，每延期一天，應(yīng)承擔(dān)

31、應(yīng)支付金額的千分之二的逾期違約金。Party B shall deliver the design documents to Party A according to the content, date and number of copies stipulated in Clause 4 in the contract, and shall be responsible for paying 2 demurrage liquidated damages out of the total amount of value for every single days demurrage due t

32、o the delay for drawing delivery caused by Party B.6.2.2乙方對(duì)設(shè)計(jì)文件出現(xiàn)的遺漏或錯(cuò)誤負(fù)責(zé)修改和補(bǔ)充，由于乙方設(shè)計(jì)錯(cuò)誤造成工程質(zhì)量事故損失，乙方除負(fù)責(zé)采取補(bǔ)救措施外，應(yīng)減收或免收損失部分的設(shè)計(jì)費(fèi)，并根據(jù)損失程度向甲方償付賠償金，賠償金最多與免收的設(shè)計(jì)費(fèi)金額相等。Party B shall be responsible for modifying and supplementing the missing and incorrect parts in the design documents, and shall reduce or exe

33、mpt the design fees for the parts of loss, besides adopting remedy measures, provided that project quality accidents is caused by Party B due to design mistakes. Party B shall be responsible for paying compensation to Party A according to the caused loss, and maximum compensation amount is equivalen

34、t to the design fees exempted.6.2.3乙方在交付設(shè)計(jì)文件后，參加有關(guān)上級(jí)審查及根據(jù)審查結(jié)論負(fù)責(zé)不超出原定計(jì)劃任務(wù)書范圍內(nèi)的必要調(diào)整補(bǔ)充。乙方按合同規(guī)定時(shí)限交付設(shè)計(jì)文件一年內(nèi)項(xiàng)目開始施工，負(fù)責(zé)處理有關(guān)設(shè)計(jì)問題。在一年內(nèi)項(xiàng)目尚未開始施工，乙方負(fù)責(zé)上述工作，可按所需量向甲方適當(dāng)收取咨詢費(fèi)。Party B shall responsible for participating relevant superior examination , and making necessary adjusting and supplementing not beyond the or

35、iginal plan task, after delivering the design documents. After the delivery of design documents as per the time limit stipulated in the contract, Party B shall be responsible for handling the relevant design problems in case that the project has started within one year. Otherwise Party B shall charg

36、e the consultant fee to Party A properly for the above work, provided that the project has not started within the one year.6.2.4乙方不得向第三方擴(kuò)散、轉(zhuǎn)讓甲方提交的產(chǎn)品圖紙等技術(shù)經(jīng)濟(jì)資料，否則甲方有權(quán)進(jìn)行索賠。Party B shall not spread and/or transfer to third party the technical and economic documents and data such as product drawings ect,

37、 otherwise, Party A has the right to claim.第七條 其他 Clause 7 Others 7.1甲方要求乙方派專人長(zhǎng)期駐施工現(xiàn)場(chǎng)進(jìn)行配合其解決設(shè)計(jì)問題時(shí)，雙方應(yīng)另行簽定技術(shù)咨詢服務(wù)合同。Both the parties shall sign the technical consultation contract, provided that Party A requests Party B to assign professional staff for coordinating and solving design problems on site.

38、7.2乙方為本合同項(xiàng)目所采用的國(guó)家或地方標(biāo)準(zhǔn)圖，由甲方自費(fèi)向有關(guān)出版部門購買。本合同第四條規(guī)定乙方交付的設(shè)計(jì)文件份數(shù)超過工程設(shè)計(jì)收費(fèi)標(biāo)準(zhǔn)規(guī)定的份數(shù)，乙方另收工本費(fèi)。Party A shall take the charges for purchasing the national or local standard drawing adopted by Party B under the contract project issued by relevant authorities. Clause 4 stipulates that Party B shall charge extra for

39、 the additional copies out of the stipulations in for Party B to deliver design documents.7.3本工程項(xiàng)目中，建筑材料、設(shè)備的加工定貨，甲方需要乙方設(shè)計(jì)人員配合時(shí)，所需費(fèi)用由甲方承擔(dān)。Party A shall take all the charges for construction materials, equipment manufacture and ordering, and also the coordination provided by the Party B when requested by Party A under the contract project.7.4甲方發(fā)包乙方配合引進(jìn)項(xiàng)目的設(shè)計(jì)任務(wù)，從詢價(jià)、對(duì)外談判、國(guó)內(nèi)技術(shù)考察直至建成投產(chǎn)的各階段，應(yīng)吸收承擔(dān)有關(guān)設(shè)計(jì)任務(wù)的乙方參加。出國(guó)費(fèi)用，除服裝費(fèi)外，其他費(fèi)用由甲方支付。For the design works awarded by Party A and taken by Party B, Party B shall
