9、付款銀行呈交下列單據(jù)：（1）全套清潔無疵、注明“運費預(yù)付” 、空白抬頭、空白背書和通知目的港的已裝船海運提單；（2）發(fā)票一式五份，注明合同號和嘜頭；（3）裝箱單一式五份；（4）由制造商出具的品質(zhì)和數(shù)量證明書一式兩份，如 14 條第（1）項中的規(guī)定；（5）保險單一份；（6）通知買方已裝船的傳真或信件的抄件一份。賣方還需要將上述（1） （2） （3）項單據(jù)副本各一份隨船帶交目的港。開船后，賣方應(yīng)立即將上述單據(jù)副本各一份（本款第 5 項除外）分別航空郵寄買方和目的港。11. 裝船條件：CIF 交貨條件：（1）賣方在裝船期內(nèi)將貨物運至港口，不允許轉(zhuǎn)換船只。本合同貨物的運輸船只不得不懸掛買方不能接受的國

11、具檢驗證明書，并說明檢驗的技術(shù)數(shù)據(jù)和結(jié)論。（2）貨到目的港后，買方將申請中國商品檢驗局（以下簡稱商檢局）對貨物的規(guī)格和數(shù)量、重量進(jìn)行復(fù)檢，如發(fā)現(xiàn)貨物殘損或規(guī)格和數(shù)量與合同不符，除保險公司或輪船公司責(zé)任外，買方應(yīng)在貨物到達(dá)目的港后 30 天內(nèi)憑商檢局出具的檢驗證明書向賣方索賠或拒收貨物。（3）在保證期限內(nèi)，如貨物由于設(shè)計或制造上的缺陷而發(fā)生損壞和品質(zhì)、性能與合同規(guī)定不符時，買方將委托中國商檢局進(jìn)行檢驗，并憑其檢驗證書向賣方提出索賠（包括換貨） 。由此產(chǎn)生的全部費用應(yīng)由賣方承擔(dān)。（4）若賣方收到上述索賠后 30 天內(nèi)未予答復(fù)，則視為賣方已接受上述索賠。15. 人力不可抗拒：合同一方對由于下列原因而

12、導(dǎo)致不能或暫時不能履行全部或部分合同義務(wù)的，不承擔(dān)責(zé)任：水災(zāi)、火災(zāi)、地震、旱災(zāi)、戰(zhàn)爭或其他任何在簽約時該方不能預(yù)料、無法控制且不能避免和克服的事件。但該方應(yīng)盡快將所發(fā)生的事件通知對方，并應(yīng)在事件發(fā)生 15 天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。如果不可抗力事件影響超過 120 天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。16. 遲交貨罰款：除本合同第 15 條規(guī)定的人力不可抗拒原因外，如賣方不能按合同規(guī)定的時間交貨，買方應(yīng)同意在賣方付罰款的條件下延期交貨。罰款可由支付銀行在議付貨款時扣除。罰款率按每七天收 0.5%，不足七天時以七天計算。但罰款不得超過遲交貨物總價的 5%。如賣方延期

SHIPPING ADVICE:The Selle

27、r shall, immediately upon the completion of the loading of the commodity, notify by fax or letter the Buyer of the Contract number, name of commodity, quantity, gross weight, invoice value, name of carrying vessel and date of sailing. In case the Buyer fail to arrange insurance on time due to the fa

28、x or letter not been given in time by the Seller, or notification incomplete, all losses shall be borne by the Seller.13. GUARANTEE OF QUALITY: The Seller shall guarantee that the commodity is completely new and in conformity to all respects with the quality, specifications and performances stipulat

29、ed in this Contract. The guarantee period shall be 6 months counting from the date on which the commodity arrives and is unloaded at the port of destination.14. INSPECTION AND CLAIM:（1）The manufacturer shall, before delivery, make a precise and comprehensive inspection of the goods in regard to the

31、fter referred to as CCIB) for a further inspection in respect of the specifications and / or quantity are not in conformity with the stipulations of the Contract, except when the responsibilities lie with insurance company or shipping company, the Buyer shall, within 30 days after arrival of the goo

32、ds at the port of destination, claim against the Seller, or reject the goods according to the inspection certificates issued by CCIB.（3）In case of damages of the goods incurred due to the design or manufacture defects and/or the quality and performance are not in conformity with the Contract, the Bu

33、yer shall, during the guarantee period, request CCIB to make a survey and shall make a claim against the Seller (including replacement of the goods) and all the expenses incurred therefrom shall be borne by the Seller.（4）The claims mentioned above shall be regarded as being accepted if the Sellers f

FORCE MAJUERE:Either party shall not be held responsible for failure or delay to perform all or any part of the contract due to flood, fire, earthquake, drought, war or any other events which could not be predicted at the tim

35、e of the conclusion of the contract, and could not be controlled, avoided or overcome by the parties. However, the party effected by the event of Force Majeure shall inform the other party of its occurrence in written form as soon as possible, and thereafter send a certificate of the event issued by

36、 the relevant authority to the other party but no later than 15 days after its occurrence. In case the event of Force Majeure lasts for 120 days, both parties shall negotiate the performance or the termination of the contract.16. LATE DELIVERY AND PENALTY:Should the Seller fail to make delivery on t
