合作合同中英文對照版

1、合作合同甲乙雙方本著平等互利，協(xié)商一致的 原則，就甲方授權(quán)乙方在指定區(qū)域經(jīng) 銷甲方產(chǎn)品的有關(guān)事宜，達成如下協(xié) 議：第一條合同雙方保證自己是合法存在的法人 組織，具有經(jīng)營與經(jīng)銷本合同 指定產(chǎn) 品的資格，并互換營業(yè)執(zhí)照，稅 務(wù)登記證等有關(guān)證件的復(fù)印件。第二條代理銷售區(qū)域范圍1. 甲方授權(quán)乙方銷售甲方產(chǎn)品的行 政區(qū)域為：奧地利；2. 乙方同意作為甲方在上述指定區(qū) 域之代理商，并承諾全部履行本合同 項下之義務(wù)。第三條合作方式由甲方提供能源節(jié)電技術(shù)產(chǎn)品，由乙 方負責在奧地利進行推廣、銷售：a）甲方提供的產(chǎn)品，應(yīng)適于在奧地利 銷售，并由締約雙方書面確定；b）甲方對由自己提供的產(chǎn)品的使用， 負責為乙方進行人

2、員培訓(xùn)；c）甲方應(yīng)在本合同規(guī)定的范圍內(nèi)向 奧地利WT或其指定的其它港口岀口合 作產(chǎn)品；d）甲方應(yīng)提供經(jīng)乙方指定的優(yōu)質(zhì)可 銷的能源節(jié)電技術(shù)產(chǎn)品；e）根據(jù)本合同合作的產(chǎn)品應(yīng)采用專 門的商標，由乙方在奧地利獨家經(jīng)銷；f）甲方具有向乙方生產(chǎn)和提供本合 同規(guī)定的產(chǎn)品獨有權(quán)，乙方具有接收Cooperation ContractOn the basis of the principal of equality and mutual benefit, through friendly consultation, whereas Party A agrees to entrust Party B to sell

3、 the products of Party A in the appointed areas, now this presents witness that is hereby agreed between the parties hereto as follows.Article 1Both parties hereto shall ensure their legal positions of corporate organizations and the qualification to sell the products as specified in this Contract.

4、Both parties shall exchange the duplicated documentations of relevant certificates such as business license and tax registration certificate.Article 2 Distribution Area1. The distribution area authorized by Party A to Party B is Austria;2. Party B agrees to be the agent in the area mentioned above a

5、nd undertake all the obligations under this Contract.Article 3 Cooperation ModeParty A shall provide energy resources electricity power saving / conservation technology products and Party B shall be responsible for the promotion and sales of the products:a) The products supplied by Party A shall be

6、suitable for the sales in Austria and shall be confirmed by both parties hereto in written form;b) Party A shall be responsible for the training of the personnel of Party B for the use of the products supplied by Party A;c) Party A shall export the products to WT or other ports appointed by it withi

7、n the scope as specified in this contract;d) Party A shall supply to the marketable resources electricity power saving / conservation technology products with high quality as specified by Party B;e) The products to be manufactured under this contract shall be specifically branded as being produced f

8、or the exclusive distribution by Party B in Austria;f) Party A shall have the exclusive rights to produce and supplythe products under this contract to Party B and Party B shall have the exclusive right to receive the products made by Party A under this contract. Party A shall not transact any busin

9、ess with由甲方根據(jù)本合同生產(chǎn)的產(chǎn)品的獨有 權(quán)；甲方不得與奧地利境內(nèi)的任何其 它公司、商號或個人進行與本合同規(guī) 定的產(chǎn)品有關(guān)的商業(yè)活動，應(yīng)賦予乙 方對奧地利市場其它產(chǎn)品的優(yōu)先取舍 權(quán)；乙方不得與中國境內(nèi)的任何其它 中國公司、商號或個人進行與本合同 規(guī)定的產(chǎn)品有關(guān)的商業(yè)活動，應(yīng)賦予 甲方其它產(chǎn)品的生產(chǎn)的優(yōu)先取舍權(quán)；g）乙方以自己的名義進行本合同規(guī) 定的下列事項：h）在奧地利有關(guān)部門對產(chǎn)品進行注 冊；i）（ ii ）在奧地利進行產(chǎn)品銷售。第四條合作所涉能源節(jié)電技術(shù)產(chǎn)品 包括：第五條合同期限、首期采購任務(wù)、年 度銷售任務(wù)及獎勵.1、 本合同有效期為年，自年 月 日起至年 月 日止。2、首期采購

10、任務(wù)：乙方須在本合同 簽署之日起90天內(nèi)購買甲方價值10 萬美元的產(chǎn)品。3、本合同期滿，乙方可以申請續(xù)簽， 但應(yīng)在期滿前 30天內(nèi)書面向甲方申 請。如乙方已按時完成合同約定的產(chǎn) 品年度銷售任務(wù)，同等條件下將有優(yōu) 先續(xù)簽合同約定的代理區(qū)域范圍和代 理系列產(chǎn)品的權(quán)利。4、銷售任務(wù)及獎勵見附件。第六條：產(chǎn)品采購及付款方式1.在簽署本合同之日，乙方需向甲方 交納2萬美元成約定金；乙方在本合 同簽字蓋章后90日內(nèi)完成首期采購10 萬美元任務(wù)，半年內(nèi)應(yīng)累計完成萬元美元的銷售任務(wù)；一年內(nèi)應(yīng)累計完成 萬元美元的年度銷售任務(wù)。any other Austrian Company, firm or individ

13、ustria.Article 4 Products Involved in CooperationArticle 5 Term, Purchase Task of First Phase, Annual Sales Task and Rewarding1. This contract shall be valid and in operation for a period of five(5) years, commencing on XX/XX/XXXX and terminated on XX/XX/XXXX.2. Purchase Task of First Phase: within

14、ninety (90) days upon and from the date on which this contract is signed, Party B shall purchase from Party A the products of 100 thousand USD.3. After the expiration of the validity of this contract, Party B may submit application for renewal by a 30 (thirty) days Prior notice. Where Party B comple

15、te the annual sales task as specified in this contract on schedule, Party B shall have the preemptive rightto renew this contract at the same condition for the distribution of the products in the area as specified in this contract.4. 16、le 6 Purchase of Products and Payment1. Upon the date on which this contract is signed, Party B shall pay to Party A 20 thousand USD as contract guarantee fund; Party B shall complete the purchase task of first phase (100 thousand USD) within ninety (90) days upon and from the date on which both par

17、ties set the hands and seals on this contract.Within half year, Party B shall complete the accumulative task often thousand USD; within one year, Party B shall complete the accumulative annual task often thousand USD.2. 乙方應(yīng)在合同生效后9 0天內(nèi)向乙方訂購不少于10萬美元的貨物。此時，本條第1款成約定金中的1 萬美元轉(zhuǎn)為預(yù)付款，按第九條不足部 分的預(yù)付款仍應(yīng)按第九條執(zhí)行。3.

18、 剩余的1萬美元成約定金轉(zhuǎn)為第二 次交易的預(yù)付款。4. 訂貨時乙方應(yīng)向甲方指定辦事機 構(gòu)發(fā)出書面訂貨單，訂貨單應(yīng)有乙方 法定代表人簽名并加蓋公章。甲方收 到訂貨單后確認該筆訂貨是否有效。 如確認訂貨有效，則每份訂貨單及確 認函均構(gòu)成一份獨立有效的買賣合 同，本合同有關(guān)付款方式，交貨等相 關(guān)條款可視為對該獨立合同的有效補 充。5. 乙方書面訂貨單得到甲方確認后， 乙方在收到甲方確認函后三天內(nèi)支付 貨款總額的30 %給甲方作為預(yù)付款， 其余70%頁在甲方發(fā)貨前三天支付給 甲方。付款日期均為貨款已到達甲方 賬戶的日期。6. 貨幣結(jié)算單位為美元。第七條合作產(chǎn)品質(zhì)量(1 )按照中華人民共和國標準執(zhí)行 (

19、中華人民共和國國家標準或部頒或 企業(yè)具體標準)。(2) 但乙方所要求生產(chǎn)的產(chǎn)品質(zhì)量 標準高于(1)標準的，乙方必須在甲 方開始生產(chǎn)之前向甲方提出書面要求.(3) 在本合同期內(nèi)，每一批合作產(chǎn) 品的數(shù)量和計量單位、計量方法、貨 差規(guī)定及計算方法另行約定。第八條交貨與運輸1.每份經(jīng)甲方確認后的訂貨單，甲方 應(yīng)在收到乙方全部貨款后3個工作日2. Upon the receipt of the order, Party A shall confirm whether the order is valid. Where the order is vali

22、d, each order and letter of confirmation shall be an independent and valid sales contract. The payment mode and delivery clauses as specified in this contract may be deemed as the valid addition of the independent contract.5. After the written order of Party B is confirmed by Party A, within three (

23、3) days upon and from the receipt of the letter of confirmation from Party A, Party B shall pay to Party A 30% ofthe total payment for goods as advance payment; within three (3) days before the delivery of the goods by Party A, Party B shallpay the remaining 70% to Party A. The payment date shall be

24、 the date on which the payment arrives at the A/C of Party A.6. All transactions shall be conducted by USD.Article 7 Quality of Products1. According to the standard of the Peoples Republic of China (the specific standard of enterprises or issued by the Department or the Peoples Republic of China)2.

25、Where Party B require that the quality of the products is higher than as specified in (1), Party B shall submit to Party A the written application before the production.3. Within the period of validity of this contract, the quantity, measurement, freight shortage and computation of the productsof ea

26、ch lot shall be specified otherwise.Article 8 Delivery and Shipment1. 27、甲方指定地點提貨， 亦可委托甲方代辦航空、快遞等形式 的托運。甲方承擔鐵路行包或汽運及 保險的費用（如鐵路，公路運輸）。 如乙方要求特殊運輸方式（如航空和 快遞），需岀具委托書，運輸和保險 費用由乙方承擔。甲方發(fā)貨后，將提 貨單及發(fā)貨票隨后寄給乙方。4. 乙方提貨時必須當場開箱驗貨。如 發(fā)生貨物缺失、破損等，乙方應(yīng)在提 貨當天向甲方提出書面通知甲方。并 由相關(guān)承運部門提供貨品缺失、破損 證明，由雙方協(xié)商處理。5. 交貨時間：根據(jù)合作期內(nèi)每一次合 作的具體情況另行確定。6. 交貨地點：根據(jù)合作期內(nèi)每一次合 作的具體情況另行確定。7. 運輸方式：根據(jù)合作期內(nèi)每一次合 作的具體情況另行確定。8. 保

28、 險： （按情況約定由 誰負責投保并具體規(guī)定投保金額和投 保險種）O第九條保修乙方在銷售中因甲方產(chǎn)品存在質(zhì)量問 題，均可向甲方申請保修、調(diào)換。第十條產(chǎn)品退、換貨政策1產(chǎn)品保修（換）期限甲方對正式備案的售出產(chǎn)品（以收到 經(jīng)銷商反饋的“甲方登記聯(lián)”為準）， 自用戶購買之日起，提供為期兩年的 免費產(chǎn)品保修服務(wù)以及終身有償維修 服務(wù)。2產(chǎn)品保修（換）原則 在甲方規(guī)定的產(chǎn)品保修期內(nèi)，在用戶 嚴格按照產(chǎn)品使用說明書的規(guī)定對產(chǎn) 品進行了正確安裝，使用和維護的前2. 29、o make the payment for the force majeure (unpredictable, unavoidable and insurmountable).3. Party B may come to the site appointed by Party A for goods and also may entrust Party A to handle the air transportation and express delivery on behalf. Party A shall bear the expenses of freight charges and

30、 insurance expenses (for example, railway and road transportation). Where Party B requires special transportation mode (for example, air transportation and express delivery), Party B shall provide letter of authority and bear the freight charges and insurance expenses. After the delivery of goods by

31、 Party A, Party A shall send the bill of goods and invoiceto Party B.4. When taking delivery of the goods, Party B shall make unpacking inspection on the site. Where any shortage, damagesor loss is found, Party B shall notify Party A in written form in the same day. Relevant carrier shall issue the certificate of loss or damage, and the event shall be settled through friendly consultation by both parties hereto.5.
