1、模具開發(fā)協(xié)議 （中英文）Mold Developing Agreement合同號(hào) / Contract No.甲方： ( hereinafter“ P)arty A ”乙方： ( hereinafter“ P)arty B ”簽約方分別稱為甲方和乙方，合稱為“各方”。and together,Individually called Party A and Party B respectivelyand/or the “ Party ”called the “ Parties ”.經(jīng)過友好協(xié)商和在公平、平等的原則基礎(chǔ)上，雙方約定如下：After friendly consultations an

( Including Materials )二、模具價(jià)格表 /Mold Price List 產(chǎn)品型號(hào) Part No.模具規(guī)格 Mold Description計(jì)量單位 Unit數(shù)量 Quantity單價(jià)(人民幣) Unit Price(RMB)總價(jià)(人民幣) Total Price(RMB)以上價(jià)格已含 17% 的增值稅，且包含模具送到 以上價(jià)格已 的增值稅

3、The above prices include VAT 17% and the mold delivery to的運(yùn)費(fèi)。三、模具開發(fā)周期及要求 Work Day & Requirement1) 模具的開發(fā)周期 / Mold Work Day首件樣件完成時(shí)間 Time of finishing first product of mold：開發(fā)時(shí)間 Development Time:從首件樣品到整個(gè)樣件提交需要 sample pour to sample submission.2) 模具驗(yàn)收 /Mold Inspection:產(chǎn)品從接到訂單后 日內(nèi)完成，模具必須符合技術(shù)要求。The pr

4、oduct shall completely fit the days from first days from building time ARO (after receipt of order) to first POM (product of mold) sample technical requirements.3) 由于模具的開發(fā)周期和質(zhì)量問題造成甲方項(xiàng)目延期,乙方將賠償甲方的一切損失Party A 's project Idf elayed due to the work day and the quality of the mold, Party B should com

5、pensate Party A for all the losses.四、模具的維護(hù) Mold Maintenance 正常使用壽命內(nèi)的模具在生產(chǎn)過程中發(fā)生的損壞或磨損, 相關(guān)的維修及保養(yǎng)等都由乙方負(fù)責(zé)。 If the mold is within the normal working life but damaged or worn during the production process, Party B should be responsible for the related repair and maintenance.五、模具費(fèi)用的支付 Payment Terms 在鑄件得到最終

6、用戶的確認(rèn)及甲方收到最終用戶模具費(fèi)用后 30 天內(nèi)支付。Party A will fully pay to Party B within 30 days after casting approval by final customer, and receipt of tooling payment by party A.六、模具所有權(quán) Ownership模具的所有權(quán)為甲方所有 ,甲方享有收回和處理的權(quán)利。Mold ' s ownership belongs to Party A. Party A enjoys the right to taking back and dealing w

7、ith the mold.七、保密責(zé)任 Confidentiality1) 未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書面、出示和 用的方式轉(zhuǎn)泄露 給第三方。 如有發(fā)生信息泄露 ,甲方有權(quán)追究其法律責(zé)任。Without the permission of Party A, Party B should not disclose the drawings and technical information which are provided by Party A in oral, written, showing and lending way to the third Par

If Party B revealed such information, Party A has the right to pur sue Party B ' s legal responsibility.2) 當(dāng)雙方履行完該協(xié)議后，乙方必須歸還甲方所提供的用于開發(fā)該模具的所有保 密信息及其全部副本 (不論其是否是在計(jì)算機(jī)磁盤、光盤讀取器、光盤、硬盤或軟 件中或硬拷貝載體上存儲(chǔ)、保存或記錄的) ； 如果乙方退還上述保密信息及其全部副 本為不可行，則應(yīng)將其銷毀，或者從計(jì)算機(jī)或其他電子系統(tǒng)中將其 刪除或抹除。 After the Parties fulfill the agree

9、ment, Party B should return to Party A all confidential information and all copies of developing the mould thereof whether or not the same are stored, maintained or recorded in computer disks, CD-ROM drives, CD-ROMs, hard disks or software or in hard copy format and, to the extent that it is not fea

10、sible to return the same, shall destroy such confidential information or cause the same to be deleted or erased from any computer or other electronic system.八、其他約定 Others1) 本協(xié)議受中華人民共和國(guó)的法律法規(guī)管轄，并應(yīng)依照中華人民共和國(guó)的法律法規(guī)解 釋。 The agreement shall be governed by, and interpreted in accordance with, the laws and re

11、gulations of the People' s Republic of China.2) 除非雙方采用書面形式，否則對(duì)本協(xié)議的任何修正均屬無效。Any amendments to this agreement shall not be valid unless made by the Parties in writing.3) 本協(xié)議一式兩份， 每份皆具有同等法律效力。This agreement is made in two original copies, both of which are equally valid.4) 本協(xié)議在雙方簽訂本協(xié)議之日立即生效。This ag

12、reement shall take effect immediately upon the date of execution by the Parties.5) 凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭(zhēng)執(zhí)，都應(yīng)通過友好協(xié)商解決。如果在書面 要求協(xié)商的通知發(fā)出后的三十 (30) 天內(nèi)不能解決， 則該爭(zhēng)執(zhí)應(yīng)提交乙方所在地有管轄 權(quán)的法院進(jìn)行裁決。the disputes and All controversies of every kind and nature between the Parties arising out of or in connection with the agreeme

13、nt or the execution hereof shall be settled by friendly negotiation between the Parties.
