1、派遣員工勞務(wù)合同OUTSOURCINGCONTRACTOFEMPLOYMENT()字第號(hào)甲方:PartyA:法定代表人:LegalRepresentative:地址:Address乙方:PartyB:法定代表人:LegalRepresentative:地址:Address:甲乙雙方按照中華人民共和國(guó)有關(guān)法律,根據(jù)平等互利原則,經(jīng)友好協(xié)商,就甲方向乙方派遣員工事宜達(dá)成如下協(xié)議:AccordingtoChineserelevantlaws,andinconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesher

2、ebyreachthefollowingcontractconcerningoutsourcedemployee:第一章派遣與借用CHAPTERONEOUTRESORCINGANDBORROWING第一條派遣系指甲方按照本合同約定,將與甲方建立勞動(dòng)關(guān)系的人員派往乙方工作的行為。Article 1 ForthepurposeofthisContract,"Outsourcing"meansPartyAdispatchesitsemployeewhohasemploymentrelationwithitselftoworkforPartyB.第二條借用系指乙方按照本合同約定,從

3、甲方借調(diào)人員到乙方工作的行為。Article 2 ForthepurposeofthisContract,"Borrowing"meansPartyBborrows,subjecttothetermsandconditionscontainedherein,theemployeewhohasemploymentrelationwithPartyAtoworkforPartyB.第三條甲方根據(jù)乙方的要求向乙方派遣員工,乙方須按照約定向甲方支付借用費(fèi)。Article 3 AttherequestofPartyB,PartyAdispatchesitsemployeestowor

4、kforPartyB;and,PartyBshallpayPartyAtherelevantborrowingfeesaccordingly.第四條員工與甲方為勞動(dòng)關(guān)系,與乙方為勞務(wù)關(guān)系。員工的工作地點(diǎn)、崗位、方式由乙方根據(jù)業(yè)務(wù)需要確定。Article 4 TherelationbetweentheEmployeewhoisconcernedinthisContractandPartyAbelongstoemploymentrelation;andtherelationbetweentheaforementionedEmployeeandPartyBbelongstolaborservicer

5、elation.Theworkingvenue,positionandworkingmethodoftheEmployeewillbedeterminedbyPartyBbasedonitsbusiness.第五條借用費(fèi)系指乙方借用甲方員工的費(fèi)用,包括:Article 5 TheBorrowingFees“meansthepaymentthatPartyBshallmaketoPartyA,whichincludes:(一)支付員工的工資。(1) ThewagesoftheEmployee.(二)支付員工的社會(huì)保險(xiǎn)、住房公積金費(fèi)用。(2) Thesocialinsurancepremiumsa

6、ndhousingfundoftheEmployee.(三)甲方為派遣員工提供商業(yè)保險(xiǎn)、福利的費(fèi)用。(3) OthercommercialinsuranceandwelfaresthatPartyAofferstotheEmployee.(四)甲方對(duì)派遣員工的管理、經(jīng)營(yíng)成本,該費(fèi)用所占比例不少于借用費(fèi)的5%(4) ThemanagementcostandoperationcostoftheoutsourcedEmployeethatPartyAspends,whichisnotlessthan5%ofthetotalBorrowingFees.(五)承擔(dān)企業(yè)稅收等費(fèi)用。(5) Taxesand

7、otherexpensesthatPartyAbears.第六條甲方派遣人員的姓名;聘用職務(wù)及工作內(nèi)容;借用期限年,自2012年月曰至20年月日止;借用工作地點(diǎn);Article 6 TheNameoftheoutsourcedEmployee;WorkingPosition&WorkingContents;BorrowingPeriod,Commencingfromto,WorkingVenue.第二章甲方的義務(wù)與權(quán)利CHAPTERTWORIGHTSANDOBLIGATIONSOFPARTYA第七條甲方承擔(dān)下列義務(wù):Article 7 PartyAshallassumethefollo

8、wingobligations:(一)根據(jù)乙方的要求推薦人選,與乙方?jīng)Q定借用的人員或乙方直接選定的人員簽訂派遣員工勞動(dòng)合同。(1) torecommendthecandidatesattherequestofPartyB,andsignsemploymentcontractwiththepersonwhoPartyBdecidestoborrowordirectlychooses.(二)教育派遣員工遵守中華人民共和國(guó)法律、法規(guī)和規(guī)章。(2) 2)toeducatetheoutsourcedemployeetoobservethelaws,decreesandrelevantregulation

9、senactedbytheChinesegovernment.(三)教育派遣員工遵守乙方的工作制度,保守乙方的商業(yè)秘密。(3) toeducatetheoutsourcedemployeetoobservetheworkingsystemandpoliciesofPartyB,andkeepthebusinesssecretsofPartyBinconfidential.(四)從借用費(fèi)中支付派遣員工的工資和應(yīng)得收入。(4) topaytheEmployeewagesandotherremunerationshedeservesfromtheborrowingfees.(五)在乙方支付借用費(fèi)后,

10、依法承擔(dān)派遣員工的社會(huì)保險(xiǎn)、住房公積金及福利費(fèi)用,其中福利及醫(yī)療保險(xiǎn)部分內(nèi)容的具體實(shí)施按照本合同及其附件條款、甲方有關(guān)派遣員工福利待遇、醫(yī)療費(fèi)用報(bào)銷的規(guī)定執(zhí)行。(5) Shallpaythesocialinsurance,housingfundandotherwelfaresfortheEmployeeaccordingtotherelevantlawsafteritreceivestheborrowingfeesfromPartyB.Thestandardsoftheaforementionedcontentswillbesubjecttothetermsandconditionsofthi

11、scontractanditsappendixes,aswellastherelevantrulesandpoliciesofPartyAinrelationwiththewelfaresandreimbursementofmedicaltreatmentfees.(六)為派遣員工提供雙方確定的服務(wù)內(nèi)容。(6) toprovideotherserviceswhichareagreedbytwoparties.(七)聽取乙方意見和建議,不斷改進(jìn)工作。(7) toaccepttheadvicesandsuggestionsprovidedbyPartyB,andimproveitsworkacco

12、rdingly.第八條甲方享有如下權(quán)利:Article 8 PartyAshallenjoythefollowingrights:(一)如遇特殊情況,甲乙雙方不能達(dá)成一致意見時(shí),甲方有權(quán)撤回派遣員工和解除本合同,但應(yīng)提前30天以書面形式通知乙方和派遣員工(派遣員工在試用期內(nèi)除外),同時(shí)甲方按下列方式向乙方一次性支付補(bǔ)償費(fèi):派遣員工被派遣時(shí)間每滿一年,補(bǔ)償費(fèi)為一個(gè)月的借用費(fèi),不足一年的部分按一年計(jì)算。補(bǔ)償費(fèi)以派遣員工被撤回當(dāng)月的借用費(fèi)為計(jì)算標(biāo)準(zhǔn)。(1) Incaseinsomespecialsituationswhentwopartiescannotreachanagreement,PartyA

13、shallhavetherighttorecallitsoutsourcedemployee,buta30dayspriorwrittennoticeshallbemadebyPartyA(excepttheoutsourcedemployeeisintheprobationperiod),andshallbesenttoPartyBandtheoutsourcedemployee.Besides,PartyAshallpayPartyBcompensationaccordingtothefollowingway.Thecompensationpaymentshallbemadebasedon

14、theworkingtimeoftheoutsourcedemployee,whichshallbeonemonthsborrowingfeeforeachfullyearworked.Anyperiodofnotlessthanoneyearshallbecountedasoneyear.Thestandardofcompensationfeeshallbetheborrowingfeeofthesamemonthwhentheoutsourcedemployeeisrecalled.(二)甲方有權(quán)對(duì)乙方違反本合同有關(guān)條款或損害派遣員工合法權(quán)益的行為提出書面意見,進(jìn)行交涉。乙方應(yīng)在收到甲方書

15、面意見后六個(gè)工作日內(nèi),以書面形式回復(fù)甲方。(2) PartyAisentitledtobringforwarditsopinionsinwrittenwhenPartyBviolatesthisContractordamagesthelegalrightsoftheoutsourcedemployee.AndPartyBshallreplyinwrittenwithinsix(6)workingdaysafteritreceivestheaforementionedwrittennoticemadebyPartyA.(三)乙方若無(wú)故拖欠派遣員工的工資或借用費(fèi),甲方可隨時(shí)無(wú)條件解除本合同,并向乙

16、方追索所欠費(fèi)用(3) PartyAisentitledtoterminatethiscontractatanytimefornoreason,andclaimforcompensationfromPartyB,ifPartyBfailstopaytheoutsourcedemployee'swages,orfailstopaytheborrowingfees.(四)派遣員工若侵害了乙方的合法權(quán)益,甲方可協(xié)助乙方追究員工的相關(guān)責(zé)任。(4) PartyAmayofferassistancetoPartyBinaskingtheoutsourcedemployeetotakehisliabi

17、lities,iftheoutsourcedemployeedamagesthelegalrightsofPartyB.第三章乙方的義務(wù)與權(quán)利CHAPTERTHREETHEOBLIGATIONSANDRIGHTSOFPARTYB第九條乙方承擔(dān)下列義務(wù):Article 9 PartyBshallassumethefollowingobligations:(一)尊重派遣員工不同的民族習(xí)慣和宗教信抑,不歧視派遣員工。(1) torespectthecustom,religionandbeliefoftheoutsourcedemployee,andnottomakeanydiscrimination

18、.(二)為派遣員工提供符合中國(guó)政府有關(guān)勞動(dòng)保護(hù)規(guī)定的工作場(chǎng)所和條件,確定其工作崗位和工作內(nèi)容,并依法為派遣員工提供各項(xiàng)社會(huì)保險(xiǎn)及住房公積金費(fèi)用。否則,產(chǎn)生的后果由乙方自行承擔(dān)。(2) shallprovidetheoutsourcedEmployeewithnecessaryworkingconditionwhichisinaccordancewiththerelevantstatutesinrelatetolaborprotection,andclarifytheworkingpositionandjobdescriptiontotheoutsourcedemployee.Also,Part

19、yBshallpaythesocialinsurancepremiumsndhousingfundfortheoutsourcedemployee.Otherwise,PartyBwillberesponsiblefortheresultsarisingtherefrom.(三)實(shí)行每天工作不超過(guò)8小時(shí),每周工作不超過(guò)40小時(shí)的標(biāo)準(zhǔn)工時(shí)制,如遇特殊情況需派遣員工延長(zhǎng)工作時(shí)間,乙方須依法支付加班費(fèi)。(3) PartyBpracticesthestandardworkinghoursystemunderwhichtheemployeesshallworkfornomorethaneighthour

20、sadayandnomorethan40hoursaweek.IncaseofspecialsituationwhenPartyBhastoextendworkinghour,itshallpaytheoutsourcedemployeeovertimepay.(四)為派遣員工提供差旅等補(bǔ)貼,具體數(shù)額由乙方?jīng)Q定。(4) shallprovidetheoutsourcedemployeetravellingallowanceandotherbenefits,theamountoftheaforementionedallowanceandbenefitswillbedeterminedbyPart

21、yB.(五)保證派遣員工的法定節(jié)假日休息。為借用滿一年以上(含一年)的員工每年安排一次帶薪休假,具體休假天數(shù)按乙方的規(guī)定執(zhí)行。(5) Shallguaranteethattheoutsourcedemployeecangetrestandleaveduringthelegalholidays.Shallalsoarrangeonepaidholidayfortheoutsourcedemployeewhoseborrowingperiodisonandoveroneyear.Howlongtheleavewithpayoftheoutsourcedemployeeiswillbebasedon

22、theregulationsofPartyB.(六)按照國(guó)家標(biāo)準(zhǔn)享受醫(yī)療期及醫(yī)療期內(nèi)的病假工資和疾病救濟(jì)費(fèi)。(6) shallguaranteethattheoutsourcedemployeeisentitledtohavemedicaltreatmentperiod,andtoreceivesickwagesanddiseaseremedyduringhismedicaltreatmentperiod.本條所列第(三)、(四)、(五)項(xiàng)內(nèi)容,乙方可以規(guī)章制度的形式作具體規(guī)定,也可與派遣員工以協(xié)議的形式作具體約定。只要不違反國(guó)家法律、法規(guī),且送甲方備案,應(yīng)以規(guī)章制度和協(xié)議為準(zhǔn)。Thecont

23、entsstipulatedinClause(3),(4)and(5)containedinthisArticle,canbedeterminedbyPartyBandembodiedinitsRulesandRegulationsoftheCompany,orisformedbyanotheragreementreachedandsignedbetweentheoutsourcedEmployeeandPartB.SuchRulesandRegulationsofPartyBoragreementshallprevail,aslongastheydonotviolateanylaws,dec

24、reesorregulationsofthestate,and,hasbeenalreadysenttoPartyAforrecord.第十條乙方享有如下權(quán)利:Article 10 PartyBshallhavethefollowingrights:(一)對(duì)決定借用的員工可以規(guī)定試用期,試用期限應(yīng)根據(jù)借用期限確定:1 .借用期在6個(gè)月以下的,試用期不超過(guò)15日;2 .借用期在6個(gè)月以上1年以下的,試用期不超過(guò)30日;3 .借用期在1年以上3年以下的,試用期不超過(guò)60日;4 .借用期在3年以上的,試用期最長(zhǎng)不超過(guò)6個(gè)月。試用期內(nèi),乙方對(duì)不符合要求者,有權(quán)終止試用,但應(yīng)支付試用期的借用費(fèi)(含社會(huì)保

25、險(xiǎn)及住房公積金費(fèi)用)。試用期滿,所派遣員工自動(dòng)轉(zhuǎn)為正式派遣員工,其借用期自試用之日起計(jì)算。(1) maydecidetheprobationperiodoftheoutsourcedemployeebasedontheborrowingperiod:a. Wheretheborrowingperiodoftheoutsourcedemployeeislessthansix(6)months,theprobationperiodmaynotexceed15daysb. Wheretheborrowingperiodoftheoutsourcedemployeeismorethansix(6)mo

26、nthsbutlessthanoneyear,theprobationperiodmaynotexceed30days;c. Wheretheborrowingperiodoftheoutsourcedemployeeismorethanoneyearbutlessthanthreeyears,theprobationperiodmaynotexceed60days;d. Wheretheborrowingperiodoftheoutsourcedemployeeismorethanthreeyears,theprobationperiodmaynotexceedsixmonths.試用期內(nèi),

27、乙方對(duì)不符合要求者,有權(quán)終止試用,但應(yīng)支付試用期的借用費(fèi)(含社會(huì)保險(xiǎn)及住房公積金費(fèi)用)。試用期滿,所派遣員工自動(dòng)轉(zhuǎn)為正式派遣員工,其借用期自試用之日起計(jì)算。PartyBmayterminatethiscontractduringtheprobationperiod,howeveritshallpaytheborrowingfeesduringtheprobationperiod(includingsocialinsurancepremiumsandhousingfund).Theoutsourcedemployeewillautomaticallybecomeregularoutsourced

28、employeeafterhisprobationisover,andThestarttimeoftheborrowingperiodshallbethestarttimeoftheprobationperiod.(二)在借用期內(nèi),有解除派遣員工和解除本合同的權(quán)利,但應(yīng)提前30天以書面形式通知甲方和派遣員工(派遣員工在試用期內(nèi)除外),同時(shí)按下列方式向甲方一次性支付補(bǔ)償費(fèi):派遣員工借用時(shí)間每滿一年,補(bǔ)償費(fèi)為一個(gè)月的借用費(fèi),不足一年的部分按一年計(jì)算。補(bǔ)償費(fèi)以派遣員工被退回甲方當(dāng)月的借用費(fèi)為計(jì)算標(biāo)準(zhǔn)。補(bǔ)償費(fèi)中包含派遣員工被解除勞動(dòng)合同的經(jīng)濟(jì)補(bǔ)償金。(2) duringtheborrowingperi

29、od,PartyBisentitledtodismisstheoutsourcedemployeeandterminatethiscontract,however,itshallmakea30dayspriorwrittennoticetoinformPartyAandtheoutsourcedemployee,exceptotherwisetheoutsourcedemployeeisinhisprobationperiod.Inthemeanwhile,PartyBshallpayPartyAthecompensationfeeinonelumpsumaccordingtothefollo

30、wingways:Thecompensationfeeshallbepaidbasedonborrowingtimeattherateofonemonthwageforeachfullyear.Anyperiodofnotlessthanoneyearshallbecountedasoneyear.ThestandardofcompensationfeeshallbetheborrowingfeeofthesamemonthwhentheoutsourcedemployeeisreturnedtoPartyA.Thecompensationfeeshallincludestheseveranc

31、epayoftheoutsourcedemployeewhoissentbackbyPartyB.(三)如派遣員工因違反中國(guó)法律、法規(guī)和嚴(yán)重違反乙方規(guī)定(此規(guī)定對(duì)派遣員工和甲方應(yīng)該是公開的)被解除借用,乙方經(jīng)征求甲方意見后可隨時(shí)通知甲方和派遣員工,并可不支付補(bǔ)償費(fèi)。(3) IftheoutsourcedemployeeisreturnedbyPartyB,byvirtueofviolatingtheChineselaws,decreesandseriouslyviolatingtherulesandregulations(whichshallbepublicfortheemployeehims

32、elfandPartyA),aftercheckstheopinionofPartyA,PartyBmayinformtheemployeehimselfandPartyAaboutitsdecisionatanytimeandwithoutanycompensation.(四)可與派遣員工另行簽訂個(gè)人協(xié)議作為甲方與派遣員工勞動(dòng)合同的附件送甲方備案,但該協(xié)議不得違反中華人民共和國(guó)的有關(guān)法律、法規(guī)和本合同內(nèi)容。(4) MaysigntheindividualagreementwiththeoutsourcedemployeeandsendonecopytoPartyAforrecord.Howe

33、ver,suchagreementshallnotviolateamandatoryprovisionsofanylaw,administrativeregulation,ortermsandconditionsofthiscontract.(五)乙方有權(quán)對(duì)甲方違反本合同有關(guān)條款的行為提出書面意見,并進(jìn)行交涉。甲方應(yīng)在收到乙方書面意見后六個(gè)工作日內(nèi),以書面形式回復(fù)乙方。(5) PartyBisentitledtomakewrittenadviceswhenPartyAviolatesthetermsandconditionsofthiscontract,andmakefurthernegoti

34、ations.PartyAshallreplyPartyBinwrittenwithinsix(6)workingdaysafteritreceivesthenoticemadebyPartyB.第四章費(fèi)用及其結(jié)算CHAPTERFOURTHEEXPENSESANDTERMOFPAYMENT第十一條借用費(fèi)為每月人民幣元。Article 11 BorrowingFeesisRMB第十二條乙方須于當(dāng)月20日前向甲方支付月借用費(fèi)、補(bǔ)償費(fèi)和年終附加的工資(乙方直接支付派遣員工工資的,須于當(dāng)月底前向甲方支付借用費(fèi)的其它部分),甲方收到后,于次月6日支付派遣員工工資。以上費(fèi)用每逾期10天按1噴口付滯付金。逾

35、期30天的,甲方可視情況提出索要違約金一元,并解除或終止本合同,且不屬違約行為,雙方辦理相應(yīng)手續(xù)。Article12PartyBshallpaythemonthlyborrowingfee,compensationfeeandadditionalyear-endbonusbefore20hofeachmonth(iftheoutsourcedemployeesispaidbyPartyBdirectly,thenPartyBjustneedspayPartyAthebalanceamountoftheborrowingfees).Afterreceivingthepayment,PartyAs

36、hallpaytheoutsourcedemployeebefore6thofthefollowingmonth.IncasethatPartyBdelayspayment,PartyAisentitledtocollectthesurchargeattherateof1%oftheamountdueforevery10daysdelayed.Whenthedaysoverdueexceeds30days,thenPartyAisentitledtoclaimforRMBasbreachofcontractsfromPartyBbasedonthespecificsituation,andte

37、rminatesthiscontractorcancelsthiscontractinthemeantime.Andsuchactionsshallnotbeconstruedasbreachofcontracts.Besides,twopartieswillgothroughtherelevantformalities.第十三條加班、加點(diǎn)費(fèi)用的計(jì)算方法為:Article13TheCalculationMethodfortheOvertimePayment工作日加點(diǎn)費(fèi)二月工資+21.75天+8小時(shí)X實(shí)際加點(diǎn)時(shí)間X150%Overtimeonworkingdays:Monthlywage21.7

38、5days8hrsactualovertime150%休息日、帶薪休假日加班費(fèi)二月工資+21.75天+8小時(shí)X實(shí)際加班時(shí)間X200%Overtimeonholidays:Monthlywage21.75days8hrsactualovertime200%法定節(jié)假日加班費(fèi)二月工資+21.75天+8小時(shí)X實(shí)際加班時(shí)間X300%Overtimeonlegalpublicholidays:Monthlywage1.75days8hrsactualovertime300%<第五章爭(zhēng)議與仲裁CHAPTERFIVEDISPUTESANDARBITRATION第十四條在本合同履行過(guò)程中,甲乙雙方如發(fā)生爭(zhēng)

39、議,應(yīng)通過(guò)友好協(xié)商解決。經(jīng)協(xié)商后仍不能解決的,可提交有管轄權(quán)的人民法院處理。Article14AnydisputesinconnectionwiththisContractortheexecutionthereofshallbeamicablysettledthroughnegotiationsIncasenosettlementcanbereachedbetweenthetwoParties,itshallbesubmittedtothecourtwhichhasthejurisdictiontofilealitigation.第十五條甲方(或乙方)與派遣員工因本合同中有關(guān)勞動(dòng)紀(jì)律約定、員工

40、工資、保險(xiǎn)等勞動(dòng)權(quán)利和義務(wù)的內(nèi)容發(fā)生勞動(dòng)爭(zhēng)議,并提起勞動(dòng)爭(zhēng)議仲裁時(shí),如爭(zhēng)議的處理結(jié)果與乙方(或甲方)有利害關(guān)系,乙方有參加仲裁活動(dòng)的權(quán)利和義務(wù)。Article15IfthereisanydisputehappensbetweentheoutsourcedemployeeandPartyA(orPartyB)inrelatetotheprovisionsstatedinthiscontractconcerningemploymentdisciplines,wages,socialinsurance,therightsandobligationsoftheoutsourcedemployee,an

41、dresultsinlaborarbitrationfinally.Incasethattheoutcomeofsucharbitrationmayhaveinterestswithanotherparty,anotherpartyshallhavetherightandobligationtoparticipateintheaforementionedarbitration.第六章其它CHAPTERSIXMISCELLANEOUS第十六條甲方為派遣員工提供的服務(wù)內(nèi)容在附件2中約定,附件2為本合同不可分割的組成部分。Article16TheservicesthatPartyAprovidestooutsourcedemployeearestipulatedinAppendix2,whichisanintegralpartofthisContract.第十七條本合同未盡事宜,國(guó)家有規(guī)定的按國(guó)家規(guī)定辦理,國(guó)家無(wú)規(guī)定的
