1、Retainer Agreement聘用律師合同Know all men by these presents：特此為證：(he reinafter“ Party A” ) herebyhasagreedto exclusivelyretain(hereinafter“PartyB” )as its attorneyto prosecutethroughsettlementor judge certainclaimsagainstforor arisingoutofdispute.（以下稱 “甲方 ”）在此特聘請(qǐng)律師（以下稱 “乙方 ”）為其代理人，以代表甲方與之間的糾紛提起訴訟，并通過(guò)調(diào)解或?qū)?/p>

2、判方式解決該糾紛。Party A hereby full authorizes and empowers Party B and also in its name and stead to bring the lawsuit on the said claim, if necessary, and to prosecute the same to final judgment and to compromise and settle the said claim with or without lawsuit in any way or manner that Party B may deem

3、 beat or advisable.在此，甲方正式授權(quán)乙方，以其名義和為維護(hù)其利益，在必要時(shí)就上述所有或任何一項(xiàng)權(quán)利要求起訴；并委托乙方以乙方認(rèn)為最恰當(dāng)?shù)姆绞?，通過(guò)或不通過(guò)訴訟 ,以調(diào)解或?qū)徟械姆绞?，最終解決甲方所提出的所有或任何一項(xiàng)權(quán)利要求。In consideration of the services to be rendered to Party A by Party B, Party A herebypays Party Bas the attorney fees. The foresaid Fee shall be paid inthe following installment

4、s:a)An initial amount ofshall be paid within 5 working days from theexecuting of this Retaining Agreement, and if the case can be settled peacefully, the rest of the Fee shall not be paid;b) If the case cannot be settled peacefully through above item a), the rest of theattorney feesshallbe paid with

5、in 5 working daysfrom the day ofregistering the case to the court with competent jurisdiction in China.鑒于甲方委托乙方按本合同為其提供的服務(wù)，甲方同意支付給乙方律師費(fèi)元，該部分律師費(fèi)分為以下兩部分支付：（1）第一部分律師費(fèi)元應(yīng)在本合同簽署之日起5 個(gè)工作日內(nèi)支付， 若案件達(dá)成調(diào)解，則其余部分律師費(fèi)不再支付；（2）若調(diào)解不成，其余部分律師費(fèi)元應(yīng)在本案提起訴訟之日起5 個(gè)工作日內(nèi)支付。The foresaid Fee shallnot includethefollowing costincurr

6、ed byanythird party:1litigation cost, fees paid to any administrative bureaus, cost incurred for employing professionals and traveling fees (e.g.: plane tickets, hotel expenses, etc) incurred during the trip to other places outside Shanghai by my said attorney for the legal issues entrusted to her h

7、ereby.上述費(fèi)用不包括如下第三方費(fèi)用，如訴訟費(fèi)、向行政當(dāng)局支付的費(fèi)用、專業(yè)人士傭金及其他相關(guān)費(fèi)用。律師為委托事項(xiàng)所支出的差旅費(fèi)應(yīng)由委托人承擔(dān)。Party B shall make reasonable efforts of due diligence while rendering the service to Party A and not to disclose any information of Party A to any other parties without the prior consent of Party A. In the case of any real los

8、s or damage occurred to Party A due to Party B s intentional behavior or negligence, Party B shall be liable to make compensation to Party A within the scope of the Lawyer Practice Insurance Compensation insured by the related insurance company in Shanghai.乙方需以行業(yè)公認(rèn)的謹(jǐn)慎、勤勉標(biāo)準(zhǔn)向甲方提供服務(wù)，并在未征得甲方事先同意前，不得向任何他

9、人披露關(guān)于甲方的任何信息。 若因乙方工作中的故意或重大過(guò)失致使甲方遭受實(shí)際損失的， 乙方應(yīng)負(fù)賠償責(zé)任，該賠償額以承辦律師參加的上海市統(tǒng)一執(zhí)業(yè)保險(xiǎn)的保險(xiǎn)公司賠償額為限。Party A undertakes that all the information provided by Party A to Party B are true, accurate and integral. Where Party A should be found fabricating fact, Party B is freeto terminate this agreement and payment already collected hereunder shall be retained.甲方承諾所有由甲方向乙方提供的信息均真實(shí)、準(zhǔn)確。乙方接受委托后，發(fā)現(xiàn)甲方捏造事實(shí)，弄虛作假，有權(quán)終止代理，所收費(fèi)用不予退還。No compromise of the said claimed of Party A may be made by B without the priorwritten consent of Party A.未經(jīng)甲方事先的書(shū)面同
