1、咨詢服務(wù)合同ConsultationServiceContract甲方：南寧東亞糖業(yè)集團(tuán)有限公司(PartyA:NanningEastAsiaSugarGroupCo.,Ltd.)乙方：南寧至哲企業(yè)管理顧問(wèn)有限公司(PartyB:NanningZhizheQiyeGuanliGuwenCo.,Ltd.)根據(jù)中華人民共和國(guó)合同法的規(guī)定，甲、乙雙方本著互惠互利，真誠(chéng)合作的原則，決定就共同完成甲方管理咨詢項(xiàng)目簽訂本合同。InaccordancewithTheContractLawofthePeoplesRepublicofChina,andontheprincipleofequalityandmut

13、ngEastAsiaSugarGroupCo.Ltd.only2、履行期限Termofperformance雙方?jīng)Q定乙方顧問(wèn)入駐日期為2005年4月6日，預(yù)計(jì)項(xiàng)目完成時(shí)間為4個(gè)月。咨詢項(xiàng)目自乙方顧問(wèn)入駐甲方開(kāi)始至項(xiàng)目完成經(jīng)甲方驗(yàn)收合格止。ThetwoPartiesagreetostartupthisprojectsince6May,2005,anditsexpectedthatitwilllastfourmonthsuntiltheprojectsolutionsarecheckedandacceptedbyPartyA.3、雙方責(zé)任ResponsibilitiesofEachParty3.1

14、 甲方責(zé)任ResponsibilitiesofPartyA3.1.1 甲方應(yīng)高度重視公司管理改善項(xiàng)目的實(shí)施，對(duì)乙方的工作提供支持，負(fù)責(zé)協(xié)調(diào)內(nèi)部各部門(mén)及各工廠的關(guān)系，調(diào)動(dòng)相關(guān)的資源，提供相關(guān)數(shù)據(jù)資料及方案文字處理等工作。被雙方認(rèn)可的工作或方案，在甲方組織中的貫徹、推動(dòng)，由甲方負(fù)責(zé)。PartyAshouldtakespecialemphasisonthismanagementimprovementproject,andofferPartyBallnecessaryassistanceincoordinatingcross-sectionrelations,deployingrelatedresou

15、rcesand,providingrelevantdatainformationandwordprocessingservice.ProjectsolutionsthathavebeenapprovedbythetwopartiesshallbepromotedandimplementedbyPartyA.3.1.2 甲方負(fù)責(zé)與該項(xiàng)目有關(guān)的第三方進(jìn)行協(xié)調(diào)，以保證項(xiàng)目的順利進(jìn)行。PartyAshallberesponsibleforcoordinatingwiththethirdpartyrelatingtothisprojectsoastoensureitinrightprogress.3.1

16、.3 甲方應(yīng)按合同要求支付咨詢費(fèi)用。PartyAshouldpayPartyBconsultationchargeinaccordancewiththeprovisionsofthecontract.3.1.4 甲方向乙方顧問(wèn)提供在甲方工作時(shí)必要的辦公條件(如辦公室、市話)，并為乙方顧問(wèn)提供簡(jiǎn)便的午餐。PartyAshouldassistPartyBsconsultantsinprovidingfundamentalfacilitiessuchasofficeandtelephoneandstaffmeal(lunch)aswell.3.1.5 甲方應(yīng)確保項(xiàng)目運(yùn)作期間組織人員的穩(wěn)定。Party

17、Ashouldassureastablecoordinationteamduringtheprojectinprogress.3.1.6 乙方提交的階段性方案甲方應(yīng)在5個(gè)工作日內(nèi)予以回復(fù)，最終方案應(yīng)在10個(gè)工作日內(nèi)回復(fù)；如甲方在5個(gè)工作日后未予階段性方案明確答復(fù)，乙方將視為甲方默許，可以開(kāi)展下一階段的工作；如甲方在10個(gè)工作日內(nèi)未予最終方案明確回復(fù)，乙方將視為甲方接受。PartyAshouldrespondintimetoPartyBonitssolutionssubmitted,say,offeringtheiropinionsaboutthephasesolutionswithinfive

19、dbyParty.3.2乙方責(zé)任ResponsibilitiesofPartyB3.2.1 乙方應(yīng)按合同第1.2條規(guī)定的內(nèi)容為甲方提供咨詢服務(wù)。ProvidingconsultationserviceinaccordancewiththeprovisionsofArticle.2 乙方負(fù)責(zé)咨詢計(jì)劃的制定、方法的傳授、工具的提供及方案設(shè)計(jì)。Responsibleforestablishingaconsultationplan,tutoringPartyAadvancedmanagementmeansandtools,anddesigningtheprojectsolutions.3

20、.2.3 乙方應(yīng)按照合同規(guī)定的時(shí)間、進(jìn)度保質(zhì)保量完成工作。Fulfillingthespecifictasksandonscheduleandingoodqualityandquantity.3.2.4 乙方應(yīng)確保項(xiàng)目組的穩(wěn)定性，保證進(jìn)場(chǎng)顧問(wèn)的專(zhuān)業(yè)水平。Insuringastableconsultingteamaswelltheprofessionallevelofitsconsultants.3.2.5 乙方應(yīng)盡力協(xié)助甲方與項(xiàng)目有關(guān)的第三方進(jìn)行協(xié)調(diào)。AssistingPartyAincoordinatingwiththethirdpartyrelevanttothisproject.3.2.

21、6 負(fù)責(zé)對(duì)甲方相關(guān)管理人員的培訓(xùn)，使甲方人員具備管理體系運(yùn)作能力。ResponsiblefortrainingthemanagersofPartyAsothattheycanbecapableofrunningthisnewmanagementsystem.3.2.7 乙方完成工作后，應(yīng)向甲方提供不少于一套的文字材料和電子文檔。乙方提供的服務(wù)成果應(yīng)盡可能做到通俗易懂。ProvidingPartyAwithatleastasetofconsultationdocumentsbothinwrittenandelectronicformwhenthewholeprojectisdone.Trying

22、tomakethesolutionssimple,understandableandfeasible.4、文件的傳達(dá)Deliveringofdocuments4.1在本合同執(zhí)行期內(nèi)(含跟蹤服務(wù)期)，甲方與乙方之間所有的正式通知及文件均采用書(shū)面形式傳達(dá)給對(duì)方。Withinthevalidityofthecontract(theserviceperiodincluded),alltheformalnoticesandfilestoandfromthetwopartiesshallbedeliveredinwrittenpaper.5、工作的開(kāi)展Theoperationofconsultingpro

23、ject5.1 項(xiàng)目正式啟動(dòng)后，甲方和乙方共同組建一個(gè)咨詢項(xiàng)目委員會(huì)，由雙方的高層管理人士負(fù)責(zé)。Whentheprojectisstartup,PartyAandPartyBshalljointlyestablishaConsultationCommitteeconsistingofthetopmanagersofthetwoparties.5.2 為確保咨詢服務(wù)的質(zhì)量和進(jìn)度，乙方委托深圳市東方大成管理咨詢有限公司作為合作伙伴，共同組成咨詢項(xiàng)目小組開(kāi)展對(duì)甲方的咨詢服務(wù)工作。小組成員構(gòu)成如下：乙方項(xiàng)目經(jīng)理1人(彭榮模先生)，管理顧問(wèn)1-2人(陳耀忠先生、黃道銀先生)。乙方在經(jīng)過(guò)甲方同意，確保項(xiàng)目

24、經(jīng)理不變的情況下可增加、調(diào)配顧問(wèn)組成員。Toguaranteethequalityandprogressoftheconsultationproject,PartyBconsignsShenzhenOrientalWisdomManagementConsultationCo.,Ltd.asitsbusinesspartner.TheywilljointlysetupaconsultingteamtoserveforPartyB.Theteammembersconsistofoneprojectmanager(PengRongMo,Mr.)andtwoorthreeconsultants(Che

25、nYaoZhong,Mr.;HuangDaoYin,Mr.).WiththeagreeingofPartyA,PartyBcanincreaseoradjustconsultants.5.3 甲方有權(quán)對(duì)乙方配備的服務(wù)咨詢?nèi)藛T提出建議，并可要求乙方更換咨詢?nèi)藛T。PartyAhastherighttogivesuggestionstoPartyBconsultants,andtoaskPartyBtoreplaceitsconsultants.5.4 甲方應(yīng)按照乙方的提議成立項(xiàng)目配合小組，負(fù)責(zé)聯(lián)系及協(xié)調(diào)工作，配合項(xiàng)目執(zhí)行。PartyAwillsetupacoordinationteamasperP

26、artyBssuggestiontoworkincontactandcooperationbetweenthetwopartiesandwithinPartyAsdepartmentsandfactories,andberesponsibleforbringingtheprojectsolutionsintoeffect.5.5 甲方管理層應(yīng)該提供的相關(guān)信息，安排管理人員及員工與咨詢顧問(wèn)相互合作、共同遵照咨詢服務(wù)項(xiàng)目管理程序。乙方將全程培訓(xùn)甲方相關(guān)員工，做到知識(shí)轉(zhuǎn)移。ThemanagersofPartyAshouldprovidePartyBwithrelevantdatainformatio

27、nandaskitsmanagementstaffsandemployeestocooperatewithPartyBconsultantssothattheycanjointlyabidebythespecifiedconsultationmanagementprocesses.PartyBshalloffertherelevantemployeesofPartyAaseriesoftrainingcourses.6、乙方的承諾CommitmentofPartyB6.1 乙方保證為甲方培訓(xùn)出能熟練實(shí)施運(yùn)作該項(xiàng)目所設(shè)計(jì)的實(shí)施方案的管理干部。AssuringtohelpPartyAtrainin

28、gthedesignatedmanagerstobecapableofusingtheprojectsolutions.6.2 乙方保證對(duì)甲方的經(jīng)營(yíng)管理資料進(jìn)行保密。KeepingPartyAsbusinessdatainformationasecret.7、后續(xù)服務(wù)Succeedingservice咨詢服務(wù)基礎(chǔ)工作完成后半年內(nèi)，乙方的管理顧問(wèn)根據(jù)甲方項(xiàng)目推行的需要定期到甲方解決相關(guān)問(wèn)題，進(jìn)行免費(fèi)跟蹤服務(wù)，平時(shí)以電話、電郵形式交流。Withinsixmonthssincethefundamentalconsultationworkhasbeenfulfilled,PartyBconsultan

29、tswillperiodicallyvisitPartyAandresolveproblemsrelatingtotheimplementationoftheproject.Thisservicewilldependuponthefactualnecessityandbefreeofcharge.TheconsultantswillalsocommunicatewiththedesignatedpeopleofPartyAbytelephoneoremail.8、其它責(zé)任Otherresponsibilities8.1 甲方任何人員不得以任何方式向與本合同無(wú)關(guān)的第三方泄露乙方為甲方服務(wù)的收費(fèi)情

30、況。為此，甲方須于內(nèi)部控制收費(fèi)知情范圍。AnypersonfromPartyAisnotallowedtoreleasetheinformationonconsultationchargetoanyirrelevantthirdPartyinanyway.TherebyPartyAshouldcontroltheinformationfrominside.8.2 乙方任何人員不得以任何方式向任何第三方泄露甲方的商業(yè)機(jī)密。甲方的經(jīng)營(yíng)情況不允許在乙方項(xiàng)目組以外傳播。AnypersonfromPartyBisnotallowedtoleakPartyAsbusinesssecretstoanythi

31、rdPartyinanyway.PartyAsbusinessinformationanddocumentsarenotpermittedtospreadoutsidetheconsultingteamofPartyB.8.3 甲方對(duì)乙方完成服務(wù)工作后交付的服務(wù)成果(含建議書(shū)、方案及其相關(guān)文字資料等)有所有權(quán)，并對(duì)后繼改進(jìn)的成果有所有權(quán)。PartyAholdsownershipovertheconsultationresultssubmittedbyPartyB(posal,solutions,andanyrelevantwrittendocuments,etc.),andov

32、erthesucceedingimprovedresultsaswell.9、工作成果的確認(rèn)與驗(yàn)收Approvalandacceptanceofthesolutions1.1 由甲方與乙方共同成立的咨詢項(xiàng)目委員會(huì)負(fù)責(zé)驗(yàn)收，咨詢項(xiàng)目小組與項(xiàng)目配合小組協(xié)助驗(yàn)收；TheConsultationCommitteewillberesponsibleforapprovingtheprojectsolutions,withthehelpofthePartyBsconsultingteamandPartyAscoordinatingteam.1.2 驗(yàn)收標(biāo)準(zhǔn)由甲方與乙方共同商定(滿足甲方的需求)。Theapp

33、rovalandacceptancecriteriawillbedecidedbythetwopartiesthroughconsultation,satisfyingPartyAsrequirements.10 、咨詢費(fèi)用及付款方式ConsultationchargesandPayment10.1 甲方支付乙方的工作咨詢服務(wù)費(fèi)為人民幣壹佰貳拾捌萬(wàn)伍仟元整(RMB1,285,000)；PartyAshallpaytoPartyBatotalconsultationservicechargeofRMB1,285,000.00.10.2 在項(xiàng)目服務(wù)實(shí)施過(guò)程中，如出現(xiàn)超出或少于本合同第1.2款規(guī)定的

34、內(nèi)容，則服務(wù)費(fèi)用將作相應(yīng)的增加或減少調(diào)整；Duringtheperiodofconsultationservice,iftheprovidedcontentsofserviceinArticle1.2areincreasedorreduced,thenthepaymentwillbealsoincreasedorreducedaccordingly.10.3 全部咨詢費(fèi)用分三期支付：Paymentfortheconsultationserviceshallbemadebythreetimes:(1)2005年4月12日前甲方向乙方支付總咨詢費(fèi)用的35%，即人民幣肆拾肆萬(wàn)玖仟柒佰伍拾元整(RMB

35、449,750)；PartyAshouldpaytoPartyB35%(RMB449,750)ofthetotalconsultationchargebefore12May,2005.(2)在乙方完成了工作標(biāo)準(zhǔn)設(shè)計(jì)與培訓(xùn)、職業(yè)規(guī)范手冊(cè)及輔導(dǎo)、績(jī)效管理體系設(shè)計(jì)、薪酬福利體系設(shè)計(jì)、全面激勵(lì)體系設(shè)計(jì)與培訓(xùn)體系設(shè)計(jì)，并經(jīng)甲方審批后支付總咨詢費(fèi)用的40%，即人民幣伍拾伍萬(wàn)肆仟元整(RMB514,000)AfterPartyBhascompletedthefollowingfiveitemsofjob(tandardsdesignandrelevanttraining,vocational

36、behaviorscriteriadesignandvocationaltraining,andthedesigningofperformancemanagementsystem,payandbenefitssystem,comprehensivemotivationsystemandtrainingsystem)whichareapprovedbyPartyA,thenPartyAshouldpaytoPartyBanother40%(RMB514,000)ofthetotalconsultationcharge.(3)在項(xiàng)目結(jié)束審批后的三天內(nèi)支付總咨詢費(fèi)用的25%，即人民幣叁拾貳萬(wàn)壹仟貳佰

37、伍拾元整(RMB321,250)；Withinthreedayssincethesolutionshavebeenapproved,PartyAshouldpaytoPartyBanother25%(RMB321,250)ofthetotalconsultationcharge.11 、合同的終止與解除TerminationandrescissionofContract11.1 本合同至雙方責(zé)任義務(wù)履行完畢后終止。Thecontractwillbeterminatedwhenthetwopartieshavefulfilledtheirrespectiveresponsibilitiesand

38、obligations.11.2 乙方的階段性工作成果如多次不能得到咨詢項(xiàng)目委員會(huì)的認(rèn)可，甲方可單獨(dú)解除合同。PartyAmayunilaterallyrescindthecontractprovidedthatPartyBsphaseresultscouldntbeapprovedbytheConsultationCommittee.11.3 甲方如逾期十天未支付服務(wù)費(fèi)，乙方可單方終止合同。PartyBmayunilaterallyrescindthecontractprovidedPartyAfailstopaytoPartyBexceedingthetimelimitoftendays.12 、違約責(zé)任LiabilityforBreach12.1 合同雙方在合同期內(nèi)如無(wú)法定的或本合同約定的情形不得解除合同，任何一方單方終止合同應(yīng)向?qū)Ψ饺嗣駧盼槿f(wàn)元(RMB50,000)作為違約金。Nopartyshallrescindthecontractduringits
