23、甲方應按本合約規(guī)定的時間向乙方支付約定的顧問費，及時處理乙方已經(jīng)發(fā)生的應由甲方承擔的差旅費或其它費用，若甲方逾期30天仍未向乙方支付本合約第六條規(guī)定之顧問費的，乙方可暫停提供相關服務，并訴請甲方付清約定費用。若非因乙方的原因，甲方提前解除本合同，法律顧問費用仍應支付或不予退還。 party a shall pay party b the counseling payment according to terms and conditions specified in the agreement. promptly deal with the payable transportation fee

28、因此，考慮到本協(xié)議所述的前提和約定，甲、乙雙方特訂立此協(xié)議。 第一條 貿(mào)易內(nèi)容 1. 乙方向甲方提供用于生產(chǎn)的_型機械_臺，以及各種其他輔助機械設備，并同時提供各類機械設備所必需的附配件及備用件，以及在生產(chǎn)過程中各種必需的測試儀器。具體的各類機械設備、測試儀器、附、配件、備用件之型號、名稱、規(guī)格、數(shù)量、價格、包裝、要求、交貨期限等，由雙方另行簽訂設備進口合同，作為本合同不可分割的一部分。 2. 甲方用乙方提供的機械設備所生產(chǎn)的部分產(chǎn)品以及其他商品，或經(jīng)雙方協(xié)商，用_工廠生產(chǎn)的_商品來償付全部機械設備的價款。具體的償付商品的名稱、數(shù)量、價格、交貨期限等，由雙方另行簽訂補償商品供貨合同，作為本合同

29、不可分割的一部分，設備進口合同與補償商品供貨合同可合并為補償貿(mào)易購銷合同。 第二條 支付條件與方式 由甲乙雙方對開信用證，即由甲方分期開出以乙方為受益人的遠期信用證，分期、分批支付全部機械設備的價款；乙方開出以甲方為受益人的即期信用證，支付補償商品的貨款。甲方用乙方支付補償商品的貨款來支付全部機械設備的價款。當乙方支付的貨款不能相抵甲方所開的遠期信用證之金額時，其差額部分由乙方用預付貨款方式，在甲方所開的遠期信用證到期前匯付甲方，以使甲方能按時議付所開的遠期信用證。甲方所開的遠期信用證的按期付款，是基于乙方按規(guī)定開出限期信用證及按規(guī)定預付貨款。乙方保證按規(guī)定開出信用證及預付貨款。 第三條 償付

46、確性、可靠性和先進性，由甲乙雙方技術人員一起，按本合同2.1-2.3及技術協(xié)議附件規(guī)定，共同對技術方案設計和核心電路進行考核和驗收.考核驗收合格后，雙方代表要簽署驗收合格證書一式兩份，雙方各執(zhí)一份為憑。 2.4.2 If the Solution cannot meet the requirements of the contract, both parties shall hold friendly discussions to analyze the reasons and take measures to correct any defect and prepare for the se

If the Solution are still not qualified after the second assessment and acceptance and the responsibility lies in Party B ,Party B shall be responsible for all the losses thus caused, Party A shall have the right to terminate the contract and

The use and the relevant allocation of benefits . 甲方享有申請專利的權利。專利權取得后的使用和有關利益分配方式如下：專利權為甲方所有，利益歸甲方所有。 2.5.2 The profit caused from the use and transfer of the ownership of patent right shall be dealt by the
