2、sTobettersafeguardtheBuyer'andtheSeller'legitimaterightsandinterests,theBuyerandtheSellerareexpectedtoreadthroughthefollowingcontentscarefullybeforeconcludingthiscontract.1. ThetextofthiscontractisautomaticallygeneratedthroughtheOnlineTransactionSystemforSecond-handRealEstateinShenzhen“Theco
3、ntractingpartiescan,aftermutualagreement,makemodificationorsupplementationtoitemsspecifiedintheContract,butsuchmodificationandsupplementationmustbeinconformitywiththerelevantprovisionsstipulatedinlawsandrules.2. Priortoenteringthiscontract,theBuyerandtheSellermayrequesttheotherpartytoshowhisorherrel
4、evantcertificates,suchasIDcard,BusinessLicenseofEnterpriseLegalPerson,HouseOwnershipCertificate,etc.Theyshallcarefullyreadthroughthecontentsofthiscontractandthenmakeconfirmationsabouttheitemsselected,supplemented,ormodified.Ifyouhaveanyquestions,pleaseaskforprofessionaladvicefrompeoplefamiliarwithla
5、wsandlegislations.3. TheBuyershall,priortoenteringintothiscontract,makeacompleteandfullsitesurveyoverthehousepropertyinrespectoftheenvironment,transportation,adjacentschools,opportunitytoattendschools,andhouseholdconditions.TheSellerisobligatedtoprovidetrueinformationaboutthehouseproperty'owners
6、hip,leasecondition,household,etc.4. Forthepurposeofassuringthesafetyofthecapital,itisrecommendedthattheBuyerandtheSellershallhaveathirdpartysupervisethefundsbyconcludingaspecialagreementtoclearlyspecifythecapitalsupervisionaccountandtheothermattersaboutpaymentoffunds.5. Afterthiscontractcomesintoeff
7、ect,theunmodifiedandprintedwordsaswellasthevalidwritingsandmarksfilledoutintheblanksshallbedeemedascontentsagreedbybothparties.Inaddition,theattachmentsandthesupplementaryagreementsofthiscontract,oncesignedbybothparties,shallhavethesamelegalforceasthetextofthiscontract.6. WheretheBuyerneedstoborrowa
8、mortgageloantopaythepriceofthehouseproperty,heorsheshallfirstofallgettoknowexactlyabouttherequirementsformortgageloanaswellasthedocumentstobeprovided.7. Thetransferofownershipisnotmarkedbytheconclusionofthiscontract,butbytheregistrationofownershiptransferbyhousepropertyrightregistrationorgan.Asittak

11、heRegulationsofShenzhenSpecialEconomicZoneonTransactionofRealProperty,andrelevantlawsandregulations,theSellerandtheBuyerherebyenterintothiscontractonthetransferofahousepropertyafteramicablenegotiationontheprinciplesofequality,fairnessandvoluntaryparticipation.Article1SubjectofTransactionThehouseprop
12、ertysoldbytheSeller(hereinafterreferredtothehouseproperty)islocatedatXXXHongliRoad,FutianDistrict,ShenzhenCity.ThehouseownershipcertificateNo.isXXX;thehousepropertyisusedforthepurposeofResidenee.Theregisteredconstructionareais:84.12squaremeters;theroombuildingareaissquaremeters.Thelanduserightrelati
13、ngtothehousepropertyfeaturesatermfromOctober17,1984toOctober16,2054.ThehousepropertyiscompletedinJuly1984.Currentlythehousepropertymanagementcompanyis:thepropertymanagementfeeisRMB/squaremeter.Article 2 CurrentStatusofHousePropertyThehousepropertyisneithermortgagednorsealedup:theSellerenjoysfullrigh
14、ttodisposethehouseproperty.Article 3 LeaseConditionofHousePropertyTheleaseconditionofthehousepropertyisasthefollowing_Lcondition:1. Thehousepropertyisnotleasedtoanybody.2. Thehousepropertyisleasedtosomeone:pleaserefertotheattachmentsfortheleasecontract(No.).ThemonthlyrentalisRMB=/month:theleasetermi
15、syearsfromto二.TheSellershall,beforesigningonthiscontract,obtainthelessee'writtenacknowledgementofgivinguptheprioritytobuythehouseproperty:otherwiseitshallbedeemedasviolationofthecontract.Afterconsultation,theSellerandtheBuyerdecidetodealwiththeleasecontractinthefollowingways:a) Afterthehouseprop
16、ertyistransferred,theoriginalleasecontractisstillvalidfortheBuyerbeforetheexpirydate.TheSellershallhelpthebuyertoconcludeanewleasecontractwiththelesseebeforeandinthemeantimegivetheleasedepositandadvancerentalpaidbythelesseetotheBuyerforkeeping.TheBuyershallenjoytheoriginalrightsofSellerunderthelease
17、contractafter.b) TheSellershallrescindtheoriginalleasecontractbeforedeliveringthehousepropertytotheBuyer:Buyerisnotliableforanydisputesarisingfromtheoriginalleasecontract.Article 4 HouseholdAffiliatedtoHousePropertyTheSellerhaspromisedtotransferoutthehouseholdaffiliatedtothehousepropertywithin30days
18、afterreceivingthetotalpaymentforthehouseproperty.Iftheyfailtodosowithinthetimelimit,theyshallpaytheBuyerliquidateddamagesat0.03%ofthetotalhousetransferpriceonadailybasis.Article 5 TransferPriceofHousePropertyThetransferpriceofthehousepropertyisRMBThirty-sixThousand,FiveHundredandForty-fiveYuanonly(i
19、nnumber:36545):itdoesnotincludethetaxes.Article 6 EarnestMoneyTheearnestmoneyforthetransactionofthepropertyisRMBFiveThousandYuanonly(innumber:RMB5000).TheSelleragreesthatitshallbepaidinthefollowingways:Uponconclusionofthiscontract,theBuyershallpaytheSellertheearnestmoneyofRMBFiveThousandYuanonly(RMB
20、5,000).ItisrecommendedthattheBuyershallfirstgivetheearnestmoneytoamutuallyspecifiedthirdpartyforsupervision.TheBuyer'payingtheearnestmoneytothethirdpartyforsupervisionshallbedeemedastheSeller'receivingofthedeposit.TheearnestmoneywillbelatterlypaidtoSelleraspartofthetransferpriceofthehousepro
21、pertywhentheformalitiesfortransferofownershiparecompleted.Article 7 DepositforDeliveryofHousePropertyInordertopreventrisksinthetransactionandmeanwhileurgetheSellertodeliverthehouseandsettlerelevantexpensesasscheduled,theBuyerandtheSellerbothagreethatRMBofthetransferpriceshallbefirstlyretainedasadepo
22、sitfordeliveryofthehouse(notexceeding2%ofthetotalprice.ThedepositshallbepaidtotheSelleraftertherealestateisactuallydeliveredandtheownershipistransferred.Thedepositshallbekeptasfollowingfirstitem:1. keptbytheintermediaryparty2. others:Article 8 PaymentMethodUniessotherwisespecificallyagreed,alltheBuy
23、er'payments(includingdepositandpaymentforpriceofhouse)arerecommendedtobekeptbythebankasathirdpartyforsupervisionofcapital.TheBuyershallpaythehousepriceotherthantheearnestmoneyandthedepositforthedeliveryofhouseinthefollowingfirstways,thatis:RMBThirtyoneThousand,FiveHundredandFortyFiveYuanOnly(RMB
24、31545)totheSeller.1. One-offpaymentTheBuyershallpaytheabovehousepricetothebankaccountmutuallyspecifiedbybothpartiesforsupervisionbeforeXXX.2. Paymentwithmortgageloanfrombank(1) TheBuyershall,before,paythefirstinstallmentofpayment,RMBotherthantheearnestmoneyandthedepositfordeliveryofhousetothebankacc
25、ountmutuallyspecifiedbybothpartiesheretoforsupervisionbythebankasathirdparty.(2) TheBuyershallsubmitthedocumentsrelatingtotheapplicationformortgageloantotheBankandthencooperatewiththebanktohandletheloanexaminationandapprovalformalities.Theamountofthemortgageloanissubjecttothebank'letterofcommitm
26、ent.(3) Wheretheloanissuedbythebankisinsufficienttopaytherestpriceofthehouseproperty,partiesheretoagreetohandlethecaseinthefollowing_=_ways.a. TheBuyershallsupplementtheinsufficientamountwithin3daysafterthebankissuestheletterofcommitment.b. ThecontractshallberescindedandtheSellershallrefundthecapita
27、lpaidbytheBuyerwithin3days.3. OtherpaymentmethodArticle 9 Buyer'LiabilityforBreachofContractduetoLatePaymentWheretheBuyerfailstomakethepaymentintime,theSellershallhavetherighttoasktheBuyertoundertaketheliabilityforbreachofcontractinthefollowingway.(1) AskingtheBuyertopayaliquidateddamageat0.04%o
28、ftheunpaidamountonadailybasisandthecontractshallremainvalid.(2) RequiringtheterminationofthiscontractandaskingtheBuyertopayaliquidateddamageat二ofthetotalprice.Article 10 UndertakingofTaxesandfeesAccordingtotherelevantregulations,theSellershallundertakethefollowingtaxesandfees:a.businesstax;b.urbanco
29、nstructionandmaintenancetax;cationsurcharge;d.stamptax;e.individualincometax;e;landVAT;f.realpropertytransactionservicecharge;g;landuserightfee;h.deedtax;erestforadvaneerepaymentofshort-termloan;j.penaltyforadvaneerepayment.TheBuyershallundertakethefollowingtaxesandfees:k.stamptax;l.deedta
30、x;m.housepropertyrightregistrationfee;n.housepropertytransactioncharge;o.stamponhouseownershipcertificate;p.mortgageregistrationfee;q.borrowingcontractnotarizationfee;r.entrustmentnotarizationfee.Otherexpenses:s.ownershipinvestigationfee;t.realpropertytransactioncontractfee;u.appraisalfee;v.lawyer
31、39;fee;w.insuraneefee;x.others(subjecttotheactualoccurrenee)Afteramicablenegotiation,thepartiesheretoagreethatallaboveitema一讓emxshallbeundertakenbytheBuyer.Newtaxesandfeesoccurringduetothelaws,regulationsandpoliciesshallbedisposedwiththestfollowing1method:1. payablebypartiesasrequiredbythelaws,regul

Others:-%payablebyBuyer;=%payablebySeller.WithregardtoaforementionedtaxesandfeespayablebytheBuyerand(or)theSeller,ifthepartiesheretochangetheactualpaymentmethod,thelegalresponsibilitieswillnotbetransferredwiththealterationoftaxpayment.Wherethetransactioncannotbe
33、continuedduetoaparty'failureinpayingthetaxesandfees,thecontract-breachingpartyshallpaytheotherpartyaliquidateddamageat1%ofthetotaltransferpriceoftheproperty.Article 11 DeliveryofRealPropertyTheSellershalldeliverthehousepropertytotheBuyerwithin7daysafterreceivingtheentiretransferpriceofthehousepr
34、operty(exceptforthedepositforthedelivery),andmeanwhileperformthefollowingduties:1. TheBuyerandtheSellershallcheckthehousepropertyanditsaffiliatedequipment,decoration,furnitureandetc.togetherandrecordthereadingsofthewater,electricityandgasmeters;2. Tohandoverthekeytothehouseproperty.3.Article 12 Liab
35、ilityforBreachofContractDuetoLateDeliveryUniessotherwiseagreedbythiscontract,iftheSellerfailstodeliverthehousepropertytotheBuyer,heorsheshallpaytheBuyeraliquidateddamageat0.04%ofthetotaltransferpriceofthehousepropertyonadailybasisfortheperiodfromtheduedateofdeliverytothedateofactualdelivery,andthent
36、hecontractshallremainvalid.Article 13 DisposalofAccompanyingDebtsUpondeliveryofthehouseproperty,theSellershallalsosettlealltheexpensesrelatingtothehouseproperty,suchaswaterfee,electricityfee,gasfee,telephonefee,cableTVfee,propertymanagementfee,garbagedisposalfee,etc.andthengivetherelevantslipstotheB
37、uyerforconfirmation.Otherwise,theBuyershallhavetherighttodeductsuchamountsfromthedepositfordeliveryofhouseproperty.Article 14 HousePropertyRightTransferRegistrationTheBuyerandtheSellershall,within30daysafterconcludingthiscontract,applyforthetransferofthehouseproperty'ownershipwiththepropertyrigh
38、tregistrationauthority.Thenwithin3daysafterthereplydateindicatedbythedocumentreceiptexpires,theSellerandtheBuyershallpaytherelevanttaxesandfeesaccordingly.TheBuyershallobtainthehouseownershipcertificate.WheretheBuyerisobligatedwithmortgage,heorsheshallderegisterthemortgagewithin_0_workdaysafterobtai
39、ningthenewhouseownershipcertificate.Article 15 OtherLiabilitiesforBreachofContractWherethepurposeofthiscontractcannotberealizedduetoaparty'failureinperformingtheobligations,thecontractobservingpartymayeitherdisposethecasefollowingtheregulationsabouttheearnestmoneyorasktheotherpartytopayaliquidat
40、eddamageat3%ofthetotalhouseprice.Article 16 ForceMajeureWherethiscontractcannotbeperformedduetoforcemajeure,thepartiesmaybefullyorpartiallyexemptfromtheliabilitiesaccordingtotheeffectoftheforcemajeureuniessotherwisespecifiedbythelaws.Thepartythatcannotperformthiscontractduetotheforcemajeureshallnotifytheotherpartyintimeandinthemeantimeproviderelevantevidencestotheotherparty
