6、rdware,suchasCDs,computers,portableharddrives,etc.二.乙方充分認(rèn)知并同意甲方就上述秘密、信息資料及服務(wù)成果具有下列利害關(guān)系的全部或一部分：II.PartyBhasfullyunderstoodandagreedthattheabovementionedsecrets,informationandmaterialsaswellasserviceachievementsarebearingallorpartofthefollowingsignificance:1 .乙方對第三人具有保密必要或義務(wù)。PartyBhastheresponsibility

7、andobligationtokeeptheconcernedinformationsecrettoanythirdparty.2 .具有知識產(chǎn)權(quán)的價值或商業(yè)利益。Theconcernedinformationisofintellectualpropertyvaluesorofcommercialinterests.三.下列情形乙方不負(fù)保密責(zé)任：III. PartyBshallnotbeheldconfidentialresponsibilityfor:1 .已公開為眾所周知的文件或資料；Documentsormaterialsthathadpreviouslybeenmadepublic2

8、.甲方同意公開的；ThatPartyAhasagreedtodisclose;or3 .基于法律規(guī)定或法院的判決，裁定而披露者。Thathastobedisclosedinaccordancewithlawsandregulationsorthecourtdecisions.四.乙方保密職責(zé)IV. PartyBsConfidentialResponsibilities1 .乙方同意采取必要合理的措施維護(hù)甲方的保密資料或信息。PartyBhasagreedtoundertakeappropriatemeasuresnecessaryforprotectingtheconfidentialityo

9、fPartyAsmaterialsorinformation.2 .乙方必須遵守甲方規(guī)定的任何成文或不成文的保密規(guī)章、制度、履行與其服務(wù)相應(yīng)的保密職責(zé)。甲方的保密規(guī)章、制度沒有規(guī)定或者規(guī)定不明確之處，乙方亦應(yīng)本著謹(jǐn)慎、誠實(shí)的態(tài)度、采取任何必要、合理的措施，維護(hù)其于服務(wù)期間知悉或者持有的任何屬于甲方或者屬于第三方但甲方承諾有保密義務(wù)的技術(shù)秘密或其他商業(yè)秘密信息，以保持其機(jī)密性。PartyBshallabidebyanywrittenorunwrittenconfidentialregulationsandsystemsprovidedforbyPartyA,andshallfullyimplem

10、entitsconfidentialresponsibilitiesassociatedwiththeserviceprovided.IncasethatthereexistsanyunregulationorindefinitenessintheconfidentialregulationsandsystemsprovidedforbyPartyA,PartyBshall,withacautiousandfaithfulattitude,undertakeanyappropriatemeasuresnecessaryforconfidentialprotectionofanytechnica

11、lknow-howorothercommercialsecretsbelongingtoPartyAthatithasacquiredorheldduringtheserviceperiod,orthatdoesnotbelongtoPartyAwhilePartyAhasthecommitmenttotaketheconfidentialresponsibilities.五.所有權(quán)保留V.ReserveofOwnership1 .凡甲方交付給乙方的資料，其所有權(quán)仍屬于甲方，甲方可以隨時以書面形式通知乙方交還或銷毀該資料，以及其所有的拷貝本。PartyAreservestherightofow

12、nershipforanymaterialssenttoPartyB,andreservestherighttomakearequestinwriting,requiringPartyBtoreturnordestroysuchmaterialsandallthecopies.2 .甲方交付乙方文件或資料，如含有任何可申請專利權(quán)或著作權(quán)等知識產(chǎn)權(quán)者，乙方不得據(jù)為己有而申請或提供他人申請專利或著作權(quán)等知識產(chǎn)權(quán)。Incasethatthedocumentsormaterialscontainanyworksortechnicalachievementsthatmayapplyforpatents,

13、copyrightsand/orotherintellectualproperties,PartyBshallnottakesuchworksortechnicalachievementsasitsown,andapplyorprovidetoanythirdpartytoapplyforpatents,copyrightsand/orotherintellectualproperties.3 .乙方完成的服務(wù)成果，相關(guān)知識產(chǎn)權(quán)歸甲方所有，乙方不得在未經(jīng)甲方明確授權(quán)的前提下利用這些成果進(jìn)行生產(chǎn)、經(jīng)營或自行向第三方轉(zhuǎn)讓。Therelevantintellectualpropertiesofany

14、serviceachievementsthathavebeencompletedbyPartyBbelongtoPartyA.WithoutPartyAsclearauthorization,PartyBshallnotconductanyproductionoroperationbyuseofsuchachievements,ortransfersuchachievementstoanythirdparty.六.資料返還VI. ReturnofMaterials服務(wù)合同結(jié)束時，乙方有義務(wù)按甲方的要求將甲方已交付乙方的資料以及其所有的復(fù)制或拷貝本交還給甲方。無法返還的資料，包括但不限于已安裝于

15、硬設(shè)備的軟件程序，乙方應(yīng)即清除銷毀。Uponterminationoftheservicecontract,PartyBisobligedtoreturnallthematerialspreviouslydeliveredtohimbyPartyAandallcopiesbacktoPartyAasperPartyArequest.Forthosethatcouldnotbephysicallyreturned,includingbutnotlimitedtosoftwareprograminstalledinharddevices,PartyAshalleliminatefromsuchde

16、vicesimmediately.七.保密期間VII. PeriodofConfidentiality乙方同意自服務(wù)結(jié)束之后對在為甲方提供服務(wù)期間接觸、知悉屬于甲方或者雖屬于第三方但甲方承諾保密義務(wù)的技術(shù)秘密和其他商業(yè)秘密信息，承擔(dān)如同服務(wù)期間一樣的保密義務(wù)和不擅自使用有關(guān)秘密信息的義務(wù)，直至甲方宣布解密或該信息實(shí)際上已經(jīng)公開。Aftertheendingoftranslationservice,PartyBhasagreedtotakethesameconfidentialresponsibilityasregulatedwithintheserviceperiodforanytechnic

17、alknow-howorothercommercialsecretsbelongingtoPartyAthatithasacquiredorheldduringtheserviceperiod,orthatdoesnotbelongtoPartyAwhilePartyAhasthecommitmenttotaketheconfidentialresponsibilities,andcommittedthathewillnotuseanysecretinformationwithoutPartyAsauthorizationorapproval,untilPartyAdeclaresthedis

18、closureofsuchinformationorsuchinformationhasbeenactuallydisclosedtothepublic.八.違約責(zé)任VIII. ResponsibilityforBreachofAgreement乙方同意如違反本合約任何條款的，甲方有權(quán)單方面解除與乙方的服務(wù)合同，并保留依法追究乙方違約責(zé)任的權(quán)利。PartyBhasagreedthatifhehasviolatedanytermorconditionunderthisAgreement,PartyAwillreservetherighttoterminatetheservicecontracts

19、ignedwithPartyB,andreservetherighttoclaimPartyBsresponsibilityfohrisbrAegarcehemofetnt.九.因本合同而引起的糾紛，如果協(xié)商解決不成，任何一方均有權(quán)提起訴訟。IX. ForanydisputearousedunderthisAgreement,anypartymayproposeforlegalproceedingsifaresolutionfailstobereachedundernegotiation.十.雙方確認(rèn)，在簽署本合同前已仔細(xì)審閱過本合同的內(nèi)容，并完全了解合同各條款的法律含義。X. Bothpartie
