8、在貨到90天內(nèi)有權(quán)換貨或索賠，一切費(fèi)用(如商檢費(fèi)、相關(guān)的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)及裝卸費(fèi)等)由賣(mài)方承擔(dān)。Claims:Within90daysafterthearrivalofgoodsatdestinationshouldbequality,specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyortheowersofthevesselareliable.thebuyersshall,onthestrengt

10、s,etc.)shallbebornebythesellers.13 .不可抗力：由于人力不可抗拒事故，而賣(mài)方交貨遲延或不能交貨時(shí)，責(zé)任不在賣(mài)方，但賣(mài)方應(yīng)立即將事故通知買(mǎi)方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明用空郵寄交賣(mài)方為證。在上述情況下，賣(mài)方仍負(fù)有采取一切必要措施從速交貨的責(zé)任。如果事故持續(xù)超過(guò)十個(gè)星期，買(mǎi)方有權(quán)撤銷本合同。ForceMajeure:Thesellershallnotbeheldresponsibleforanydelayindeliveryornon-deliveryofthegoodsduetoforcemajeure,whichmightoc

11、curduringtheprocessofmanufacturingorinthecourseofloadingortransit.However,thesellershalladvisethebuyerimmediatelyofsuchoccurrenceandwithin14daysthereafter,thesellershallsendbyairmailtothebuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritiesoftheplacewheretheaccid

12、entoccursasevidencethereof.Undersuchcircumstancesthesellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastformorethantenweeks,thebuyersshallhavetherighttocancelthiscontract.14 .遲交及罰款：除本合同第十六條所規(guī)定的不可抗力事故外，如果賣(mài)方不能按合同規(guī)定時(shí)間準(zhǔn)時(shí)交貨，買(mǎi)方可同意推遲交貨，但以賣(mài)方

13、同意支付罰款為條件，該罰款由支付銀行從議付的貨款中扣除，該罰款不應(yīng)超過(guò)遲交貨物總價(jià)的5%,遲交罰款按每七天0.5%計(jì)算，不足七天者按七天計(jì)算。如延期交貨超過(guò)10個(gè)星期，買(mǎi)方有權(quán)撤銷合同，盡管該合同已撤銷，賣(mài)方仍應(yīng)毫不延遲地支付前面所述的罰金。Latedeliveryandpenalty:IfthesellerfailtomakedeliveryontimeasstipulatedintheContractwithexceptionofforcemajeurecausesasspecifiedinclauses17ofthiscontract,thebuyersshallagreetopostp

14、onethedeliveryonconditionthattheselleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,notexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevenda

15、ys.Incasetheperiodofdelayexceedstenweeksafterstipulateddeliverydateinthecontract,thebuyersshallhavetherighttoterminatethiscontractbutthesellershallnottherebybeexemptedfromthepaymentofpenalty.15 .仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)通過(guò)友好協(xié)商解決。如不能解決，則應(yīng)申請(qǐng)進(jìn)行仲裁。仲裁將在中國(guó)貿(mào)易促進(jìn)委員會(huì)仲裁委員會(huì)進(jìn)行。其做出的裁決是最終的，買(mǎi)賣(mài)雙方均應(yīng)受其約束，任何一方不得向法院或其他機(jī)
