8、在貨到90天內(nèi)有權(quán)換貨或索賠，一切費用(如商檢費、相關(guān)的運費、保險費、倉儲費及裝卸費等)由賣方承擔。Claims:Within90daysafterthearrivalofgoodsatdestinationshouldbequality,specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyortheowersofthevesselareliable.thebuyersshall,onthestrengt

9、hoftheinspectioncertificateissuedbyEntry-ExitInspectionandQuarantineofthePeople'sRepublicofChinahavetherighttoclaimforreplacementwithnewgoodsorforcompensationandalltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacementinsurancepremium,storageandunloadingcharge

10、s,etc.)shallbebornebythesellers.13 .不可抗力：由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時，責任不在賣方，但賣方應立即將事故通知買方，并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機關(guān)出具的事故證明用空郵寄交賣方為證。在上述情況下，賣方仍負有采取一切必要措施從速交貨的責任。如果事故持續(xù)超過十個星期，買方有權(quán)撤銷本合同。ForceMajeure:Thesellershallnotbeheldresponsibleforanydelayindeliveryornon-deliveryofthegoodsduetoforcemajeure,whichmightoc

11、curduringtheprocessofmanufacturingorinthecourseofloadingortransit.However,thesellershalladvisethebuyerimmediatelyofsuchoccurrenceandwithin14daysthereafter,thesellershallsendbyairmailtothebuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritiesoftheplacewheretheaccid

12、entoccursasevidencethereof.Undersuchcircumstancesthesellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastformorethantenweeks,thebuyersshallhavetherighttocancelthiscontract.14 .遲交及罰款：除本合同第十六條所規(guī)定的不可抗力事故外，如果賣方不能按合同規(guī)定時間準時交貨，買方可同意推遲交貨，但以賣方

13、同意支付罰款為條件，該罰款由支付銀行從議付的貨款中扣除，該罰款不應超過遲交貨物總價的5%,遲交罰款按每七天0.5%計算，不足七天者按七天計算。如延期交貨超過10個星期，買方有權(quán)撤銷合同，盡管該合同已撤銷，賣方仍應毫不延遲地支付前面所述的罰金。Latedeliveryandpenalty:IfthesellerfailtomakedeliveryontimeasstipulatedintheContractwithexceptionofforcemajeurecausesasspecifiedinclauses17ofthiscontract,thebuyersshallagreetopostp

14、onethedeliveryonconditionthattheselleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,notexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendays,odddayslessthansevendaysshouldbecountedassevenda

15、ys.Incasetheperiodofdelayexceedstenweeksafterstipulateddeliverydateinthecontract,thebuyersshallhavetherighttoterminatethiscontractbutthesellershallnottherebybeexemptedfromthepaymentofpenalty.15 .仲裁：凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭執(zhí)，應通過友好協(xié)商解決。如不能解決，則應申請進行仲裁。仲裁將在中國貿(mào)易促進委員會仲裁委員會進行。其做出的裁決是最終的，買賣雙方均應受其約束，任何一方不得向法院或其他機

16、關(guān)申請變更。仲裁費用由敗訴方負擔。Arbitration:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledthroughfriendlynegotiation,incasenosettlementcanbereachedthroughnegotiations,thecaseunderdisputeshallbesubmittedforarbitrationtotheChinaEconomicandTradeArbitrationCommissionBeijinginaccordancewitht
