6、.4 “合同產(chǎn)品”是指合同附件二中所列的產(chǎn)品。1.4 “The ContracPtroducts ”mean the products stipulated in Appendix 2 to theContract.1.5 “合同工廠”是指生產(chǎn)合同產(chǎn)品的工廠， 該工廠在_ 省_ 市， 名叫_工廠。1.5 T“he Contract Factory me”ans the factory which manufactures the ContractProducts, it is located in _City, _ Province and named as1.6 “凈銷售價(jià)”是指合同產(chǎn)品的銷

7、售發(fā)票價(jià)格扣除包裝費(fèi)、運(yùn)輸費(fèi)、保險(xiǎn) 費(fèi)、傭金、商業(yè)折扣、稅費(fèi)、外購件等費(fèi)用后的余額。1.6 “ Net Selling Pricemeans”the remaining sum which the selling commercialinvoice price deducts the packing expenses, transportation expenses, insurance premium,commissions, commercial discounts, taxes and expenses for bought out elements and parts3etc.1.7“

8、技術(shù)資料”， 是指列于附件一與制造和維修合同產(chǎn)品有關(guān)的工程、 制造 及原始資料，包括與制造設(shè)備、工具和裝置有關(guān)的圖紙、藍(lán)本、設(shè)計(jì)圖表、材料 規(guī)格、照片、影印資料和一般資料，設(shè)計(jì)及其說明書等。但上述資料僅限于許可 方擁有的資料和接受方用于本合同業(yè)務(wù)活動(dòng)的資料；1.7 Technical Documents means engineering, manufacturing and originating in formation relati on to the manu facture and servic ing of Con tract Products, i ncludi ng draw

9、in gs,bluepri nts, desig n sheets, material specificati ons, photographs, photocopies and gen eraldata, and desig ns and specificati ons relat ing to manu facturi ng Con tract Products, toolsand fixtures, but includes, however, only such information as is available to lice nsor andapplicable to the

10、operatio ns of Lice nsee un der this Con tract which detailed as per Appendix 1 to the Con tract.1.8 “合同生效日”是指本合同雙方有關(guān)部門的最后一方的批準(zhǔn)日期。1.8 “ Thecate of Coming into Force of the Contract ”means the date of ratificati on ofthe Con tract by the compete nt authorities of both parties, whichever comes later.第

11、二條 合同范圍 Sectio n 2 Scope of the Con tract2.1 接受方同意從許可方取得，許可方同意向接受方授予合同產(chǎn)品的設(shè)計(jì)、 制造和銷售的專利技術(shù)。這種技術(shù)應(yīng)與許可方最新產(chǎn)品的技術(shù)完全一致。2.1 Licensee agrees to obtain from Licensor, and Licensor agrees to grant Lice nsee thepate nted tech no logy to desig n, Such Pate nted Tech no logy shall be in exact accorda neewith the tec

12、h no logy of Lice nsor latest products.2.2 合同產(chǎn)品的名稱、型號(hào)、規(guī)格和技術(shù)參數(shù)詳見合同附件二。2.2 manu facture specificati on and tech ni cal in dices of the Con tract Products aredetailed in Appe ndix 2 to the Con tract.2.3 許可方授予以非獨(dú)占許可方式許可接受方在 _ 國(guó)設(shè)計(jì)制造合同產(chǎn)品，使用、銷售和出口合同產(chǎn)品的許可權(quán)。2.3 Lice nsor agrees to grant Lice nsee the non-exc

13、lusive lice nse and right todesig n, manu facture, use, sell and export the Con tract Products.2.4 許可方負(fù)責(zé)向接受方提供合同產(chǎn)品的技術(shù)資料，包括專利的名稱、內(nèi)容、.4申請(qǐng)情況和專利編號(hào)等，具體的資料詳見本合同附件一。2.4 Lice nsor is resp on sible for providi ng Lice nsee with the Tech ni cal Docume nts ofthe Con tract products, in cludi ng the mane, conten

14、t, applicati on for pate nt and nu mber ofthe pate nt, etc., the specific docume ntati on is detailed in Appe ndix 1 to the Con tract.2.5 許可方有責(zé)任接收、安排接受方赴許可方培訓(xùn)的技術(shù)人員，許可方應(yīng)設(shè) 法使其掌握上述合同產(chǎn)品專利技術(shù)。 （詳見本合同附件三）2.5 Licensor shall be responsible for the training of Licensee technical personnel inLicensor relevant

15、facilities and also do its best to enable Licensee technical personnel tomaster the Patented Technology of the aforesaid Contract Product （details as per Appendix3 to the Contract）.2.6 許可方負(fù)責(zé)自費(fèi)派遣技術(shù)人員赴接受方進(jìn)行技術(shù)服務(wù)。 （詳見本合同附 件四）2.6 Licensor is obliged to send at its own expense technical personnel to Licen

16、seefactory for technical service （details as per Appendix 4 to the Contract）.2.7 在合同的執(zhí)行中， 如果接受方需要許可方提供技術(shù)服務(wù)或一部分生產(chǎn)所 需的零部件或原材料時(shí)， 許可方有義務(wù)以最優(yōu)惠的價(jià)格向接受方提供， 屆時(shí)雙方 另行協(xié)商簽訂合同。2.7 In the course of implementation of the Contract, Licensor is under an obligation,upon the request of Licensee, to provide Licensee at t

17、he best favorable price with thetechnical services or some components, spare parts and raw materials which are necessaryfor manufacturing the Contract Products.
