1、跨境電商海外直郵合同甲 方: Party A : .地 址: Address: 乙 方: Party B : 地 址: Address: 甲乙雙方基于公平、誠(chéng)信、共贏的原則,在中華人民共和國(guó)指定之跨境貿(mào)易區(qū)域內(nèi)進(jìn)行跨境電子商務(wù)的貿(mào)易合作。甲乙雙方根據(jù)中華人民共和國(guó)合同法及相關(guān)法律法規(guī)規(guī)定,簽訂本跨境電子商務(wù)合同(以下稱為“本合同”),以期雙方共同遵守并執(zhí)行。In the principles of honesty, fairness, and common win, both parties hereby agree to carry out cross-border e-commerce t
2、rade cooperation in free trade zones and bonded areas of the Peoples Republic of China. In compliance with the Contract Law of the Peoples Republic of China and the relevant laws and regulations, the three parties herein agree to enter into and sign this Cross-Border E-Commerce Direct mail Agreement
3、 (hereinafter referred to as “the Agreement”). 基本定義境內(nèi):中華人民共和國(guó)(除香港、澳門、臺(tái)灣以外)的大陸地區(qū)境外:上述“境內(nèi)”區(qū)域以外的地區(qū)終端消費(fèi)者:直接在電子商務(wù)平臺(tái)上實(shí)施挑選,購(gòu)買,付款等行為的個(gè)人,是整個(gè)商品流通過程最后環(huán)節(jié)的執(zhí)行者。跨境電子商務(wù)平臺(tái):指跨境通, 天貓國(guó)際,萬國(guó)優(yōu)品,京東全球購(gòu),乙方自有平臺(tái)等雙方協(xié)商確認(rèn)的跨境電子商務(wù)平臺(tái)。直郵服務(wù):本協(xié)議所指的直郵服務(wù)指境內(nèi)終端消費(fèi)者通過乙方在跨境電商平臺(tái)上開立的虛擬店鋪中對(duì)甲方所有的產(chǎn)品提交訂單并向乙方完成支付,乙方以此作為終端消費(fèi)者向甲方進(jìn)行某特定產(chǎn)品購(gòu)買的邀約。付款渠道:指終端消
4、費(fèi)者在乙方經(jīng)營(yíng)的跨境電子商務(wù)平臺(tái)購(gòu)買貨物后,將錢款支付至乙方賬戶或其他第三方賬戶的方式(包括但不限于支付寶,微信支付,信用卡支付等)Basic DefinitionThe Mainland of China: Peoples Republic of China (excluding Hong Kong, Macao and Taiwan)Foreign Lands: the other territories except the mainland of ChinaConsumer: individuals who choose, buy and pay on e-commerce platf

They are the last step of the whole commodity circulation.Cross-border e-commerce platform: the cross-border e-commerce platforms such as KJT, Tmall Global, WGYP, JD Global and the cross-boarder e-commerce platform owed by party B and other platform that have been agreed upon by both parties. 6、irect Mail Service: The “direct mail service “mentioned here means that in the mainland of China, in regard to products owned by Party A, consumers place order(s) and settle payment to Party B through online stores in cross-border e-commerce platforms that owned by Party B, which can be regarded as
7、a buyer-seller relationship between Party A and consumers. Types of Payment: the way or method that consumer pay for goods on e-commerce platform(s) managed by Party B to Party Bs account or other third Partys account (including but not limited to Alipay, Wechat Pay and credit card, etc.) 1. 授權(quán)經(jīng)銷Aut
8、horized Distribution 1.1. 甲方在此授權(quán)乙方作為(見附件)品牌(在以下簡(jiǎn)稱為“合作品牌”)商品的授權(quán)直郵服務(wù)提供商,在甲方指定的跨境貿(mào)易區(qū)域內(nèi)或跨境電子商務(wù)銷售渠道中(以下簡(jiǎn)稱“銷售區(qū)域”)根據(jù)甲方指令代理甲方運(yùn)作維護(hù)其擁有的合作品牌商品。Party A herein authorizes Party B as the authorized direct mail service provider for (see appendix) brand (hereinafter referred to as “Cooperating Brand”) to sell its (
9、their) commodities on behalf of Party A according to Party As instruction in the cross-border trade areas or cross-border e-commerce sales channels (hereinafter referred to as the “Sales Area”) Party B acts as an agency, runs and manages Cooperating Brand products owned by Party A according to Party
10、 As instructions. 1.2. 甲方負(fù)責(zé)根據(jù)乙方提交的境內(nèi)終端消費(fèi)者的訂單需求,由甲方在約定的時(shí)間內(nèi)以合適、合理的國(guó)際快遞的方式安排發(fā)送貨物至終端消費(fèi)者。乙方負(fù)責(zé)將產(chǎn)品的境內(nèi)終端消費(fèi)者的訂單需求依據(jù)本協(xié)議約定提供給甲方;甲方保留貨物的所有權(quán),直至消費(fèi)者完成簽收貨物,貨物所有權(quán)由甲方直接轉(zhuǎn)移至境內(nèi)終端消費(fèi)者;貨款由境內(nèi)終端消費(fèi)者支付給乙方,并由乙方根據(jù)本協(xié)議約定支付給甲方。Party A should send goods to consumers through reasonable and proper international express within due-time
11、 according to the information of consumers purchase order offered by Party B. Party B should convey the purchase order information to Party A; The products belong to Party A until consumer(s) receive the goods, the product property right transfers from Party A to end-user consumers; end-user consume
12、rs pay money to Party B and then Party B pay to Party A by convention. 1.3. 甲方應(yīng)當(dāng)提供產(chǎn)品的宣傳資料給乙方,以便乙方在其店鋪中對(duì)產(chǎn)品進(jìn)行推廣。甲方對(duì)于提供的宣傳資料的真實(shí)性、有效性、合法性負(fù)全部責(zé)任。Party A should offer product publicity materials to Party B that Party B may conduct sales promotion in its stores. Party A takes full responsibilities for the a
13、uthenticity, effectiveness and validity. 1.4. 如乙方因商品(包括但不限于交付時(shí)間和地點(diǎn)、質(zhì)量瑕疵或權(quán)利瑕疵等問題)遭受索賠或處罰的,甲方應(yīng)當(dāng)賠償乙方遭受的一切損失。其他消費(fèi)者糾紛,由甲乙雙方協(xié)商解決。若需要,在甲方要求下,乙方可以提供便利與支持。If there occurs consumption dispute or complaint caused by products quality or transportation, Party A is obliged to solve the dispute and Party B is obli
14、ged to cooperate with Party A if Party A delegates the authority to Party B; If there occurs other consumption dispute, the dispute should be settled through negotiation between Party A and Party B. If requires, under the request of Party A, Party B shall offer convenience and support. 1.5. 雙方之間僅限于商
15、品直郵服務(wù)的關(guān)系,為互相獨(dú)立的合同締約雙方。甲方為產(chǎn)品的擁有方,承擔(dān)與營(yíng)銷對(duì)應(yīng)產(chǎn)品相關(guān)的一切責(zé)任和費(fèi)用,乙方僅基于本協(xié)議項(xiàng)下約定提供與直郵有關(guān)的服務(wù),不對(duì)產(chǎn)品主張所有權(quán),其所有與對(duì)應(yīng)產(chǎn)品運(yùn)維及銷售有關(guān)的行為都應(yīng)當(dāng)在甲方授權(quán)下開展。Both parties are mutually interdependent parties of this Agreement and their relationship is limited to product direct mail service. Party A owns the products and responsible for all th
16、e costs occurred during the marketing and sales promotion. Also, Party A should enjoy all the profits from selling the products. Party B is responsible for the operation.Party B only offer service(s) related to direct mail service on basis of this convention. Party B do not claim the ownership of Pa
17、rty As products and all Party Bs managing and selling behavior should be carried out under Party As authorization.1.6. 乙方不得在開展業(yè)務(wù)時(shí)聲稱其具有甲方、其任何關(guān)聯(lián)公司或附屬公司的合伙人、代表、代理人或特許商的身份,或以明示或暗示的方式作出類似表述。乙方并不因本協(xié)議書的簽署而被視為與甲方或其任何關(guān)聯(lián)公司和附屬公司有上述關(guān)系。乙方不得代表甲方簽訂任何合同性文件或作出任何承諾、聲明、保證或陳述。乙方違反前述規(guī)定所簽訂的合同性文件和作出的任何承諾、聲明、保證或陳述對(duì)甲方在任何情況下
18、均不具有約束力。Party B shall not, while conducting business, claim that it is the partner, representative, agent, or franchiser of Party A, or its related company or affiliated company, nor make any similar statement in an explicit or implicit way. All activities that Party B is going to take regarding to
19、the sales and promotion of Party As products should be under the instruction and authorization of Party A. Party B does not come into or have the aforementioned relationship with Party A or any of its related companies or affiliated companies by signing of this Agreement. Party B shall not represent
20、 Party A to sign any contractual document or make any commitment, promises, announcements, or statements. Should Party B violate this term to sign any contractual document or make any commitment, promises, announcements, or statements on behalf of Party A, the same shall not be binding for Party A i
21、n any cases. 1.7. 雙方約定在協(xié)議生效6個(gè)月時(shí)就協(xié)議中條款進(jìn)行討論和調(diào)整。相關(guān)調(diào)整(若有)以備忘錄形式補(bǔ)充至此協(xié)議內(nèi)容中。Both parties agree to discuss and adjust the clauses after 6 months when the agreement becomes effective. The adjustments (if therell be any) will be recorded through memo and work as part of this agreement.2. 銷售渠道Sales Channels2.1
22、. 銷售渠道指跨境電子商務(wù)平臺(tái)。Sales channels refer to the cross-border e-commerce platforms. 2.2. 乙方同意只能在銷售渠道內(nèi)發(fā)展分銷網(wǎng)絡(luò),進(jìn)行分銷活動(dòng)。如果甲方是合作品牌的品牌方或是合作品牌的總代理,除非有甲方的事先書面同意,乙方不得從任何第三方購(gòu)買合作品牌商品;乙方不得通過非官方許可的跨境電子商務(wù)平臺(tái)向任何單位或個(gè)人銷售合作品牌商品,不得向任何國(guó)家或者地區(qū)出口合作品牌商品。Party B hereby agrees that it shall develop its distribution networks and car
23、ry out distribution activities only within the sales channels. Without the prior writing consent of Party A, Party B shall not buy products of Cooperating Brand from any third party if Party A is the Brand owner or general agent of Cooperating Brand; Party B shall not sell the products of Cooperatin
24、g Brand to any organization or individual through other cross-border e-commerce platforms than officially recognized by Party A, nor export products of Cooperating Brand to any country or region. 3. 直郵商品Direct Mail Products3.1. 本合同項(xiàng)下所稱“直郵商品”是指甲方向乙方提供的本合同(附件一)項(xiàng)下商品,直郵商品的具體信息詳見本合同附件一直郵商品清單。根據(jù)實(shí)際業(yè)務(wù)需要,經(jīng)甲乙
25、雙方協(xié)商同意可以修訂附件一項(xiàng)下的商品清單。The term “direct mail products” under this Agreement refers to the products provided by Party A to Party B under this Agreement (Appendix A). Detailed information about the direct mail products is provided in Appendix A List of Direct mail Products. The list may be modified base
26、d on the practical business needs under the negotiations and agreement of both parties. 3.2. 合同期限內(nèi),乙方可根據(jù)市場(chǎng)實(shí)際狀況建議甲方調(diào)整供貨產(chǎn)品并以書面形式達(dá)成一致。During the validity period of this Agreement, based on the practical market conditions, Party B may advise Party A to adjust the supply products and reach an agreement w
27、ith Party A in writing. 4. 合同期限Validity Period of the Agreement4.1. 本合同期限自2016年 月 日始,至 年 月 日止。This Agreement is valid from 4.2. 本合同自雙方授權(quán)代表簽字并/或加蓋公章之日起生效。This Agreement takes effect upon signing and/or stamping by the authorized representatives of both parties. 5. 甲方的責(zé)任與義務(wù)Responsibilities and Obligat
28、ions of Party A 5.1. 甲方應(yīng)根據(jù)乙方的實(shí)際經(jīng)營(yíng)狀況和需求提供甲方相關(guān)證照(如營(yíng)業(yè)執(zhí)照、法人代表身份證、組織機(jī)構(gòu)代碼、稅務(wù)登記證等)、經(jīng)銷授權(quán)(此處“經(jīng)銷授權(quán)”包括品牌方給予甲方的授權(quán)以及甲方給予乙方的授權(quán))以及商品相關(guān)文件(如商品的商標(biāo)注冊(cè)證明、商標(biāo)使用權(quán))。Party A shall provide relevant certificates (such as business license, ID of legal representative, organization code, and tax registration certificate) of Party
29、 A, distribution authorization (“distribution authorization”here includes brand owners authorization to Party A and Party As authorization to Party B), and product-related documents based on the actual business conditions and needs of Party B(such as Certificate of Registration of Trade Mark or righ
30、t to use the trademark).5.2. 甲方保證其提供的直郵商品與商標(biāo)注冊(cè)地國(guó)家商品描述及要求相符,均品質(zhì)優(yōu)良,不屬于殘次品、返廠貨或壓倉(cāng)貨,所有直郵商品的制造、包裝或標(biāo)簽均符合產(chǎn)地國(guó)以及銷售地國(guó)(即中國(guó))以及其它相關(guān)國(guó)家和地區(qū)的法律法規(guī)的規(guī)定.如甲方提供的商品未達(dá)到上述標(biāo)準(zhǔn)而給乙方造成損害及損失,甲方應(yīng)承擔(dān)相應(yīng)法律責(zé)任及賠償乙方因此遭受的一切損失。如任何第三方就商品提出任何索賠或其它權(quán)利主張的,甲方應(yīng)采取一切必要措施,確保乙方免受損害,如乙方因此遭受損失的,甲方應(yīng)當(dāng)承擔(dān)賠償責(zé)任。Party A hereby promises that the direct mail pro
31、ducts it provides comply with the country of origin description and requirements, are of good quality, and are not defective products, returned products, or products that have long been stored in the warehouse, and that the manufacture, packaging, or label of all direct mail products comply with the
32、 relevant laws and regulations of the country of origin. Should the products provided by Party A fail to reach the aforementioned standards, causing any damage or loss to Party B, Party A shall be liable for all relevant legal responsibilities and shall compensate for all the losses thus incurred to
33、 Party B. 5.3. 甲方若需乙方提供市場(chǎng)營(yíng)銷、客服服務(wù)以及其他服務(wù),則甲方應(yīng)確保提供給乙方相應(yīng)的素材、培訓(xùn)以及其他協(xié)助以便乙方推廣合作品牌。If Party A would require Party B to do marketing promotion, customer service and other services, Party A promises to provide the relevant marketing materials, customer service training, and other assistance to Party B so as t
34、o facilitate the latter to promote the Cooperating Brand. 6. 乙方的責(zé)任與義務(wù)Responsibilities and Obligations of Party B6.1. 乙方應(yīng)提供其在合同期間合法經(jīng)營(yíng)的證照依據(jù),如營(yíng)業(yè)執(zhí)照、法人代表身份證、組織機(jī)構(gòu)代碼、稅務(wù)登記證等。Party B shall provide the relevant certificates for its legitimate business operation during the contract validity period, such as bus
35、iness license, ID of legal representative, organization code, and tax registration certificate.6.2. 乙方不得經(jīng)營(yíng)銷售非國(guó)家法律規(guī)定的供貨的、假冒或仿冒的合作品牌商品的非法進(jìn)口商品、侵權(quán)商品或其它假冒偽劣商品,一經(jīng)發(fā)現(xiàn),甲方有權(quán)立即終止本協(xié)議并保留采取法律行動(dòng)、追究乙方的責(zé)任之權(quán)利。Party B shall not distribute Cooperating Brand of products that are supplied from unauthorized channels, ille
36、gally exported products, infringing products, or other fake or counterfeit products. Upon detection of any such activities of Party B, Party A has the right to immediately terminate this Agreement and the right to take legal activities against Party B. 6.3. 若發(fā)現(xiàn)第三方侵犯合作品牌其關(guān)聯(lián)公司的商標(biāo)、商號(hào)、專用權(quán)或其它知識(shí)產(chǎn)權(quán),乙方應(yīng)及時(shí)通知
37、甲方。Upon discovery of any infringement by any third party on the trademarks, trade names, exclusive rights, or other intellectual property rights of Cooperating Brand and its related company, Party B shall notify Party A in time. 7. 商品供備貨products Supply and Stocking7.1. 甲方應(yīng)保證合理的庫(kù)存,盡量避免缺貨情況的發(fā)生或?qū)⑷必浰斐傻?/p>
38、影響降為最低。Both parties shall collaborate with each other to ensure reasonable inventory and avoid the occurrence of products shortage or minimize the impact of the products shortage.7.2. 甲方向消費(fèi)者提供的直郵商品的品名數(shù)量和發(fā)貨期等需與乙方提供的商品訂單保持一致。若由于信息不一致導(dǎo)致收貨和銷售產(chǎn)生任何問題,由甲方承擔(dān)。The names, quantity and other essential informati
39、on of the direct mail products provided by Party A to Party B shall comply with the products order form; Party B may refuse to pay for products that do not meet the order form requirements and Party A shall immediately replace the products according to the order form. 7.3 若由于甲方錯(cuò)發(fā)漏發(fā)消費(fèi)者訂單對(duì)乙方的正常業(yè)務(wù)運(yùn)作帶來不
40、良影響,甲方應(yīng)當(dāng)及時(shí)糾正其行為并及時(shí)對(duì)給乙方造成的不良影響進(jìn)行補(bǔ)救,甲方應(yīng)賠償乙方因此遭受的一切損失。If Party A sends wrong piece(s) or misses customers order(s) and brings about negative effect to Party B, Party A should correct its behavior promptly and make some compensation to Party B for the negative effect. 8. 結(jié)算條款8.1 甲方提供乙方市場(chǎng)銷售建議價(jià);乙方根據(jù)甲方的市場(chǎng)銷
41、售建議價(jià)銷售,并在甲方確認(rèn)的情況下可以打折銷售。 結(jié)算價(jià)見附件A。 Party A will offer Party B the sales proposal price; Party B will sale based on the proposal price, and can offer discounts that confirmed by Party A. Settlement price is as attachment A.8.2 結(jié)算: Settlement: 每自然月:以每個(gè)自然月為結(jié)算期,每個(gè)月1日為上月結(jié)算日; Each calendar month: Each cale
42、ndar month is taken as a settlement period, with the first day of each month being the settlement day for the previous month; 每半自然月:以每半個(gè)自然月為結(jié)算期,每月16日與次月1日為結(jié)算日;Every half calendar month: Each half calendar month is taken as a settlement period, with the sixteenth day of each month and the first day o
43、f the next month being settlement days; 每自然旬:以每自然旬為結(jié)算周期,每月10日、20日、30日的次日為結(jié)算日;Every one-third calendar month: Each one-third calendar month is taken as a settlement period, with the days immediately following the tenth, twentieth and thirtieth days of each month being settlement days; 每周:以一周為結(jié)算周期,每周一
44、為上周的結(jié)算日;Weekly: Each week is taken as a settlement period, with Monday being the settlement day for the previous week; 每三天:以三天為結(jié)算周期,結(jié)算周期結(jié)束的次日為結(jié)算日;Every three days: Three days are taken as a settlement period, with the day immediately following the end of the settlement period being the settlement da
45、y.以上結(jié)算日遇休息日或法定節(jié)假日的,順延至休息日或法定節(jié)假日結(jié)束后的第一個(gè)工作日。The aforesaid settlement day shall be extended to the immediately next working day if it falls on a non-working day or public holiday.9. 質(zhì)量條款和售后處理Quality Problems and After-sales Service9.1. 甲方對(duì)其所供貨之商品的質(zhì)量問題負(fù)責(zé),甲方提供的商品必須符合產(chǎn)地國(guó)、銷售地國(guó)(即中國(guó))及其它相關(guān)國(guó)家和地區(qū)的法律規(guī)定和行業(yè)標(biāo)準(zhǔn)。Part
46、y A shall be responsible for the quality problems of the products it provides. The products provided by Party A shall comply with the GMP and TGA production quality standards of the country of origin. 9.2. 甲方保證提供產(chǎn)品的剩余保質(zhì)期為產(chǎn)品有效期的75%以上。Party A shall ensure the validity of such supplied products has mor
47、e than 75% remaining.9.3. 甲方保證向乙方提供合法、有效的企業(yè)資格證書,并保證文件的真實(shí)性、有效性。其中需包括原產(chǎn)國(guó)廠家準(zhǔn)許生產(chǎn)、貿(mào)易證明、營(yíng)業(yè)執(zhí)照、衛(wèi)生證書(食品、化妝品等需)、授權(quán)書。Party A should offer legal and valid certificates of enterprise qualification (including manufacturing license in the country of origin, certificate of free sale, business license, health certif
48、icate and authorization documents) to Party B and ensure the authenticity and validity of these documents.9.4. 甲方須向乙方提供產(chǎn)品基本信息(包括:名稱、規(guī)格、箱裝、條形碼、效期、包裝、標(biāo)簽、說明書等)、產(chǎn)品質(zhì)量標(biāo)準(zhǔn)、原產(chǎn)國(guó)生產(chǎn)廠家放行報(bào)告。Party A should offer the basic product information (including product name, specification, packing information, barcode, per
49、iod of validity, packaging, label and instruction book, etc.), quality standard and the release report of manufacturers in the country of origin to Party B. 9.5. 因?yàn)榧追轿慈鐚?shí)對(duì)商品進(jìn)行描述等甲方原因所引發(fā)的售后問題,其責(zé)任由甲方承擔(dān)。Should there be any after-sales issues at the fault of Party A, for example, if Party A fails to give
50、 an authentic description of the products, Party A shall be held liable. Should there be any losses to the product value due to the improper operation of Party B rather than the quality problems, Party B shall be liable for the losses and relevant expenses.9.6. 協(xié)議無論以任何原因終止后,甲方同樣對(duì)商品具有質(zhì)量保證責(zé)任。Even the
51、agreement terminate, Party A is responsible for the QA issues of the goods Party B consigned from Party A for sell.9.7. 若終端消費(fèi)者收到的貨物存在質(zhì)量問題導(dǎo)致消費(fèi)者要求退貨,貨物將由消費(fèi)者退回至甲方,退貨過程中所產(chǎn)生的費(fèi)用由甲方承擔(dān),乙方將消費(fèi)者支付的金額由相關(guān)付款渠道退回給消費(fèi)者,且甲方承擔(dān)買賣和退貨過程中產(chǎn)生的稅費(fèi)。If goods received by customers has quality problem(s) that customers request go
52、ods returning, the goods will be returned from customers to Party A. The cost occurring in the returning process is covered by Party A. Party B returns customers payment to customers through relevant types of payment (e.g. Alipay). In all these processes, Party A bears the tax payment.9.8. 若終端消費(fèi)者收到貨
53、物后不存在質(zhì)量問題而由于其他原因要求退貨,貨物將由消費(fèi)者退回至甲方,退貨過程中所產(chǎn)生的費(fèi)用由消費(fèi)者承擔(dān),乙方將扣除代繳稅款的貨款由相關(guān)付款渠道退回給消費(fèi)者。If goods received by customers has no quality problem and customers request goods returning with other reasons, the goods will be returned from customers to Party A. The cost occurring in the returning process is covered b

57、y severely violates its responsibilities and obligations stipulated in this Agreement.2. 一方根據(jù)法律規(guī)定被申請(qǐng)破產(chǎn)或整頓時(shí);發(fā)生解散事由時(shí);一方被吊銷營(yíng)業(yè)執(zhí)照時(shí);一方終止?fàn)I業(yè)或經(jīng)營(yíng)范圍不再包括與履行本合同約定義務(wù)相關(guān)之事項(xiàng)時(shí);When one party has to apply for bankruptcy or reorganization according to relevant laws; when any dissolution conditions are met; when one par
