5、rticle4.PackingStandard所供貨物必須由賣方妥善包裝，適合遠(yuǎn)洋和長途內(nèi)陸運(yùn)輸，防潮，防濕、防震，防銹，任何由于賣方包裝不善而造成的損失由賣方負(fù)擔(dān)。AllProductsmustbewellpackedagainstdampness,moisture,shockandrustbySellerandbesuitableforoceanandlong-distanceinnerlandcarriage.Sellershallberesponsibleforanylossanddamagesduetoimproperpacking.1. 每項(xiàng)產(chǎn)品均應(yīng)貼上產(chǎn)地標(biāo)示之標(biāo)紙及買方指定之標(biāo)

6、簽ProductionareamarkandBuyersdesignatedlabelshallbeaffixedtoeachProduct.2. 每項(xiàng)產(chǎn)品除買方指定之商標(biāo)文字外不得有任何其它記號，商標(biāo)或文字Nosign,trademarkorwordingshallappearoneachProduct,exceptforBuyerdesignatedtrademark.3. 所有產(chǎn)品包裝(含內(nèi)盒及外箱)皆須印ITEMNO.及QTY,并需用透明膠帶封口，不得打釘Thepackaging(includinginnerboxandoutercarton)ofallProductsmustbepr

7、inteditemnumberandquantityandmustbesealedbyscotchtapewithoutanynails.4. 所有產(chǎn)品皆須附說明書，組合圖連同五金螺絲裝入“零件袋”后以膠帶貼在紙箱上Instructionbooks,combinationdrawingtogetherwithhardwaresnailsshallbepackagedinto“accessorybag”andaffixedtothecartonsofallProducts.5. 凡易碎品(玻璃、鏡片、大理石、陶瓷等)之外箱皆須注明易碎記號及FRAGILE,DONOTSTEPON及TOPLOADO

8、NLYEachcartonoffragilecommodity(glass,lens,marble,pottery,etc.)shallbemarkedwiththefrangibilitysignandotherwordingof“FRAGILE,DONOTSTEPONandTOPLOADONLY”.6. 所有產(chǎn)品均須擦拭清潔后才可包裝入箱Allproductsshallnotbepackagedintocartonunlesstheyarewipedclean.五、驗(yàn)收條款.InspectionClause(1)賣方必須在交貨前全面、準(zhǔn)確地檢驗(yàn)貨物的質(zhì)量、規(guī)格和數(shù)量，簽發(fā)質(zhì)量證書，證明所交

9、貨物與合同中有關(guān)條款規(guī)定相符，但此證明書不作為貨物的質(zhì)量、規(guī)格、性能和數(shù)量的最后依據(jù)。賣方應(yīng)將記載檢驗(yàn)細(xì)節(jié)和結(jié)果的書面報(bào)告附在質(zhì)量證明書內(nèi)。(1)Sellermustentirelyinspectthequality,specificationandquantityofProductsbeforeshipment,andissueQualityCertificatewhichprovesthatthedeliveredProductsconformtothisContract.SuchQualityCertificateshallnotbetakenasfinalproofrelatingto

10、thequality,specificationandquantity.SellermustattachwrittenreportstatingdetailsandresultsofinspectiontosuchQualityCertificate.(2)在貨物抵達(dá)目的港之后，買方須檢驗(yàn)或申請商品檢驗(yàn)局(以下稱商檢局)就貨物質(zhì)量、規(guī)格和數(shù)量進(jìn)行初步檢驗(yàn)并簽發(fā)檢驗(yàn)證明書。如果發(fā)現(xiàn)到貨的質(zhì)量、規(guī)格或數(shù)量與合同不符)除應(yīng)由保險(xiǎn)公司或船方負(fù)責(zé)者外，買方在貨物到港后買買買買天內(nèi)有權(quán)拒收貨物，向賣方提出索賠。AftertheProductsreacheddestinationport,Buyershal

12、nyshouldtaketheresponsibility),BuyerhastherighttorejectsuchProductswithin買買買daysafterthearrivalofsuchProductsandclaimagainstSeller.(3)如果發(fā)現(xiàn)貨物質(zhì)量和規(guī)格與合同規(guī)定不符，包括內(nèi)在缺陷或使用不良的原材料，買方將安排商檢局檢驗(yàn)，并有權(quán)依據(jù)商檢證書向賣方索賠。IfBuyerfindsthatthequality,specificationandquantityofthearrivedProductsareinconsistentwiththisContract,in

13、cludinginternaldefectsordefectivematerials,BuyershallarrangeCIBtomakeinspectionandclaimagainstSellerinaccordancewithinspectioncertificate.(4)如果由于某種不能預(yù)料的原因，在合同有效期內(nèi)檢驗(yàn)證書不及辦妥，買方須電告賣方延長商檢期限天。IfinspectioncertificateisntissuedwithintheeffectiveperiodofthisContractforcertainunexpectedreason,Buyershallinform

14、SelleroftheextensionofperiodofCIBsinspection.(5)貨品雖經(jīng)本公司抽驗(yàn)，出賣人所負(fù)之暇疵擔(dān)保責(zé)任，仍未免除SellersobligationonthewarrantyoftheProductsshallnotbereleasedthoughtheProductshavebeeninspectedbyBuyer.六、結(jié)算方式及期限Article6PaymentTerms1 .買方應(yīng)通過買賣雙方都接受的銀行向賣方開出以賣方為受益人的不可撤消、可轉(zhuǎn)讓的即期付款信用證，信用證必須在裝船前30天開到賣方，信用證有效期限延至裝運(yùn)日期后21天在愛爾蘭到期。Buye

15、rshallopenirrevocable,transferableL/CatsightstipulatingSellerasthebeneficiarythroughissuingbankacceptabletobothBuyerandSeller.SuchL/Cmustbeopened30daysinadvanceofshipmentandtheL/Cwillexpire21daysatIrelandafterthedateofshipment.2 .買方須于合同簽訂后.天內(nèi)以電匯的方式即付全部貨款.的定金，貨物離港后收到賣方正本提單復(fù)印件付清余款，賣方收款即寄正本提單及全套清關(guān)文件。因賣

16、方責(zé)任延遲寄單而產(chǎn)生的一切費(fèi)用由賣方承擔(dān)。Buyershallpay10%oftotalamountofProductasdeposittoSellerthroughwiretransferwithinXXdaysafterthesignatureofthisContract,andpaythebalanceSeller shall send original B/L andamountafterreceivedthecopyoforiginalB/L.fullsetofclearancedocumentstoBuyer.AnyandallchargesresultingfromSellers

17、delayinsendingdocumentsshallbebornebySeller.七、違約責(zé)任Article7ResponsibilityfortheBreachofthisContract1、如果賣方對貨物不符合本合同規(guī)定負(fù)有責(zé)任且買方在檢驗(yàn)期內(nèi)提出索賠時(shí)，賣方在征得買方同意后，可按下列方法之一種或幾種理賠：IfBuyerclaimsforcompensationwithintheinspectionperiodforthereasonthatSellershouldberesponsiblefortheProductswhichareinconsistentwiththisContr

18、act,afterobtainingtheconsentofBuyer,SellershallcompensateforBuyeraccordingtooneofthefollowingways:a.同意買方退貨，并將所退貨物金額用合同規(guī)定的貨幣償還買方，并承擔(dān)買方因退貨而蒙受的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)、檢驗(yàn)費(fèi)、倉儲(chǔ)、碼頭裝卸及監(jiān)管保護(hù)所退貨物的一切其它必要的費(fèi)用。AcceptsBuyersreturnedProductsandrefundthepurchasepriceinthecurrencystatedinthisContract,andtakesrespon

19、sibilityforalldirectlossandexpensesincurredtoBuyerduetothereturnofProducts,includinginterest,bankfees,transportationfees,insurancepremium,inspectionfeesandothernecessarychargesandexpensesforthestorage,loading,unloadingandsupervisionofthereturnedProducts.b.按照貨物的質(zhì)量低劣程度，損壞程度和買方蒙受損失的金額將貨物貶值。DevaluestheP

20、roductsaccordingtodefectivenessdegree,damagedegreeandthelossamountincurredtoBuyer.C.用符合合同規(guī)定規(guī)格、質(zhì)量和性能的部件替換有瑕疵部件，并承擔(dān)買方所蒙受的一切直接損失和費(fèi)用。ReplacesdefectivecomponentswiththoseofcomponentswhichconformtothisContractintheaspectsofspecification,qualityandperformanceandbearsalldirectlossandexpensesincurredtoBuyer.

21、2、如果賣方在收到買方索賠書后一個(gè)月之內(nèi)不予答復(fù)，則視為賣方接受索賠。SellershallbedeemedasacceptBuyersclaimifSellerfailedtorespondtoBuyerwithonemonthuponreceiptofBuyerswrittenclaimletter.3、延期和罰款Delayandpenalty(1)買方未按合同規(guī)定日期付款，每延期一天，應(yīng)償付賣方以延期付款總額的罰金。IncasethatBuyerdelaysinpayingthepaymentaccordingtothisContract,BuyershallpaytoSellerpen

22、altyforeachdelayday,whichisequaltooftotalamount.2)如果賣方不能按合同規(guī)定及時(shí)交貨，除因不可抗力者外，若賣方同意支付延期罰款，買方應(yīng)同意延期交貨。IncasethatSellerfailstodelivertheProductstoBuyerinaccordancewiththisContract,exceptfortheforcemajeure,BuyershouldagreetoSellerslatedeliveryontheconditionthatSelleragreestopaydelaypenalty.罰款通過在付款時(shí)扣除，但罰款總額

23、不超過延期貨物總值的5%,罰款率按每星期0.5%計(jì)算，少于七天者按七天計(jì)。Penaltyshallbedeductedfromtheduepayment,butthemaximumpenaltyshallnotbegreaterthatthe5%oftotalamountoftheProducts.Thepenaltyshallbechargedaccordingto0.5%weeklyrate,andthedelayperiodwhichislessthan7daysshallbedeemedas7days.如果賣方交貨延期超過合同規(guī)定船期十星期時(shí)，買方有權(quán)取消合同。盡管取消了合同，但賣方仍

24、須立即向買方交付上述規(guī)定罰款。BuyerhastherighttocancelthisContractincasethatSellerdelaysindeliveringtheProductsover10weeks.SellermustimmediatelypaytoBuyertheabovementionedpenaltyafterBuyerscancellationofthisContract.八、爭議解決凡因執(zhí)行本合同或與本合同有關(guān)的任何爭議，應(yīng)由供需雙方通過友好協(xié)商解決，如無法達(dá)成一致，按下列第一種方式解決：AnydisputearisingoutoforinconnectionwiththisContrac
