4、有所不同，因而，對價與約因這對概念盡管相似，差異也是客觀存在的?？偟恼f來，對價的適用范圍較狹窄，但內(nèi)容較具體，約因的適 用范圍較寬，且具彈性。具體而言，對價與約因存在三點主要差異：1、對價使合同當(dāng)事人之間的權(quán)利對等性更為鞏固，但過于強調(diào)對價之有無及技術(shù)化之后果，則多少妨礙一般交易活動的進行。由于其僵化的規(guī)定，英美法不得不于19世紀(jì)中葉發(fā)展“允 諾禁反言”理論予以救濟，以化解有違常理的早期判例。約因則無上述現(xiàn)象，比如類似英美法上過去對價及當(dāng)事人間一部分債務(wù)之清償作為全部債務(wù)之免除，在法國法上均為有效， 且比較靈活。2、從作用方式看，對價從中世紀(jì)開始后， 到17世紀(jì)才成為一條決定合同效力的基本原

Buyer may, at its option, either (a) requirecorrection or reperformanee of any defectiveor nonconforming services, o

27、r （b） makean equitable adjustme nt in the Con tract Price of this Con tract. If Ven dor is required to correct or reperform the Services, such correcti on or reperforma nee shall be executed by Ven dor in a timely manner solely at its own expe nse. If Ven dor fails or refuses to correct or reperform, Buyer may correct or replace with similar services and charge Ven dor for any cost to Buyer or make an equitable adjustme nt in the Con tract Price of this Con tract, for wh

39、(vi) descriptio n of services to be performed; (vii)the time of performanee ., hours of the day, daysof the week, etc.); and (viii) place of performa nee. 42、eme nt Represe ntativein writ ing with in 15 days upon the occurre neeof any matter which Ven dor deems to con stitute a cha nge described here un der, and deliver a fully supported proposal to Buyers Authorized Procurement Representative with in 30 days after Ven dors receipt of such direct ion. 43、yer may, at its sole discreti on, con sider any claim regardless of whe n asserted. If Ven dors proposal includes the costof property made obsolete or excess by the change.Buyermay directthe dispositi on of theproperty. Examples of these causes are (a) acts of God or of the public enemy, (b) fires, (c) floods,

In case of term in atio n for convenience by Buyer ofall or any part of this Con tract, Ven dor may submit a claim to Buyer within 30 days after the effective date of term in ati on, and Buyer shall have the sole discreti on to de

58、term ine such claim asserted by Ven dor. I n no event shall Buyer be obligated to pay Ven dor any amount in excess of the Con tract Price.
