10、r Party A obtains its Business License, it must pay related Party B' s social and medicalinsurance and will deduct Party B' s own social and medicalinsurance premium and individual i ncome tax from Party B' s salaryto pay to the Chinese government. 10. 甲方調(diào)整乙方工作崗位 的,根據(jù)乙方能力及其相關(guān)職位,雙方協(xié)商一致后調(diào)整
11、乙方勞動(dòng) 報(bào)酬。 Party B ' s labor remuneration will be adjusted as per Party B' s competence and job requirements on the basis of consensus in case Party A adjust Party B' s job. 甲方11將. 每年對(duì)乙方的工作成績(jī)、表現(xiàn),以及勞動(dòng)報(bào)酬進(jìn)行評(píng)估 . Party A will review Party B' swork performance and salary on an annual basis.3
12、Social Welfare& Benefits 五、社會(huì)保險(xiǎn)和福利待遇12. 甲方根據(jù)國(guó)家有關(guān)規(guī)定為乙方繳納北京市城鎮(zhèn)社會(huì)保險(xiǎn)(養(yǎng)老、醫(yī)療、失 業(yè)、工傷),個(gè)人繳納部分由甲方從乙方工資中代扣代繳。甲乙 雙方解除、終止勞動(dòng)合同時(shí),甲方按有關(guān)規(guī)定為乙方辦理社會(huì)保 險(xiǎn)相關(guān)手續(xù)。 According to the State' s related rules, Party A will payBeijing social insurance in urban area (i.e. pension insurance, unemployment insurance, Occupatio
13、nal Injury and medical insurance) for Party B. And Party A will deduct Party B's part from hisor her salary. When the labor contract is terminated by both parties, Party A will handle the related procedures for Party B' s socialinsurance according to the related regulations. 13. 乙方非因工疾病 或負(fù)傷,
14、在醫(yī)療期內(nèi)工資及其醫(yī)療待遇按照本合同 16 條執(zhí)行。乙 方患職業(yè)病或因工負(fù)傷后的工資和醫(yī)療補(bǔ)助執(zhí)行按照國(guó)家和地方 的有關(guān)法律法規(guī)執(zhí)行。 In case of illnesses or injuries unrelated to work, the salary during the remedial period as well as medical treatment shall be paid in accordance with Clause 16. The salary andMedicare benefits of Party B in case of occupational di
15、seases or work-related injuries shall be paid in accordance with the relevant national and local laws and regulations. 14. 因公出差按公司規(guī)定 實(shí)行差旅費(fèi)報(bào)銷(xiāo)與補(bǔ)貼。 In case Party B travels on business, Party A will reimburse travelling expenses and give subsidy to Party B in accordance with the company rules. Annual Le
16、ave and Sick Leave 六、 假期安排15.帶薪年假-雇傭期滿(mǎn)一年后,甲方每年為乙方提供十天帶薪年假。乙方需根據(jù)甲方經(jīng)營(yíng)和工作等實(shí)際情況,安排 年假,盡量將甲方損失最小化。乙方休年假時(shí),必須提前一個(gè)月 通知甲方,并取得甲方批準(zhǔn),方可休假。Ann ual Leave -Party Bshall be entitled to take paid annual leave of ten (10) working days per annum after the first year the employment. Leave may be taken as it is accrued
17、but may only be taken at times agreed to by the company in order that disruption will be minimal. Request for leave must be submitted one (1) month in advance and approved by Party A. 16. 病假 -如乙方不涉及住院治療,甲方將每年批準(zhǔn)乙方共計(jì) 15天帶薪病假;其中全薪病假五天,三分之二薪金病假五天,以 及三分之一薪金病假五天。如乙方病假日期總數(shù)超過(guò)甲方允許的 病假日期總數(shù),超出部分將在乙方帶薪年假日期數(shù)中扣除;
18、如果 乙方病假日期總數(shù)超出了甲方允許的病假和帶薪年假日期總和, 甲方將不會(huì)支付乙方超出日期的任何薪金。 乙方必須向甲方財(cái)務(wù) 或行政部出具醫(yī)院的相關(guān)病假證明并通知乙方上級(jí)部門(mén),如乙方 不能提供相關(guān)醫(yī)院病假證明,視為乙方曠工處理,甲方有權(quán)不支 付乙方曠工期間任何薪金。 Party B is entitled to five (5) days sick leave per full calendar year at full pay, next five (5) days sick leave at two-third pay and next five (5) days sick leave at
19、 one-third pay, if no hospitalization is incurred. Medical Certificates must be submitted to our Accounts/Admin department upon returning to the office; if not, Party A has right not to pay for Party B'4s absence.Party B is required to inform its supervisor and the directors if Party B requires
20、sick leave. Allabsence beyond Party B s all'ocated sick leave is deducted from its vacation time. lf both the sick leave and vacationleaves are used up, Party B will not be entitled to be paid for its time that Party B is absent from work. Labor Disciplines 七、勞動(dòng)紀(jì) 律 17. 合同期間,乙方應(yīng)嚴(yán)格遵守國(guó)家的各項(xiàng)法律法規(guī)及甲方依
21、法制定的各項(xiàng)規(guī)章制度及要求,嚴(yán)格遵守勞動(dòng)安全衛(wèi)生、操作規(guī) 程及工作規(guī)范;應(yīng)愛(ài)護(hù)甲方財(cái)產(chǎn),遵守職業(yè)道德,積極維護(hù)公司 榮譽(yù)和利益。 Within the contract term, Party B shall abide by the State ' s laws and regulations as well atshe rules formulated by Party A according to the laws; follow labor security and hygiene systems, production processes, operating instruc
22、tions and job specifications; take good care of Party A' s property; and safeguard the benefits andreputation of the company. 18. 乙方違反勞動(dòng)紀(jì)律 ,甲方可依據(jù) 本公司的規(guī)章制度給予紀(jì)律處分,直至解除本勞動(dòng)合同。另外, 由于乙方的原因?qū)追皆斐山?jīng)濟(jì)損失的,原則上必須按照實(shí)際損 失金額由乙方向甲方承擔(dān)損害賠償責(zé)任,數(shù)目重大者甲方有權(quán)追 究其法律責(zé)任。 In case Party B violates any of the labor disciplines,P
23、arty A may punish Party B or even release the contract according tothe rules and regulations of the company. Moreover, Party B will be case of the considerable amount of losses, Party A will retain the right to pursue legal actions against Party B. 19. 在本合同履行過(guò)程 中,甲方根據(jù)國(guó)家有關(guān)規(guī)定可以制定新的規(guī)章制度,也可以對(duì)公 司制定的規(guī)章制度進(jìn)
24、行修改,發(fā)布的各種規(guī)章制度、操作規(guī)定、 通知、公告等均對(duì)乙方有約束力。 During the contract performance, Party A may formulate new or revise rules and regulations based on the State 's related regulations. The rules andheld liable for Party As economic losses-boyn-caacsaesbeasis, inthe event that Party Bs behavior damages Party As

Inregulatio ns, operat ing provisi ons, no tices and proclamati ons are binding on Party B.Labor Con tract Performa nee & Alter natio n 八、勞動(dòng)合同的履行和變更 20.甲方應(yīng)按照約定為乙方提供適當(dāng)?shù)墓ぷ鲌?chǎng) 所、勞動(dòng)條件和工作崗位,并按時(shí)向乙方支付勞動(dòng)報(bào)酬。乙方應(yīng) 當(dāng)認(rèn)真履行自己的勞動(dòng)職責(zé),并親自完成本合同約定的工作任 務(wù)。 Party A shall fur nish Party B with proper worki ng p

27、 parties' agreeme nt throughn egotiati on.Labor Con tract Can cellati on, Term in atio n & Ren ewal九、勞動(dòng)合同的解除、終止和續(xù)訂22.經(jīng)甲、乙雙方當(dāng)事人協(xié)商一致,本合同可以解除。雙方應(yīng)提前三十日(試用期為提前三 日)以書(shū)面形式通知對(duì)方或以支付一個(gè)月工資代替通知,方可解 除本協(xié)議。The contract may be can celed based on both parties'mutual n egotiati on. 29、出,拒 不改正的;因勞動(dòng)合同期滿(mǎn)致使本合同無(wú)效的;依法被追究刑事責(zé)任或勞動(dòng)教養(yǎng)的;乙方利用職務(wù)之便收受賄賂的或泄漏公司機(jī)密造成公司損失的。Party A may can cel the eon tract incase any of the follow ing occurs: Party B severely violates the labordisciplines and regulations; Party B ' s gross negligenee or jobbery causes great losses for Party A;Party B holds ano th
30、er job withoutthe permit of Party A, which seriously affects the completi on of Party A' s work task, or Party B refuses to correct the error after Party A warni ng;The con tract turns in valid due to expirati on; Party B isheld crim in ally resp on sible or reeducated through labor; or Party B
31、accepts bribes by tak ing adva ntage of duty or causes the loss of the compa ny by virtue of divulgi ng the commercial secrets. 24.有下歹 U 情形之一的,乙方可以隨時(shí)通知甲方解除本合同。在試用期內(nèi)的;甲方以暴力、威脅或者非法限制人身自由的手段強(qiáng)迫勞動(dòng)的;甲方未按照勞動(dòng)合同約定支付勞動(dòng)報(bào)酬或者提供勞動(dòng)條件的。 Party B may no tify Party A of term in at ing the con tract at any time, i n ca

33、替通知,解除本合同:患病或非因工負(fù)傷,在規(guī)定醫(yī)療期滿(mǎn)后,不能從事原工作,也不能從事甲方另行安排 的工作的;乙方不能勝任工作,經(jīng)過(guò)調(diào)整工作崗位,仍不能勝任工作的;本合同訂立時(shí)所依據(jù)的客觀(guān)情況發(fā)生重大變化,致使本合同無(wú)法履行,經(jīng)甲、乙雙方協(xié)商,6未能變更本合同內(nèi)容達(dá)成協(xié)議的;按照相關(guān)法規(guī)及程序甲方依法裁員的。 Party A may can cel the con tract upon thirty (30) days ' prior written notice to Party B (Probation: three (3) days in adva nee) or one (1) m

35、r job adjustme nt;The objective con diti ons on which the con tract is based have materially cha nged to the exte nt that it is impossible to perform the con tract while both parties cannot reach an agreeme nt to ame nd the con tract to reflect the cha nged con diti ons; or Party A dow nsizes accord
36、 ing to related laws and procedures.26.乙方有下列情形之一的,甲方不得按本合同第二十五條的約定與乙方解除 勞動(dòng)和同:在甲方工作期間患職業(yè)病或者因工負(fù)傷并被確認(rèn)喪失或者部分喪失勞動(dòng)能力的;患病或因工負(fù)傷,在規(guī)定的醫(yī)療期間的;女職工在孕期、產(chǎn)期、哺乳期的;法律、行政法規(guī)規(guī)定的其他情形。Party A is not allowed to can cel the laborcon tract as per Clause 25 in case any of the follow ing occurs: Party B is con firmed partly or
37、totally in capacitated due to an in dustrial injury or an occupatio nal disease whe n worki ng for Party A; Party B is in a period of medical treatme nt for sick ness or work injury;The female employee is in preg nan cy, maternity or lactati on; or Other situati ons stipulated in laws and admi nistr
38、ative provisi ons.27.符合下列情形之一的,本勞動(dòng)合同即可終止:勞動(dòng)合同期滿(mǎn);乙方死亡、或者被法院宣告死亡或者宣告失蹤的;甲方依法被宣告破產(chǎn)的;甲方被吊銷(xiāo)營(yíng)業(yè)執(zhí)照、責(zé)令關(guān)閉、撤銷(xiāo)或者甲方?jīng)Q定提前解散的;法律、行政法規(guī)規(guī)定的其他情形。Thecon tract will termi nate in case any of the followi ng occurs:Thelabor con tract expires; Party B is dead, pronoun ced dead or pronoun ced miss ing by the people's cou

40、ti on of the Con tract十、賠償責(zé)任、違約責(zé)任28.乙方造成直接損失的賠償金:賠償金按乙方實(shí)際造成的損失計(jì)算,賠償金的范圍包括:乙方損壞甲方財(cái)物而導(dǎo)致的直接經(jīng)濟(jì)損失;乙方疏忽導(dǎo)致的甲方直接經(jīng)濟(jì)損失;乙方拒絕合理的工作安排而導(dǎo)致甲方經(jīng)濟(jì)損失。In case Party B ' s behavior causes the losses of Party A, the compe nsatio n amount is calculated based on the actual losses caused by Party B. The compe nsati on in
41、 cludes:The directeconomic losses caused by Party B' s damages of Party A ' s properThe direct economic losses resulting from Party B' s negligenee;and The economic losses due to Party B' s rejection of thereason able work assig ned by Party A. 29.甲乙雙方任何一方違反 本合同,給另一方造成經(jīng)濟(jì)損失的,根據(jù)違約責(zé)任大小,
42、需承擔(dān) 違約責(zé)任。In case that either party breaches the con tract or causesthe econo mic losses of the other party, the default party will be held liable for breach of con tract on a case-by-case basis. 30.乙方不得 在任何情況下將甲方的保密資料、數(shù)據(jù)、運(yùn)營(yíng)模式、工具等直接 或者間接泄露給任何第三方,如經(jīng)甲方發(fā)現(xiàn)按甲方損失大小賠 償。 In any case, Party B shall not directly or in directly divulge the commercial secrets (in clud ing but not limited in formatio n, data, man ageme nt models and tools) of Party A to any the third party .In case Party B is found to divulge th
