21、estionsnotcoveredbyCISGb聯(lián)合國國際貨物銷售合同公約沒有規(guī)定的任何事項，應適用國名法律。(b) AnyquestionsnotcoveredbyCISGwillbegovernedbythelawof(country).I-15其它事項I-15OTHER第二部分一般條款PARTIIGENERALCONDITIONS第一條總則Art.1GENERAL1.1 這些一般條款與第一部分的特別條款一起適用于本國際貨物銷售合同，但也可以將這些一般條款加入其它任何的銷售合同。當?shù)诙糠值囊话銞l款獨立于第一部分的特別條款使用時，第二部分對第一部分的任何援引應解釋為對雙方約定的對應的特別條

22、款的援引。當這些一般條款與雙方約定的任何特別條款相矛盾時，應以特別條款為準。1.1 TheseGeneralConditionsareintendedtobeappliedtogetherwiththeSpecificConditions(partI)oftheInternationalSaleContractofManufacturedGoods,buttheymayalsobeincorporatedontheirownintoanysalecontract.WheretheseGeneralConditions(PartII)areusedindependentlyofthesaidSp

23、ecificConditions(PartI),anyreferenceinPartIItoPartIwillbeinterpretedasareferencetoanyrelevantspecificconditionsagreedbytheparties.IncaseofcontradictionbetweentheseGeneralConditionsandanyspecificconditionsagreeduponbetweentheparties,thespecificconditionsshallprevail.1.2 合同自身即指這些一般條款和雙方當事人約定的特別條款的規(guī)定中未

24、明示或默示處理的與本合同有關的任何事項應適用：A聯(lián)合國國際貨物銷售合同公約1980年維也納公約，下稱銷售公約，和B在銷售公約未對這些事項作出規(guī)定時，適用賣方營業(yè)所在地國法律。1.3 AnyquestionsrelatingtothisContractwhicharenotexpresslyorimplicitlysettledbytheprovisionscontainedintheContractitself(i.e.theseGeneralConditionsandanyspecificconditionsagreeduponbytheparties)shallbegoverned:A.

25、bytheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(ViennaConventionof1980,hereafterreferredtoasCISG),andB. totheextentthatsuchquestionsarenotcoveredbyCISG,byreferencetothelawofthecountrywheretheSellerhashisplaceofbusiness.1.4 援引的任何貿(mào)易術語比方：EXW，F(xiàn)CA等應視為國際商會出版的國際貿(mào)易術語解釋通則中對應的貿(mào)易術語。1.5 An

27、act.1.8 除非達成書面協(xié)議或有書面證據(jù)證明，任何對本合同的修改均無效。但是，當另一方信賴該方所作出的行為時，該方由于其作出的行為而不得主張該款規(guī)定。1.9 NomodificationoftheContractisvalidunlessagreedorevidencedinwriting.However,apartymaybeprecludedbyhisconductfromassertingthisprovisiontotheextentthattheotherpartyhasreliedonthatconduct.第2條貨物的特征ART.2CHARACTERISTICSOFTHEGO

28、ODS2.1雙方約定，與貨物及其用途有關的任何資料，比方；包含在賣方的目錄、說明書、函件、廣告、圖片和價目表中的重量、尺寸、容量、價格、顏色和其它數(shù)據(jù)不應作為生效的合同條款，除非在合同中明確作了約定。2.1 Itisagreedthatanyinformationrelatingtothegoodsandtheiruse,suchasweights,dimensions,capacities,prices,coloursandotherdatacontainedincatalogues,prospectuses,circulars,advertisements,illustrations,pr

29、ice-listsoftheSeller,shallnottakeeffectastermsoftheContractunlessexpresslyreferredtointheContract.2.2 除非另有約定，買方不擁有購買的軟件、制圖等產(chǎn)品中的知識產(chǎn)權。賣方仍然是貨物涉及的知識產(chǎn)權或工業(yè)產(chǎn)權的獨占所有權人。2.2Unlessotherwiseagreed,theBuyerdoesnotacquireanypropertyrightsinsoftware,drawings,etc.whichmayhavebeenmadeavailabletohim.TheSelleralsoremai

30、nstheexclusiveownerofanyintellectualorindustrialpropertyrightsrelatingtothegoods.第3條貨物裝運前的檢驗ART.3INSPECTIONOFTHEGOODSBEFORESHIPMENT如果雙方約定買方有權在裝運前對貨物進行檢驗，賣方必須在裝運前的合理時間內(nèi)通知買方，貨物在約定的地點已準備好進行檢驗。IfthepartieshaveagreedthattheBuyerisentitledtoinspectthegoodsbeforeshipment,theSellermustnotifytheBuyerwithinar

31、easonabletimebeforetheshipmentthatthegoodsarereadyforinspectionattheagreedplace.第4條價格ART.4PRICE4.1如果沒有約定貨物的價格，將適用達成合同時賣方最新列出的價格。假設沒有這樣的最新列出的價格，將適用達成合同時這些貨物的一般價格。4.1 Ifnopricehasbeenagreed,theSeller'scurrentlistpriceatthetimeoftheconclusionoftheContractshallapply.Intheabsenceofsuchacurrentlistpri

32、ce,thepricegenerallychargedforsuchgoodsatthetimeoftheconclusionoftheContractshallapply.4.2 除非另有書面約定，貨物價格不包含增值稅，沒有必要調(diào)整價格。4.3 Unlessotherwiseagreedinwriting,thepricedoesnotincludeVAT,andisnotsubjecttopriceadjustment.4.4 第I-2款合同價款注明的價款包括賣方按照本合同的約定收取的任何費用。但是，如果賣方承擔了依照本合同的約定應由買方承擔的費用比方：EXW或FCA術語中的運輸費或保險費

33、，那么這些款項不應視為已包含在第I-2款項下注明的價款中，買方應予歸還。4.5 ThepriceindicatedunderI-2(contractprice)includesanycostswhichareattheSeller'schargeaccordingtothisContract.However,shouldtheSellerbearanycostswhich,accordingtothisContract,arefortheBuyer'saccount(e.g.fortransportationorinsuranceunderEXWorFCA),suchsumss

34、hallnotbeconsideredashavingbeenincludedinthepriceunderI-2andshallbereimbursedbytheBuyer.第5條支付條件ART.5PAYMENTCONDITIONS5.1 除非另有書面約定或者雙方之間此前交易另有默契，買方應通過往來帳戶向賣方支付價款和其它應付的款項，支付時間是開出發(fā)票之日起30日。除非另有約定，到期應付的款項應可在結算時遠程轉帳至賣方在其所在國開立的帳戶，當相應的應付款項作為可立即存取的資金為賣方銀行收到時，應視為買方履行了其付款義務。5.2 Unlessotherwiseagreedinwriting,o

35、rimpliedfromapriorcourseofdealingbetweentheparties,paymentofthepriceandofanyothersumsduebytheBuyertotheSellershallbeonopenaccountandtimeofpaymentshallbe30daysfromthedateofinvoice.Theamountsdueshallbetransferred,unlessotherwiseagreed,byteletransmissiontotheSeller'sbankintheSeller'scountryfort

36、heaccountoftheSellerandtheBuyershallbedeemedtohaveperformedhispaymentobligationswhentherespectivesumsduehavebeenreceivedbytheSeller'sbankinimmediatelyavailablefunds.5.3 如雙方約定預先付款，則無須作出進一步的表示，支付的預先付款應指全部的價款，除非另有約定。而且預先付款必須作為可立即存取的資金，在約定的交貨日期或者約定的交貨期限內(nèi)最早的一天之前至少30日為賣方銀行收到。如果雙方約定僅預先支付部分合同價款，剩余價款的支付條

37、件將按照本條款中規(guī)定的規(guī)則確定。5.4 Ifthepartieshaveagreedonpaymentinadvance,withoutfurtherindication,itwillbeassumedthatsuchadvancepayment,unlessotherwiseagreed,referstothefullprice,andthattheadvancepaymentmustbereceivedbytheSeller'sbankinimmediatelyavailablefundsatleast30daysbeforetheagreeddateofdeliveryorthe

38、earliestdatewithintheagreeddeliveryperiod.Ifadvancepaymenthasbeenagreedonlyforapartofthecontractprice,thepaymentconditionsoftheremainingamountwillbedeterminedaccordingtotherulessetforthinthisarticle.5.5 如果雙方約定通過跟單信用證付款，除非另有約定，買方必須按照國際商會出版的跟單信用證統(tǒng)一慣例的規(guī)定安排一家著名的銀行開出一張以賣方為受益人的跟單信用證，并且在約定交貨日之前至少30日或者在約定的交

39、貨期限內(nèi)最早一天前至少30日作出通知。除非另有約定，跟單信用證應為即期、允許部分裝運和轉運。5.6 Ifthepartieshaveagreedonpaymentbydocumentarycredit,then,unlessotherwiseagreed,theBuyermustarrangeforadocumentarycreditinfavouroftheSellertobeissuedbyareputablebank,subjecttotheUniformCustomsandPracticeforDocumentaryCreditspublishedbytheInternationalC

40、hamberofCommerce,andtobenotifiedatleast30daysbeforetheagreeddateofdeliveryoratleast30daysbeforetheearliestdatewithintheagreeddeliveryperiod.Unlessotherwiseagreed,thedocumentarycreditshallbepayableatsightandallowpartialshipmentsandtranshipments.5.7 如果雙方約定通過跟單托收付款，那么，除非另有約定，單證應在付款時交付付款交單，單證的交付無論如何應受國際

41、商會出版的托收統(tǒng)一規(guī)則支配。5.8 Ifthepartieshaveagreedonpaymentbydocumentarycollection,then,unlessotherwiseagreed,documentswillbetenderedagainstpayment(D/P)andthetenderwillinanycasebesubjecttotheUniformRulesforCollectionspublishedbytheInternationalChamberofCommerce.5.9 在雙方約定付款需要銀行擔保支持的情況下，在約定的交貨日之前至少30日或者在約定的交貨期限

42、內(nèi)最早日期之前至少30日，買方應按照國際商會出版的即期擔保統(tǒng)一規(guī)則的規(guī)定提供一份即期銀行擔保，或者按照該規(guī)則或國際商會出版的跟單信用證統(tǒng)一慣例的規(guī)定提供一份備用信用證，在兩種情況下，均應由一家著名的銀行開出。5.10 Totheextentthatthepartieshaveagreedthatpaymentistobebackedbyabankguarantee,theBuyeristoprovide,atleast30daysbeforetheagreeddateofdeliveryoratleast30daysbeforetheearliestdatewithintheagreeddel

44、ebank.第6條遲延付款時的利息ART.6INTERESTINCASEOFDELAYEDPAYMENT6.1如果一方未支付到期款項，另一方有權從該款項到期應支付之日起對該筆款項計算利息。6.1 Ifapartydoesnotpayasumofmoneywhenitfallsduetheotherpartyisentitledtointerestuponthatsumfromthetimewhenpaymentisduetothetimeofpayment.6.2 除非另有約定，利率應高于付款貨幣在付款地適用于一般借款人的平均的銀行短期貸款利率的2，或者假設在付款地沒有這種利率時，適用付款貨幣
