20、erials with first class workmanship, brand new, unused and complies in all respects with quality, specification and performance stipulated in the Contract. The Sellers shall also guarantee that the goods when correctly mounted and properly operated and maintained, will give satisfactory performance

21、for a warranty period of _ months, counting from the date of Final Acceptance of contract goods. However the warranty period shall expire the latest thirty (_) months after the date of shipment evidenced by Bill of Lading if the inspection of the goods were postponed because of failure of the buyer

22、and the final acceptance is not achieved within _ months after delivery. 25、ll expenses shall be borne by the Seller. 索賠：貨物到達(dá)到貨口岸_天內(nèi), 如發(fā)現(xiàn)到貨的品質(zhì)、規(guī)格或數(shù)量與合同不符,除應(yīng)由保險(xiǎn)公司或船公司負(fù)責(zé)外,買(mǎi)方憑商檢局出具的檢驗(yàn)證書(shū)有權(quán)要求更換貨物或賠償損失,所有費(fèi)用由賣(mài)方負(fù)責(zé)。Force Majeure: The Seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure which might occur during the process o

26、f manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within fourteen days thereafter, the Seller shall send by airmail to the Buyer immediately of the occurrence mentioned above and within fourteen days thereafter

27、, the Seller shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances, the Seller, however, are still under the obligation to take all necessary measure

28、s to hasten the delivery of the goods. 人力不可抗拒: 由于人力不可抗拒的原因限于發(fā)生在制造、裝載或運(yùn)輸過(guò)程中致使賣(mài)方延期交貨或不能交貨,賣(mài)方可免除責(zé)任。在不可抗力事件發(fā)生后,賣(mài)方須立即電告買(mǎi)方及在14天內(nèi)以空郵向買(mǎi)方提供事故發(fā)生地點(diǎn)的政府授權(quán)的商會(huì)出具的證明文件。在上述情況下,賣(mài)方仍須負(fù)責(zé)采取必要措施盡快交貨。Late Delivery and/or late acceptance Penalty: Should the Seller fail to make delivery and/or final acceptance on time due to

29、 the Sellers responsibility as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract, the Seller agrees to pay a penalty which shall be deducted by the paying bank from the payment. The penalty, however, shall not exceed 30% of the total contract

30、value. The rate of penalty in charged at 1% for each day. In case the Seller fails to make delivery and/or final acceptance four(4) weeks later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of cancellation, shall

31、still pay the aforesaid penalty to the Buyer without delay. The Seller shall also return to the Buyer the down payment received from the Buyers plus its interest calculated at 5% per year. If the delivery time were postponed because of failure of the Buyer, all the expenses (such as storage charges

32、etc. ) shall be borne by the Buyer.The Seller shall deliver the Goods according to the terms of delivery manner, date, quality and quantity in this Contract. The Buyer may refuse to accept if the Goods were delivered partly, or inconsistent with the relevant terms in the Contract in quality or batch

33、 (hereinafter referred to as “Defective Delivery”), and, whether the Goods were accepted or not, reserve the right to ask the Seller bear liabilities for breach of contract in terms of this Article.遲交貨以及/或遲交付使用及罰款: 如由于賣(mài)方的責(zé)任不能按合約規(guī)定期限交貨以及/或遲交付使用，除本合約第15條不可抗力原因外,賣(mài)方應(yīng)同意付款銀行在議付貨款時(shí)扣除相應(yīng)罰款。罰款總額不超過(guò)合同總值的30%,罰款

34、率按每天1%計(jì)算。如超過(guò)合約規(guī)定裝運(yùn)期限4星期后賣(mài)方仍不能交貨以及/或遲交付使用,買(mǎi)方有權(quán)撤銷(xiāo)合同,而賣(mài)方仍立即付給買(mǎi)方上述罰款。此外,賣(mài)方還得將已經(jīng)收到的預(yù)付款及其按年利率5%計(jì)算的利息退還給買(mǎi)方。如果由于買(mǎi)方原因?qū)е掳l(fā)貨遲延，則由此發(fā)生的倉(cāng)儲(chǔ)費(fèi)等費(fèi)用，將由買(mǎi)方承擔(dān)。賣(mài)方應(yīng)嚴(yán)格按照合同約定的交貨方式，按時(shí)按量交貨。乙方僅交付部分產(chǎn)品或者未按合同約定的批次、質(zhì)量交貨的（以下簡(jiǎn)稱(chēng)“瑕疵交付”），買(mǎi)方有權(quán)選擇拒絕接收，但不論買(mǎi)方是否接受上述瑕疵交付，買(mǎi)方均保留按照本條規(guī)定追究賣(mài)方違約責(zé)任的權(quán)利。ArbitrationAll disputes in connection with this Cont

35、ract or the execution thereof shall be settled friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration in accordance with the Rules of Conciliation and Arbitration of the CIETAC shanghai, by one or more arbitrators designated in compliance with these rules. The arbitration shall be final and binding upon both parties, neither party shall seek recourse to a law court nor other authorities to appeal for revision of the
