1、企業(yè)社會(huì)責(zé)任協(xié)議CSR(CorporateSocialResponsibility)Agreement甲方(PartyA):乙方(PartyB):CSR,全稱CorporateSocialResponsibility,即企業(yè)社會(huì)責(zé)任,包括對(duì)勞工權(quán)益、環(huán)境保護(hù)、職業(yè)健康與安全、商業(yè)道德等方面的要求。為促進(jìn)和規(guī)范甲方供應(yīng)鏈上的合作伙伴積極履行企業(yè)社會(huì)責(zé)任,經(jīng)甲乙雙方友好協(xié)商,自愿達(dá)成協(xié)議如下:CSRisshortforCorporateSocialResponsibility.CorporateSocialResponsibilityincludelabor,environment,health,
2、ethicsandsoon.ForthepurposeofpromotingandstandardizingtheperformanceofthepartnersonPartyAssupplychainforCorporateSocialResponsibility,onthebasisoffriendly,voluntarynegotiation,PartyAandPartyBsignedthisSupplementaryAgreementasfollows:一、保證Guarantee乙方同意作出如下陳述和保證:PartyBagreestoabidebythefollowingstateme
3、ntandguarantee:.勞工Labor本協(xié)議中的員工:包括所有臨時(shí)工、外出務(wù)工人員、學(xué)生工、合同工、派遣工、直屬員工和任何其他類型的員工。Theemployeesinthisagreementincludetemporary,migrant,student,contract,dispatchedlabor,directemployees,andanyothertypeofemployees.人權(quán)HumanRights乙方應(yīng)承諾按照國(guó)際社會(huì)公認(rèn)的準(zhǔn)則維護(hù)員工人權(quán),并給予他們尊嚴(yán)和尊重。PartyBshallbecommittoupholdthehumanrightsofemployees
4、,andtotreatthemwithdignityandrespectasunderstoodbytheinternationalcommunity.自由選擇職業(yè)FreelyChosenEmployment不得雇傭被強(qiáng)迫、抵押(包括債役)或用契約束縛的勞工、非自愿的獄中勞工、奴隸或販賣人口。包括不得通過威脅、強(qiáng)迫、強(qiáng)制、誘拐或欺騙方式運(yùn)送、窩藏、招聘、轉(zhuǎn)移或接收此類勞工或服務(wù)。Forced,bonded(includingdebtbondage)orindenturedlabor,involuntaryprisonlabor,slaveryortraffickingofpersonsshal

8、yaccessbyemployeestoemployeesidentityorimmigrationdocuments,suchasgovernment-issuedidentification,passportsorworkpermits,unlesstheholdingofworkpermitsisrequiredbylaw.乙方或乙方的代理不得要求員工支付金額超過一個(gè)月工資作為招聘費(fèi)或其他費(fèi)用。必須披露向員工收取的任何費(fèi)用,且金額超過一個(gè)月工資的費(fèi)用必須返還給員工。WorkersshallnotberequiredtopaypartyBanditsagentsrecruitmentfee
9、sorotheraggregatefeesinexcessofonemonthssalary.Allfeeschargedtoworkersmustbedisclosedandfeesinexcessofonemonthssalarymustbereturnedtotheworker.青年員工YoungWorkers青年員工包括童工和未成年工。Youngworkersincludechildlaborandjuvenileworkers.在制造的任何階段均不得使用童工?!皟和敝肝礉M15歲、低于完成義務(wù)教育的年齡或低于國(guó)家/地區(qū)的最低就業(yè)年齡(這三種情形中以最高者為準(zhǔn))的任何人。支持采用遵守所
10、有法律法規(guī)的合法工作場(chǎng)所學(xué)徒計(jì)劃。中國(guó)法律規(guī)定童工年齡為未滿16周歲。Childlaborisnottobeusedinanystageofmanufacturing.Theterm“child”referstoanypersonundertheageof15,orundertheageforcompletingcompulsoryeducation,orundertheminimumageforemploymentinthecountry,whicheverisoldest.Theuseoflegitimateworkplacelearningprograms,whichcomplywith
11、alllawsandregulations,issupported.“Childlabor”referstoanypeopleundertheageof16pursuanttoChineselaw.年齡低于18歲的員工(即青年員工)不得從事可能危及健康或安全的工作,包括夜班和加班。Workersundertheageof18(YoungWorkers)shallnotperformworkthatislikelytojeopardizetheirhealthorsafety,includingnightshiftsandovertime.乙方應(yīng)合理維護(hù)學(xué)生工記錄、對(duì)導(dǎo)師搭檔進(jìn)行嚴(yán)格的盡職調(diào)查,
12、并按照適用法律和法規(guī)保護(hù)學(xué)生工權(quán)利,從而確保對(duì)學(xué)生工進(jìn)行恰當(dāng)?shù)墓芾?。乙方?yīng)為所有學(xué)生工提供適當(dāng)?shù)闹С趾团嘤?xùn)。如無當(dāng)?shù)胤梢?guī)定,學(xué)生工、實(shí)習(xí)生和學(xué)徒的工資率至少應(yīng)與其他執(zhí)行相同或相似崗位的初級(jí)員工相等。PartyBshallensurepropermanagementofstudentworkersthroughpropermaintenanceofstudentrecords,rigorousduediligenceofeducationalpartnersandprotectionofstudentsrightsinaccordancewithapplicablelawandregulati
13、ons.PartyBshallprovideappropriatesupportandtrainingtoallstudentworkers.Intheabsenceoflocallaw,thewagerateforstudentworkers,internsandapprenticesshallbeatleastthesameasotherentry-levelworkersperformingequalorsimilartasks.工作時(shí)間WorkingHours周工作時(shí)間不得超過當(dāng)?shù)胤梢?guī)定的最大限度。Workweeksarenottoexceedthemaximumsetbylocal

18、清楚地界定并傳達(dá)給員工。Disciplinarypoliciesandproceduresinsupportoftheserequirementsshallbeclearlydefinedandcommunicatedtoworkers.非歧視Non-Discrimination乙方應(yīng)承諾員工免受騷擾以及非法歧視。PartyBshouldbecommittedtoaworkforcefreeofharassmentandunlawfuldiscrimination.乙方不得因人種、膚色、年齡、性別、性取向、性別認(rèn)同和性別表現(xiàn)、種族或民族、殘疾、懷孕、宗教信仰、政治派別、社團(tuán)成員身份、受保護(hù)的退
19、伍軍人身份、受保護(hù)的基因信息或婚姻狀況在發(fā)放工資、升遷、獎(jiǎng)勵(lì)、培訓(xùn)機(jī)會(huì)等聘用或雇傭行為中歧視員工。PartyBshallnotengageindiscriminationbasedonrace,color,age,gender,sexualorientation,genderidentityandexpression,ethnicityornationalorigin,disability,pregnancy,religion,politicalaffiliation,unionmembership,coveredveteranstatus,protectedgeneticinformatio

22、efrainfromsuchactivities.員工和/或其代表應(yīng)能與管理層公開溝通和分享有關(guān)工作環(huán)境和管理實(shí)踐的建議與意見,而無需擔(dān)心歧視、報(bào)復(fù)、威脅或騷擾。Workersand/ortheirrepresentativesshallbeabletoopenlycommunicateandshareideasandconcernswithmanagementregardingworkingconditionsandmanagementpracticeswithoutfearofdiscrimination,reprisal,intimidationorharassment.健康與安全Hea
23、lthandSafety職業(yè)安全OccupationalSafety應(yīng)通過正確的設(shè)計(jì)、工程和管理控制、預(yù)防性維護(hù)和安全工作流程(包括上鎖/掛牌)以及持續(xù)的安全培訓(xùn)來控制員工可能遇到的潛在安全危險(xiǎn)(如電器和其他能源、火、車輛及墜落危險(xiǎn))。如果無法通過上述方式有效控制危險(xiǎn),應(yīng)為員工提供適當(dāng)?shù)摹⒈pB(yǎng)良好的個(gè)人防護(hù)裝備和有關(guān)上述危險(xiǎn)可能導(dǎo)致風(fēng)險(xiǎn)的教育資料。應(yīng)鼓勵(lì)員工提出安全疑慮。Potentialsafetyhazards(e.g.,electricalandotherenergysources,fire,vehicles,andfallhazards)towardsworkersaretobecon
24、trolledthroughproperdesign,engineeringandadministrativecontrols,preventativemaintenanceandsafeworkprocedures(includinglockout/tag),andongoingsafetytraining.Wherehazardscannotbeadequatelycontrolledbythesemeans,workersaretobeprovidedwithappropriate,well-maintained,personalprotectiveequipmentandeducati
25、onalmaterialsaboutriskstothemassociatedwiththesehazards.Workersshallbeencouragedtoraisesafetyconcerns.應(yīng)急準(zhǔn)備EmergencyPreparedness應(yīng)識(shí)別并評(píng)估緊急情形和緊急事件,并通過實(shí)施應(yīng)急方案及應(yīng)對(duì)程序?qū)⑵溆绊懡档阶畹?,包括:緊急報(bào)告、員工通知和撤離程序、員工訓(xùn)練與演習(xí)、適當(dāng)?shù)幕馂?zāi)偵測(cè)及撲滅設(shè)備、充足的出口設(shè)施和復(fù)原計(jì)劃。此類計(jì)劃和程序應(yīng)盡可能減少對(duì)人身、環(huán)境和財(cái)產(chǎn)的危害。Potentialemergencysituationsandeventsaretobeidentifiedan

27、minimizingharmtolife,theenvironmentandproperty.2.3工傷和疾病OccupationalInjuryandIllness應(yīng)制定程序和體系以預(yù)防、管理、跟蹤和報(bào)告工傷和疾病,包括以下規(guī)定:鼓勵(lì)員工報(bào)告;對(duì)工傷和疾病案例進(jìn)行分類和記錄;提供必要的醫(yī)療服務(wù);調(diào)查案例并采取糾正措施以消除影響;幫助員工重返工作。Proceduresandsystemsaretobeinplacetoprevent,manage,trackandreportoccupationalinjuryandillnessincludingprovisionsto:encouragew
28、orkerreporting;classifyandrecordinjuryandillnesscases;providenecessarymedicaltreatment;investigatecasesandimplementcorrectiveactionstoeliminatetheircauses;andfacilitatereturnofworkerstowork.工業(yè)衛(wèi)生IndustrialHygiene應(yīng)鑒別、評(píng)估并控制由化學(xué)、生物及物理試劑給員工帶來的影響。必須采取工程技術(shù)或管理手段來控制危險(xiǎn)源過度暴露。無法通過這些方法有效控制危險(xiǎn)源時(shí),須通過適當(dāng)?shù)膫€(gè)人防護(hù)裝備方案保護(hù)員工健

34、handsafetytrainingintheirprimarylanguage.Healthandsafetyrelatedinformationshallbeclearlypostedinthefacility.環(huán)境Environment環(huán)境許可與報(bào)告EnvironmentalPermitsandReporting應(yīng)獲取、維護(hù)并更新所有必需的環(huán)境許可證(如排放監(jiān)測(cè))、批準(zhǔn)文書及登記證,并遵守其運(yùn)營(yíng)和報(bào)告要求。Allrequiredenvironmentalpermits(e.g.dischargemonitoring),approvalsandregistrationsaretobeobt

37、aretobeidentifiedandcontrolledtoensuretheirsafehandling,movement,storage,use,recyclingorreuseanddisposal.廢水與固體廢物WastewaterandSolidWaste乙方應(yīng)采取系統(tǒng)化的方法來鑒別、管理、減少和負(fù)責(zé)任地處置或回收固體廢物(非有害物質(zhì))。作業(yè)活動(dòng)、工業(yè)流程和衛(wèi)生設(shè)施產(chǎn)生的廢水在排放或處置前,需按要求進(jìn)行性質(zhì)識(shí)別、監(jiān)測(cè)、控制和處理。此外,還應(yīng)采取措施減少?gòu)U水產(chǎn)生。乙方應(yīng)對(duì)其廢水處理系統(tǒng)性能進(jìn)行常規(guī)監(jiān)測(cè)。PartyBshallimplementasystematicapproacht
38、oidentify,manage,reduce,andresponsiblydisposeoforrecyclesolidwaste(non-hazardous).Wastewatergeneratedfromoperations,industrialprocessesandsanitationfacilitiesaretobecharacterized,monitored,controlledandtreatedasrequiredpriortodischargeordisposal.Inaddition,measuresshouldbeimplementedtoreducegenerati
39、onofwastewater.PartyBshallconductroutinemonitoringoftheperformanceofitswastewatertreatmentsystems.廢氣排放AirEmissions經(jīng)營(yíng)過程中產(chǎn)生的揮發(fā)性有機(jī)化學(xué)物質(zhì)、氣溶膠、腐蝕物、粉塵、消耗臭氧層的化學(xué)品和燃燒副產(chǎn)物等廢氣排放,需在排放前按要求進(jìn)行性質(zhì)識(shí)別、常規(guī)監(jiān)測(cè)、控制及處理。乙方應(yīng)對(duì)其廢氣排放控制系統(tǒng)性能進(jìn)行常規(guī)監(jiān)測(cè)。Airemissionsofvolatileorganicchemicals,aerosols,corrosives,particulates,ozonedepletingch
40、emicalsandcombustionby-productsgeneratedfromoperationsaretobecharacterized,routinelymonitored,controlledandtreatedasrequiredpriortodischarge.PartyBshallconductroutinemonitoringoftheperformanceofitsairemissioncontrolsystems.材料限制MaterialsRestrictions乙方應(yīng)遵守所有關(guān)于禁止或限制在產(chǎn)品和制造過程中使用特定物質(zhì)(包括有關(guān)回收和處置的標(biāo)識(shí))的適用法律法規(guī)和客
41、戶要求。PartyBistoadheretoallapplicablelaws,regulationsandcustomerrequirementsregardingprohibitionorrestrictionofspecificsubstancesinproductsandmanufacturing,includinglabelingforrecyclinganddisposal.暴雨管理StormWaterManagement乙方應(yīng)采取系統(tǒng)化的方法來預(yù)防暴雨徑流污染。乙方應(yīng)防止非法的排放和泄漏物質(zhì)進(jìn)入排水渠。PartyBshallimplementasystematicapproach
42、topreventcontaminationofstormwaterrunoff.PartyBshallpreventillegaldischargesandspillsfromenteringstormdrains.能源消耗和溫室氣體排放EnergyConsumptionandGreenhouseGasEmissions應(yīng)在工作場(chǎng)所級(jí)和/或企業(yè)級(jí)對(duì)能源消耗和溫室氣體排放進(jìn)行跟蹤和記錄。乙方應(yīng)尋求具有成本效益的方式以提高能源效率并盡可能減少能源消耗和溫室氣體排放。Energyconsumptionandgreenhousegasemissionsaretobetrackedanddocumen
43、ted,atthefacilityand/orcorporatelevel.PartyBistolookforcosteffectivemethodstoimproveenergyefficiencyandtominimizetheirenergyconsumptionandgreenhousegasemissions.道德Ethics誠(chéng)信經(jīng)營(yíng)BusinessIntegrity在所有商業(yè)互動(dòng)中都應(yīng)遵循最高的誠(chéng)信標(biāo)準(zhǔn)。乙方應(yīng)采取零容忍政策,禁止任何形式的賄賂、腐敗、敲詐勒索和挪用公款行為。所有業(yè)務(wù)交易均應(yīng)確保透明并應(yīng)在乙方業(yè)務(wù)賬目和記錄中準(zhǔn)確反映。應(yīng)推行監(jiān)督和強(qiáng)化程序以確保符合反腐敗法的要求。T
