The Seller shall be liable

4、for any damageand loss of the goods attributable to the inadequate or improper packing. The measurement, grossweight, net weight and the cautions such as Do not stack up side down, Keep away from moisture, Handle with care shall be stenciled on the surface of each package with fadeless pigment.嘜頭 (

17、： 一俟裝載完畢，賣應(yīng)在小時內(nèi)以式通知買合同編號、品名、已發(fā)運數(shù)量、發(fā)票總金額、毛重、船名/ 車/ 機號及啟程日期等。The Seller shall,immediatelyupon the completionof the loadingof the goods,advise the Buyer of the Contract No., names of commodity, loading quantity,invoice values, gross weight, name of vessel and shipment date bywithin_hours. 質(zhì)量保證 ( Qualit

18、y Guarantee )： 貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港個月內(nèi)。在保證期限內(nèi)，因制造廠商在設(shè)計制造過程中的缺陷造成的貨物損害應(yīng)由賣負(fù)責(zé)賠償。The Seller shall guarantee that the commodity must be in conformity with the quatity, specifications and quantity specified in this Contract and Letterof Quality Guarantee. The guarantee period shall be months

19、 after the arrival of the goods at the port ofdestination, and during the period the Seller shall be responsible for thedamage due to the defectsin designingand manufacturingof the manufacturer.檢驗 ( Inspection ) (以下兩項任選一項 ) ：() 賣須在裝運前日委托 _ 檢驗機構(gòu)對本合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買委托_檢驗機構(gòu)進行檢驗。The Seller shall

21、物殘損或規(guī)格、數(shù)量與合同規(guī)定不符，除保險公司或輪船公司的責(zé)任外，買得在貨物到達(dá)目的港后日內(nèi)憑商檢局出具的檢驗證書向賣索賠或拒收該貨。在保證期內(nèi)，如貨物由于設(shè)計或制造上的缺陷而發(fā)生損壞或品質(zhì)和性能與合同規(guī)定不符時，買將委托中國商檢局進行檢驗。The manufacturers shall, before delivery, make a precise and comprehensiveinspection of the goods with regard to its quality, specifications,performance and quantity/weight,and iss

22、ue inspectioncertificatescertifyingthe technicaldata and conclusionof the inspection. Afterarrivalof the goodsat the port ofdestination, the Buyer shall applyto China Commodity InspectionBureau (hereinafter referred to as CCIB) for a further inspection as to thespecifications and quantity/weight of

23、the goods. If damages of the goods arefound, or the specifications and/or quantity are not in conformity with thestipulations in this Contract, except when the responsibilities lies withInsurance Company or Shipping Company, the Buyer shall, withindaysafter arrival of the goods at the portof destina

24、tion, claim against the Seller, or reject the goods according tothe inspection certificate issued by CCIB. In case of damage of the goodsincurred due to the design or manufacture defects and/or in case the qualityand performance are not in conformity with the Contract, the Buyer shall,during the gua

25、rantee period, request CCIB to make a survey. 索賠 ( Claim )： 買憑其委托的檢驗機構(gòu)出具的檢驗證明書向賣提出索賠( 包括換貨) ，由此引 起的全部費用應(yīng)由賣負(fù)擔(dān)。若賣收到上述索賠后天未予答復(fù)，則認(rèn)為賣已接受買索賠。The buyer shall make a claim against the Seller(includingreplacement of thegoods) by the further inspection certificate and all the expenses incurred therefrom shall

The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within days after the Seller received theBuyers claim.遲交貨與罰款( Late delivery and Penalty)除合同第條不可抗力原因外，如賣不能按合同規(guī)定的時間交貨，買應(yīng)同意在賣 支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按 每天收%不足天時以天計算。但罰款不得超過遲交貨物總價

27、 的 %如賣延期交貨超過合同規(guī)定 _天時，買有權(quán)撤銷合同，此時，賣仍應(yīng)不遲延地按上述規(guī)定向買支付罰款。買有權(quán)對因此遭受的其它損失向賣提出索賠。Should the Sellerfailto make deliveryon time as stipulatedintheContract,withthe exceptionofForce Majeure causes specifiedin Clause ofthisContract,theBuyer shall agree to postpone thedeliveryon theconditionthatthe Selleragree to p

28、ay a penalty which shall be deducted by the paying bank from thepayment under negotiation. The rate of penalty is charged at% for everydays, odd days less thandays should be counted asdays. But the penalty, however, shall not exceed %of the totalvalue of the goods involved in the delayed delivery. I

29、n case the Seller failto make delivery_ days later than the time ofshipment stipulatedin theContract,theBuyer shallhave therightto canceltheContract and theSeller,in spiteofthecancellation,shallneverthelesspay the aforesaid penalty to the Buyer without delay.The buyer shall have the right to lodge a

30、 claim against the Seller for the losses sustained if any.不可抗力 ( Force Majeure )： 凡在制造或裝船運輸過程中，因不可抗力致使賣不能或推遲交貨時，賣不負(fù)責(zé)任。在發(fā)生上述情況時，賣應(yīng)立即通知買，并在天內(nèi)，給買特快專遞一份由當(dāng)?shù)孛耖g商會簽發(fā)的事故證明書。在此情況下，賣仍有責(zé)任采取一切必要措施加快交貨。如事故延續(xù)_ 天以上，買有權(quán)撤銷合同。The Seller shall not be responsible for the delay of shipment or nondelivery of the goods due

32、ce of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. 33、ccident lasts for more than days the Buyer shall have the right to cancel the Contract.爭議的解決(Arbitration):凡因本合同引起的或與本合同有關(guān)的任何爭議應(yīng)協(xié)商解決。若協(xié)商不成，應(yīng)提國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會，按照申請仲裁時該會現(xiàn)行有效的仲交中裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙均有約束力。Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation.
