中英文合作備忘錄MOU模版?zhèn)渥ⅲ??此MOU是由我方起草，各條款相對(duì)公平，條款約束相對(duì)寬松。適用于和外方的一般性合作備忘錄簽訂。如涉及到更深一步的合作，需要添加雙方的業(yè)績(jī)承諾，時(shí)間進(jìn)度和傭金支付等。中文備注方面都是由我方公司填寫(xiě)；英文備注由外方填寫(xiě)。MEMORANDUMOFUNDERSTANDING諒解備忘錄BETWEENCOMPANY（我方公司）

Purpose目的1.ThepurposeofthisMOUistoprovideaframeworkofcooperationandfacilitatecollaborationamongtheParties,onanon-exclusive(orexclusive)basisintheProjects.本MOU的目的為各方在此項(xiàng)目上非排他性(或排他性的，兩者選一個(gè))的提供合作框架和促進(jìn)合作。ArticleII

AreasofCooperation合作領(lǐng)域ThePartiesagreetocooperateinthefollowingareasofactivity:各方同意在以下領(lǐng)域進(jìn)行合作：ThePartiesthatwillundertaketoexploreanddevelopthemarketandconstructionoftheProjectsinthescopeofcooperationwithtermstobeagreed(includingbutnotlimitedtoanyformsofprocurementcontractforequipment,serviceorturn-keyprojects).雙方將在合作范圍內(nèi)的共同開(kāi)發(fā)市場(chǎng)和進(jìn)行工程建設(shè)(包括但不限于任何形式的設(shè)備、服務(wù)或總包項(xiàng)目的采購(gòu)合同)Createpartnershipwithstateownedand/orprivate—thescopeofcooperationcompaniesinotherstrategicsector/swithpotentialforjobcreation,povertyreductionandotherdevelopmentalobjectives;與合作范圍內(nèi)的國(guó)有或私營(yíng)企業(yè)在其它戰(zhàn)略領(lǐng)域，如創(chuàng)造就業(yè)，減少貧困，和其他發(fā)展性的目的而合作。EstablishingbusinesscontactswithinterestedandpotentialChineseandotherinternationalcompanieswhoarecommittedtocontributetosustainabledevelopmentinthescopeofcooperation.與有意向的有潛力的在合作范圍內(nèi)的促進(jìn)可持續(xù)發(fā)展的中國(guó)和其他國(guó)際公司建立商業(yè)聯(lián)系。ThePartiesagreethatthispresentcooperationisbuiltonmutualtrustamongthePartiesandthatnoneofthePartiesshalldoanyactsthatunderminetheinterestsoftheotherPartyatalltimes.HonestandfrankdisclosuresofinformationoftheProjectsarerequiredthroughoutthetermofcooperationwhichisformedofandinrelationtothisMOUamongtheParties.各方同意目前的合作是基于各方之間的相互信任，各方任何時(shí)候都不得做出有損其它方利益的行為?各方在本MOU相關(guān)的合作過(guò)程中都要誠(chéng)實(shí)坦誠(chéng)交換信息。ArticleIIIConsultationandExchangeofInformation

咨詢(xún)與信息交換ThePartiesshall,onaregularbasis,keepeachotherinformedofandconsultduringtheprogressandshareinformationofandrelatingtotheProjectstrulyandaccurately.各方應(yīng)定期就與有關(guān)項(xiàng)目有關(guān)的信息真實(shí)且準(zhǔn)確地進(jìn)行通知、商討和信息共享。ConsultationandexchangeofinformationanddocumentsunderthisArticleIIIshallbewithoutprejudicetoarrangementsaccordingtowhichcertaininformationanddocumentsmayberequiredtobemaintainedconfidentialandbeingofrestrictedcharacter.本條款下的對(duì)信息和文件的商討和交換均不影響任何關(guān)于保密和限制性信息和文件的保密要求。EachofthePartiesshallatanytimethatdeemedappropriatetorequestandconvenemeetingsforreportingand/orreviewingtheprogressofactivitiesbeingcarriedoutunderthispresentMOUandforplanningandimplementingfutureactivities.各方應(yīng)在任何被認(rèn)為恰當(dāng)?shù)臅r(shí)候，要求召開(kāi)會(huì)議，匯報(bào)和/或回顧根據(jù)本MOU所開(kāi)展活動(dòng)的進(jìn)展，并計(jì)劃和實(shí)施未來(lái)的活動(dòng)。ThePartiesmayinvitetechnicalteamstoattendmeetingswiththescopeofcooperationgovernmentofficialsfornegotiationsoftheProjectsandimplementation.Invitationsshallbemadeinreasonabletime(withonemonthpriornotice)andtakeintoaccountoftheworkschedulesoftheParties.各方可以邀請(qǐng)技術(shù)團(tuán)隊(duì)參加與合作范圍內(nèi)的政府的會(huì)議來(lái)商討項(xiàng)目和實(shí)施。邀請(qǐng)應(yīng)提前做好(提前一個(gè)月)并要考慮工作日程。ArticleIV

ImplementationoftheMOU

本MOU的實(shí)施Inordertoimplementthespecificactivitiesenvisionedhereunder,thePartiesshallconcludetransactionagreements,cost-sharingagreementsetc.whichshallspecifythescopeofworkandcostsorexpenses,salesrevenueorprofitrelatingtotheactivityandhowtheywilltobesharedand/orbornebytheParties.Thecost-sharingagreementsshallspecifyindetailtheexpensesneedtobeinvestedduringthewholeprocessoftheProjects,includingbutnotlimitedtothepreparation,operationandfinalizationoftheProjects.為了實(shí)施下文約定的具體行動(dòng)，各方應(yīng)簽訂交易協(xié)議、費(fèi)用共擔(dān)協(xié)議等，明確與上述具體行動(dòng)有關(guān)的工作范圍、成本、銷(xiāo)售收入或利潤(rùn)及其如何分配和承擔(dān)。成本共擔(dān)協(xié)議應(yīng)明確項(xiàng)目全程所投入的詳細(xì)成本，包括但不限于準(zhǔn)備、運(yùn)營(yíng)直至終止。ThecostsofpublicrelationsactivitiesrelatingtothisMOU,thatarenototherwiseaddressedbyaspecificcost-sharingagreementconcludedhereunder,willbetheresponsibilityofeachpartyindependently.本MOU下公共關(guān)系活動(dòng)的費(fèi)用，如果沒(méi)有簽署的協(xié)議規(guī)定明確哪方承擔(dān)，應(yīng)由各方獨(dú)自承擔(dān)。ThePartieshavenointentiontoformanypartnership,agencyorauthorizedrepresentativerelationshipamongthemandnosuchrelationshipsaretobeformedbyvirtueofthisMOU.NoneofthePartiesshallenterintoanycontractorcommitmentonbehalfoftheotherParty(ies)ThePartiesshallbesolelyresponsibleformakingallpaymentstoandonbehalfofitsownaccount,asprovidedunderthisMOUand/orcost-sharingagreementsconcludedhereunder.各方之間無(wú)意設(shè)立任何合伙、代理或授權(quán)代表關(guān)系，本MOU不設(shè)立上述關(guān)系。任何一方均不應(yīng)代表其他方簽署任何合同或作出承諾，只能代表自身支付本MOU項(xiàng)下或成本共擔(dān)協(xié)議項(xiàng)下的款項(xiàng)。EachPartyshallberesponsibleforitsownactsandomissionsinconnectionwiththisMOUanditsimplementation.各方應(yīng)對(duì)本MOU和實(shí)施中自己的行為或義務(wù)負(fù)責(zé)。ArticleV

UseofNameandLogoetc.名字或商標(biāo)等的使用NoneofthePartiesshallusethename,logo,tradenamesortrademarksoftheotherPartiesoritssubsidiaries,and/oraffiliates,oranyabbreviationoftheaforesaid,forwhateverpurposesandinwhatevermanners,whetherornotitisinconnectionwithitsbusinessorotherwise,unlessexpresspriorwrittenapprovaloftheotherPartiesareobtainedineachcaseofusewithtermstobeagreed.除非按照約定經(jīng)一方事先書(shū)面允許，任何一方不得為任何目的、以任何形式使用其它方和/或其子公司、附屬公司的名稱(chēng)、標(biāo)識(shí)、商號(hào)或商標(biāo)，不論該使用行為是否與其自身業(yè)務(wù)有關(guān)。BothpartiesacknowledgethattheyarefamiliarwithdynamicpoliticalenvironmentinthescopeofcooperationandthatnoneofthePartiesshallbeassociated,whetherdirectlyorindirectlyandinwhatevermanner,withanypoliticalorsectariancausesinthescopeofcooperation.IfanyPartydidhaveanysuchassociationand/orcausesinthescopeofcooperation,thatPartyshallinformtheotherPartiesimmediatelywithoutdelay.ThePartiesherebyagreethatwhenonePartyhasanypoliticalassociationand/orcausesinthescopeofcooperation,thisshallbealegitimatereasonforearlytermination,withoutcompensation,bytheotherPartiesofthisMOUandofallothertransactionagreements,cost-sharingagreementsetc.雙方都熟悉合作范圍內(nèi)的國(guó)家的動(dòng)態(tài)政治環(huán)境，各方都沒(méi)有直接或間接或以任何形式，與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)。如果任何一方有關(guān)聯(lián)，該方應(yīng)立即通知其他方。各方同意當(dāng)其中一方與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián)，本MOU的其他方可視為提前終止本MOU、其他貿(mào)易協(xié)議或成本共擔(dān)協(xié)議等的正當(dāng)理由，并無(wú)賠償責(zé)任。ArticleVIDuration,Termination,Modification

有效期，終止與修改TheproposedcooperationunderthisMOUisexclusiveandshallhavedurationofaninitialperiodofone仃)year,commencing(dates)unlessearlyterminationaccordingtoclause5.2aboveorbyeitherPartyuponatleasttwo(2)months'priornoticeinwritingtotheotherParties.ThePartiesmayagreetoextendthetermofthisMOUforasubsequentperiod(s)uptothree(3)years,unlessotherwisemutuallyagreedinwriting.本MOU項(xiàng)下預(yù)期的合作應(yīng)是排他的，最初期限應(yīng)為1年，自起，除非根據(jù)第5.2條提前終止或任何一方提前至少兩個(gè)月書(shū)面通知終止本MOU。各方可以同意本MOU到期后繼續(xù)順延，最多順延3年，除非各方另行書(shū)面約定。IntheeventofterminationofthisMOU,thecost-sharingagreementsandprojectdocumentsconcludedpursuanttothisMOUshallalsobeterminatedinaccordancewiththeterminationprovisioncontainedinsuchagreements.Insuchcase,thePartiesshalltakeallnecessarystepstoensurethattheactivitiescarriedoutundertheMOU,thecost-sharingagreementsandprojectdocumentswillbepromptlyandorderlyterminated.如果本MOU終止，根據(jù)本MOU簽訂的成本共擔(dān)協(xié)議和項(xiàng)目文件應(yīng)同時(shí)按照該等協(xié)議和文件約定的條款予以終止。在此情形下，各方應(yīng)采取各種必要措施來(lái)確保根據(jù)本MOU、成本共擔(dān)協(xié)議和項(xiàng)目文件開(kāi)展的活動(dòng)迅速且有序地予以終止。ThisMOUshallbeamendedbymutualagreementinwritinganddulyexecutedbytheParties.本MOU應(yīng)由各方合意以書(shū)面形式作出修改并依約履行。ArticleVII

NoticesandAddresses

通知與地址AllnoticesorothercommunicationsrequiredorpermittedtobegivenpursuanttoorinreferencetothisMOUshallbeinwritingandshallbevalidandsufficientifdeliveredispatchedbyregisteredmail,courier,personaldeliveryorNfOaTx(aecmcaeiplted)asthecasemaybe,tothePartyattheaddresssetforthbelowinthisMOUorasfromtimtimeupdatedbyeachParty.Noticegivenashereinprovidedshallbedeemedtohavebeeserved(i)inthecaseofpersonaldeliveryatthetimewhenthenoticeisleftattheaddresse'esaddressasstatedhereinbeloworitslastknownaddress;or(ii)inthecasdeliverybyregisteredmailorcourieronthetsh)evdeanythaf(t7erposting;or(iii)uponconfirmation(asgeneratedbythefaxmachine)ofcorrecttransmission'stfoaxtherecipientmachine.根據(jù)或與本MOU有關(guān)的所需要或允許作出的所有通知和其他通訊均應(yīng)當(dāng)以書(shū)面形式作出，且應(yīng)當(dāng)合法且有效地以?huà)焯?hào)信、郵寄、私人遞送或傳真(不接受電子郵件)形式遞送至本MOU下文約定的各方地址，或者各方不時(shí)更新的其他地址。在下列情形下遞送的通知應(yīng)視為已送達(dá)：(1)如果以私人遞送的方式，通知到達(dá)被送達(dá)人的下述地址或其他的最新已知地址；或(2)掛號(hào)信或郵件寄出后第7天；或(3)收件人傳真機(jī)發(fā)出發(fā)送成功的確認(rèn)。For(填寫(xiě)我方公司通訊地址):Attention:Mr.For(Companyname”:Attention:Mr.ArticleVIIIGoverningLawsandJurisdictionandSettlementofDisputesThisMOUislegallybindingtotheParties.本MOU對(duì)各方有法律約束力。ThisMOUshallbegovernedandconstruedinaccordancetothelaw'sRoefpuPbeloipcleofChina.本MOU受中華人民共和國(guó)法律管轄。ThePartieshallusetheirbesteffortstoenterintofriendlynegotiatioanndsettlementamicablyofanydispute,controversyorclaimarisingoutofthisMOU(the“Dispute”)within[Sixty(60)days]fromthedatethatonePartysendingrequestsforsuchanegotiation.IfthePartiesamicablysettledtheDisputebythemselves,theyshallentesettlementagreementinwritingandtobedulyexecutedbythePartiesI.fthePartiesgenuinelyattemptednegotiationbutfailedtoreachanysettlementterms,eitherPartysubmittheDisputeforarbitrationasstatedhereinbelow.各方應(yīng)在一方發(fā)出要求協(xié)商的請(qǐng)求之日起60日內(nèi)，盡各方最大努力進(jìn)行友好協(xié)商和解決因本MOU引起的任何糾紛、異議或索賠“爭(zhēng)議”)。如各方自行友善解決爭(zhēng)議，各方應(yīng)簽訂書(shū)面的解決協(xié)議并依約履行。如果各方確實(shí)已盡力協(xié)商但未達(dá)成任何解決方案，任何一方可以就爭(zhēng)議按照下述方式提起仲裁。Anydispute,controversyorclaimamongthePartiesarisingoutofthisMOUwhichisnotsettledamicablyinaccordancewiththeforegoingparagraphshallbereferredtoarbitrationundertheUNCITRALArbitrationRulestheninforce.Thearbitraltribunalshallhavenoauthoritytoawardpunitivedamages.ThePartiesshallbeboundbyanyarbitrationawardrenderedasaresultofsucharbitrationasthefinaladjudicationofanysuchcontroversy,claimordispute.ThePartiesfurtheragreethefollowings:各方之間未能按照前述方式友好解決的任何糾紛、異議或索賠，應(yīng)當(dāng)根據(jù)彼時(shí)有效的聯(lián)合國(guó)國(guó)際貿(mào)易法委員會(huì)仲裁規(guī)則進(jìn)行仲裁。仲裁庭無(wú)權(quán)判處懲罰性賠償。各方應(yīng)受經(jīng)上述仲裁所作出的任何仲裁裁決的約束，視其為任何糾紛、異議或索賠的終局裁決。各方進(jìn)一步同意：(a)TheplaceofarbitrationshallbeatBeijing.(b)ThelanguagetobeusedinthearbitralproceedingsshallbeinEnglishlanguage.仲裁中使用的語(yǔ)言應(yīng)為英語(yǔ)。ThisMOUispreparedinEnglishandChinese.IncaseofanydiscrepanciescontainedbetweentheEnglishandChineseversions,theEnglishversionshallprevail.本MOU應(yīng)為中英文版本。如果中英文版本有差異，以英文版本為準(zhǔn)。ArticleIX
