-8-FinancialSupportAgreementRegardingGuarantyofObligation有關(guān)擔(dān)保義務(wù)的財務(wù)支持協(xié)議核心提示：benefitof[_________],dated_________InconsiderationoftheagreementbyAAACorporation(AAA)toissueorcontinuetomaintaintheguarantydescribedabovewhichisattachedasExhibitAhereto(theGuaranty)followingthetransferofAAA’sconbenefitof[_________],dated_________InconsiderationoftheagreementbyAAACorporation(AAA)toissueorcontinuetomaintaintheguarantydescribedabovewhichisattachedasExhibitAhereto(theGuaranty)followingthetransferofAAA’scontrollinginterestinBBBInc.(BBB)ascontemplatedbyAAAandCCCCorporation’sSupplementalFilingwiththeFCCon_________,_________,_________(M,D,Y)(theSeparation),BBBagreestopayAAAafeepursuanttothefollowingtermsandconditions:GuarantyFee:GuarantyFeeshallbe_________%perannum,calculatedmonthly,chargedonthemonth-endoutstandingbalanceoftheGuaranty,asevidencedbytheamortizationscheduleattachedtheretoorincludedtherein,andwillbepayablesemi-annuallyon_________,_________(M,D)and_________,_________(M,D)ofeachcalendaryear.IftheGuarantyisoutstandingforlessthanafullcalendarmonth,GuarantyFeeshallbecomputedbasedontheoutstandingbalanceoftheGuarantyoneachcalendardayofsuchmonththattheGuarantyshallremainineffect.AdjustmenttoGuarantyFee:TheGuarantyFeesetforthabovewasdeterminedbasedontheassumptionthatBBB’screditratingpost-SeparationwouldbeequivalenttotheaverageoftheratingsofBBB/Baa2andBBB-/Baa3.AAAshallhaveaone-timerighttoincrease,effectiveprospectively,theGuarantyFee(theAdjustedGuarantyFee)ifeitheroneofthefollowingeventsoccurs:(i)StandardPoor’sissuesacreditratingforBBBofBB+orlessor(ii)Moody’sissuesacreditratingforBBBofBa1orless.SuchrightmaybeexercisedatanytimebywrittennoticetoBBB.Ifeitheroftheeventsdescribedin(i)or(ii)aboveoccurs,theAdjustedGuarantyFeeshallbedeterminedbyAAAbyaveragingtheratesquotedtoAAAbythreenationallyrecognizedbankinginstitutionsforacreditequivalenttothepublishedcreditratingsofBBB.TheAdjustedGuarantyFeeshallbecometheGuarantyFeepayableunderthisletterfromandafterthedateonwhichAAAprovidesBBBwrittennoticeoftheAdjustedGuarantyFee.PaymentofFee:GuarantyFeeisduenotlaterthan5businessdaysfollowingtheendofeachsemi-annualpaymentperiodandshallbedeliveredbyelectronicfundstransferto[wiretransferinstructions]orsuchotherbankaccountasshallbeprovidedtoBBBbyAAAinwritingatleast5businessdayspriortothedateofelectronicfundstransfer.IntheeventtheGuarantyisterminated,replacedbyBBBorexpirespriortotheendofthesemi-annualpaymentperiod,GuarantyFeewillbeduenotlaterthan5businessdaysfollowingtheterminationofallobligationsofAAAundertheGuaranty.LatePaymentFee:ALatePaymentFeeintheamountofprimerateplus_________%perannum,calculateddaily,commencingonthedayimmediatelyfollowingtheduedateandbaseduponthenumberofdayselapsedpriortopaymentofallamountsdueshallbeincludedwithanyoverduepaymentofGuarantyFee.DutyofInquiry:AAAshallhavenoobligationtoconsultwithBBBormakeanyindependentinvestigationpriortoanydecisiontohonorordishonoranypaymentrequestundertheGuaranty.ImmediateRepayment:IfAAAmakesanypaymentundertheGuaranty,AAAagreestonotifyBBBinwriting,attheaddresssetforthattheendofthisletterorsuchotheraddressasshallbesubsequentlyprovidedtoAAAbyBBBinwriting,withinthreebusinessdaysoftheamountofsuchpayment,andBBBagreestopaysuchamounttoAAAwithinonebusinessdayfollowingthedateofsuchwrittennotice.ALatePaymentFeeshallbeappliedtoanyamountsnotreceivedwhendue.ReturnofDocuments:BBBshallpresenttheGuarantytoAAAforcancellationattheaddressofAAAsetforthattheendhereof,orsuchotheraddressasshallbeprovidedtoBBBbyAAAinwriting,followingtheterminationofallobligationsofAAAundertheGuaranty.Indemnification:BBBwillreimburse,indemnifyandholdharmlessAAAfromandagainstanyandallpayments,losses,damages,costsandexpenses(includingattorneys’feesandcourtcosts)paidorincurredbyAAA,itsofficers,directors,agents,andemployees,asaresultofanyclaimmadeunderthisletterortheGuaranty.Notice:Anywrittennoticeorotherinformationrequiredtobeprovidedinwritinghereundershallbemadeinwritingbyovernightdeliveryservice,facsimiletransmissionorelectronicmail,thatprovidesforevidenceofreceipt.Waiver:Nowaiverhereundershallbeeffectiveunlessevidencedinwriting,andshallbeeffectiveonlyunderthecircumstancesspecificallydescribedinsuchwaiver.UnderlyingDocuments:BBBagreestoprovideAAAwithanexecutedcopyofeachdocumententeredintobyBBBasofthedatefirstabovewrittenandfromtimetotimewhichcreatesanobligationofBBBthatisguaranteedbytheGuaranty,attheaddressofAAAsetforthattheendhereof,orsuchotheraddressasshallbeprovidedtoBBBbyAAAinwriting.UnderlyingObligation:Nothinghereinshallmodifyanyterm
