-7-MutualRelease互相轉(zhuǎn)讓協(xié)議核心提示：THISRELEASE(Release)ismadebyandbetween_________(you)andAAA,Inc.(theCompany)asofthedatesetforthbelowinconnectionwiththeparties’executionoftheSeparationAgreementdated_________,_________,_________(M,D,Y)(theSeparationTHISRELEASE(Release)ismadebyandbetween_________(you)andAAA,Inc.(theCompany)asofthedatesetforthbelowinconnectionwiththeparties’executionoftheSeparationAgreementdated_________,_________,_________(M,D,Y)(theSeparationAgreement).1.EXECUTIVERELEASE.InconsiderationofthepaymentsandbenefitsprovidedforundertheSeparationAgreement,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,youherebyagreeasfollows:a.Youherebyagreeonbehalfofyourself,youragents,assignees,attorneys,successors,assigns,heirsandexecutors,to,andyoudohereby,foreverreleasetheCompanyanditsaffiliates,predecessorsandsuccessorsandalloftheirrespectivepastand/orpresentofficers,directors,partners,members,managingmembers,employees,agents,representatives,administrators,attorneys,insurersandfiduciariesintheirindividualand/orrepresentativecapacities(hereinaftercollectivelyreferredtoastheCompanyReleasees),fromanyandallcausesofaction,agreements,damages,judgments,claims,debts,covenants,executionsanddemandsofanykindwhatsoever,whichyouoryourheirs,executors,administrators,successorsandassignseverhad,nowhaveormayhaveagainsttheCompanyReleaseesoranyofthem,inlaworequity,whetherknownorunknowntoyou,for,upon,orbyreasonof,anymatterwhatsoeveroccurringuptothedatethisReleaseissignedbyyou,includingwithoutlimitationinconnectionwithorinrelationtoyouremploymentrelationshipwiththeCompanyoritsaffiliatesortheterminationofsuchrelationship;PROVIDEDthatsuchreleasedclaimsshallnotincludeanyclaimstoenforceyourrightsunder,orwithrespectto,theSeparationAgreement(suchreleasedclaimsarecollectivelyreferredtohereinastheReleasedClaims).b.Notwithstandingthegeneralityofclause(a)above,theReleasedClaimsinclude,withoutlimitation,(i)anyandallclaimsunderTitleVIIoftheCivilRightsActof1964,theAgeDiscriminationinEmploymentActof1967,theCivilRightsActof1971,theCivilRightsActof1991,theFairLaborStandardsAct,theEmployeeRetirementIncomeSecurityActof1974,theAmericanswithDisabilitiesAct,theFamilyandMedicalLeaveActof1993,andanyandallotherfederal,stateorlocallaws,statutes,rulesandregulationspertainingtoemploymentorotherwise,and(ii)anyclaimsforwrongfuldischarge,breachofcontract,fraud,misrepresentationoranyclaimsrelatingtocompensation,benefitsorequity,oranyotherclaimsunderanystatute,ruleorregulationorunderthecommonlaw,includingcompensatorydamages,punitivedamages,attorney’sfees,costs,expensesandallclaimsforanyothertypeofdamageorrelief.Toensurethattheforegoingreleaseisfullyenforceableinaccordancewithitsterms,youagreetowaiveanyprotectionthatmayexistunderanystatuteandunderanyprincipleofcommonlawoftheUnitedStatesoranyandallStates.c.YouexpresslyunderstandandagreethattheobligationsoftheCompanyassetforthintheSeparationAgreementareinlieuofanyandallotheramountswhichyoumightbe,arenow,ormaybecomeentitledtoreceivefromtheCompanyoranyaffiliateuponanyclaimreleasedhereinand,withoutlimitingthegeneralityoftheforegoing,youexpresslywaiveanyrightorclaimthatyoumayhaveorassertwithrespecttoanyagreementorarrangementrelatingtoemployment,compensation,benefitsorequitywiththeCompanyoritsaffiliates,andanydamagesand/orattorney’sfeesandcosts.d.YourepresentthatyouhavereadcarefullyandfullyunderstandthetermsofthisRelease,andthatyouhavebeenadvisedtoconsultwithanattorneyandhavehadtheopportunitytoconsultwithanattorneypriortosigningthisRelease.YouacknowledgethatyouareexecutingthisReleasevoluntarilyandknowinglyandthatyouhavenotreliedonanyrepresentations,promisesoragreementsofanykindmadetoyouinconnectionwithyourdecisiontoacceptthetermsofthisRelease,otherthanthosesetforthinthisRelease.2.COMPANYRELEASE.AsamaterialinducementforyoutoentertheSeparationAgreement,theCompanydoesherebyagreetoforeverreleaseyou,yourheirs,successorsandassigns(hereinaftercollectivelyreferredtoastheExecutiveReleasees),fromanyandallcausesofaction,agreements,damages,judgments,claims,debts,covenants,executionsanddemandsofanykindwhatsoever,whichtheCompanyeverhad,nowhasormayhaveagainsttheExecutiveReleaseesoranyofthem,inlaworequity,whetherknownorunknown,for,upon,orbyreasonof,anymatterwhatsoeveroccurringuptothedatethisReleaseissignedbytheCompany,includingwithoutlimitationinconnectionwithorinrelationshiptoyouremploymentrelationshipwiththeCompanyoritsaffiliatesortheterminationofsuchrelationship;PROVIDEDthatsuchreleasedclaimsshallnotincludeanyclaims(i)toenforcetheCompany’srightsunder,orwithrespectto,theSeparationAgreement,ortheLetterAgreement,PromissoryNoteorApril2LetterAgreementreferencedinSection5oftheSeparationAgreement,
