-65-MemorandumofUnderstandingre:AssetTransfer合作諒解協(xié)議核心提示:MemorandumofUnderstanding1.Transaction:UACorporation(togetherwithitssubsidiaries,UA)andAAAACorporation(togetherwithitssubsidiaries,AAA)willenterintoatransactionagreement(theTransactionAgreement)providingforthepurchaseMemorandumofUnderstanding1.Transaction:UACorporation(togetherwithitssubsidiaries,UA)andAAAACorporation(togetherwithitssubsidiaries,AAA)willenterintoatransactionagreement(theTransactionAgreement)providingforthepurchaseandsaleofcertainassets(whichmaybeUAorUSAirwaysassets)andthejointventureandothertransactionsandarrangementsdescribedinthisMemorandumofUnderstanding(collectively,theTransactions).TotheextentassetsdescribedinthisMemorandumofUnderstandingareassetsofUSAirways,referencestoUAinrelationtosuchassetswillbedeemedreferencestoUSAirways.FromandfollowingtheclosingoftheTransactions,UAwillbelegallyresponsiblefortheperformanceofallofUSAirways’obligationsundertheTransactionAgreement.2.PurchasePrice:SubjecttoprovisionssetforthbelowunderAircraftandAdjustmentstoPurchasePrice,AAAwillpay$,_________incashtoUAattheclosingofthetransferbyleaseofslotsandgatesreferredtobelowunderSlotsandGates,respectively(collectively,theInitialClosing).BytheInitialClosing,UAandAAAwillhaveagreeduponanAircraftdeliveryschedule.Inaddition,AAAwillberesponsiblefor(i)amountsinrespectofSubleaseAircraftreferredtobelowunderAircraftand(ii)payingtoUAincashamountsinrespectofspareengines,expendableandrotablesparepartsandtoolingreferredtobelowunderAircraft.3.Hub-to-HubRoutes:AAAwillagreethatitshall(orshallcauseoneofitsaffiliatesto)servicethefollowingroutesonanon-stopbasisusingjetaircraftfortenyearsfromtheclosingoftheUA-USAirwaysmergerwiththeminimumdailyfrequenciesandminimumdailynumbersofseatsspecifiedbelow:RouteMinimumMinimumDailyDailyNumberofSeatsFrequenciesPHL-LAX2260seatsPHL-SJC2260seatsPHL-DEN2250seatsCLT-ORD3350seatsDCA-PIT2100seatsTheobligationofAAAtoserviceorcausetobeservicedanyoftheabove-listedroutesisterminablebyAAAifanyotherairlinebeginsprovidingequivalentnon-stopjetserviceonsuchroute,providedthatsuchobligationwillbeautomaticallyreinstated(commencingnolaterthanthelaterof(i)90daysaftersuchotherairlinepubliclydisclosesitsintentiontostopprovidingsuchserviceor(ii)thedatesuchairlinestopsprovidingsuchservice)intheeventsuchequivalentserviceceasestobeprovidedforanyreason.Forthepurposeoftheprevioussentence,non-stopjetserviceonthefollowingAlternativeRoutesshallbedeemedtobeequivalenttoserviceonthecorrespondingHub-to-HubRoutes:AlternativeRouteHub-to-HubRoutePHL-ONT/BUR/SNA/LGBPHL-LAXPHL-SFO/OAKPHL-SJCCLT-MDWCLT-ORDIAD-PITDCA-PITPHL-COSPHL-DEN4.HubtoHubMarketSupport:IfdesiredbyAAAandpermittedbylawandapplicableagreements,includinglaboragreements,UAanditsaffiliateswillagreetoprovidetoAAAanditsaffiliatescodesharingbeyondtheairportslistedunderHub-to-HubRoutesabovethat,attherelevanttime,areUAhubs(otherthanORDandLAX)inrespectoftrafficcarriedbyAAAoritsaffiliatesbetweensuchhubspursuanttoitsagreementsdescribedunderHub-to-HubRoutesabove.PassengerswithAAAitinerariesflyingontheabovelistedroutes(otherthanpassengersflyingbetweenCLTandORD,betweenPHLandLAX,beyondORDorbeyondLAX)willbeabletoaccruemilesunderUA’sfrequentflyerprogramoncommerciallyreasonabletermsandconditionstobeagreedbytheparties.5.ShuttleArrangement:UAandAAAwillenterintoanarrangementwherebytheywilloperateUSAirways’BOS-LGA-DCA(BOS-LGA,BOS-DCAandLGA-DCA)shuttlebusinessinaccordancewiththeshuttletermsheetattachedheretoasExhibitA.6.Slots:UAwilltransfertoAAA22jetslotsand14commuterslotsatLGA.Thedeparture/landingtimesandidentificationnumbersofsuchslotswillbeagreeduponbythepartiesandwillbecommerciallyreasonableforbothparties.7.Gates:UAwilltransfertoAAAthefollowinggates(atlocationstobereasonablyagreeduponbythepartiestotheextentnotspecifiedbelow):LGA5gatesinConcourseCoftheCentralTerminalDCA3gatesintheUSAirwaysConcourseBOS3gates(tobeagreeduponbyUAandAAAwiththegoalofUAandAAAeachhavingcontiguousgates)PHL1gateintheDConcourseATL1gateintheTConcourseEWR1gateUAwillalsotransfertoAAAticketcounters,bagroomsandotherexclusiveusespacereasonablynecessarytosupportAAA’sfulluseofsuchgatesinaccordancewithstandardairlineindustrypractice.8.MaintenanceFacilities:Duringthefour-yearperiodfollowingtheInitialClosing,therespectivemaintenanceorganizationsofAAAandUAwillperiodicallyconferregardingthefeasibilityofUAleasingspacetoAAAatUSAirways’lineandbasemaintenancehangarsinBOS,LGA,DCAorotherlocations.ProvidedthatUAreasonablydeterminesthatspaceatsuchlineorbasemaintenancehangarsisavailableforusebyAAA,UAwillmakesuchspaceavailabletoAAA(byleaseorotherwise)forusebyAAAforaperiodnottoextendbeyondtheendofsuchfour-yearperiodbasedonthefairmarketvalueofthespace.DuringthetenyearperiodfollowingtheInitialClosing,eachofUAandAAAagreethatitwillnotlease,assignorotherwisemakeavailabletoanyothercarrier,suchcarrier’slineorbasemaintenancespaceintheUnitedStates(subjecttoexistingagreementsorcommitmentsorrenewalsthereof)withoutfirstofferingsuchspacetotheotherparty(totheextentpermittedbytheleasesforsuchmaintenancefacilities),withtheproceduresgoverningsuchrightoffirstofferbeingthesameasthosegoverningtherightoffirstofferdescribedunderMajorAirlineTransaction(includingtheprovisionforarightoffirstrefusalinthelimitedcircumstancesdescribedunderMajorAirlineTransactions),providedthatsuchrightoffirstofferorrightoffirstrefusalshallnotapplyinconnectionwithaforeclosureorotherexerciseofacreditor’srightsandthatlanguageintheTransactionAgreementregardingsuchrightoffirstofferorrightoffirstrefusalwillnotinterferewithobtainingcustomaryfinancingforthosetypesoffacilities.Inaddition,UAwillprovide(eitheritselforthroughoneormoremaintenancesubcontractorsselectedbyUA(provided,thatifthenatureofthesubcontractedworkwouldrequireAAAtoqUAifyanysuchsubcontractorforAAA’sapprovedvendorlistfiledwiththeFAAA,thensuchsubcontractormustbeapprovedbyAAA(suchapprovalnottobeunreasonablywithheld)andAAAwillusereasonablebesteffortstoqUAifyUA’sselectedsubcontractorsforAAA’sapprovedvendorlistfiledwiththeFAAA)),andAAAwillacceptandpayUAforatfairmarketrates(includingreasonablehandlingchargesformaintenanceservicesprovidedthroughanysubcontractors),base(butnotline)maintenanceservicesofthetypeperformedbyUSAirwaysintheordinarycourseofbusinessconsistentwithrecentpastpractice(includingservicingofenginesandcomponents)atlocationswhereUSAirwayscurrentlyperformsheavymaintenancechecksandvisitsfortheAircraftacquiredbyAAAfromUAforaperiodoftwoyearsfromtheDeliveryDate(asdefinedbelow)ofthefirstAircrafttoAAA.AAAshallhavetheoptiontoextendthetermoftheobligationsofUAandAAAdescribedintheprecedingsentenceforuptooneadditionalyearuponwrittennoticedeliveredtoUAatleastsixmonthspriortotheendofsuchtwo-yearperiod.SuchmaintenanceshallbeperformedpursuanttoamaintenanceservicesagreementunderwhichAAAisirrevocablyobligatedtopayforsuchmaintenanceservicestotheextenttheyaremadeavailablebyUA.UAshallnotchangeUSAirways’existingmaintenanceprogramswithoutobtainingtheconsentofAAA(suchconsentnottobeunreasonablywithheld).IfrequestedinwritingbyAAApriortotheInitialClosing,UAshallmaintainUSAirways’existingmaintenanceprograms(USAirways’Programs)inthemannerrequired(includingkeepingthenecessarycomputerandengineeringsystemsup-to-date)topermitAAAtousetheUSAirways’ProgramsinconnectionwiththeoperationoftheAircraftforfouryearsfromtheDeliveryDate(asdefinedbelow)ofthefirstAircraft,andAAAshallreimburseUAforitsdirectcostsincurredinconnectionwithmaintainingtheUSAirways’Programs.UAshallcooperatewithAAAinitsdiscussionswiththeFAAAwiththegoalofobtainingtheFAAA’sconsenttoAAA’suseofUSAirways’Programsforsuchfour-yearperiod.9.Aircraft:Inaccordancewithasetofscheduledclosinganddeliverydates(DeliveryDates)describedbelow(subjecttoUA’sexerciseofoptionsdescribedbelow):UAwillsellandAAAwillpurchasethefollowingaircraft(theSaleAircraft):7MD82aircraft23B757aircraft36F100aircraftUAwillleasethefollowingaircraft(theSubleaseAircraft)toAAApursuanttoaircraftoperatingsubleaseagreements:5MD82aircraft11B757aircraft4F100aircraftThefirstAircraftwillbedeliveredapproximatelythreemonthsfollowingtheInitialClosing.Thereafter,Aircraftwillbedeliveredatarateaveraging(overanytwo-monthperiod)notlessthan1.5Aircraftpermonth,subjecttoaccelerationofsuchdeliveriesifrequiredbytheimmediatelyfollowingsentence.UAandAAAagreethat(i)allFirstYearAircraft(asdefinedbelowunderEmployees)mustbedeliveredonorpriortothefirstanniversaryoftheInitialClosing,(ii)allB757s(otherthanFirstYearAircraft)tobedeliveredpursuanttotheTransactionsmustbedeliveredonorpriortothesecondanniversaryoftheInitialClosing,(iii)allotherAircrafttobedeliveredpursuanttotheTransactionsmustbedeliveredonorpriortothefourthanniversaryoftheInitialClosing,(iv)alltheF100sthatareSaleAircraftmustbedeliveredpriortothedeliveryofanyF100thatisaSubleaseAircraftand(v)inanyevent,UAandAAAwillworktogethertoprovideforthedeliveryofallAircrafttobedeliveredpursuanttotheTransactionsasquicklyasoperationallypracticableforUAandAAAandshallreasonablycooperateinordertoattempttoacceleratethetimeperiodduringwhichdeliveryofsuchAircraftwillbeoperationallypracticable.AircraftDeliveryCondition.TheAircraftshallbedeliveredtoAAAonanas-is,where-isbasis,withoutanyrepresentationsorwarrantiesfromUA,otherthanthatUAhasgoodtitletoallSaleAircraftandsuchSaleAircraftarefreeandclearofallliensotherthanFinanceLiens(asdefinedbelow);provided,thatasaconditionprecedenttoacceptancebyAAAofdeliveryofanAircraft,suchAircraftshallbeinaconditionsubstantiallyconsistentwitheachofthefollowingconditionsatthetimeofdelivery:TheAircraftshallhaveavalidFAAAairworthinesscertificate.TheAircraftshallbefreeandclearofallliens(exceptUA’ssublessor/headlessorliens,cross-borderlessorliensorlenderlienspermittedundertheapplicablefinancingdocuments(ifUAhasexerciseditsoptiontoassignratherthantorepayanyapplicablenoteobligations,asdescribedbelowunderUA’sAssignmentOption))(collectively,FinanceLiens).TheAircraft(includingtheairframe,engines,APUandlandinggear)shallbeserviceable,complete(includingonesetofcateringandcabinserviceequipmentusedinUA’sservice,asapplicable(whichmaybeunserviceableifeconomicallyrepairable),butexcludingairfonesorotheraircraftequipmentthatisnotownedbyUAortheequitableorlegalowneroftheAircraft,tapestries,seatcoversanditemswithUA’sservicemarksorbrandedcolors),andcleanbyU.S.commercialairlineoperatingstandardsandshallhaveallminimumequipmentlist(MEL)systemsandcomponentsoperable(exceptthosesystemsorcomponentswhicharepermittedtobeinoperablepursuanttoUA’sMEL,asapplicable).TheAircraft(includingtheairframe,engines,APUandlandinggear)shallbeincompliancewithallFAAAairworthinessdirectivesandallmanufacturer’smandatoryservicebulletinsapplicablethereto,ineachcasewhichrequirecomplianceonorbeforesuchAircraft’sDeliveryDate.UAwillassign,effectiveasoftheDeliveryDateofeachrespectiveAircraft(withrespecttorights,remediesorclaimsarising,orbasedonevents,occurrencesandcircumstancesoccurring,onoraftertheDeliveryofsuchAircraft),toAAAanyandallexistingassignablemanufacturerorvendorwarranties,servicelifepolicies,andcustomersupportagreementsapplicabletosuchAircraft;totheextentthatsuchwarrantyrightsarenotassignable,AAAisherebysubrogatedtoallsuchwarrantyrightsofUA.UAmakesnorepresentationorwarrantyastotheexistenceorassignabilityofanysuchwarrantyrightsorastothevalidityorscopeofanysuchsubrogation.AttheDeliveryDateforeachAircraft,allofthemanUAsandrecordsrelatingthereto(including,asapplicable,thoserelatingtotheairframe,engines,APU,andlandinggear)thatarerequiredtoberetainedunderUA’sFAAAapprovedmaintenanceprogramshallbedeliveredtoAAAandshallbeaccurate,ineachcaseinaccordancewithFAAArequirements;andallothermanUAsandrecordsreasonablyrelatingthereto,asavailable,shallalsobedeliveredtoAAA(excludingthoserelatedtotheprofitabilityoreconomicsofoperation/maintenanceofsuchAircraft).AAA’sInspectionRights.AAAshallhavetherighttoconductaninspectionoftheAircraftaswouldberequiredinconnectionwiththeperformanceofaBmaintenancecheckoftheAircraftunderUA’sFAAA-approvedmaintenanceprogram,includingtherighttoopenthosesealeditems,includinganysealedbays,panelsordoors,whichwouldberequiredtobeopenedduringsuchBcheck(butnottoopenanyothersealeditems,exceptaswouldbesorequiredduringsuchBcheck),andtoinspect(insuchmannerconsistentwithaBchecklevelinspection)thoseparts,components,andstructuresbehindsuchsealeditems(i)whichwouldberequiredtobeinspectedduringsuchBcheck,or(ii)whosemaintenanceconditionwouldbeotherwiseimmediatelyapparentduringthecourseofsuchrequiredinspection.AAAshallhavecustomaryrightsforanacceptanceflightoftheAircraft.AAAshallalsohavetherighttoborescopetheenginestothesameextentaswouldberequiredinconnectionwiththeperformanceofaBmaintenancecheckoftheAircraftunderUA’sFAAA-approvedmaintenanceprogram;provided,totheextentdamageisfound,but(a)itiswithinthelimitsofsuchmaintenanceprogram,or(b)itisgivenanexceptionpursuanttoengineeringvariationauthority(EVA)orEVA-likeauthoritypermittedbytheFAAA,thensuchenginewillbedeemedtobeacceptable;provided,further,totheextentdamageisfoundwhichexceedstheallowablelimitsofsuchmaintenanceprogram,butitcanbeandisfixedthroughaminimallyinvasivemaintenanceprocedure(e.g.,aboroblend),thensuchrepairwillbedeemedtobeacceptable;provided,finally,totheextentmoreextensivedamageisfound,thenUAwillberequiredtorepaironlythatdamagewhichisdiscoveredduringsuchborescopepriortodeliveryoftheAircraft,butUAwillhavetheoptionto(i)stilldeliversuchunrepairedenginetoAAAifUAagreestopayAAAforAAA’scustomarytimeandmaterialschargestorepairsuchdamagetotheengine(however,anyadditionalworkthatAAAelectstoperformorisrequiredtoperformonsuchengineshallbeforAAA’sownaccount),or(ii)delivertheAircraftwithanotherengineinlieuofsuchunrepairedengine(inwhicheventtheabove-describedinspectionrightsandproceduresshallapplytoanysuchsubstituteengine).UA’sAssignmentOption.UAmayelect,subjecttoobtainingapplicableconsents,toassigntoAAAanyexistingnoteobligationswithrespecttoanySaleAircraftinlieuofrepayingsuchexistingnoteobligations,andineachsuchcasetheoutstandingprincipalbalanceassociatedwithsuchexistingnoteobligationsasoftherelevantDeliveryDateforsuchSaleAircraftwillbesubtractedfromtheportionofthepurchasepriceremainingdueandowingtoUAupondeliveryofsuchSaleAircraft.UA’sLeaseOption.IfUAdetermines,ingoodfaith,thatanylenderwhichholdsnotessecuredbyanySaleAircraftisnotreasonablycooperatingwithUAinnegotiatingandagreeingtoasuitablereduction,satisfactorytoUA,intheamountofanyprepaymentpenalty,breakagecostorsimilarchargeassociatedwiththeprepaymentofsuchnoteonorpriortotherelevantDeliveryDateforsuchSaleAircraft,thenUAmayelecttoleaseratherthansellsuchSaleAircrafttoAAA.UAmayalsomakeanelectiontoleasetoAAAanySaleAircraftonwhichtherearecross-borderleasestotheextentthatUAdeterminesingoodfaiththatitisnotreasonableorpracticaltonegotiateandagreetosubstituteAAAforUAinthecross-borderlease.IfUAmakesanelectioncontemplatedbyeitherofthetwoprecedingsentences,thenUAandAAAwillenterintogoodfaithnegotiationstoconsummateanaircraftoperatingleaseagreement(orothermutUAlyagreeabletransferdocuments)inrespectoftherelevantSaleAircraft,thetermsofwhichwillputUAandAAAinsubstantiallythesameeconomicpositionastheyotherwisewouldhavebeenifsuchSaleAircrafthadbeenpurchasedby,insteadofleasedto,AAA--i.e.,thatthenetpresentvalueoftherentpaymentstreamfollowedbythepurchasepriceoftheSaleAircraftattheendoftheleaseterm(atwhichtimeUAwilltransfertitletosuchSaleAircrafttoAAA,freeandclearofallliensincludinganyFinanceLiens),whensuchpaymentstreamdiscountedbytheDiscountRate(asdefinedinthenextsentence),iseqUAtotheallocablepurchasepriceofsuchrespectiveSaleAircraft.TheDiscountRatemeansthatrateofinterestperannumeqUAto140basispointsabovethethen-currentsix-monthLIBOR.Additionally,theleasewillcontainacovenantofquietenjoyment.SubleaseAircraft.UAwillenterintoanaircraftoperatingsubleaseagreementwithAAAinrespectofeachSubleaseAircraft,whichagreementshallbeontermssubstantiallyconsistentwith(butsubjectandsubordinateto)theleasetoUAofsuchSubleaseAircraft.UAwillprovidetoAAAanyremoveditems,ifany,whicharerequiredtobereturnedtolessorattheendofthetermoftheleaseunlesssuchitemsareexemptedfromtherequirementofreturnbyotherleaseprovisions.AAAshallnotberequiredtosubleaseanySubleaseAircraftonwhichtheleasetoUAisindefault.Thesubleaseagreementswillcontainacovenantofquietenjoyment.UA’sSubleaseOption.WithrespecttoanySubleaseAircraft,UAmayelect,subjecttoobtainingapplicableconsents,toassignUA’srights,interests,liabilitiesandobligationsaslesseeundertheaircraftleaseagreementapplicabletosuchSubleaseAircraft(freeandclearofallliensotherthanFinanceLiens),andineachsuchcaseAAAwillassumeallsuchrights,interests,liabilitiesandobligationsfromthetimeofdeliveryofsuchSubleaseAircrafttoAAA;provided,thatUAmaynotrenegotiateleaseterms,inconnectionwithUA’seffortstoobtainapplicableconsents,whichwouldbemoreadversetoAAA).AAAshallnotberequiredtoassumetheleaseofanySubleaseAircraftwhichisindefault.Consents.UAwillberesponsiblefor(i)obtainingallapplicableconsentsasmayberequired(A)toassignnoteobligationswithrespecttoSaleAircrafttoAAAasprovidedabove,(B)toleaseSaleAircrafttoAAAasprovidedabove,(C)tosubleaseSubleaseAircrafttoAAAasprovidedaboveand(D)toassignleaseswithrespecttoSubleaseAircrafttoAAAasprovidedaboveand(ii)thecostsofobtainingsuchconsents.AAAshallbeundernoobligationtoseekorobtainsuchconsents,butwillcooperateinacommerciallyreasonablemannerwithUAtoobtainsuchconsents.RentAdjustments.InconnectionwiththedeliveryofanySubleaseAircraft,UAandAAAshallmakeappropriateadjustmentsforthelastadvancepaymentofrentorthenextpaymentofrentinarrears.TheTransactionAgreementorothermutUAlyagreeabledocumentsshallalsoprovidefordollaradjustments(asprovidedbelow)toreflecttheextenttowhichleasesinrespectofSubleaseAircrafttobeassumedbyAAA,orsubleasesinrespectofSubleaseAircrafttobeenteredintobyAAAandUA(including,forthispurpose,withrespecttoanyleasesexpiringin_________(Year)or_________(Year),anyleaserenewaloptionsforlessthanfairmarketvalue),areatbaserenttermswhichareaboveorbelowAAA’sfairmarketrents(butnoattemptshallbemadetoadjustforleasetermsotherthanrent),asfollows:FIRST,UAandAAAagreethatthemonthlyfairmarketbaserentforAAAforeachSubleaseAircraftis$,_________fora757,$,_________foranMD82,and$,_________foraF100(asapplicable,theMonthlyFairMarketBaseRentforAAA);SECOND,theadjustmentshalleqUAthedifferenceofthenetpresentvalueoftherentstreamundertheapplicableUSAirwaysleaseandthenetpresentvalueoftheapplicableMonthlyFairMarketBaseRentforAAAforthedurationofsuchlease,ineachcaseusingtheDiscountRate;andFINALLY,UAshallpaysuchdifferencetoAAA(totheextentitispositive),andAAAshallpaysuchdifferencetoUA(totheextentitisnegative),uponthedeliveryoftheapplicableSubleaseAircraft.TheTransactionAgreementorotherapplicabledocumentshallcontainasimilaradjustmentprocessfor(a)withrespecttoanyleasesexpiringin_________(Year)or_________(Year),purchaseoptionsforSubleaseAircraftforlessthanfairmarketvalueand(b)SaleAircraftinrespectofwhichUAexercisesitsassignmentoption(inwhichcasethereshallbeadollaradjustmenttoreflectthenetpresentvaluedifferentialattributabletothecostofborrowingAAAisthenassuming,whencomparedwithAAA’sthen-currentmarketrateofborrowing,whensuchborrowingsarecomparedandloanrepaymentstreamsarediscountedbytheDiscountRate)orUA’sleaseoptiondescribedabove.SpareEngines,ExpendableandRotableSpareParts,andTooling;Records.UAwillsell,andAAAwillpurchasefromUA,thosequantitiesofUSAirways’overallfleetsofspareengines(SpareEngines)andofexpendableandrotablesparepartsandtooling(collectively,theSpares)thatareusedtosupportB757s,MD82sandF100s,respectively,whichareeqUAtothoseproportionsofUSAirways’overallfleetsofB757,MD82sandF100s,respectively,transferred(bysale,lease,subleaseorotherwise)toAAApursuanttotheTransactions.ThepurchasepriceforeachoftheSpareEnginesshallbeassetforthonScheduleIhereto.ThepurchasepricefortheF100SparesshalleqUA30%ofthethen-currentmanufacturerlistpriceandthepurchasepriceforallotherSparesshalleqUA50%ofthethen-currentmanufacturerlistpriceofnewexpendableandrotablesparepartsandtoolingcomparabletotheSparesatthetimeofdeliveryofsuchSparestoAAA.AseachAircraft,orgroupofAircraft,isdeliveredtoAAA,apro-rataportionoftheSpareEnginesandSparesshallalsobedeliveredto,andpaidforby,AAA.TheSpareEnginesandSparesshallbedeliveredonanas-is,where-isbasis,withoutrepresentationsorwarrantiesfromUA;provided,thatasaconditionprecedenttoacceptancebyAAAofdeliveryofaSpareEngineorSpare,suchSpareEngineorSpareshallbeinaconditionsubstantiallyconsistentwitheachofthefollowingconditionsatthetimeofdelivery:TheSpareEngineorSpareshallbefreeandclearofallliens(otherthanFinanceLiens).UAwillprovidelastshopfindingsreportfortheSpareEngineorSpareifsuchreportsarerequiredtobemaintainedbyUA’sFAAA-approvedmaintenanceprogramorifsuchreportsaremaintainedbyUA.UAwillassign,effectiveasofthedeliverydateofeachrespectiveSpareEngineorSpare(withrespecttorights,remediesorclaimsarising,orbasedonevents,occurrencesandcircumstancesoccurring,onorafterthedeliveryofsuchSpareEngineorSpare),toAAAanyandallexistingassignablemanufacturerorvendorwarranties,servicelifepolicies,andcustomersupportagreementsapplicabletosuchSpareEngineorSpare;totheextentthatsuchwarrantyrightsarenotassignable,AAAisherebysubrogatedtoallsuchwarrantyrightsofUA.UAmakesnorepresentationorwarrantyastotheexistenceorassignabilityofanysuchwarrantyrightsorastothevalidityorscopeofanysuchsubrogation.AttheDeliveryDateforeachSpareEngineandSpare,allofthemanUAsandrecordsrelatingtheretothatarerequiredtoberetainedunderUA’sFAAAapprovedmaintenanceprogramshallbedeliveredtoAAAandshallbeaccurate,ineachcaseinaccordancewithFAAArequirements;andallothermanUAsandrecordsreasonablyrelatingthereto,asavailable,shallalsobedeliveredtoAAA(excludingthoserelatedtotheprofitabilityoreconomicsofoperation/maintenanceofsuchSpareEngineorSpare).WithrespecttotheSpareEngines,theSpareEnginesshallbeserviceable,haveaserviceabletag,andbeincompliancewithallFAAAairworthinessdirectivesandallmanufacturer’smandatoryservicebulletinsapplicabletheretowhichrequirecomplianceonorbeforesuchSpareEngine’sdeliverydate.AAAwillhavetherighttoborescopeSpareEnginesasdescribedintheAAA’sInspectionRightssectionabove.Further,itisspecificallyagreedbyAAAandUAthatSpares(otherthanSpareEngines)shallnotberequiredtobeserviceableorhaveaserviceablepartstag,orbeincompliancewithFAAAairworthinessdirectivesormanufacturer’sservicebulletins.FlightSimulators.AAAwillhavetheoptionto(i)purchaseanyMD82orF100flightsimulatorsownedbyUAatfairmarketvalueor(ii)leaseanysuchMD82orF100flightsimulatorsatfairmarketleaserates(withafairmarketvaluepurchaseoptionexercisableattheendoftheleaseterm).IfAAAelectstoleaseanysuchsimulator,UAwillhavetheright,instead,toelecttosellsuchsimulatorstoathirdparty.ThetimingofthedeliveryofsuchflightsimulatorsshallbemutUAlyagreeduponbyAAAandUAbasedontheDeliveryDatesfortheAircraft.AAAshallberesponsible
