根據(jù)《中華人民共和國合同法》及其他法律法規(guī)的規(guī)定，甲乙雙方在自愿、平等、公平、老實(shí)信用的根底上，就會展場地租賃的有關(guān)事宜達(dá)成如下協(xié)議。

第一條租賃場地及用途Article1LeasePlaceandPurpose

第二條租賃期限Article2TermofLease

1.乙方使用租賃區(qū)域的時限為時至?xí)r。在租賃期限內(nèi)，乙方應(yīng)在約定的時限內(nèi)使用租賃區(qū)域；如乙方需在約定時限之外使用租賃區(qū)域的，應(yīng)提前征得甲方同意并向甲方支付超時使用費(fèi)，超時費(fèi)用按照方式計(jì)算。

第四條租金支付Article4RentalPayment

第五條甲方提供的根本效勞Article5BasicServicesProvidedbyPartyA

1.在租賃期限內(nèi)甲方向乙方提供下列根本效勞：

PartyAwillprovidePartyBwiththefollowingbasicserviceswithinthetermoflease：

〔1〕租賃區(qū)域和公共區(qū)域的原建筑照明。

Lightingoftheoriginalbuildingsintheleaseareaandpublicarea；

〔2〕15-20名效勞人員。15-20waiter；

〔3〕音響系統(tǒng)及燈光系統(tǒng)AcousticsystemandLightingsystem；

〔4〕其他：提供DJ一名Otherstipulations：SupplyaDJforLessee；

2.如乙方需甲方提供根本效勞之外的其他效勞，雙方應(yīng)另行達(dá)成補(bǔ)充協(xié)議。

AsupplementagreementshallbeenteredintobetweenthePartiesincasePartyBneedsotherservicesprovidedbyPartyAinadditiontobasicservices.

第六條設(shè)施的使用Article6UseofFacilities

1.甲方應(yīng)在簽約前向乙方如實(shí)表明與租賃區(qū)域有關(guān)的場地情況，并向乙方提供場地設(shè)施技

術(shù)數(shù)據(jù)等書面資料。乙方應(yīng)向甲方如實(shí)表明會展情況，并根據(jù)甲方提供的數(shù)據(jù)資料判斷場地是否滿足會展需求。

PartyAshallprovidetrueinformationregardingsituationoftheleaseareatoPartyBbeforesigningtheContract，togetherwithwrittenmaterialsincludingon-sitefacilitiesandtechnicaldata.PartyBshallprovidetrueinformationoftheexhibitiontoPartyA，andtojudgeiftheplacecouldmeettheexhibitionrequirementsinaccordancewiththedatamaterialsprovidedbyPartyA.

甲方未如實(shí)提供場地、設(shè)施的有關(guān)情況而造成乙方辦展活動無法順利進(jìn)行的，應(yīng)賠償由此給乙方造成的損失；乙方未如實(shí)表明展品情況，造成場地設(shè)施無法滿足展品需要的，乙方自行承當(dāng)損失，造成甲方場地設(shè)施損壞的，應(yīng)承當(dāng)賠償責(zé)任。

IncasePartyAfailstoprovidetrueinformationoftheplaceandfacilities，whichcausesPartyBafailureintheexhibition，PartyAshallcompensatePartyBforanylossincurred；PartyBshallbearthelossifPartyBfailstostateclearlythesituationofexhibitssothatthesitefacilitiescouldnotmeettheneeds，andshallundertaketheliabilityofcompensationincaseofdamagetoPartyAsfacilities.

2.甲方協(xié)助乙方進(jìn)行展臺搭建、安裝、拆卸、搬遷及善后等工作。乙方進(jìn)行上述活動時不應(yīng)阻礙甲方場地內(nèi)的其他展覽和活動。

PartyAmayassistPartyBwithbuilding，installation，dismantling，removingoftheboothandafter-treatmentatitsowncost，whichshallnotinterferewithotherexhibitionsandactivitiesinsidePartyAsplace.

3.在租賃期限內(nèi)，雙方應(yīng)共同保持租賃區(qū)域和公共區(qū)域的清潔和暢通。

Withinthetermoflease，thePartiesshalltogetherkeeptheleaseareaandpublicareacleanandunobstructed.

4.如無甲方書面特別許可，以下物品禁止進(jìn)入甲方場館：

ThefollowingarticlesshallnotbeallowedintoPartyAsplacewithoutPartyA"sspecialpermissioninwriting：

〔1〕危險物，包括但不限于武器、槍支、刀、劍、彈藥、炸藥易燃物、放射物或其他危險物品。

Dangerousarticlesincludingbutnotlimitedtoanyweapon，gun，knife，sword，cartridge，explosiveflammablearticles，radioactivearticlesorotherdangerousarticles.

〔2〕未經(jīng)海關(guān)同意的進(jìn)口物品。ImportedgoodswithouttheCustomspermission.

〔3〕任何影響甲方正常運(yùn)作或被有關(guān)部門禁止的物品。

第七條甲方權(quán)利義務(wù)Article7RightsandObligationsofPartyA

1.甲方有權(quán)監(jiān)督乙方在租賃期限內(nèi)遵守本合同約定及甲方的有關(guān)規(guī)章制度，并對乙方違反

有關(guān)約定的行為予以制止。

PartyAshallbeentitledtomonitorPartyBsacttoconformwithstipulationscontainedhereinandrelevantrulesandregulationsofPartyAwithinthetermoflease，andprohibitanyPartyB"sactagainstrelevantstipulations.

2.甲方應(yīng)按約定為乙方提供場地及相關(guān)配套設(shè)施和經(jīng)營條件，保障乙方正常的會展活動。

PartyAshallprovidetheplaceandrelevantsupportingfacilitiesandoperationconditionsasstipulatedtoensurethenormaloperationofexhibitionbyPartyB.

3.除有明確約定外，甲方不得不干預(yù)乙方正常的會展活動。

Exceptasotherwiseclearlystipulated，PartyAshallnotinterferewithPartyBsnormalexhibitionactivities.

4.甲方應(yīng)對市場進(jìn)行物業(yè)管理，并負(fù)責(zé)場內(nèi)的平安防備和經(jīng)營設(shè)施的建設(shè)及維護(hù)、包括：建筑物〔包括公共區(qū)域及租賃場地〕的管理及維修保養(yǎng)；對乙方裝修的審查和監(jiān)督；水、電、氣、空調(diào)、電梯、扶梯等設(shè)備、管道、線路、設(shè)施及系統(tǒng)的管理、維修及保養(yǎng)；清潔管理；保安管理并負(fù)責(zé)市場的公共平安；消防管理；內(nèi)外各種通道、道路、停車場的管理。

PartyAshallconductpropertymanagementtothemarket，andtakechargeofsecurityinsidetheplaceandconstructionandmaintenanceofoperationfacilities，includingmanagement，repairandmaintenanceofbuildings〔includingthoseinpublicareaandleasearea〕，inspectingandmonitoringPartyBsdecoration，management，repairandmaintenanceofequipment，pipelines，lines，facilitiesandsystemsuchaswater，power，gas，airconditioning，escalators，andetc.，cleaningmanagement，securitymanagementandpublicsecurityofthemarket，fireprotectionmanagement，andmanagementofallpassageways，roadsandparkinglotsinsideandoutside.

第八條乙方權(quán)利義務(wù)Article8RightsandObligationsofPartyB

1.乙方應(yīng)按照約定用途使用甲方場地，自覺遵守甲方依法制訂的各項(xiàng)規(guī)章制度，服從甲方的監(jiān)督。

PartyBshallusePartyBsplaceforthepurposeasstipulatedandobservePartyA"srulesandregulationsestablishedinaccordancewithlawsandacceptPartyAssupervision.

2.乙方應(yīng)按合同約定及時支付甲方租金。

PartyBshallpaytherentaltoPartyAintimeasstipulatedherein.

3.乙方有責(zé)任維護(hù)租賃區(qū)域和公共區(qū)域的整潔。租賃期限屆滿，乙方應(yīng)按時把自己及參展商的所有物品〔展臺、展架、遺棄物以及垃圾〕移出租賃區(qū)域。有關(guān)物品未能按時移出的，甲方將視為遺棄物進(jìn)行處理。乙方也可以委托甲方對上述物品進(jìn)行清理，所需費(fèi)用由乙方承當(dāng)。

PartyBshallhavetheliabilitytomaintaintheleaseareaandpublicareainacleanstatus.Uponexpirationofthetermoflease，PartyBshallremoveallitsortheparticipatingexhibitorsarticlesforexhibition〔booth，display，derelictsandgarbage〕outoftheleasearea.Anyarticlethathasnotbeenremovedoutintimeshallbetreatedasderelicts.PartyBmayalsoentrustPartyAtotreattheabovearticlesatPartyB"scost.

4.乙方應(yīng)合理使用場內(nèi)的各項(xiàng)設(shè)施，如需安裝設(shè)備、擺放展品、設(shè)置宣傳廣告等，應(yīng)先征得甲方同意，造成損壞的應(yīng)承當(dāng)修復(fù)或賠償責(zé)任。

PartyBshallusefacilitiesinsidetheareainareasonableway，andshallobtainPartyAspriorpermissionincaseofneedforequipmentinstallation，exhibitsdisplayandpublicizingadvertisementsetup，andshallundertaketheliabilityforrepairorcompensationtoanydamage.

5.乙方保證自己和自己的客戶不會對甲方或甲方場所進(jìn)行的其他展覽會有任何攻擊、損害或干擾的不正當(dāng)競爭行為。

PartyBshallpledgethatitoritscustomerswillnothaveanyunfaircompetitionactssuchasattack，damageorinterferenceagainstPartyAorotherexhibitionsatPartyAsplace.

6.乙方負(fù)責(zé)對自己財(cái)產(chǎn)進(jìn)行妥善保管，并保證其展品或其他物品，將不占用或堆放在非租賃區(qū)域〔包括室外場地〕；否那么甲方有權(quán)予以處理，所需費(fèi)用由乙方承當(dāng)。

PartyBshallproperlykeepitsownproperties，andensureitsexhibitsorotherarticleswouldnotoccupyorpileupatthenon-leasearea〔includingoutdoorfield〕；otherwisePartyAshallbeentitledtohandlesuchexhibitsandarticlesatPartyBscost.

7.乙方如為宣傳會展活動而需使用甲方名稱、商標(biāo)和標(biāo)識，應(yīng)事先取得甲方書面同意，否那么乙方應(yīng)承當(dāng)由此產(chǎn)生的法律責(zé)任。

PartyBshallobtainPartyAspriorapprovalincaseofneedsofusingPartyA"sname，trademarkandlogoforpublicizingtheexhibition；otherwisePartyBshallundertakethelegalliabilitiesincurredhereby.

第九條違約責(zé)任Article9DefaultLiabilities

1.甲方未按約定提供場地或用水、用電等市場內(nèi)的經(jīng)營設(shè)施或條件致使乙方不能正常經(jīng)營的，應(yīng)減收相應(yīng)租金，乙方有權(quán)要求甲方繼續(xù)履行合同或解除合同，并要求甲方賠償相應(yīng)的損失。

IncasePartyAfailstoprovidetheplaceorwater，powerandotheroperationfacilitiesorconditionsinthemarket，whichcausesPartyBafailureinnormaloperation，PartyAshallreducetheamountofrental，andPartyBshallbeentitledtorequestPartyAtocontinuetoperformtheContractorterminatetheContract，andtocompensateforrelevantloss.

2.乙方未按照約定支付租金及其他費(fèi)用的，應(yīng)每日向甲方支付遲延金額的%的違約金。

IncasePartyBfailstopaytherentalandotherexpensesasstipulated，itshallpayPartyAtheliquidateddamagesasper%oftheamountnotdulypaidforeachdayoverdue.

第十條爭議解決Article10SettlementofDisputes

本合同項(xiàng)下發(fā)生的爭議，由雙方當(dāng)事人協(xié)商解決，或向有關(guān)部門申請調(diào)解解決；協(xié)商或調(diào)解解決不成的，按以下第種方式解決。

AnydisputearisingfromorinconnectionwiththeContractshallbesettledbythePartiesthroughconsultation，ormaybesubmittedtorelevantdepartmentformediation；failingthesame，

ofthefollowingwaysshallbeadopted.

〔一〕依法向人民法院起訴；FilealawsuittoPeoplesCourtinaccordancewithlaws；

〔二〕提交仲裁委員會仲裁。SubmitthedisputetoArbitrationCommitteeforarbitration.

第十一條不可抗力Article11ForceMajeure

因發(fā)生自然災(zāi)害、重大疫情等不可抗力或突發(fā)事件的，經(jīng)核實(shí)可全部或局部免除責(zé)任，但應(yīng)及時通知對方，并在合理期限內(nèi)提供有效證明。
