SoftwareLicenseAgreement軟件許可協(xié)議*CERTAINCONFIDENTIALINFORMATIONONTHISPAGEHASBEENOMITTEDANDFILEDSEPARATELYWITHTHESECURITIESANDEXCHANGECOMMISSION.DEFINITIONSProductisdefinedasanycomponentofTM,asdescribedinExhibitAthatissuppliedtoBBBunderthetermsofthisAgreement,includingallDocumentation,ProductReleasesandMaintenanceReleases.DocumentationisdefinedastheTMReferenceManualinelectronicorprintedformandtheTMClassLibraryReference.ProductReleaseisdefinedasamajorenhancementorrestructuringoftheProduct.AProductReleaseisidentifiedbyanintegerversionnumber,forexample,TM,Version4.0.MaintenanceReleaseisdefinedasanupdatetoanexistingrelease,whichaddsminorfeaturesorcorrectsdocumentedbugs.AMaintenanceReleaseisidentifiedbyadecimalintegerappendedtotheProductReleasenumber,forexample,Version4.1.ApplicationisdefinedasthesoftwareprogramsincludingenhancementsandfutureversionthereofintowhichBBBwishestointegratetheProduct,asmorefullydescribedinExhibitC.LICENSEOFPRODUCTLICENSE:AAAherebygrantstoBBBaperpetual,non-exclusive,worldwidelicense(i)tocopyandincorporateallorpartofProduct,inobjectcode(classfiles)inApplicationand(ii)tomarket,distribute,licenseandsublicense,withoutrestriction,ApplicationwhichincorporatestheProductandanymodifications,enhancements,and/oralterationsthereto.IfandwhenthesourcecodetotheProductisreleasedtoBBBunderSection4.9below,AAAherebygrantsBBBaperpetual,non-exclusiveworldwide,royalty-freelicensetousethesourcecodetosupportandmaintaintheProductaswellasmakemodificationsandenhancementsthereto(includingenhancementsthatmaintaincompetitivenessofthe

Productwiththenmarketstandards)insupportofBBBsrightstomarket,distribute,andlicenseApplicationwhichincorporatestheProduct.BBBmaynot,withoutAAAswrittenconsent,distributetheproductasastand-aloneproductorotherwiseusetheProductinamannerinconsistentwiththislicenseagreement,exceptthatBBBmaydistributeMaintenanceReleasesandProductReleasesonastand-alonebasistoitsendusersoftheApplication.CONSIDERATION:Fortherightsandlicensegrantedherein,BBBwillpayAAAasprovidedinExhibitBattachedhereto.[*]paymentstoAAAwillbemade[*],withthefirstpaymentdueonorbefore,,(M,D,Y).PROPRIETARYRIGHTS:BBBagreesthattheProductisandshallremainthesolepropertyofandproprietarytoAAA.NothinginthisAgreementshallaltertheserightsandnotitletoorownershipoftheProductistransferredtoBBB.EachpartmayusethetrademarksornameoftheotherinpromotionalandadvertisingmaterialrelatedtodistributionoftheProductprovidedsuchuseisconsistentwiththestandardsofotherpartyandisapprovedbysuchpartybeforeuseofthematerial.Anysuchmaterialnotdisapprovedwithinfiveworkingdayswillbedeemedapproved.

DELIVERYOFPRODUCT:UponexecutionofthisAgreement,AAAshalldelivertoBBBtheProduct,(byCD-ROM,magneticdiskettes,orelectronicallyforinstallationonBBBscomputers)andsuchotherdiskettes,CD-ROMs,manuals,examples,andotherinformationasmayrelatetoorcomprisetheProduct,includingwithoutlimitationtheitemsdescribedonExhibitAhereto.TheProductwillbeshippedtoBBBattheaddresssetforthonthesignaturepageorsuchotheraddressspecifiedbyBBBinwriting.AAAmaypackageandshiptheproductinanycommerciallyreasonablemanner.Thereafter,AAAwilldelivertoBBB,withoutcharge(byCD-ROM,magneticdiskettes,orelectronicallyforinstallationonBBBscomputers)anyProductReleasesandMaintenanceReleasesandonemastercopyofanychangestotherelatedDocumentationpromptlywhenavailable.TAXES:BBBisresponsibleforallapplicablesales,use,personalproperty,exciseorothersimilartaxesorexportandimporttaxes,duties,andcharges,howeverdesignated(exceptonlyfortaxbasedonthenetincomeofAAAorfranchisetaxarisingfromAAAactivities)andsuchtaxesshallbepaiddirectlybyBBBorreimbursedbyBBBtoAAA,asnecessary,withoutreducingtheamountotherwiseduetoAAAhereunder.SUPPORTANDMAINTENANCE

SUPPORT:AAAwillprovideBBB,freeofcharge,withphoneandemailtechnicalsupportforProductRelease4.0andbeyond[*]forthetermofthecontract.Suchsupportwillbeavailableonlyduringthehoursof(Time)to(Time)ArizonaTime.BBBwillprovidetechnicalsupporttoitsendusers,andAAAwillinterfaceonlywithoneprimaryandback-upBBBappointedtechnicalsupportrepresentativeonanytechnicalsupportrelatedissues.TRAINING:AAAwillprovideBBB,[*],with16consultinghours,allorpartofwhichmaybeusedinanonsitetrainingvisitbyaAAAdevelopertoBBB,withtravelatBBBsexpense.MAINTENANCE:AAAwillprovide,[*]promptlywhenavailable,ProductReleasesandMaintenanceReleasestoBBBduringthetermofthisAgreement.MaintenanceReleaseswillbeprovidedtofixbugs,whetherornotreportedbyBBB,andtoprovideminorenhancementstotheProduct.IfBBBreportsadocumented,reproduciblebuginProductthatsignificantlyimpairstheintendedfunctionalityoftheApplication,thenAAAwilluseitsbesteffortstoprovideaspecificcorrectionwithin7businessdays.AAAshallnotifyBBBofitsplanstoreleaseanyProductReleaseor

MaintenanceReleaseassoonaspracticablepriortothescheduledreleasedate,andinnoeventlessthantwenty(20)dayspriortosuchrelease.COVENANTSCONFIDENTIALITY:Eachpartywillkeepconfidentialanyconfidentialinformationrelatingto(i)theProductortotheotherparty'business,finances,marketingandtechnologytowhichitobtainsaccessand(ii)thetermsandconditionsofthisAgreement,andeachpartyagreesthatitwilltakereasonableprecautionstoprotectsuchconfidentialinformationoftheotherparty,oranypartthereoftothesameextentitprotectsitsownsimilarconfidentialinformationfromanyuse,disclosureorcopying.Confidentialinformationofapartyshallnotincludeinformationwhich(i)isorbecomespubliclyknownthroughnofaultoftheotherpart,(ii)isdisclosedtotheotherpartybyathirdpartywhohadlawfullyobtainedsuchinformationandwithoutabreachofsuchthirdparty'sconfidentialityobligations(iii)isdevelopedindependentlybytheotherparty,or(iv)thepartyhasgivenwrittenpermissiontotheotherpartytonotkeepconfidential.Apartywishingtouseordiscloseinformationbasedonanyoftheforegoingexceptionswillhavetheburdenofprovingtheapplicabilityofsuchexceptionbyobjectiveorverifiableevidenceandwillinnoeventusesuchinformationpriorto

30daysafternoticeofsuchintentiontotheotherpartyhereto.INJUNCTIVERELIEF:IntheeventofabreachofanyoftheprovisionsofSection4.1,thepartiesagreethattherewouldbenoadequateremedyatlaw,andaccordinglythepartiesagreethatthenon-breachingparty,inadditiontoanyotheravailablelegalorequitableremedies,isentitledtoseeinjunctivereliefagainstsuchbreachwithoutanyrequirementtopostbondasaconditionofsuchrelief.COPYRIGHTPROTECTION:BBBshallincludewithallcopiesofProductanycopyrightandtrademarknoticesincludedintheobjectcodeversionoftheProduct(totheextentsuchinclusionistechnicallyfeasibleandreasonable,giventhepartiesintendeduseofProduct),andshallcomplywithAAAsreasonablewritteninstructionsregardingprotectionthereofunderapplicablecopyrightlaws.REVERSECOMPILING:BBBshallnotattempttocreateorpermitotherstoattempttocreate,byreversecompilingordisassemblingorotherwise,anypartofthesourceprogramfortheProductfromtheobjectcodeorfromotherinformationmadeavailabletoBBB.BBBauthorizesAAAtoincorporatemeansfor

suchreversecompilationordisassemblyintheProduct.snoticeofCOPIES:BBBmaymakemachine-readablecopiesofeachProductandcopiesoftheDocumentationandotherdocumentsasnecessaryfortheuseauthorizedinthisAgreement.Allcopies,whetherinmachinereadable,printed,orotherform,arepartoftheProductandBBBmustincludeonallsuchmaterialAAAsnoticeofitsproprietaryrightsintheformsetforthintheProductasdeliveredtoBBB.ACCESS:BBBmaydiscloseandmaketheProductaccessibletoitsemployees,contractorsandagentsonlytotheextentneededtoexercisethelicensesgrantedhereunder.GENERALPAYMENTTERMS:PastdueamountswillBBBinterestatarateofonepercent(1%)permonth.TheprevailingpartyinanylegalactionbroughtbyonepartyagainsttheotherandarisingoutofthisAgreementshallbeentitledtoreimbursementofallcostsandreasonableattorney'sfeesbycsiuchparty.andreasonableattorney'sfeesbycsiuchparty.SOFTWAREAUDITRIGHTS:AAAshallhavetheright,notmorethantwiceeachcalendaryearduringthetermofthis

Agreement,uponthirty(30)dayspriorwrittennoticetoBBB,toenterBBBspremisesduringnormalbusinesshourstoinspectBBBsrecordstoverifycompliancebyBBBwiththetermsofthisAgreement.BBBagreestocooperatewithAAAinanysuchinspection.AllcostsofsuchauditshallbebornebyAAAprovidedthatifanyauditrevealsanunderpaymentof5%ormoreduringtheauditedperiod,thecostofsuchauditshallbebornebyBBB,andBBBshallpromptlypaytheamountoftheunderpaymentplusBBBdinterest.PRODUCTSOURCECODE:AAAshall,atitssolecostandexpense,establishasoftwareescrowaccountwithanescrowagentsatisfactorytoBBBwithinsixty(60)daysoftheEffectiveDateandshalldepositacopyofthesourcecodeandobjectcodefortheProductandexistingDocumentation,manuals,logicdiagrams,flowcharts,operatinginstructions,othermaterialsdescribingtheprogramming,designanduseoftheproduct.AftertheEffectiveDate,AAAshalldepositintotheescrowaccountallsourcecodeandobjectcodeforMaintenanceReleasesandProductReleasesandthen-existingdocumentationupondeliveryofsuchreleasestoBBB.ShouldAAAbecomeinsolvent,declarebankruptcyorbedeclaredbankruptbyacompetenttribunal,makeanassignmentforthebenefitofcreditors,ceasetoconductbusinessinthenormalcourse,orceasesupportoftheProductformorethan60days,BBBshallbeentitledtoobtainfromtheescrowaccountacompletecopyofthe

escrowmaterials,includingtheProductsourcecode,fromsuchescrowaccount,whichBBBshallhavetherighttouseassetforthinthesourcecodelicenseinSection2.1above.IntheeventAAAresumesrenderingrequestedSupportandMaintenance,thesourcecodewillbereturnedtotheescrowaccountandbesubjecttothetermsandconditionsofthissectiongoverningaccesstosuchsourcecode.WARRANTIESANDINDEMNIFICATIONEXPRESSWARRANTY:AAArepresentsandwarrantstoBBBthatithasallnecessarycorporatepowerandauthoritytoenterintothisAgreement,toconsummatethetransactionscontemplatedhereby,andtolicensetheProducttoBBB,andthatsuchlicensedoesnotconflictwithorinfringeanyrightsofanythirdparty(including,withoutlimitation,anycopyrights,patentrightsortradesecrets),oranyagreementtowhichAAAisboundortheProductissubject.LIMITEDWARRANTY:AAAherebywarrantstoBBBthattheProductwillconformtoitspublishedspecificationsinallmaterialrespects.ThiswarrantyislimitedandshallnotapplyiffailureoftheProducttoconformtopublishedspecificationsresultsfrom(i)improperuseoftheProduct;or(ii)operationoftheProduct

outsidetheenvironmentalconditionsspecifiedontheUserDocumentation;or(iii)modificationstotheProductnotmadebyAAA.ThiswarrantydoesnotapplytoanyreleaseoftheProductthatisdesignatedbetatestsoftwareorpre-releasesoftwarebyAAA.EXCLUSIONOFIMPLIEDWARRANTIES:ANYANDALLOTHERWARRANTIESASTOTHEPRODUCTANDUSERDOCUMENTATION,INCLUDINGIMPLIEDWARRANTIESOFMERCHANTABILITYANDFITNESSFORAPARTICULARPURPOSEORUSE,ARESPECIFICALLYEXCLUDED,WAIVED,ANDNEGATED.LIMITATIONOFLIABILITY:NEITHERAAANORITSOFFICERS,EMPLOYEES,ORDIRECTORSSHALLBELIABLEFORANYINDIRECT,INCIDENTAL,ORCONSEQUENTIALDAMAGES,SUCHAS,BUTNOTLIMITEDTO,LOSSOFANTICIPATEDPROFITSORBENEFITS,LOSSRESULTINGFROMTHEUSEOFTHEPRODUCTORARISINGOUTOFANYBREACHOFANYWARRANTY.EXCEPTASEXPRESSLYPROVIDEDINTHISAGREEMENT,AAASHALLHAVENOLIABILITYFORANYCLAIMOFANYKINDORNATURE,INCLUDINGBUTNOTLIMITEDTOAAASNEGLIGENCE,ARISINGOUTOFORINANYWAYRELATEDTOTHISAGREEMENT,ORINCONNECTIONWITHANYUSEOR

OTHEREMPLOYMENTOFANYPRODUCTLICENSEDTOTHECUSTOMERHEREUNDER,WHETHERSUCHLIABILITYARISESFROMANYCLAIMBASEDUPONCONTRACT,WARRANTY,OROTHERWISE,WHICHMAYBEASSERTEDBYTHECUSTOMER,EXCEPTFORINRESPECTOFTHIRD-PARTYCLAIMSPURSUANTTOSECTION5.6HEREIN,AAASAGGREGATELIABILITYTOTHECUSTOMERFORALLLOSSANDDAMAGEWHETHERINNEGLIGENCE,CONTRACTOROTHERWISE,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,ORTHEOPERATIONORFAILURETOOPERATEOFTHEPRODUCT,SHALLINANYEVENTBELIMITEDTOAMOUNTSPAIDTOAAABYBBBUNDERTHISAGREEMENT.NOTIFICATION:BBBshallnotifyAAAinwritingofanyclaimorotherlegalproceedinginvolvingtheproductpromptlyafteritbecomesawareofanysuchclaimofproceeding,andwillalsoreportallclaimedorsuspectedfailuresoftheProducttoconformtotheDocumentationpromptlyafterBBBbecomesawareofanysuchclaimedorsuspectedfailure,duringthetermoftheAgreement.INDEMNIFICATIONBYAAA:AAAwilldefend,indemnify,andholdharmlessBBBagainstanyclaimthattheProduct(includingMaintenanceReleasesandProductReleases)infringesanyclaimofcopyrightortrademarkofanythirdparty,oranyclaimunderanypatentorpatentapplication,orthattheforegoingincorporateanymisappropriatedtradesecretsofathirdparty,providedthatBBBgivesAAApromptwrittennoticethereof,grantsAAAsolecontrolofthedefenseandanyrelatedsettlementnegotiations,cooperateswithAAAinthedefenseofsuchclaimanddoesnotagreetosettleanysuchclaimwithoutAAAswrittenconsent.IfuseoftheProductisfinallyenjoined,orifAAAanticipatesthepossibilityofsuchaninjunction,AAA,atitsoption,willeither(i)procureforBBBtherighttousetheProductunderthesametermsandconditionsofthisAgreement(ii)replacetheProductwithasubstantiallyequivalentprogramtheuseofwhichisnotsoenjoined,orifneitheroftheforegoingoptionsisreasonableavailable,(iii)terminateBBBslicenseandrefundthelicensefeepaidfortheProduct.Notwithstandingtheforegoing,AAAshallhavenoliabilitytoBBBiftheinfringementresultsfrom(a)useoftheProductincombinationwithothersoftwareorhardware,iftheProductalonewouldnothavebeensoinfringing,(b)modificationstotheProductnotmadebyAAAifsuchinfringementwouldhavebeenavoidedbytheabsenceofsuchmodification,or(c)useofotherthantheversionsoftheProductmostrecentlyofferedtoBBBwithintheproceedingsixmonthperiodifsuchinfringementwouldhavebeenavoidedbyuseofsuchcurrentrevisions.THEFOREGOINGSTATESTHEENTIRELIABILITYOFAAA,ANDTHESOLEREMEDYOFBBB,WITHRESPECTTOINFRINGEMENTOFINTELLECTUALPROPERTYRIGHTSORCONTRACTUAL

RIGHTSOFTHIRDPARTIESBYTHEPRODUCT(S)ORANYPARTSORRELEASESTHEREOF.EXCLUSIVEREMEDIES:Exceptinthecaseofinfringementofathirdpartyintellectualpropertyright,BBB 'sexclusiveremediesforanyclaimsagainstAAAarisingoutoftheAgreementshallbelimitedtothefollowing,attheoptionofAAA:(a)replacementbyAAAoftheProductwithsoftwareacceptabletoBBBthatfunctionssubstantiallyinaccordancewiththeUserDocumentation;(b)repairbyAAAoftheProduct,bypatchorworkaround,sothatitfunctionssubstantiallyinaccordancewiththeUserDocumentationor;(c)refundbyAAAofthemoneypaidbyBBBandreceivedbyAAAinrespecttotheproduct.BBBacknowledgesthatthisSection5.7limitsitsremediesintheeventthatAAAhasbreachedanyofitsobligationstoBBB.WITHOUTLIMITINGTHEFOREGOING,AAAANDBBBAGREETHATIFANYREMEDYHEREUNDERISDETERMINEDTOHAVEFAILEDOFITSESSENTIALPURPOSE,ALLOTHERLIMITATIONSANDEXCLUSIONSOFLIABILITYSETFORTHHEREINSHALLREMAININEFFECT.TERMANDTERMINATIONTERM:ThetermofthisAgreementwillbethreeyearsfrom

theEffectiveDate.TERMINATIONFORCAUSE:TheoccurrenceofanyofthefollowingeventsshallconstituteadefaultunderthetermsofthisAgreement,andacauseforterminationofthisAgreement:ThefailurebyBBBtopayAAAanyamountonorbeforethedaypaymentisdue,thirty(30)daysafterreceiptofwrittennoticenotifyingBBBofsuchfailure(toallowBBBtocuresuchdefault);orThefailureofapartytocureanybreachofanymaterialtermofthisAgreement(otherthannon-payment)withinthirty(30)daysofreceiptofwrittennoticethereof.EFFECTOFTERMINATION:IfthisAgreementexpiresoristerminatedforanyreason,thelicensegrantedhereundershallterminate,andBBBsrighttodistributethelicensedProductshallendimmediately.Withinthirty(30)daysfollowingsuchtermination,BBBshallreturnordestroyallcopiesofProductinBBBspossession(otherthanonecopy,forsupportofexistinglicenses)andcertifyinwritingthatallothercopiesofProducthavebeen

destroyedorreturned.Notwithstandinganyconflictingprovisionherein,followingterminationofthisAgreementandforsolongthereafterasisnecessaryforBBBtosatisfyobligationsforsupportandmaintenanceservicestoitsendusers,BBBshallhavealimitedlicensetouseandmodifyacopyoftheProductsolelyforsuchpurposes,providedhoweverthatBBBshallprovidemutuallyacceptableassurancestoAAAwhichareappropriateunderthecircumstances.NoneofBBB'sexistingsublicensestoendusersforProductinBBB'plAcationshallbeaffectedbyanyterminationofthisAgreementandsuchlicensesshallremaininfullforceandeffectuntiltheendoftheirthenrespectiveterms.Aftertermination,BBBshallalsohavetherighttodistributeMaintenanceReleasesandProductReleasestoBBB'sendusers,atAAA'sthenstandardratesandpaymentterms.NODAMAGESFORTERMINATION:NeitherAAAnorBBBshallbeliabletotheotherforlostprofitsorincidental,punitive,orconsequentialdamagesrelativetoterminationofthisAgreementinaccordancewithSection6.2,evenifadvisedofthepossibilityofsuchdamages.SURVIVAL:Sections,2.3,3.3(exceptasmodifiedbySection),4.2,5,6and7,aswellasBBB 'sobligationstopayAAAallsumsduehereunderandallprovisionsregardinglimitationsof

liabilityandremedies,shallsurviveterminationorexpirationofthisAgreement.MISCELLANEOUSPROVISIONSNOJOINTVENTURE:ThisisanAgreementbetweenseparatelegalentitiesandneitheristheagentoremployeeoftheotherforanypurposewhatsoever.Thepartiesdonotintendtocreateapartnershiporjointventurebetweenthemselves.NeitherpartyshallhavetherighttobindtheothertoanyAgreementwithathirdpartyortoincuranyobligationorliabilityonbehalfoftheotherparty.WAIVER:ThefailureofeitherpartytoexerciseanyofitsrightsunderthisAgreementortorequiretheperformanceofanytermorprovisionofthisAgreement,orthewaiverbyeitherpartyofsuchbreachofthisAgreement,shallnotpreventasubsequentexerciseorenforcementofsuchrightorbedeemedawaiverofanysubsequentbreachofthesameoranyothertermorprovisionofthisAgreement.AnywaiveroftheperformanceofanyofthetermsorconditionsofthisAgreementshallbeeffectiveonlyifinwritingandsignedbythepartyagainstwhichsuchwaiveristobeenforced.VALIDITY:IfanyofthetermsandprovisionsofthisAgreementareinvalidorunenforceable,suchtermsorprovisionsshallnotinvalidatetherestoftheAgreementwhichshallremaininfullforceandeffectasifsuchinvalidatedorunenforceabletermsorprovisionshadnotbeenmadeapartofthisAgreement.IntheeventthisSection7.3becomesoperative,thepartiesagreetoattempttonegotiateasettlementthatcarriesouttheeconomicintentoftheterm(s)foundinvalidorunenforceable.FORCEMAJEURE:Ifcircumstancesbeyondthecontrolofthepartiesshalltemporarilymakeitimpossibleforeitherorbothofthemtoperformtheiragreementshereunder,thentheprinciplesofforcemajeureshallapplyandtherightandobligationsofthepartiesshallbetemporarilysuspendedduringtheforcemajeureperiodtotheextentthatsuchperformanceisreasonablyaffectedthereby.Ifsuchcircumstancescontinuefor60days,theperformingpartymayterminatetheagreement.NOTICES:Allnoticesandothercommunicationshereinprovidedforshallbesentbypostageprepaid,viaregisteredorcertifiedmailorFederalExpress,returnreceiptrequested,ordeliveredpersonallytothepartiesattheirrespectiveaddressesassetforthonthefirstpageofthisAgreementortosuchotheraddressas
