WhenatransactionisconcludedonL/Cterms,thebuyerisusuallyundertheobligationtoestablishanL/Cwithhisbankwithinthetimelimitstipulatedinthesalescontract.Especiallyforbulksaleorthecommoditiesproducedaccordingtobuyer’srequest,itisveryimportantforthebuyertoopentheL/Cintime;otherwise,thesellercan’tarrangetheproductionandcommodities.Normally,thebuyer’sL/Cshouldreachtheseller15days(or30days)priortothedateofshipmentsoastogivethesellersufficienttimetomakepreparationsforshipment.Butinpractice,foreigncustomersmayfailtoestablishtheL/CordelayopeningtheL/Cwhenthemarketconditionchangesortheshortageoffundarises.Therefore,thesellershouldurgethebuyertoexpeditetheL/Catanearlydate.Whateverthecausemaybe,itisalwaysannoyingtotheseller,butnosuggestionofannoyancemustbeallowedtoappearinhisletter,emailorFAX.Itwouldbewrong,exceptinspecialcircumstances,tostartofftoostronglybyblamingthebuyerfornon-performanceofcontract.ThefirstmessagesentshouldthereforebeapolitenotesayingthatthegoodsorderedarereadybuttherelevantL/Chasnotyetcometohand.Ifthefirstmessagebringsnoreply,asecondonewillbesent.Thisone,thoughstillrestrained,willexpressdisappointmentandsurprise.

Introduction

MessagesurgingestablishmentofL/Cmustbewrittenwithtact.Theiraimistopersuadethebuyertoco-operatemorecloselyandinfacttofulfillhisobligations;otherwisetheywillgiveoffencetothebuyerandbringaboutunhappyconsequences.OnreceivingtherelevantL/C,theseller(exporter)shouldfirstofallmakeathoroughexaminationtoseewhethertheclausessetforthintheL/Careinfullconformitywiththetermsstatedinthesalescontract(confirmation).Thisstepisessential.Aminordifferencebetweenthetwo,ifnotdiscoveredordulyamended,maycausethesellermuchinconveniencebecausethenegotiatingbankwillrefusenegotiationofthedocumentsaccordingtotheinstructionsgivenbytheopeningbank.Therefore,ifanydiscrepanciesorsomeunforeseenspecialclausestowhichthesellerdoesnotagreearefoundintheL/C,thesellershouldsendanadvicetothebuyer,askinghimtomakemayarise.Inthiscase,anamendmenttotheoriginalL/Cwillalsoberequired.NotonlycantheselleraskforamendmenttoanL/C,thebuyercanlikewiseaskforamendmentifhefindssomethingintheL/Cneedstobealtered.TheusualprocedureisthatthebuyershouldfirstobtainconsentfromthesellerandtheninstructtheopeningbanktoamendtheL/C.Sometimesthesellermayfailtogetthegoodsreadyforshipmentintimeorthebuyermayrequestthattheshipmentbepostponedforonereasonoranother;thenthesellerwillhavetoaskforextensionoftheexpirydateaswellasthedateofshipmentoftheL/C.LettersconcerningL/CamendmentandextensionshouldbewrittenwithcourtesybecauseamereamendmenttoorextensionofL/Cwillneedtimeandmoney,whichisalwaysanannoyingthingtothebuyer.
