A.PreconditiontotheCooperation

1.PartyAisabusinessentityincorporatedundertheapprovalofHenanProvincial

Government.Itisresponsibleexclusivelyforcoalbedmethaneofthecorrespondingareasasappropriateand,ifpossible,carryoutanalysisofphysicalcoalsamplesandavailabledrillcoresavailablefrompreviousdrillcoreprogramsundertakeninrespectofthecorrespondingareas.

PartyAshallendeavortoarrangeappropriatestaffandpartyBandPartyC’

stechnicalpersonneltoworktogether,inordertocompleteallthetechnical,commercialandlegalevaluation,andefficientlyhandleth

emutualinterferenceissuesthatmaybeoccurintheevaluationandminingwork.

3.Thepartiesshallusetheirbestendeavorstoworkco-operativelyatalltimeswithin

thescopeofthecontentofthecooperationandshall,wherepossible,openlyshareinformationbetweenthemthatwillassistinaccomplishingtheobjectiveandpurposesofthisLOI.

4.ProductionSharingContract.Allpartiesshallusetheirbestendeavorstoconclude

andsignthePSCs.TherightsandobligationsofeachpartywillbedefinedinPSCs.ThePSCsshallbereportedtothevariouscompetentgovern

mentauthoritiesafterbeingsigned,andshallsubjecttotheapprovaloftherelevantregulatoryauthoritiesandtheMinistryofcommerceofthePeople’sRepublicofChinaandothergovernmentauthorities.

5.JointVenture.ThreepartiesplantosetupajointventurecompanyoutsideofChina,

theproportionoftheJointVenturetentativelyis:

Rentouttheproductionandofficialfield2000m2Providecashflowwhichislistedastheproductioncostofworkshop.

3、負(fù)責(zé)設(shè)備進(jìn)口的相關(guān)稅費(fèi)；

3)Relativeimportationtaxfortransportationoftheequipment.

4、負(fù)責(zé)中國(guó)境內(nèi)的運(yùn)輸、安裝費(fèi)用，此費(fèi)用列入合作分廠成本

乙方應(yīng)做好以下工作ResponsibilitiesForPartyB：

1.負(fù)責(zé)產(chǎn)品開(kāi)發(fā)、銷(xiāo)售；

1)Development,marketingandsalesoftheproduct

2.負(fù)責(zé)生產(chǎn)技術(shù)指導(dǎo)。

2)Supervisetheproduction

三、其他Others：

1.甲方負(fù)責(zé)加工生產(chǎn)，協(xié)助乙方銷(xiāo)售；

1)PartyAisresponsiblefortheproductionandassistPartyBformarketingandsales.

2.乙方負(fù)責(zé)提供整套羊毛衫生產(chǎn)加工設(shè)備Thefundsarefortheprojectonlyandrespectiveaccounting.Accordingtotherespectivesharestipulatedinthisletterofagreement,bothparitesbeartheriskorprofitwhichgeneratesintheprosecutiontogether.

（Forinstance,thepartyoccupies51%shareshouldbear51%riskorprofit.）

四、本協(xié)議書(shū)是雙方合作的基礎(chǔ)，甲乙雙方的具體合作內(nèi)容以雙方的正式合同為準(zhǔn)。

4.ThisLetterofAgreementisthebaseofcooperation,thedetailofwhichissubjectedtotheconfirmationofformalcontract.

五、本協(xié)議書(shū)一式兩份，自簽字之日起生效，甲乙雙方各執(zhí)一份。

5.ThisLetterofAgreementiswrittenin2copiesandwillbeeffective

fromthesigningday.Bothpartiesholdonerespectively.
