Mazut100-75，QuantityFiftythousandtonspermonthx12主題:俄羅斯產(chǎn)重質(zhì)燃料油〔Mazut100-75〕5/x12Weagreetothisnon-circumventionandnon-disclosureagreement.(BasedonICCpublicationlatestParisEdition)我們同意遵守此保密與不跨越合約，此合約依據(jù)ICC出版最巴黎版本作成。Weagreethatallinformation,includingcontacts,names,programs,introductiontoindividuals,companies,programs,andallotherindividualsorentitiesandallcontracts,procedures,forms,lettersandailothercommunicationsbetweenusbelongtothepersonorcompanyprovidingit,andcannotbedisclosedtootherswithoutpriorconsentoftheprovider.Thisagreementbindsanypersonorentitywhicheitherpartyisamemberof,principaloragentfor,associatedwith,employeeof,assignee,consultant,heir, successor, client, contractor, supplier, or which could benefit financially frompresentand,future,businessand/orcontactsorinformationofeitherparty.告知其它人。此合約之效力及于雙方當(dāng)事人及所屬之成員、合伙人、合作伙伴、受雇得金錢之利益者。Weagreetocontactandinformtheotherpartywithallnecessaryinformation,data,andintroductionpriortomeetingwithorcontactinganythirdpartyconnectedwithanytransactioncoveredinanywaywithfinancialdealingsbetweenthepartiesbysendingacopyofeachcontactand/orcommunicationwiththeprovider.對(duì)方，讓對(duì)方了解交易進(jìn)展之狀況。Facsimile,andE-maildocumentsshallhavethesameforceandeffectasoriginals.或電子郵件〔E-mail〕的檔與原稿具有同等之效力。Thisagreementisanevergreendocument.Itappliestoaguaranteeforallfuturetransactionperiods,beyondthedateaffixedbelow.Itappliestoalltransactionsnowandinthefuturebetweentheparties,includingsubsequentrenewals,extensions,re-negotiations,additions,rollovers,oranyparallelthirdpartyagreementofthesame,includingtransactionswithparent/subsidiaryand/orotherpersons,companiesorentities.Itisvalidandenforceableregardlessofthesuccessoffailureoftheinitialtransactionorthesuccessorfailureofanyproject.2of5層面之其它人士、公司、機(jī)構(gòu)及簽約對(duì)方往上追朔〔Parent〕或往下延長(zhǎng)〔Subsidiary〕的關(guān)系之交易，且不管首次成功與否，也不管任何個(gè)案其做成與否，均屬有效且具約束力。Non-Disclosure: Signatories agree to keep confidential addresses, description,employeesnames,faxnumbers,names,phonesnumbers,andotherrelatedpartieseitherdirectlyorindirectlyconcededtoallsuchidentifyinginformationshallnotbedisclosed,toanyonebyanothersignatorywithouttheexpresswrittenpermissionoftheintroducingsignatory.非泄漏機(jī)密：簽署者之地址、描述、受雇者姓名、號(hào)碼、號(hào)碼及具有相關(guān)之不得由另一簽署者泄漏給任何人。Non-Circumvention:Eachsignatoryagreenottomakecontactdirectoryorindirectlywithorbeinvolvedinanytransactionwithanyconfidentialpartiestothisagreementwithouttheexpresswrittenpermissionfromtheintroducingsignatory.和有受保密之一方，無(wú)論直接或是進(jìn)展聯(lián)絡(luò)接觸。Relationshipofsignatories:Exceptasotherwiseagreedtoinwriting,nosignatoryistheproxyorpartneroftheothersignatoryorsignatories.是合伙人。Weagreetoimmediatelyterminatecontactwithanythirdpartycontactattherequestofthatcontact.Failuretocomplyshallconstitutecircumventionandtheoffendershallbeliableasabove.遵守即構(gòu)成越線行為，違反者須為此行為負(fù)責(zé)。Thepartiesagreethattheywillinwaycircumventtheotherinanyfinancialtransactionnoworinthefutureusingsuchinformation,orapproachinganysuchcontactdirectlyorthough.Anyotherpersonorentityuponbreachofanytermofthisagreement,theinjuredpartymayrecoverondemanddamaged,liquidateddamagesequaltowhattheirbenefitwouldhavebeen,orinjunctiverelief,pluslegalcostsandfees.Shouldcircumventionoccurorbeattempted,allpendingconnection,actionsandcontactsarisingoutoftheinformationshallbeimmediatelycancelled.Inadditiontolegalremedies,fees,oranticipatedcompensation,committedoragreedtoshallbedueandpayabletotheproviderimmediatelyupondemand.也不管是直接或是經(jīng)由他個(gè)人或公司行號(hào)進(jìn)展接洽時(shí)，絕不跨越合約中之對(duì)方私自進(jìn)之應(yīng)得利益，假設(shè)為強(qiáng)制救濟(jì)時(shí)，得加上訴訟與律師之費(fèi)用－一旦發(fā)生越線或試圖發(fā)生保證或同意支付之賠償金與法律之費(fèi)用，在對(duì)方提出時(shí)，違反之一方須馬上支付之。Governinglaw:ClaimsanddisputesinconnectionwiththisagreementshallbeinaccordwiththeViennaConventions,unlessotherwisenoted,inwriting,TaiwanROCorHongKongwiththerespecttothevenueofanybreach.3of5Breach:Intheeventofbreachofthisagreement,itisagreedthatthedamagedpartyreceives as damages any commission or other remuneration the defaulting partyreceiveseitherdirectlyorindirectly,asaresultofthebreach,oranycommissionthatthereferringpartywouldhaveearnedhadtherenotbeenabreach,atthedamagedpartiesoption.Inaddition,thedefaultingorbreachingpartyagreetopayallcourtcosts,legal fees and other related expenses upon award of judgment in any court competentjurisdictionovertheperson,entityofpropertyofthesignatoryagainstwhomitismade;andotherwisetopayotherrelatedexpenseswhetherincourtoroutofcourttocompelthepaymentofthedamagesprovidedforherein.違約：如有發(fā)生對(duì)本協(xié)議書之違約時(shí)，受影響損害之一方受到如傭金或是酬勞金之損違約便可得到之利益，卻因此違約而失去時(shí)，受有損害之一方因此可加以主見(jiàn)其損失要求。MiscellaneousProvisions:ClaimsanddisputesinconnectionwithorrelatingtothisagreementshallbefinallysettledundertherulesofconciliationandarbitrationoftheInternational chamber of Commerce (ICC) (Rules) 1989 edition and
