SalesContract

Introduction

ThisSalesContract(the“Agreement”)ismadeandenteredintothis[INSERTDATEHERE](the“EffectiveDate”)byandbetween[INSERTSELLERNAMEHERE],a[INSERTSELLERMUNICIPALITYTYPEHERE]organizedunderthelawsof[INSERTSELLERCOUNTRYHERE],withitsprincipalplaceofbusinessat[INSERTSELLERADDRESSHERE](the“Seller”),and[INSERTBUYERNAMEHERE],a[INSERTBUYERMUNICIPALITYTYPEHERE]organizedunderthelawsof[INSERTBUYERCOUNTRYHERE],withitsprincipalplaceofbusinessat[INSERTBUYERADDRESSHERE](the“Buyer”)(collectivelyreferredtohereinasthe“Parties”orindividuallyasa“Party”).

Scope

SelleragreestoselltoBuyer,andBuyeragreestopurchasefromSeller,theproduct(s)(the“Product(s)”)describedinExhibitA(the“ProductDescription”)attachedhereto.

PurchasePrice

ThetotalpurchasepricefortheProduct(s)shallbe[INSERTPURCHASEPRICEHERE](the“PurchasePrice”),payableinaccordancewiththepaymenttermssetforthinExhibitB(the“PaymentTerms”)attachedhereto.ThePurchasePriceincludesallapplicablesales,use,exciseorothertaxesimposedbyfederal,state,orlocalgovernmentalauthoritiesrelatingtotheProduct(s)andthesalethereof.

Delivery

DeliveryoftheProduct(s)shallbemadeinaccordancewiththedeliverytermssetforthinExhibitC(the“DeliveryTerms”)attachedhereto.

Warranties

SellerherebyrepresentsandwarrantstoBuyerthat(a)theProduct(s)shallbefreefromanydefectsinworkmanshipormaterial,(b)theProduct(s)shallconformstrictlytotheProductDescription,and(c)theProduct(s)shallbefitfortheordinarypurposesforwhichsuchProduct(s)is/areused.

DisclaimerofOtherWarranties

EXCEPTFORTHEWARRANTIESSETFORTHINSECTION5OFTHISAGREEMENT,SELLERMAKESNOOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGWITHOUTLIMITATION,ANYWARRANTYOFMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE,ANDHEREBYDISCLAIMSTHESAME.

LimitationofLiability

INNOEVENTSHALLSELLERBELIABLEFORANYINDIRECT,INCIDENTAL,ORCONSEQUENTIALDAMAGES,INCLUDINGWITHOUTLIMITATION,LOSTPROFITS,LOSSOFBUSINESSORBUSINESSINTERRUPTION,ARISINGOUTOFORRELATEDTOTHISAGREEMENT,EVENIFSELLERHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[INSERTGOVERNINGLAWHERE],withoutregardtoitsconflictsoflawprinciples.

EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesandreplacesallprioragreements,understandingsorrepresentations,writtenororal,regardingsuchsubjectmatter.

Execution

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.ThisAgreementmaybeexecutedbyfacsimileorscannedPDFandshallbebindinguponthePartiesandtheirrespectivesuccessorsandassigns.

INWITNESSWHEREOF,thePartieshaveexecutedthisSalesContractasoftheEffectiveDate.
