insub-clause(d)above),thentheSellersmay2notifytheBuyersinwritingstatingthedatewhenthey3anticipatethattheVesselwillbereadyfordeliveryandproposingthatthatdateshallbethenewCancellingDate.UponreceiptofsuchnotificationtheBuyersshallhavethe6optiontocancelthisAgreement,providedsuchoptionis7exercisedinwritingwithintwo(2)WorkingDaysfromthereceiptoftheaforesaidnotificationfromtheSellers.Ifthe9BuyersdonotexercisetheoptiontocancelthisAgreement,.0thedateproposedbytheSellersshallbethenewCancelling1DateasifstatedinBox14.4、交付地點和時間(a)賣方應(yīng)確保船舶在交付區(qū)域(載于第13欄)內(nèi)已做好交付準備，不得早于且也不得晚于第14欄記載的時間，最后一天即為解約日。緒交船的預(yù)期時間和地點的通知。(c)萬一在解約日當天或之前，船舶沒有備妥交付，買方有權(quán)取消該買賣協(xié)議，但是須在從解約日起2個工作日(不應(yīng)發(fā)生在第15欄記載地點的周六、周日或公共假日范圍)內(nèi)以書面形式提出行使此。(d)在買方?jīng)]有根據(jù)上文(c)款行使取銷該協(xié)議的選擇權(quán)時，他將有權(quán)指定一個新的船舶交付日，同第14欄已經(jīng)載明的一樣。然而，如果買方未根據(jù)上文(c)分條款進行指定，則應(yīng)不存在新的解約日，那么，賣方應(yīng)盡快交付船舶。(e)盡管賣方已經(jīng)行使恪盡職守之職，如果賣方預(yù)計到船舶無法在解約日截止前準備就緒交付(無方應(yīng)有權(quán)在收到該通知起的2個工作日內(nèi)書面取消本協(xié)議。如果買方?jīng)]有行使選擇權(quán)去取消本協(xié)議，的新的日期將成為新的解約日，如同第14欄載明一樣。5.5.DELIVERYCONDITION(a)TheSellersshalldelivertheVesseltotheBuyersinsubstantiallythesameconditionaswhentheVesselwasInspectedbytheBuyersattheplacestatedinBox9,fairwearandtearexcepted,butfreefromoutstandingrecommendationsandaveragedamageaffectingherpresentclassandwithallherclass,nationalandinternationaltradingcertificatescleanandvalidatthetimeofdelivery.(b)UpontheVesselbeingdeliveredtoandacceptedbythe.BuyersinaccordancewiththisAgreementtheSellersshallhavenoliabilitywhatsoeverforanyfaultordeficiencyintheirdescriptionoftheVesselorforanydefectsintheVesselregardlessofwhethersuchdefectwasapparentorlatentatthetimeofdelivery.5、交付條件(a)賣方交付船舶的狀況應(yīng)該與買方在第9欄載明的地點檢查船舶時基本一致，正常損耗除外；但國證書和國際營運證書清潔和有效。(b)根據(jù)本協(xié)議，一旦船舶交付并由買方接受，對無論任何關(guān)于船舶描述的故障和缺陷，或交付時不論是顯現(xiàn)的或潛在的船舶缺陷，賣方均不應(yīng)承擔任何責任。6.UNDERWATER6.UNDERWATERINSPECTION(a)TheSellersmaydelivertheVesselwithoutdrydocking,subjecttothefollowingprovisions.(b)PriortodeliveryoftheVesseltheBuyersshallhavetherighttohavediversapprovedbyaclassificationsocietyreferredtoinBox5(“theClassificationSociety”),carryoutaninspectionoftheVessel’sunderwaterpartsbelowthesummerloadlineinthepresenceofasurveyoroftheClassificationSocietyarrangedbytheSellers.Suchinspection,ifany,istobeattheBuyers’arrangement,riskandexpenseandisnottointerferewiththeVessel’soperationanddeliveryschedule.(c)TheBuyersshallgiveawrittennoticeoftheirintentionto.haveanunderwaterinspectioncarriedoutwithintwo(2)daysfromthereceiptoftheseven(7)daysnoticestipulatedinsub-clause(b)ofClause4.IftheBuyersfailtogivesuchawrittennoticewithintwo(2)days,theyshalllosetheirrighttohaveanunderwaterinspection(d)UponreceiptoftheBuyers’noticetheSellersshallarrangewiththeClassificationSocietytocarryoutanunderwaterinspection.ThecostoftheunderwaterinspectionshallbebornebytheBuyersunlessdamageaffectingtheclassis127found,inwhichcasetheSellersshallbearthecost.(e)Shouldanydamageaffectingtheclassbefoundbysuchdivers’inspectionthefollowingshallapply:(i)wherethedamageisofsuchnaturethatrepairsarenotrequiredpriortothenextscheduleddrydockingbytheClassificationSociety,thentheSellersandtheBuyersshalleachselectareputableshipyardintheDeliveryRangestatedinBox13orneartheretoandobtainfromsuchshipyardaquotationforthecostofrepairsofthedamage.Eachquotationistobeforthedirectrepaircostsofthedamageonlyandisnottoincludethecostofdockageandgeneralserviceexpenses.TheSellersshallthenhavetheoptiontoeitherrepairthedamagepriorto.deliveryoftheVesselordelivertheVesselwithoutthedamagebeingrepairedwithareductionfromthePurchasePriceoftheestimatedcostofrepairs.Theestimatedcostofrepairsshallbedefinedastheaverageofthetwoquotationsobtainedfromthetwoshipyards;(ii)wherethedamageisofsuchnaturethatrepairsarerequiredpriortothenextscheduleddrydockingbytheClassificationSociety,thentheSellersshallrepairthedamageattheircostandexpenseandtotheClassificationSociety’ssatisfaction.(f)IntheeventthattheVesselisdrydockedtoeffectrepairsofdamageinaccordancewithsub-clause(e)hereof,theSellersshallhavetherighttodesignatethedrydockplaceasthenewdeliveryplaceifsuchdrydockplaceiswithintheDeliveryRangestatedinBox13.InsucheventtheBuyersshallhavetherighttocleanandpainttheunderwaterpartsoftheVesselattheirriskandexpenseandwithoutinterferingwiththeworkoftheSellersandasurveyoroftheClassificationSocietyandwithoutaffectingtheVessel’sdeliveryschedule.HoweveriftheBuyers’workindrydockisstillinprogresswhentheSellershavecompletedtheirwork,thentheadditionaldockingperiodnecessarypletingsuchworkshallbeattheBuyers’riskandexpense,inwhicheventtheSellersshallhavetherighttotenderaNoticeofReadinessforDeliveryonoraftercompletionoftheirwork.(g)Ifrepairsarerequiredinaccordancewithsub-clause(e)hereof,thentheCancellingDateshallbeextendedbythecorrespondingtimelosttoeffectsuchrepairsprovidedthatsuchextensionshallnotinanyeventexceedthirty(30)days.6、水下檢驗(a)根據(jù)以下條款，賣方可以無需安排進塢而交付船舶。(b)交付船舶前，買方應(yīng)該有權(quán)雇傭經(jīng)船級社(第5欄)批準的潛水員執(zhí)行對船舶夏季載重線以下的水下部分進行檢驗，且需賣方安排的船級社驗船師在場監(jiān)督。該檢驗(如有)由買方安排，風險、費用也由買方承擔，且不得干擾船舶的運營計劃及交船進度。(c)買方應(yīng)在收到(第4條b次條)規(guī)定的7日通知書之日起的2日內(nèi)，書面通知賣方他們對船舶進行水下檢驗的意圖。如買方?jīng)]有在這2日內(nèi)給出書面通知，他應(yīng)將失去水下檢驗的權(quán)利。(d)一旦收到買方的書面通知后，賣方應(yīng)安排船級社開展水下檢驗。水下檢驗的費用由買方承擔，但如果發(fā)現(xiàn)影響船級的損壞，在這種情況下，費用應(yīng)將由賣方承擔。(e)如果檢驗發(fā)現(xiàn)影響船級的損壞，適用以下條款：(i)當損壞不需要在下一次船級社要求的定期塢檢之前進行修理時，那么，買賣雙方應(yīng)在第13欄載明的交船區(qū)域或其附近，各自挑選一家有良好信譽的船塢，并從船塢處獲得修復(fù)該損壞所需的報報價平均計算得出。(ii)當損壞需要在下一船級定期塢檢之前修復(fù)的，那么賣方應(yīng)自費修復(fù)船舶直到船級社滿意為止。止(f)當船舶依上一次條之規(guī)定進入船塢進行修理損壞時，賣方有權(quán)指定該船塢地作為新的交船地，如果該船塢是位于第13欄交船的地理范圍內(nèi)。在此情況下，買方應(yīng)有權(quán)在不影響交船進程、不妨礙賣，賣方有權(quán)在完成其工作之時或之后遞交船舶準備就緒交船通知書。.(g)如果船舶根據(jù)上以次條(第e次條)需要修理，那么，解約日應(yīng)根據(jù)進行修理所花費的時間相7.NOTICEOFREADINESSANDLIQUIDATEDDAMAGES(a)WhentheVesselbecomesreadyfordelivery,theSellersshalltendertotheBuyersaNoticeofReadinessforDelivery.(b)TheBuyersshalltakeovertheVesselwithinthree(3)BankingDaysfromthedayofreceiptofsuchNoticeofReadinessforDelivery(c)IntheeventtheBuyersdonottakedeliveryoftheVesselwithintheperiodspecifiedabove,theBuyersshallpaytotheSellersforeachdayofthedelayuptothetenth(10th)dayofthedelaytheliquidateddamagesasstatedinBox16.Ifthedelayexceedsten(10)daysthentheSellersshallhavetherighttocancelthisAgreementandclaimdamagesfortheirlossesflowingtherefrom.7、準備就緒通知書和議定損害賠償金(a)當船舶準備就緒交付時，賣方應(yīng)向買方遞交船舶交接準備就緒通知書。(b)買方應(yīng)該在收到該準備就緒通知書之日起的3個銀行日內(nèi)接收該船舶。并對由此帶來的損失要求索賠。8.8.TOTALLOSSANDFORCEMAJEUREShould,beforedelivery,theVesselbecomeanactual,constructiveorcompromisedtotalloss(notbeingaresultofan.actoromissionoftheSellerscommittedwiththeintenttocausesuchtotallossorrecklesslyandwithknowledgethatsuchtotallosswouldprobablyresulttherefrom),orshouldtheVesselnotbeabletobedeliveredbeforetheCancellingDatethroughtheoutbreakofwar,therestraintofGovernments,PrincesorPeople,politicalreasonsoranyothercauseoverwhichtheSellershavenocontrol,thenthisAgreementshallbenullandvoidandneitherpartyshallbeliabletotheother.InsucheventtheDeposittogetherwithinterestaccruedthereon,ifany,shallbeimmediatelyreleasedinfulltotheBuyers.8、全損及不可抗力如果在交付前發(fā)生船舶的實際全損、推定全損或協(xié)議全損(非因賣方故意導致這種全損的疏忽行為或不為或草率魯莽，或明知很可能會因此導致這種全損)，或者因戰(zhàn)爭爆發(fā)、政府、君主或人民的限制、政9.9.TRANSFEROFTITLEANDRISKTitleandrisktotheVessel,togetherwitheverythingbelongingtoher,shallpasstotheBuyersuponbothpaymentofthePurchasePriceanddeliveryoftheVesselhavingoccurred.DeliveryoftheVesselshallbedeemedtotakeplaceatthedateandtimespecifiedintheProtocolofDeliveryandAcceptance.9、所有權(quán)及風險的轉(zhuǎn)移.地點應(yīng)被認為是交付和接收議定書中所具體規(guī)定的。310.BELONGINGSAND3TheSellersshalldelivertotheBuyerstheVesselwitheverythingbelongingtoheratthetimeofthesuperficialinspectionreferred205tointheBox9includingallspareparts,storesandequipment,206onboardoronshore,usedorunused,exceptsuchthingsasare207inthenormalcourseofoperationsusedduringtheperiod208betweenthesuperficialinspectionanddelivery.TheSellersshall209providetheBuyerswithaninventorylistatthetimeofdelivery.210Forwardingcharges,ifany,shallbefortheBuyers’account.TheBuyersshalltakeoverandpaytheSellersfortheremaining212bunkersandunusedlubricatingoilsatthelastpurchasedprices213evidencedbysupportingvouchers.Paymentunderthisclause214shallbemadeonorpriortodeliveryoftheVesselinthesamecurrencyasthePurchasePrice.買方應(yīng)接收剩余燃油和未使用的潤滑油并為此另外支付款項，根據(jù)支持性付款憑證作為最近購買價格的證明支付給賣方。本條款下的付款，應(yīng)是在船舶交付之日或之前，以與船舶價款相同的貨幣進行支11.EXCLUSIONFROMTHESALE217TheSellershavetherighttotakeashoreallcrockery,cutlery,linenandotherarticlesbearingtheSellers’flagorname,219providedtheSellerssubstitutethesameforanequivalentnumber220andtypeofsimilarunmarkeditems.Books,cassettesandforms221etc.,exclusivelyforusebytheSellersontheVessel,shallbe222takenashorebeforedelivery.PersonaleffectsoftheMaster,hiredequipment,shallberemovedSellerspriortobythedeliveryoftheVessel.223OfficersandCrewincludingslopchestand224any,areexcludedfromthissaleand.備等(如有)，不在本出售的范圍內(nèi)，應(yīng)在船舶交付前由賣方移除。12.CHANGEOFNAMEETC.TheBuyersundertaketochangealterthefunnelmarkingsupon7thenameoftheVesselanddeliveryoftheVessel.等船舶交付時，買方承擔船舶名稱的變更及煙囪標志的改變。013.ENCUMBRANCESETC0TheSellersshalldelivertotheBuyerstheVesselfreefromalldebts,encumbrances,mortgagesandmaritimeliens.TheSellersherebyundertaketoindemnifytheBuyersagainstallclaimsofwhatevernaturemadeagainsttheVesselinrespectofliabilitiesincurredpriortothetimeofdelivery.14.DEFAULT14.DEFAULTANDCOMPENSATION(a)ShouldtheBuyersdefaultinthepaymentoftheDepositorthebalanceofthePurchasePriceinthemannerandwithinthetimehereinspecified,ortheBuyersotherwisefailtoperformtheirobligationsunderthisAgreementandsuchfailureisnotremediedwithinseven(7)daysfollowingreceipt.ofanoticeofdefaultfromtheSellerstotheBuyers,thentheSellersshallhavetherighttocancelthisAgreement.Insuch243eventtheDepositifalreadypaid,togetherwithinterest244accruedthereon,ifany,shallbeforfeitedtotheSellers.If245theDeposithasnotyetbeenpaidtheSellersshallhavethe246righttoreceivetheamou
