取消英文合同范本[合同標題]取消英文合同范本[合同正文]ThisCancellationAgreement("Agreement")isenteredintoasof[Date],byandbetween[PartyA],acompanyincorporatedunderthelawsof[Country/State],withitsprincipalplaceofbusinessat[Address],and[PartyB],acompanyincorporatedunderthelawsof[Country/State],withitsprincipalplaceofbusinessat[Address].[PartyA]and[PartyB]arecollectivelyreferredtoasthe"Parties"andindividuallyasa"Party."WHEREAS,[PartyA]and[PartyB]haveenteredintoacertainwrittenagreementdated[Date](the"OriginalAgreement"),whichgovernstherightsandobligationsoftheParties;WHEREAS,thePartiesnowdesiretocancelandterminatetheOriginalAgreementinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thePartiesagreeasfollows:1.CancellationofOriginalAgreement1.1ThePartiesherebycancelandterminatetheOriginalAgreementeffectiveasofthedateofthisAgreement.1.2UpontheeffectivedateofthisAgreement,allrightsandobligationsofthePartiesundertheOriginalAgreementshallceaseandbeofnofurtherforceoreffect,exceptasotherwiseexpresslyprovidedherein.2.ReleaseandDischarge2.1[PartyA]and[PartyB]herebyreleaseanddischargeeachother,theirrespectiveofficers,directors,employees,agents,affiliates,successors,andassignsfromanyandallclaims,demands,liabilities,actions,causesofaction,costs,andexpenses,whetherknownorunknown,arisingoutoforinconnectionwiththeOriginalAgreementortheterminationthereof.2.2ThisreleaseanddischargeshallbebindinguponandinuretothebenefitofthePartiesandtheirrespectivesuccessorsandassigns.3.Confidentiality3.1ThePartiesagreetokeepthetermsandconditionsofthisAgreementconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaworregulation.4.GoverningLawandJurisdiction4.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].4.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Country/State].5.EntireAgreement5.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothecancellationandterminationoftheOriginalAgreementandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten,relatingtothesubjectmatterhereof.INWITNESSWHEREOF,thePartieshaveexecutedthisCancellatio
