)請(qǐng)商檢局進(jìn)行檢驗(yàn)，并有權(quán)根據(jù)商檢局出具的檢驗(yàn)報(bào)告向賣方索賠。15.claims:incasethatthesellerareliableforthediscrepanciesandaclaimismadebybuyerwithinthetime-limitofinspectionandqualityguaranteeperiodasstipulatedinclause14ofthiscontract,thesellershallsettletheclaimupontheagreementofthebuyersinoneorthecombinationofthefollowingways:(1)agreetotherejectionofthegoodsandrefundtothebuyersthevalueofthegoodssorejectedinthesamecurrencyascontractedherein,andtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,bankingcharges,freight,insurancepremium,inspectioncharges,storage,stevedorechargesandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.(2)devaluethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbythebuyers.theclaimsmentionedaboveshallberegardedasbeingacceptedifthesellersfailtoreplywithin30daysafterreceivingthebuyersclaim.索賠：買方按照本合同14條的規(guī)定，在檢驗(yàn)或質(zhì)量保證期內(nèi)提出的索賠，其問題應(yīng)由賣方負(fù)責(zé)時(shí)，賣方在取得買方同意后應(yīng)按下列之一或混合的方式處理索賠。(1)同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、保險(xiǎn)費(fèi)用、商檢費(fèi)、倉(cāng)儲(chǔ)費(fèi)和裝卸費(fèi)。(2)按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失將貨物貶值。賣方在收到買方的索賠30天內(nèi)沒有答復(fù)將被認(rèn)為接受上述索賠。16.forcemajeure:thesellershallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoforcemajeure,suchaswar,seriousfire,flood,typhoonandearthquake,orothereventsagreeduponbetweenbothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.thesellershalladvisethebuyerbycable/teleximmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,shallsendbyairmailtothebuyerfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthorities,wheretheaccidentoccursasevidencethereof.undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.不可抗力：由于嚴(yán)重的火災(zāi)、水災(zāi)、臺(tái)風(fēng)、地震以及雙方同意的其它不可抗力事故，致使賣方交貨延遲或不能交貨時(shí)，賣方可不負(fù)責(zé)任，但發(fā)生上述事故時(shí)，賣方應(yīng)立即以電傳或電報(bào)通知買方，并于事故發(fā)生后14天內(nèi)將事故發(fā)生地主管當(dāng)局出具的事故證明書用航空寄交買方,依不可抗力事件之輕重,一部或全部免除合同責(zé)任。17.arbitration:alldisputesinconnectionwiththiscontractortheexecutionthereofshallbestettedfriendlythroughnegotiations.incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtochinainternationaleconomicandtradearbitrationcommissioninaccordancewiththerulesofarbitrationpromulgatedbythesaidarbitrationcommission.thearbitrationshalltakeplaceindalianandthedecisionofthearbitrationcommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisio
