Remarks:

1.PartyAshallpaythedesignfeeofeachstagewhenPartyBsubmitsthedesigndocumentofeachstage.

2.PartyAshallpay100%designfeewhenPartyBsubmitsthelastpartoftheworkingdrawings.

Thedesignfeeisfixedbyinitialdesignestimation,ifthereisadifferencebetweenactualdesignfeeandestimatedfee,PartyBshallreturntheoverchargeanddemandpaymentoftheshortage.Thebalancewillbesettledatthelastpayment.

AftertheContractisexecuted,thedownpaymentisregardedasapartofthetotaldesignfee.

Responsibilitiesofbothparties:

ResponsibilitiesofPartyA:

AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmittoPartyBbasicmaterialsanddocumentswithinspecifiedtimeandshouldberesponsibleforthecompleteness,correctnessandvalidityofthematerialsanddocuments.PartyAshallnotrequirePartyBtoconductdesigninviolationofrelevantnationalstandards.

Incasethereisadelayoflessthan15daysexceedingthespecifiedtimelimitforthedeliveryoftheabovematerialsanddocumentsbyPartyA,thetimelimitforPartyBtodeliverdesigndocumentsshallbeextendedaccordingly;incasethereisadelayofmorethan15daysexceedingthespecifiedtimelimitforthedeliveryoftheabovematerialsanddocumentsbyPartyA,PartyBshallhavetherighttore-determinethetimefordeliveryofthedesigndocuments.

IfPartyAaltersgreatlythedesignproject,scale,conditionswhichtheyhavealreadyentrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedParlyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementaryContract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.

IfPartyAhasagreedallthedesignworksconductedbyPartyBbeforetheconclusionoftheContract,itshallpaychargestoPartyBaccordingly.

PartyAshallpaychargesfordesigntoPartyBattheamountanddateprovidedinthisContract.IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedtimeasmentionedintheContract,PartyAshallgetthepriorconsentofPartyBandshouldmakeadditionalpaymentforfastandimmediateservice.

PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB'spersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.

PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB'sconsent,PartyAshallnotrevise,duplicateortransferthedesigntoathirdpartyorusethedesigndocumentsforotherprojects.Iftheabove-mentionedishappened,PartyAshalltaketherelativelegalresponsibilityandPartyBshallhavetherighttoclaim.

ResponsibilitiesofPartyB:

PartyBshallcarryoutdesignworkinaccordancewithtechnologicalrulesandstandardsprovidedinthisContract,submittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle4andshallberesponsibleforthequalityofthedesigndocuments.

Thedesignlifeoftheconstructionprojectshallbe50years.

Upondeliveryofthedesigndocuments,PartyBshallattendtheapprovalmeetingsheldbyPartyAandtherelevantcompetentauthoritiesandshallberesponsibleformakingthenecessaryadjustments,revisionsandsupplementswhichdoesnotexceed(hescopeofthedocumentsofdesignrequirementsasoriginallydefinedbasedonthecommentsofsuchmeetings.

PartyBisnotallowedtodiscloseandtransferanyproductdrawing,technicalandeconomicdatawhichareprovidedbyPartyAtoathirdparty.Incasethattheabove-mentionedishappened,PartyBshalltaketherelativelegalresponsibilityandPartyAshallhavetherighttoclaim.

PartyBisnotallowedtosubcontractthedesignworkcompletelyorpartiallytoanythirdpartywithout(hepermissionofParlyA.

DefaultResponsibility:

DuringtheperformanceoftheContract,ifPartyArequirestoterminateorcanceltheContractbeforePartyBstartsthedesignwork,PartyBwillnotreturnthedownpaymentalreadypaidbyPartyA;ifPartyBhasstartedthedesignwork,PartyAshallpayfortheactualworkloadalreadydonebyPartyB.Whentheactualworkloadofthedesignislessthanhalfoftheworkatthestage,PartyAshallpayhalfofthepaymentforthedesignworkatthestage.Whentheactualworkloadofthedesignismorethanhalfoftheworkatthestage,PartyAshallpayallthepaymentforthedesignworkatthestage.

PartyAshallpaychargesfordesigntoPartyBattheamountanddateprovidedinIhisContract.Foreachdayofoverduepayment,2%ooftheoverduepaymentshallbepaidbyPartyAandthetimefordeliverybyPartyBshallbeextendedaccordingly.Wherethedelayofpaymenthasexceeded30days,PartyBshallhavetherighttosuspendtheperformanceoftheworkatthenextstageandgivewrittennoticetoPartyA.IncasethehigherauthorityorcompetentdepartmentofdesignapprovalwouldnotapprovethedesigndocumentsortheengineeringconstructionofthisContractissuspendedorstopped,PartyAshallpaythecluedesignfeetoPartyB

PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedialmeasures,butalsoshalldeductthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbediscussedanddeterminedbythePartiesas100%oftheactualloss.

IfitisPartyB'sownfaulttohavedelayedthesubmissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct2%oofthedueamountofthedesignfeeonadailybasisforthedelayperiod.

AftertheContractcomesintoforce,PartyBmayrequireterminationorcancellationoftheContractandshallreturnthedownpaymentindouble.

Otherprovisions:

WhenPartyArequiresPartyBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwopartiesshallnegotiatefortheseadditionalworksandsignasupplementaryservicecontract.

PartyAshallpayforalltherelevantpublicationsandstandardcollectionsofdrawingsissuedbythestateandlocalgovernmentwhichareneededbyParlyBforthepurposeofdesigningtheproject.IfPartyBisrequestedtosubmitdesigndocuments,ofwhich,thenumberofcopiesaremorethanthosestipulatedinArticle4ofthisContract,PartyAshallpayforthoseadditionalcopies.

IntheprojectsoftheContract,PartyBshallnotappointmanufacturersordesignersofconstructionmaterialsandequipments.WherethereisanecessitythatPartyBshallcooperatewithPartyAinorderingtheconstructionmaterialsandequipments,therelevantfeeshallbepaidbyPartyA.

IfPartyAentrustsPartyBtoundertakeworkandserviceswhicharebeyondthisContract,PartyAshallpayadditionalfee.

WhenthisContractcannotbeexecutedbecauseoftheunforeseeablenaturalforces,thetwopartiesshalltimelynegotiatetosolvetheproblem.

IfanydisputearisesduringtheexecutionofthisContract,itshallbesettledbyfriendlyconsultation,Incasethatsuchconsultationfails,itshallbesubmittedtotheBeijingArbitrationCommitteeorbroughttothePeople'sCourt.

ThisContractshallbemadein6copies.PartyAshallhold3copies.PartyBshallhold3copies.

ThisContractispreparedinbothChineseandEnglishlanguages,intheeventofconflictsinanyoftheprovisionsbetweenthetwoversions;provisionsspecifiedintheChineselanguageversionshalltakeprecedence.

ThisContractshallcomeintoforcewhenPartyAhaspaidthedownpaymenttoPartyBandbothparlieshavestampedandsignedit.

ThisContract,af
