AIRCRAFTSERVICEAGREEMENT飛機服務(wù)協(xié)議Thisagreementwasmadeon 2019between該協(xié)議由以下兩方簽署： ,acompanyincorporatedunderthelawsofHongKongwithlimitedliabilityandwhoseregisteredofficeissituateat (the"Client“)and CO.,LIMITED(originalname： )(“ServiceProvider")withregisteredofficeat；ThisAgreementsetsoutthetermsandconditionsuponwhichServiceProviderwillmanageClient'sAircraftdescribedbelow.ThisAgreementconsistoftheMajorCommercialTermsbelowandtheGeneralTermsandConditionsattached.此協(xié)議將根據(jù)下列條款及細則，由飛機服務(wù)公司(即 有限公司)為客戶管理飛機，此協(xié)議將含有“主要商務(wù)條款”以及“一般條款和條件”。CLIENTHASBEENADVISEDTO,ANDDIDREVIEWNOTONLYTHEMAJORCOMMERICALTERMSBUTALSOTHEGENERALTERMSANDCONDITIONSANDANYAPPENDICESTOTHISAGREEMENTANDBYEXECUTINGTHISAGREEMENTAGREESTOBEBOUNDBYALLOFTHEM.客戶已經(jīng)了解此協(xié)議內(nèi)所列明的所有相關(guān)條款及細則并同意履行所有協(xié)議內(nèi)容。MajorCommercialTerms主要商務(wù)條款A(yù)ircraftdetails：飛機具體信息One withmanufacturer'sserialnumber andFAAregistration andequippedwith enginestogetherwiththeaircraftdocuments,manualsandrecordsrelatingexclusivelytosuchaircraftandenginescollectively.一架 飛機、序列號 ，美國聯(lián)邦航空局注冊號： ,并配有 臺 發(fā)動機以及包括所有飛機、發(fā)動機的相關(guān)文檔，手冊及相關(guān)記錄。PurposeoftheAircraft飛行性質(zhì)TheAircraftisdesignatedasa“PrivateAircraft”.Itwillbeemployedforprivateflightsonlyandwillnotbemadeavailabletoanythirdpartyforhireorreward.這架飛機將被用作“私人飛機”，也就是只能用作私人飛行，并不能用于其它任何第三方的以商業(yè)和獎勵為目的的飛行。DeliveryoftheAircraft飛機的交付ServiceProviderwillacceptthedeliveryoftheAircraftfromthecurrentOperatoron .(the“ScheduledDeliveryDate")at Airport(the“DeliveryLocation").ServiceProviderwillactasthetechnicalrepresentativeofClientinacceptingdeliveryoftheAircraft(“Delivery")andClientconsentstosuchappointment.經(jīng)客戶授權(quán)，服務(wù)公司將作為客戶的技術(shù)代表，于 年 月 日(確實日期視實際情況而定)在 機場(“交付地點”)從現(xiàn)在的服務(wù)公司接收飛機。BaseandRegistration飛機的基地以及注冊Theaircraftwillbebasedin (the“BaseStation”).TheAircraftwillberegisteredattheaircraftFAAregistrymaintainedbythecivilaviationoraeronauticalauthority(the“AviationAuthority”)ofFederalAviationAdministration(the“JurisdictionofRegistration”).此飛機將以 機場為基地(“基地”)。此飛機將保留民用航空或航空當局(以下簡稱“民航局”)授權(quán)下以美國聯(lián)邦航空局之登記。FlightCrew飛機機組The“FlightCrew”oftheAircraftwillconsistofone(1)captain,one(1)firstofficer,one(1)flightattendantandone(1)engineer.NotwithstandinganythinginthisAgreement,ClientshallberesponsiblefortheannualtrainingcostsoftheFlightCrewonaproratabasisforeachmonththeFlightCrewisemployedfortheAircraft.整個飛機機組將包括1名正機長，1名副機長，1名空乘人員以及1名維修人員。除了每月的薪酬福利外，客戶還需要為機組人員支付每年的培訓(xùn)費用。[IfthedurationofaflightsorequireorifthecaptainorfirstofficerorflightattendanttheAircraftisunavailableduetotrainingrequirement,annualleaveorsickleave,thenServiceProviderwillprovideanadditionalpilotattherateofUSD2200perday(flightattendantUSD450perday)ofdutyormaximumofUSD24,000permonth(flightattendantmaximumUSD10,000permonth)whicheverislesser,exclusiveofanyperdiemallowanceandaccommodation,travellingandcommunicationexpenses.TheaforesaiddailyandormonthlyrateissubjecttoannualreviewbyServiceProvider.Fortheavoidanceofdoubt,adayofdutyforthepurposeofthisparagraphshallmeananydayonwhichsuchadditionalpilotsrequiredtoperformlightdutyontheAircraftorstationoutoftheBaseStationinconnectionwithanyflightoftheAircraft.]由于持續(xù)飛行的需要或由于機長、副機長或空乘人員需要參加培訓(xùn)或年度休假、生病而無法執(zhí)行飛行等原因，服務(wù)公司將會提供額外的臨時飛行員供客戶使用，其費用為每天2,000美元(空乘人員每天400美元)，或每月最高不超過24,000美元(空乘人員每月不超過8,000美元)(不包括出每日津貼，住宿，交通和通訊費用)。上述每日或每月費用受到服務(wù)公司的年度審查。飛行日數(shù)以及飛行員所需執(zhí)行飛行任務(wù)的日子計算，從基地外前往指定地點的行程日均包括在內(nèi)。Fees費用Thefollowing“Fees”arepayablebyClienttoServiceProvider：以下為客戶需向服務(wù)公司支付費用的項目：6.1“ScheduledFees”可預(yù)期的費用Aone-off“DeliveryfeeforthecoordinationwithFAAofLOA(Part91)”intheamountofUSD20,000tobepaidwithinten(10)BusinessDays(asdefinedinClause10.2oftheGeneralTermsandCondistions)ofthedateofthisAgreement;and客戶需在雙方均簽訂此管理協(xié)議后的10個工作日內(nèi)向服務(wù)公司支付“一次性美國聯(lián)邦航空局協(xié)議書(91)部費用20,000美元(根據(jù)一般條款10.2所述),以及a“MonthlyManagementFee”intheamountofUSD10,000permonth,payableinaccordancewithClause10.2oftheGeneralTermsandConditionsandMonthlyLOA(Part91)Fee”chargedbythirdparty.客戶需每月向服務(wù)公司支付10,000美元作為”飛機月度管理費“（根據(jù)一般條款10.2所述）以及支付由第三方收取的月度美國聯(lián)邦航空局協(xié)議書（91部）費用。Theone-offDeliveryfeeforthecoordinationwithFAAforLOA(Part91)willnotberefundedinanyevent.一次性美國聯(lián)邦航空局協(xié)議書(91部)費用一旦支付，在任何情況下都將不會被退還。TheamounttotheMonthlyManagementFeeissubjecttoannualreviewandmaybeincreasedoneachanniversarydateofDatesubjecttomutualagreementbetweenServiceProviderandClient.飛機的每月管理費用會在每一年結(jié)束后重新審定并根據(jù)實際情況可能會有一定的增長，但將會先得到雙方的確認和同意。6.2“UnscheduledFees”,無法預(yù)期的費用6.2.1A“ServiceFee”,calculatedattherateof10%oftheactualoperationcost;and“服務(wù)費用”,實際運行費用的10%ineachcasepayableinaccordancewithClause10oftheGeneraTermsandConditions.其它所有在“一般條款和條件”第10條中描述的項目Costsandexpenses價格和費用ClientwillreimburseServiceProviderofallreasonablecostsandexpenserelatingexclusivelyorattributabletotheAircraftandtheFlightCrewinthemannerdetailedinClause10oftheGeneralTermsandConditions.客戶將補償服務(wù)公司所有用于該飛機以及飛行機組支出的合理費用和支出，相關(guān)項目已在“一般條款和條件”的第10條中詳細描述。8.OperatingDeposit運營保證金Clientwillpayan""OperatingFund"intheamountofCNY toServiceProviderwithinten(10)BusinessDayspriortotheDeliveryDate.ServiceProviderwillapplytheOperatingDepositinaccordancewiththeGeneralTermsandConditions.MainlineJetreservestherighttosuspenseflightoperationserviceiftheoperatingdepositisbelowCNY1,000,000.客戶需要在飛機交付前的10個工作日內(nèi)向服務(wù)公司預(yù)付 萬人民幣的運營保證金。服務(wù)公司將按照“一般條款和條件”中描述的項目合理運用該保證金。如運營保證金低于 萬人民幣時，服務(wù)公司有權(quán)停止提供飛行服務(wù)，直至客戶補充運營保證金至合理水平。9.Insurances保險TheAircraftwillbeinsuredatClient'scostsunderServiceProvider'sfleetinsurancepolicyforahullinsuranceamountofUSD10,000,000(the"AgreedValue")(subjecttoadeductibleofnotmorethanUSD50,000perclaim(the"Deductible"))andaliabilityinsuranceamountofUSD250,000,000(the"LiabilityInsuranceLimit")peraccident.該飛機的保險費用由客戶承擔，將統(tǒng)一置于服務(wù)公司整個機隊下的大保險中，其整機保險金額(“協(xié)定價值”)為USD10,000,000美元，每次事故免費額不超過美金50,000美元,并且對于每次事故的最高責(zé)任保險額度為250,000,000美元。10.Ownership所有權(quán)ClientrepresentsandwarrantstoServiceProviderthatClientleasesorownstheAircraft.客戶向服務(wù)公司表明或者保證客戶擁有或租用該飛機。ClientagreestofurnishServiceProviderwithcopies(plainorcertifiedcopiesasServiceProvidermayreasonablyrequire)ofsuchdocuments(includingwithoutlimitationthebill(s)ofsale,documentationoftheownertrusteearrangement,theheadlease(s)andsublease(s)(ifany)andanyaircraftmortgage(s)oftheAircraft)asServiceProvidermayreasonablyrequestforServiceProvider'sinternalduediligencepurposesand/orregulatoryandaircraftregistrationpurposes.客戶同意向服務(wù)公司提供有關(guān)文件副本(管理公司可能的合理要求或核證副本)(包括但不限于購機發(fā)票，所有者信托安排，租賃和轉(zhuǎn)租及任何航空器抵押協(xié)議(如有))，因為服務(wù)公司可能會根據(jù)相關(guān)法律對飛機的注冊目的以及所有權(quán)進行內(nèi)部調(diào)查。TermofthisAgreement協(xié)議時效SubjecttotheterminationprovisionsintheGeneralTermsandConditions,the"InitialTerm"ofthisAgreementwilllastfortwelve(12)monthsfromthedateofDelivery.Thereafter,bothServiceProviderandClientcanterminatethisAgreementatanytimebyservingtotheotherpartynolessthanthree(3)months'noticeinwritinginadvance.根據(jù)“一般條款和條件”飛機的初始管理時效為服務(wù)公司從接收飛機起的12個月。此后，雙方可以在不少于3個月內(nèi)，以書面確認終止管理協(xié)議。Notices通知Eachnotice,demand,consentorothercommunicationwillbesenttotherelevantpartyinwritingbypost,personaldelivery,facsimileoremailatitsaddressesandnumberssetforthbelow,subjecttoanychangesincontactdetailsnotifiedbytherelevantpartyinwritingfromtimetotime.每一個通知，請求，許可或其他溝通信息都將以書面郵寄，專人送達，傳真或電子郵件方式送達至下列的聯(lián)系方式,聯(lián)系方式的更改將及時以書面形式通知雙方。ToServiceProvider:至服務(wù)公司Payments繳費Client'sattentionisspecificallydrawntoclause10.9oftheGeneralTermsandConditionswhichprovides,amongothers,thatServiceProvidershallbeentitledtoreceiveallamountspayablebyClienttoServiceProviderunderthisAgreementfreeofanydeductionsorwithholdingduetolatepaymentorearlytermination.AndServiceProviderisnotobligatetoassumeanylegalcostsassociatewiththisaircraftinanylegalproceedingsoftheClient.客戶應(yīng)注意一般性條款第10.9條所規(guī)定的，本協(xié)議項下全部由客戶支付給服務(wù)公司的費用，均不得作出任何抵扣或繳扣任何稅款。服務(wù)公司沒有責(zé)任承擔任何客戶就飛機參與法律訴訟而產(chǎn)生的訴訟費。14.leasingarrangement租賃安排IntheeventthatFinancier/LessorrequiresServiceProvidertoenterintoanytripartiteagreement,subordinationagreement,securityassignmentsorsimilardocumentsinrespectofClient'sleasingoftheAircraft,thenClientshallreimburseServiceProviderofitsout-ofpocketexpenses(includinganylegalcosts)incurredinreviewing,negotiating,finalizing,filing,registeringandstampingsuchdocuments.如果發(fā)生融資銀行或出租人需要服務(wù)公司介入三方協(xié)議、附屬協(xié)議、安全指示或者類似文件時，客戶應(yīng)償付服務(wù)公司代其審查，談判，最終確定，備案，登記等所支付的所有合理費用(包括任何法律成本)INWITNESSoftheagreementofServiceProviderandClientontheaboveMajorCommercialTerms,theattachedGeneralTermsandConditionsandanyAppendicestothisAgreement,eachofServiceProviderandClienthascausedthisAgreementexecutedonthedatefirstabovewritten.經(jīng)服務(wù)公司和客戶審閱及確認上述的“主要商務(wù)條款”，“一般條款和條件”以及所有與該協(xié)議有關(guān)的附錄,服務(wù)公司及客戶雙方會于此協(xié)議首頁的日期起開始履行此協(xié)議。Signedby簽署Forandonbehalfof TheUserneedpayingaircraftservicefeetotheaircraftserviceprovideraccordingto(AIRCRAFTSERVICEAGREEMENT),theservicefeeincludingbutnotlimitedtoaircraftmaintenancelabourandpartscosts,directoperatingcosts,flightcrewsalary,crewtrainingandtestingfee,equipmentandcommissarystoragefee,flighthandlingfee,aircraftmanagementfeeandaircraftinsurancefee,etc.客戶需要按照《飛機服務(wù)協(xié)議》向飛機服務(wù)商支付飛行相關(guān)服務(wù)費，此服務(wù)費包括但不限于維修飛機的人工費和航材費、直接運行費用、飛行機組薪資、飛機機組培訓(xùn)和測試費用設(shè)備倉儲費用、飛行地面代理費用、飛機管理費和飛機保險費用等；TermofthisAgreement協(xié)議時效The“InitialTerm”ofthisAgreementwilllastfortwelve(12)monthsfromthedateof .Thereafter,bothServiceProviderandUsercanterminatethisagreementatanytimebyservigtotheotherpartynolessthanthree(3)months'noticeinwritinginadvance.飛機的初始管理時效為服務(wù)公司從 年 月 ByitsdulyauthorizedsignatoryName名字：Title職位：Generaltermsandconditions一般條款與條件Appointment約定ClientagreestoappointManager,andManageragreestoact,asManageroftheAircraftuponthetermsandconditionsofthisAgreement.根據(jù)此協(xié)議的條款和條件，客戶同意指派管理公司，且管理公司同意作為飛機的管理公司DuringtheperiodcommencingonDeliveryandendingontheterminationofthisAgreementinaccordancewithitstermsandconditions(the"Term"),ManagerwillprovidethefollowingservicestoClientinrespectoftheAircraft(the"Services"):在從接收飛機開始到此協(xié)議終止的這段時期內(nèi)，管理公司將向客戶提供關(guān)于飛機的以下服務(wù)：performingpre-purchaseinspectionortechnicalandloginspection(asthecasemaybe)and/ortakingdeliveryinaccordancewithClause2oftheseGeneralTermsandConditions;執(zhí)行預(yù)購買檢測或者技術(shù)和文件檢查，以及/或者在“一般條款和條件”第2條規(guī)定的項目attendingtoregistrationandcertificationinaccordancewithClause3oftheseGeneralTermsandConditions;根據(jù)“一般條款和條件”第3條，參加飛機的注冊和認證工作arrangingforinsurancesinaccordancewithClause4oftheseGeneralTermsandConditions;根據(jù)“一般條款和條件”第4條，為客戶安排保險事宜arrangingforhangarageand/orparkinginaccordancewithClause5oftheseGeneralTermsandConditions;根據(jù)“一般條款和條件”第5條，為客戶安排飛機的停機庫或者停機位recruitingandmanagingtheFlightCrewsinaccordancewithClause6oftheseGeneralTermsandConditions;根據(jù)“一般條款和條件”第6條，招聘以及管理機組人員performingflightschedulingandflightsupportservicesinaccordancewithClause7oftheseGeneralTermsandConditions;根據(jù)“一般條款和條件”第7條，提供并執(zhí)行飛行計劃以及飛行支持服務(wù)planningandmanagingmaintenanceandrepairinaccordancewithClause8oftheseGeneralTermsandConditions;根據(jù)“一般條款和條件”第8條，為飛機提供維護以及維修的計劃和管理otheradministrativerequirementsinaccordancewithClause9oftheseGeneralTermsandConditions;and根據(jù)“一般條款和條件”第9條，為客戶提供其它各類其它行政方面的服務(wù)fortheavoidanceofdoubts,nocharteredflightswillbeperformediftheAircraftisdesignatedasa"PrivateAircraft"intheMajorCommercialTerms.據(jù)主要商務(wù)條款所述，飛機只用做“私人飛機”，該飛機將不會進行任何其它的包機等商業(yè)飛行2.Inspectionandtakingdelivery檢查和接收飛機WheretheAircraftisnewlyacquiredbyClient,priortoDelivery,totheextentrequiredbyClient,Managerwilleitherperformorparticipateinthepre-purchaseinspectionoftheAircraft(includingbothitsphysicalconditionanditsdocuments,manualsandrecords).WheretheAircraftisownedorleasedbyClientonthedateofthisAgreementbymanagedbyanotheroperator,Clientwillmakeavailable,orcausetheOriginalOperatortomakeavailable,theAircraftforManager'stechnicalandloginspection.Ineithercase,ManagerwilladviseClientofanyrectificationwhichmayberequiredandassistClientinassessingwhetheranyrectificationrequiredhasbeensatisfactorilyperformed.管理公司將執(zhí)行或參與購買前檢查的飛機檢測(包括其狀況和它的文件，手冊和飛行記錄等)以符合客戶的要求。無論飛機將被出租或是出售給其他第三方或是另一家管理公司，客戶將保證飛機的有效性或者促使飛機原管理方提供對飛機各項技術(shù)和技術(shù)資料的檢查的必要協(xié)助。無論是以上哪種情況，管理公司將協(xié)助客戶確認是否存在需要改正的項目或確認是否所有需要改正的需求被有效和完整地執(zhí)行。ClientagreesthatanyandalltrainingslotsprovidedbytheselleroftheAircraftwillbeusedfortrainingtheFlightCrewandMaintenancecrewatnocoststoManager.客戶同意無償?shù)貙⑷魏我约八杏稍w機所有者提供的培訓(xùn)課程用于管理公司為飛機招聘的飛行機組以及維修人員。OnthedateofDelivery,ifrequiredandauthorizedbyClient,ManagerwillperformavisualinspectionoftheAircraftand,iftheresultofsuchvisualinspectionissatisfactory,accepttheAircraftandexecuteanacceptancecertificateinfavouroftheClient.在飛機交付當日，如果得到客戶的需求以及授權(quán)，管理公司將對飛機進行目視檢查，如果所有檢查結(jié)果均符合標準，那么客戶將可以接收該飛機。AfterDelivery,ManagerwilloperateandarrangeforthedeliveryflightoftheAircraftfromtheDeliveryLocationtotheBaseStationasmayberequiredbyClient.在飛機交付后，托管公司將安排并執(zhí)行飛機從接收地點到基地的調(diào)機飛行。Clientwillberesponsibleforallreasonablecostsandexpensesincurredinrelationtothepre-purchaseinspectionortechnicalandloginspection(asthecasemaybe),theDeliveryandtheferryflightoftheAircraft(whereapplicable).Withoutlimitingthegeneralityoftheabove,ClientwillpayfortheservicesofManager'semployee(s)and/orpilot(s)atManager'sstandarddailychargeratesandreimburseManagerfortheirtravelandaccommodationexpensesandperdiemallowancestotheextentthattheyarerequiredtotraveloutoftheBaseStationforthepurposeofthepre-purchaseinspection,theDeliveryand/ortheferryflightoftheAircraft.客戶將支付飛機接收前預(yù)購檢查、技術(shù)檢查和記錄檢查的相關(guān)合理費用和支出，以及飛機的調(diào)機服務(wù)的相關(guān)合理費用。同時，客戶還需支付在此期間管理公司維修人員，飛行員在此期間出差的日常費用以及旅行和日常補助。Registrationandcertification注冊和認證ManagerwillassistClientincontinuingregisteringtheAircraftwiththeFAA管理公司將協(xié)助客戶完成飛機在美國聯(lián)邦航空局的注冊事宜。ManagerwillliaisewiththeAviationAuthorityandarrangefortheAircrafttobecertifiedbytheAviationAuthorityintheFAAPart91categoryandtheAircraftisdesignatedasa"PrivateAircraft".管理公司將與美國聯(lián)邦航空局聯(lián)系并安排私用類飛機、91部下運營注冊的相關(guān)手續(xù)。ClientwillberesponsibleforallreasonablecostsandexpensesincurredinrelationtotheregistrationandcertificationoftheAircraftandanysubsequentperiodicauditsrequiredbytheFAA,includingwithoutlimitationthedailychargeoutratesofManager'sstaff(totheextentnotcoveredbyClause2.5oftheseGeneralTermsandConditions),thetravelandaccommodationexpensesandperdiemallowancesofManager'sstaffandofficersoftheFAAtotheextentthattheyarerequiredtotraveloutoftheBaseStation,feespayabletotheAviationAuthority,fuelandothercostsofanycertificationflightandthecostsofanymodificationandrefurbishment.客戶將承擔飛機注冊和認證階段，及后期由美國聯(lián)邦航空局要求的定期審計所產(chǎn)生的合理費用和支出。包括但不限于在此期間管理公司工作人員的差旅費，津貼，交通，住宿以及美國聯(lián)邦航空局工作人員的差旅等相關(guān)費用以及此期間應(yīng)向局方繳納的費用、認證飛行、修改和翻新等飛機相關(guān)的合理費用。4.Insurances保險ClientauthorizesManagertocausetheAircrafttobeplacedandmaintainedonManager'sfleetinsurancepoliciesatClient'scoststhroughouttheTerm.Suchpoliciesconsistof(i)aircraftliabilityinsurancecoveringpublicliability,propertydamage,cargodamageandpassengerlegalliability,inamountsnotlessthantheLiabilityInsuranceLimit;(ii)all-riskaircrafthullandengineinsurance(including,withoutlimitation,foreignobjectdamageinsurance)intheamountoftheAgreedValue,andprovidingcoveragefortheAircraftbothinflightandnotinflightsubjecttotheDeductible;(iii)confiscationandwarriskinsurance.AllsuchinsurancepolicieswillnameClientandManagerasnamedinsured,withClientanditsfinancier(s)orlessor(s)(ifany)namedunderthehullpoliciesaslosspayeesastheirrespectiveinterestsmayappear,andClientanditsfinancier(s)orlessor(s)(ifany)asadditionalinsuredundertheliabilitypolicy,andwillfullycoverallusesoftheAircraftascontemplatedinthisAgreement,includingbutnotlimitedto,whereapplicable,private,commercialandcharteruseoftheAircraft,andwillprovidethatanycancellationorsubstantialchangeincoveragewillnotbeeffectiveastoClientanditsfinancier(s)orlessor(s)(ifany)forthirty(30)daysafterreceiptbyClientanditsfinancier(s)orlessor(s)(ifany)ofwrittennoticeformtheinsurancecompany(ies)ofsuchcancellationorchange.Further,allsuchinsurancepolicieswillwaiveallrightsofsubrogationagainstClient,andwillincludeabreachofwarrantyendorsementandaseverabilityofinterestprovision,andwillbeprimarywithoutanyrightofcontributionfromanyinsurancemaintainedbyClient.CLIENTACKNOWLEDGESANDAGREESTHATSUCHINSURANCEPOLICIESMAYBESUBJECTTOCUSTOMARYLIMITATIONSANDEXCLUSIONS.ManagerwillprovideClientadvancenoticeofanyrider,amendment,changeorcancellationtotheinsurancepolicy（ies）thatManagerproposestorequesttheinsurancecompaniesinadvanceofsuchrequest.ManagerwillfurnishClientanditsfinancier（s）orlessor（s）（ifany）withacertificateofinsuranceevidencingtheliabilityandhullinsurancerequiredunderthisAgreement.客戶授權(quán)管理公司將飛機的保險納入管理公司整個機隊的保險項目并遵守相關(guān)法規(guī)和政策并承擔相關(guān)的保險費用。相關(guān)法規(guī)和政策主要包括有（i）飛機責(zé)任保險涵蓋公眾責(zé)任，財產(chǎn)損失，貨物損壞和乘客的法律責(zé)任，總金額不少于責(zé)任保險限額；（ii）飛機機身保險和發(fā)動機保險（包括但不限于，異物傷害保險），均包含在協(xié)定價值的總金額內(nèi)，并無論對飛機是否在飛行中都給予覆蓋，且適用免賠額政策；（iii）沒收和戰(zhàn)爭險。所有這些保險政策，將其命名為保險，與客戶和其融資銀行或出租人（如有）命名的根據(jù)飛機政策，收款人為各自的利益損失可能出現(xiàn)的經(jīng)理和客戶的借貸人或出租人（如有）作為額外投保責(zé)任保險，將全面涵蓋在本協(xié)議中擬進行的所有用途的飛機，包括但不限于適用，私人，商業(yè)和包機使用飛機，并將提供任何取消或主要覆蓋變化不會有效為客戶及其出資者）或出租人（如有）的三十（30）天內(nèi)后收到客戶及其金融家或出租人（如有）的書面通知的形式取消或更改保險公司（IES）。此外，全部上述保險將豁免針對客戶的代償權(quán)，并且包括違反保證條款和權(quán)益分割性條款，并且客戶無權(quán)通過其所擁有的其他保險進行支付?？蛻衾斫獠⑼庠摰缺ｋU將受限于行業(yè)慣例限制及排除。管理公司應(yīng)在要求保險公司改變、變更或取消保險之前向客戶提前遞交通知。管理公司應(yīng)向客戶和其出資人或出租人（若適用）遞交保險證書，以證明本協(xié)議所規(guī)定的責(zé)任和機體險已購買AllriskoflossofordamagetotheAircraftwillbebornebyClientexceptwheresuchlossordamageiscausedbythegrossnegligenceormisconductofManager.所有飛機的損失或者損傷的風(fēng)險均由客戶承擔，除非這些損失是由于管理公司的重大過失或者失誤造成的。Hangarage機庫或停機位ManagerwillassistClientinlocatingahangarorparkingspacefortheAircraftattheBaseStationand/or,subjecttoavailability,atalinestation.Subjecttoavailabilityofsuchhangarorparkingspace,ManagerwillenterintoalicenseorleaseagreementinrespectoftheAircraftwiththehangaroperatorandClientwillenterintoa"back-to-back"licenseorleaseagreementwithManageronsubstantiallythesametermsasthelicenseorleaseagreementbetweenManagerandthehangaroperatorandagreestoreimburseManagerforalllicensefeesorrentalsincurreddirectlyinconnectionwithsuchlicenseorleaseagreementwiththehangaroperator.管理公司將協(xié)助客戶安排飛機停泊，并視情況安排飛機在機庫或其它可以位置停泊。管理公司將就機庫或停泊位的可用性與飛機機庫運營商簽訂停機位許可或租賃協(xié)議?？蛻魧⒇撠?zé)補償管理公司為安排飛機停機位的租賃而產(chǎn)生的所有直接費用。FlightCrew飛行機組ManagerwillrecruitFlightCrewsfortheAircraft.EachFlightCrewmemberwillbesuitablyexperiencedandqualified,appropriatelycertified,ratedandtrainedasrequiredbytheFAAhavepassedamedicaltest.ClientmayparticipateintherecruitmentandselectionprocessandtheremunerationpackageofeachFlightCrewmemberwillbesubjecttotheapprovalbyClient.管理公司將為客戶招聘飛行機組。每一名被招聘的機組成員都將根據(jù)美國聯(lián)邦航空局管理條例擁有豐富的駕駛經(jīng)驗，并通過相關(guān)技術(shù)測試，認證以及必要的培訓(xùn)，并通過身體健康測試?？蛻艨梢詤⑴c整個招聘和選擇的過程，同時所有的機組人員的最終招聘和薪資都將獲得客戶的認可和確認。EachFlightCrewmemberwillbeanemployeeofManager,carriedonManager'spayrollandunderManager'sdirectionandauthorityinrespectof,amongothers,rosterassignmentandallocationofannualleave.ManagerreservestherighttoterminateorreplaceanyFlightCrewmemberforjob-relatedperformancereasonsorforsuchmember'sbreachoftheemploymentcontract.UponterminationofthisAgreement,ManagermayatitsdiscretionterminatetheemploymentoftheFlightCrewandManagershallberesponsibleforanynoticepaymentand/orlongserviceorredundancypaymentspayabletotheFlightCrew.UponsuchterminationbyManager,ManagershallpromptlyemployothersuitableFlightCrewatManager'scostandshallinnocircumstanceaffecttheuseandenjoymentoftheAircraftbytheClient.TosecuretheClient'sinvestmentintyperatingtraining,ManagerwillprovidefortrainingbondprovisionstobeincludedinManager'semploymentcontracts.Insuchcircumstanceswherethepilotresignspriortotheexpirationofthebondperiod,Managershalluseitsbestendeavorstorecoversuchtrainingcostsandexpensesfromthepilots.每個飛行機組成員將直接受聘于管理公司，也將由管理公司對其發(fā)放工資，同時機組人員也需遵守管理公司的所有法規(guī)和政策，其中包括年假，工作時間分配等等。管理公司有權(quán)根據(jù)與機組人員工作表現(xiàn)相關(guān)等理由終止與機組人員的雇傭合同。如果本協(xié)議終止，管理公司將保留終止和解除飛行機組人員的雇傭關(guān)系的權(quán)利。管理公司負責(zé)向機組人員通知支付長期服務(wù)、遣散費等應(yīng)付款項。合同終止，管理公司應(yīng)立刻聘請其他的合適機組人員以保證不會對客戶的飛機的使用產(chǎn)生影響，同時也需承擔這個過程產(chǎn)生的費用。為了保護客戶在飛行員培訓(xùn)上的費用支出和投資，管理公司將會在與機組人員的雇傭合同中增加違約條款。如果機組人員在雇傭合同協(xié)議失效前辭職或違約，那么管理公司將竭盡全力向其索賠相關(guān)培訓(xùn)費用以及其它與培訓(xùn)有關(guān)的支出。ManagerwillsuperviseandmonitortheperformanceofeachFlightCrewmember,providetrainingandkeeptrainingrecordsasrequiredbytheFAA,conductregularperformanceappraisalsandmakerecommendationstoClientregardingannualremunerationadjustment,keepattendanceandannualleaverecords,ensurethateachFlightCrewmemberisattiredinManager'suniforms,procureemployeecompensationinsuranceandmanageotherpersonnelmatters.管理公司將監(jiān)控每一個飛行機組成員的工作表現(xiàn)，提供培訓(xùn)并對培訓(xùn)記錄加以審核以滿足美國聯(lián)邦航空局的相關(guān)要求。進行定期的績效考核，并建議客戶就年度薪酬進行調(diào)整，監(jiān)督機組人員的出勤率和年假記錄，確保每個飛行機組成員穿著制服，安排雇員的保險和管理其他事項。TheAircraftmaybemadeavailablefortrainingflightsasrequiredbytheFAAandManager'sapprovedtrainingmanualuponClient'spriorwrittenconsent.Further,subjecttoClient'spriorpermission,Manager'ssupervisorypersonneland/orTypeRatedExaminer(TRE)trainerwillhaveaccesstotheAircrafttoconductrequiredtrainingandflightcheckstoobserveflightCrewperformance.ManagershallberesponsibleforthecostofengagingtheserviceofanyTREtrainerfortheAircraft.在事先征得客戶同意的情況下，將飛機用作美國聯(lián)邦航空局及管理公司批準的飛行訓(xùn)練。此外，經(jīng)客戶的事先許可，管理公司的監(jiān)督人員和/或飛行執(zhí)照考官(TRE)可進入飛機進行必要的訓(xùn)練和飛行檢查，以觀察飛行機組的飛行技能。管理公司將承擔與上述飛行執(zhí)照考官指導(dǎo)和檢查的相關(guān)費用和支出。ClientwillreimburseManagerofallreasonablecostsandexpensesincurredinrelationtotheemployment,trainingandterminationoftheFlightCrewonbehalfoftheClient,includingtrainingflights,salaries,MandatoryProvidentFundcontributions,staffmedicalinsurancepremiums,housingallowances,employeecompensationinsurancepremiums,pilotlicensefees,severancepayment,longservicepayment,maternitypay,sickleavepay,annualleaveentitlement,accommodation,communication,transportationandperdiem(asdeterminedinaccordancewithManager'spolicy)expenseswhilestayingoutoftheBaseStation,compensationinrespectofdeathorpersonalinjuriesorlossofordamagetopersonalpropertysufferedbyanyFlightCrewmember,levyorpaymenttoorinrespectofeachFlightCrewmemberforwhichManagerisresponsibleasemployerundertheEmploymentOrdinanceorunderHongKonglawgenerallyandanyreasonablecostsandexpensesincurredbyManagerindefendingaclaimmadebyanyFlightCrewmemberinrespectofanyoftheforegoingpayments.客戶將向管理公司補償所有機組人員招聘以、培訓(xùn)及代表客戶結(jié)束與機組雇傭合同的相關(guān)合理費用，包括培訓(xùn)課程，模擬培訓(xùn)飛行，薪金，強制性公積金供款，員工醫(yī)療保險費，住房津貼，雇員補償保險費，駕駛員執(zhí)照費，遣散費,長期服務(wù)費用，產(chǎn)假，病假成本，帶薪年假，住宿，通訊，差旅以及駐外期間的每日津貼(根據(jù)管理公司的現(xiàn)有條例)，所有飛行人員因死亡、人員傷亡、財物損害或丟失而遭受的損失；根據(jù)香港勞工法或香港普遍法律規(guī)定，應(yīng)由作為雇主的管理公司所支付的飛行人員稅款或其他款項，及所有因飛行人員追討上述款項導(dǎo)致管理公司產(chǎn)生的合理支出及開銷IntheeventthatanymemberoftheFlightCrewisunabletoperformaflightduetosickness,training,vacation,personalemergency,crewdutylimits,resignationoranyotherreason,Managerwill,subjecttoavailability,providesubstitutepersonnelwhoisappropriatelyexperiencedandqualified,butwillnotbeotherwiseliabletoClient.Thecostsofsubstitutepersonnel(includingwithoutlimitationtheirsalaries,perdiemallowancesandlodgingandtransportationexpenses)willbebilledtoClientonadayratebasisaccordingtoManager'sstandardchargeoutrates.如果由于飛行機組中任意一人因為生病，培訓(xùn)，假期，個人緊急情況，機組職責(zé)限制，辭職等其它原因造成無法正常執(zhí)行飛行時，管理公司將盡可能地提供合適的，經(jīng)過認證的替代人員以完成飛行。所有人員替換的費用(包括但不限于工資，每日津貼，交通和住宿費)將按照管理公司的標準，由管理公司將發(fā)票轉(zhuǎn)給客戶，并由客戶支付。FlightSchedulingandSupportServices飛行計劃及支援服務(wù)TheAircraftmaybeusedatanytimeduringanydayoftheweek,subjecttomaintenanceorrepairrequirements,crewdutylimits(accordingtotheregulations
