PartyBprovidesthewholeprocessofpublicityandplanning,includingadvertisingplanninganddesignservices,providingreferenceforPartyA'smarketpositioningandmarketareaandservingfordecision-making.

PartyacommissionedpartyBtocompletethewholeprocessofpropagandaandplanning,andentrustedtheplanedesign,advertisingagencyandotherbusiness,fullyresponsiblefortheprojectpublicityandplanning.

Fourth:therightsandobligationsofPartyA

1.Intheagreedperiod,PartyBshouldberequiredtosubmittherelevantpropagandaandplanningscheme,andthePartyAwillassisttheorganizationaftertheconfirmationofthemarketinvestigation.

5,paymentshallbepaidinaccordancewiththeagreementofthecontractwithPartyBforthepaymentofthepublicityandplanningfeeandontime.

Thefifth,therightsandobligationsofPartyB

Theeightharticle:liabilityforbreachofcontract

1.PartyAisresponsibleforallthelossescausedbyPartyA'sfailuretoproviderelevantlicenseandrelevantlegaldocumentsandpreferentialpoliciesforactivities.

2.IfthePartyBdoesnotprovidetheplanofpublicityandplanningintimebecauseofPartyB'sreasons,PartyAshallinvestigatetheresponsibilityorterminatethecontract.

3.PartyAshallhavetherighttorescindthecontractifPartyAfailstopayPartyBpublicityandplanningfeesaccordingtotheagreement.

4.Inthecourseofcooperation,theotherpartyhastherighttorequiretheotherpartytobeartherelatedeconomiclossbydisclosingthebusinesssecretsorprovidingtherelevantinformationtothethirdparty.

5,anypartytoterminatethecontractwithoutauthorizationtosuspendunilateralbreachofcontractorshallbebornebythedefaultingparty,mustthereforehavecausedlossestotheobservantpartyandliabilityforbreachofcontract.

6,intheexecutionofthiscontract,ifthereisaforcemajeurefactoraffectingtheexecutionoftherelevantprovisions,itshallbesettledbythetwosidesandproperlyresolved.Itisnotabreachofcontracttoterminatethecontractorchangetherelevantprovisionsofthecontractonthebasisoftheagreementbetweenthetwoparties.

Ninth:Annex

1,bothpartiesmaysupplementthetermsofthiscontractandsignasupplementaryagreementinwrittenform.Thesupplementaryagreementhasthesamelegaleffectasthiscontract.

2.Theannexesofthiscontractareallvalidpartsofthecontractandhavethesameeffect.

3.Allmattersnotspecifiedinthiscontractanditsannexesandsupplementaryagreementsarecarriedoutinaccordancewiththerelevantlaws,regulationsandregulationsofthePeople'sRepublicofChina.

4.Thecontractistwocopies,eachpartyandPartyBhasonecopy,allwiththesamelegaleffect.

5.Intheeventofadisputeintheperformanceofthiscontract,thepartiesshallsettlethedisputebynegotiation,negotiationoradjustment,andthepartiesagreetobearbitratedbytheArbitrationCommission.

其次條：宣揚策劃原則

乙方按甲方規(guī)定，供應(yīng)全程宣揚策劃包括廣告策劃與設(shè)計的服務(wù)，為甲方市場定位及市場區(qū)域供應(yīng)參改依據(jù)，為決策服務(wù)。

第三條：代理方式

甲方托付乙方全權(quán)全程宣揚策劃，并托付平面設(shè)計、廣告代理等業(yè)務(wù)，全面負責本次項目的宣揚策劃工作。

第四條：甲方的權(quán)利和義務(wù)

1、在商定期限內(nèi)要求乙方提交有關(guān)宣揚策劃方案，從市場調(diào)查依據(jù)確認后再由甲方幫助組織實施。

2、有權(quán)要求乙方在托付范圍內(nèi)從策劃角度供應(yīng)書面看法和建議。

3、要求乙方向甲方供應(yīng)策劃方案及調(diào)整宣揚策略和建議。

4、批準乙方制訂的整體宣揚策略，擔當有關(guān)宣揚推廣、廣告等所需的各項費用。

5、按合同商定與乙方結(jié)算宣揚策劃費并按時支付。

第五條、乙方的權(quán)利和義務(wù)

1、有權(quán)根據(jù)合同要求甲方支付宣揚策劃費。

2、負責依據(jù)甲方要求和項目進度的不同階段，提報廣告方案，經(jīng)甲方認可后組織實施。

3、乙方供應(yīng)：

⑴、項目報紙軟性文章撰寫；⑵、項目各種展銷、促銷、優(yōu)待活動的策劃。

4、擔當因乙方過錯造成的索賠或其他法律責任。

第六條：代理期限

甲方托付乙方宣揚策劃期限分為：______年___月___日至______年___月___日止；

第七條：項目宣揚策劃費的給付標準和方式

第八條：違約責任

2、如因乙方緣由，不準時供應(yīng)宣揚策劃方案，甲方追究責任或終止合同。

3、甲方如未根據(jù)雙方商定支付給乙方宣揚策劃費，乙方有權(quán)解除合同。

4、在合作過程中任何一方泄露商業(yè)隱秘或?qū)⒂嘘P(guān)資料供應(yīng)給第三人的，另一方有權(quán)要求對方擔當相關(guān)經(jīng)濟損失。

5、任何一方單方擅自中止合同或解除合同均屬違約行為，需由違約方擔當因此給守約方造成的相關(guān)損失和違約責任。

6、本合同執(zhí)行過程中，如有因不行抗力因素影響有關(guān)條款之執(zhí)行的，應(yīng)由雙方協(xié)商，妥當解決，在雙方達成全都看法的基礎(chǔ)上而中止合同或轉(zhuǎn)變合同的有關(guān)條款的不視為違約。

第九條：附則

1、雙方可對本合同的條款進行補充，以書面形式簽訂補充協(xié)議。補充協(xié)議與本合同具有同等法律效力。

2、本合同之附件均為合同有效組成部分，具有同等效力。

3、本合同及其附件和補充協(xié)議中未規(guī)定的事宜，均遵照中華人民共和國有關(guān)法律、法規(guī)和規(guī)章執(zhí)行。

4、本合同壹式貳份，甲乙雙方各執(zhí)壹份，均具同等法律效力。

5、本合同在履行中如發(fā)生爭議，雙方應(yīng)協(xié)商解決，協(xié)商或調(diào)整不成的，雙方同意由仲裁委員會仲裁。

4.AfterPartyBreceivesthecompletedesigninformationofPartyA,itisdesignedtofacilitatethedeterminationofthestyleofPartyA,andPartyBbeginstodesignthefirstdraftafterthestyleisdetermined.

5,PartyAhastherighttoputforwardamendmentstotheworksdesignedbyPartyB.ThefirstdraftPartyAcanmakeastructuralmodification.Afterthefirstdraftisdetermined,thestructuralmodificationsshouldbemade.PartyAshallpaythecorrespondingcostseparately.

6.TheconsequencesofthedelayduetotheamendmentofPartyAshallbebornebyPartyA.

7,duetothelosscausedbypostproductionbyPartyAalone,thelosscausedbyproblemsinthedesignoftheproductisbornebyPartyB.Thelegalliabilitycausedbycopyright,fortheeconomicdisputesshallbebornebyPartya..

8.Duringthecourseoftheproject,PartyBisattachedtothebrandofPartyAandshallnotsignanyformofcooperationagreementwiththecustomerintheidentityofPartyB.

Five.Theagreementonintellectualpropertyrights:

1,PartyBhasthecopyrightoftheworkscompletedbythedesign.AfterthesettlementofallthefeesdesignedbyPartyA,PartyBmaytransferthecopyrightoftheworkstoPartyA.

2.BeforePartyAhasnotpaidallthecostofthedesign,thecopyrightoftheworksdesignedbyPartyBshallbeattributedtoPartyB,andPartyAdoesnothaveanyrighttothework.

3.PartyAshallhavetherighttoinvestigatethelegalliabilityofPartyAifitusesoramendstheworksdesignedbyPartyBbeforethepaymentisnotpaid.

Six.Liabilityforbreachofcontract:

1,PartyAterminatesthecontractbeforethecompletionofthefirstdraftofthedesignwork.Theprepaidexpenseshavenorighttorequestthereturn.IfapartyterminatesthecontractafterthecompletionofthefirstdraftofPartyB'swork,itshallpaythefulldesignfee.

2.IfPartyBterminatesthecontractwithoutproperreasons,thefeeschargedshallbereturnedtoPartyA.

Seven,ifapartyorapartyhasadisputeovertheperformanceofthiscontract,itshallbesettledamicablethroughnegotiation.Ifeitherpartyfailstonegotiate,anyPartyAandBcansubmitittotheBeijingArbitrationCommissionforarbitration.

Eight,thecontractiseffectivefromthedateofsignaturebyGaiZhangandbothparties.Thecontractistwocopiesinoneform.Eachpartyhasonecontractsignedbytheotherparty(GaiZhang),whichhasthesamelegaleffect.

Nine.Ifthereisnomatterinthiscontract,thetwopartiesshalljointlydiscussandsupplementthecontract.Thecontentsofthesupplementandmodificationareequallyvalidtothi
