國際貨物運(yùn)輸委托代理合同（中英文對照）國際貨物運(yùn)輸委托代理合同（中英文對照）CONTRACTFORTHEINTERNATIONALCARRIAGEAGENT目錄TABLEOFCONTENTS第一條服務(wù)范圍Article1Scopeofservice第二條雙方的權(quán)利和義務(wù)ARTICLE2THERIGHTSANDOBLIGATIONSOFBOTHPARTIES第三條合同價(jià)款及支付方式ARTICLE3CONTRACTPRICEANDPAYMENTMETHOD第四條保險(xiǎn)ARTICLE4INSURANCE第五條保密條款A(yù)RTICLE5CONFIDENTIALITY第六條不可抗力ARTICLE6FORCEMAJEURE第七條違約責(zé)任ARTICLE7LIABILITYFORBREACHOFCONTRACT第八條一般性條款A(yù)RTICLE8GENERALPROVISIONS部分章節(jié)示例如下：鑒于：Whereas.1、乙方具有國際貨物運(yùn)輸代理資質(zhì)和國際貨物運(yùn)輸代理行業(yè)的豐富經(jīng)驗(yàn)；1.PartyBhasthequalificationoftheagentofinternationalcargotransportationandhasrichexperienceintheindustryofinternationalfreightforwarding.2、甲方希望委托乙方為其代理本合同項(xiàng)下貨物的國際運(yùn)輸及相關(guān)服務(wù)等事宜；2.PartyAwishestoentrustPartyBtoactastheagent,underthiscontract,fortheinternationaltransportationofcargo,relatedservicesandothermatters.據(jù)此，雙方按照公平互利的原則，根據(jù)中華人民共和國相關(guān)法律法規(guī)就以下條款達(dá)成一致：NOWTHEREFORE,thepartiesagreeonthefollowingtermsinaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChina,onthebasisoftheprincipleoffairnessandmutualbenefit.第一條服務(wù)范圍Article1Scopeofservice1.1乙方根據(jù)甲方的委托，作為甲方的代理人代為辦理訂艙、報(bào)關(guān)、報(bào)驗(yàn)、裝箱、轉(zhuǎn)運(yùn)、代為墊代海運(yùn)運(yùn)費(fèi)等相關(guān)運(yùn)輸事宜。具體的服務(wù)范圍詳見授權(quán)委托書（附件一）。1.1PartyBshallactasPartyA'sagenttohandlebooking,customsclearance,inspection,packing,forwarding,advancingseafreightandotherrelatedtransportationmattersonbehalfofPartyAaccordingtoPartyA'sentrustment.Thespecificscopeofservicesisdetailedinthepowerofattorney(AnnexI).第二條雙方的權(quán)利和義務(wù)ARTICLE2THERIGHTSANDOBLIGATIONSOFBOTHPARTIES2.1甲方的權(quán)利和義務(wù)2.1PartyA’srightsandobligations2.1.1甲方委托乙方代為訂艙時(shí)，甲方應(yīng)當(dāng)及時(shí)送交或者傳真給乙方正確、齊備的托運(yùn)單據(jù)。托運(yùn)單應(yīng)明確標(biāo)明甲方訂艙單位名稱、電話、傳真及聯(lián)系人并加蓋公章，還有應(yīng)注明貨物的件數(shù)、重量、體積、目的港、裝船日期、貨物品名、運(yùn)費(fèi)條款及特別要求等。如果甲方提交的托運(yùn)單內(nèi)容不準(zhǔn)確、不完整或不合法而導(dǎo)致的任何貨物的損失或者造成乙方和/或第三人的任何損失或者責(zé)任，由甲方承擔(dān)。如果甲方對貨物運(yùn)輸沒有特殊要求，乙方按普通貨物辦理運(yùn)輸。2.1.1PartyAshall，whenPartyAentrustsPartyBtomakebookingonitsbehalf,promptlydeliverorfaxtoPartyBcorrectandcompleteconsignmentdocuments.TheConsignmentNoteshallclearlymarkthename,telephonenumber,faxnumberandcontactpersonofPartyA'sbookingunitandstampedwiththeofficialseal,andshallalsostatethenumberofpieces,weight,volume,portofdestination,dateofloading,nameofcargo,freighttermsandspecialrequirementsofthecargo.ProvidedthatthecontentsoftheConsignmentNotesubmittedbyPartyAareinaccurate,incompleteorunlawful,whichresultinginthelossofanycargoorcausinganylossorliabilitytoPartyBand/orthirdparties,PartyAshallbeliabletherefore.ProvidedthatPartyAhavenoparticularrequirementsforthetransportationofcargo,PartyBwillhandlethetransportationpursuanttoordinarycargo.2.1.3甲方委托乙方代理報(bào)關(guān)、報(bào)驗(yàn)時(shí)，應(yīng)當(dāng)提供合法、合格、正確、齊全的報(bào)關(guān)報(bào)驗(yàn)單證，根據(jù)貿(mào)易性質(zhì)不同可包括：合同、發(fā)票、商檢證書、許可證、核銷文件、報(bào)關(guān)單、手冊、裝箱單及有關(guān)批文等。如果因甲方提交的報(bào)關(guān)報(bào)驗(yàn)單證內(nèi)容不準(zhǔn)確、不完整或不合法而導(dǎo)致的損失和費(fèi)用由甲方承擔(dān)，包括但不限于乙方因此遭受的損失、乙方因此向第三人承擔(dān)的責(zé)任等。2.1.3ProvidedthatPartyAentrustsPartyBtoactasagentforCustomsclearanceandinspection,itshallprovidelegal,qualified,correctandcompletedocumentsforCustomsclearanceandinspection,whichmayinclude,dependingonthenatureoftrade,contracts,invoices,certificatesofcommodityinspection,permits,verifying/write-offinstrument,Customsdeclarations,manuals,packinglistsandrelevantapprovals,etc.ProvidedthatthecontentoftheCustomsdeclarationandinspectiondocumentswhichsubmittedbyPartyAareinaccurate,incompleteorillegal,PartyAshalltaketheresponsibilitiesofthelossesandexpenses,includingbutnotlimitedtothelossessufferedbyPartyBandtheliabilityofPartyBtothirdpartiestherefore.2.1.4乙方代為甲方辦理貨物的裝箱、中轉(zhuǎn)運(yùn)輸時(shí)，應(yīng)在托運(yùn)單或者相關(guān)函電中明示委托事項(xiàng)，包括代為聯(lián)系倉儲、裝卸、轉(zhuǎn)運(yùn)、短駁、裝拆箱等事宜。2.1.4PartyBshall,whenithandlesthepackingandtrafficintransitofthecargoforPartyA,expresstheentrustedmattersintheConsignmentSliporrelevantcorrespondence,includingcontactingstorage,loading/unloading,transfer,shortbarge,unpackingandothermatters.2.1.5如果甲方要求貨物緊急出運(yùn)，應(yīng)事先在托運(yùn)單“特別要求聲明”中注明或者以其他書面形式通知乙方，并由乙方最后書面確認(rèn)航期。如果未經(jīng)乙方書面確認(rèn)航期，乙方不承擔(dān)延誤運(yùn)輸責(zé)任。2.1.5ProvidedthatPartyArequirestheemergencydeliveryofthecargo,itshallindicateornotifyPartyBintheSpecialRequirementsStatementinadvance,whichPartyBshallfinallyconfirminwriting.PartyBshall,wherewithoutitsconfirmationoftheshippingperiod,notbeliablefortransportationdelay.2.2.3如果乙方必要時(shí)為甲方墊付海運(yùn)運(yùn)費(fèi)、港口費(fèi)用及其他代理代辦費(fèi)用,甲方應(yīng)當(dāng)按照本合同的約定償還乙方墊付的款項(xiàng)。2.2.3WherePartyB,asnecessary,advancesseafreight,portchargesandotheragencyfeesonbehalfofPartyA,PartyAshallreimbursePartyBforsuchadvancesinaccordancewiththeprovisionshereof.2.2.4乙方在接到甲方的訂艙單后，應(yīng)在合理時(shí)間向船運(yùn)公司辦理貨物裝運(yùn)等手續(xù)。如因船運(yùn)公司原因未能及時(shí)裝運(yùn)，乙方不承擔(dān)責(zé)任但應(yīng)當(dāng)及時(shí)將有關(guān)情況通知甲方。2.2.4PartyBshall,totheshippingcompanywithinareasonabletimeuponreceiptofthebookingorderfromPartyA,handletheshipmentofthecargoandotherprocedures.Wheretheshipmentisfailtoeffectshipmentintimeduetotheshippingcompany,PartyBshallnotberesponsiblethereforehowevershallinformPartyAoftherelevantsituationintime.第三條合同價(jià)款及支付方式ARTICLE3CONTRACTPRICEANDPAYMENTMETHOD3.1合同價(jià)款包括：乙方的運(yùn)輸代理費(fèi)以及乙方墊付的海運(yùn)運(yùn)費(fèi)、港口費(fèi)用、其他代理代辦費(fèi)用。本合同價(jià)款的具體構(gòu)成詳見附件二。3.1Thecontractpriceincludes:PartyB'sfeeoftransportationagencyandPartyB'sadvanceofseafreight,portchargesandotheragencyfeesonbehalfofPartyA.ThespecificcompositionofthecontractpriceisdetailedinAnnexII.3.2甲方同意在本合同簽定后個(gè)工作日內(nèi)將上述合同價(jià)款支付給乙方。3.2PartyAagreestoeffectpaymentoftheabovecontractpricetoPartyBwithinworkingdaysuponsignin?gofthiscontract.第四條保險(xiǎn)ARTICLE4INSURANCE4.1乙方應(yīng)當(dāng)按照甲方的委托代為辦理貨物運(yùn)輸保險(xiǎn)，險(xiǎn)種為。保險(xiǎn)費(fèi)由甲方承擔(dān)。4.1PartyBshall,inaccordancewithPartyA'sentrustment,effecttheinsuranceofcargotransportationonbehalfofPartyA,andthetypeofinsuranceshallbe.TheinsurancepremiumshallbebornebyPartyA.4.2發(fā)生保險(xiǎn)范圍內(nèi)的事故后，乙方應(yīng)當(dāng)協(xié)助甲方向保險(xiǎn)公司索賠。4.2PartyBshall,subsequenttooccurrenceofanaccidentcoveredbyinsurance,assistPartyAtoclaimcompensationfromtheinsurancecompany.保密條款A(yù)RTICLE5CONFIDENTIALITY5.2除第5.3條規(guī)定的情形外，本合同任何一方不得將秘密信息以任何方式泄露給任何第三方，也不得以任何方式向公眾、媒體披露本協(xié)議的簽訂和履行等情況。5.2Exceptasprovidedinarticle5.3,neitherpartyheretoshalldisclosetheconfidentialinformationtoanythirdpartyinanyway,norshallitdisclosetothepublicorthemediainanywaytheconclusionandperformancehereof,etc.5.3以下情況，任何一方均不被視為披露或泄露秘密信息：5.3Neitherpartyshallbedeemedtohavedisclosedordivulgedconfidentialinformationif.5.3.1所披露的信息在披露之前已為公眾所知（但以違反本條款方式披露的除外）。5.3.1Theinformationdisclosedhavebeenpubliclyknownpriortoitsdisclosure(exceptasdisclosedinviolationofthisarticle)不可抗力ARTICLE6FORCEMAJEURE6.1不可抗力事件是指不可預(yù)見、不能避免、不能克服的客觀情況，包括地震、臺風(fēng)、水災(zāi)、火災(zāi)及其他自然災(zāi)害，戰(zhàn)爭、暴亂、騷亂、戒嚴(yán)，及其他受影響一方不能控制的客觀情況。6.1Theforcemajeureeventsrefertotheobjectivecircumstanceswhichcannotbeforeseen,avoidedorovercome,includingearthquakes,typhoons,floods,firesandothernaturaldisasters,wars,riots,disturbances,martiallaw,andotherobjectivecircumstancesbeyondthecontroloftheaffectedparty.違約責(zé)任ARTICLE7LIABILITYFORBREACHOFCONTRACT如果任何一方不履行合同義務(wù)或者履行合同義務(wù)不符合約定的，應(yīng)當(dāng)承擔(dān)繼續(xù)履行、采取補(bǔ)救措施或者賠償損失等違約責(zé)任。Thepartywhichfailtoperformitscontractualobligationsorperformsthesameinconsistentlywiththeagreement,shalltakeresponsibilitiesforbreachofcontractsuchascontinuingperformance,takingremedialmeasuresorcompensatingfordamages.7.1甲方的違約責(zé)任：7.1PartyA'sliabilityforbreachofcontract:7.1.1違反本合同第三條的規(guī)定延誤支付乙方合同價(jià)款的，每延誤一天，支付乙方延誤付款額的萬分之五作為逾期付款違約金。另外，如果甲方未按照合同約定支付乙方費(fèi)用，乙方有權(quán)留置相應(yīng)的運(yùn)輸單據(jù)，由此產(chǎn)生的所有損失和責(zé)任由甲方承擔(dān)。7.1.1IfthepaymentofthecontractpricetopartyBisdelayedduetobreachoftheprovisionsofArticle3ofthisContract,PartyBshallbepaidfivetenthousandthsofthedelayedamountasliquidateddamagesforoverduepayment.Inaddition,wherePartyAfailtoeffectpaymenttoPartyBinaccordancewiththecontract,PartyBhastherighttoretainthecorrespondingtransportdocumentsandalllossesandliabilitiesarisingtherefromshallbebornebyPartyA.7.2乙方的違約責(zé)任：7.2PartyB'sliabilityforbreachofcontract:7.2.1乙方在履行代理人職責(zé)時(shí)應(yīng)當(dāng)盡心盡責(zé)，由于乙方的故意或者重大過失造成貨物損壞或者滅失的，乙方應(yīng)當(dāng)按照損壞或者滅失貨物的市場價(jià)格賠償甲方，但是不包括貨物因延遲等原因造成的經(jīng)濟(jì)損失以及任何其他在簽訂本委托合同時(shí)所無法合理預(yù)見的損失。在任何情況下，乙方的賠償責(zé)任都不應(yīng)超出每件元人民幣或每公斤

元人民幣的責(zé)任限額，兩者以較低的限額為準(zhǔn)。7.2.1PartyBshallexerciseduediligenceintheperformanceofitsdutiesasagentandshallindemnifyPartyA,subjecttothemarketpriceofthedamagedorlostcargo,suchdamageorlossduetoitsintentionalorgrossnegligence,howeverexcludingeconomiclossduetodelayofthecargosandanyotherlosswhichisnotreasonablyforeseeableatthetimeofenteringintothisengagementcontract.InnoeventshallPartyB’sliabilityexceedthelimitofliabilityofRMBYuanperpieceorRMBYuanperkilogram,whicheverislower.7.2.2乙方應(yīng)當(dāng)承擔(dān)因未能履行合同義務(wù)或不按合同約定履行義務(wù)所導(dǎo)致發(fā)生的其他情況給甲方造成的任何損失和/或責(zé)任。7.2.2PartyBshallbearanylossand/orliabilitytoPa
