11.由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品延誤交貨，賣方概不負(fù)責(zé)。本合同所指的不可抗力系指不可干預(yù)、不能避免且不能克服的客觀情況。

TheSellershallnotbeheldresponsibleforfailureordelayindeliveryoftheentirelotoraportionofthegoodsunderthisSalesContractinconsequenceofanyForceMajeureincidentswhichmightoccur.ForceMajeureasreferredtointhiscontractmeansunforeseeable，unavoidableandinsurmountableobjectiveconditions.

12.仲裁(Arbitration)：

因凡本合同引起的或與本合同有關(guān)的任何爭議，如果協(xié)商不能解決，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會深圳分會。按照申請仲裁時該會當(dāng)時施行的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方均有約束力。

一、托運(yùn)方的權(quán)利義務(wù)Therightsandobligationoftheshipper

1.托運(yùn)方的權(quán)利：要求承運(yùn)方按照合同規(guī)定的時間、地點(diǎn)、把貨物運(yùn)輸?shù)侥康牡?。貨物托運(yùn)后，托運(yùn)方需要變更到貨地點(diǎn)或收貨人，或者取消托運(yùn)時，有權(quán)向承運(yùn)方提出變更合同的內(nèi)容或解除合同的要求。但必須在貨物未運(yùn)到目的地之前通知承運(yùn)方，并應(yīng)按有關(guān)規(guī)定付給承運(yùn)方所需費(fèi)用。

Theshipper’srights:Requestingthecarriertotransportthegoodstothedestinationontimestipulatedinthiscontract.Aftertransferringthegoodstothecarrier,iftheshipperneedstochangethedestinationortheconsignee,theshippershallhavetherighttochangethecontentsofthecontractorcancelthecontract.However,theshippershallinformthecarrierbeforethearrivalatdestination,andpaytherelevantchargestothecarrier.

2.托運(yùn)方的義務(wù)：按約定向承運(yùn)方交付運(yùn)雜費(fèi)。否則，承運(yùn)方有權(quán)停止運(yùn)輸，并要求對方支付違約金。托運(yùn)方對托運(yùn)的貨物，應(yīng)按照規(guī)定的標(biāo)準(zhǔn)進(jìn)行包裝，遵守有關(guān)危險品運(yùn)輸?shù)囊?guī)定，按照合同中規(guī)定的時間和數(shù)量交付托運(yùn)貨物。

Theshipper’sobligation:Payingthefreightandotherchargesasthecontracttothecarrier.Otherwise,thecarriershallhavetherighttostoptransporting,andclaimtotheshipperofthepunishment.Theshippershallpackthegoodsaccordingtostandards,andabidebythetransportationregulationsofdangerousgoods,andtransferthegoodstothecarrierasstipulatedquantityandtimeinthecontract.

二、承運(yùn)方的權(quán)利義務(wù)Therightsandobligationofthecarrier

1.承運(yùn)方的權(quán)利：向托運(yùn)方、收貨方收取運(yùn)雜費(fèi)用。如果收貨方不交或不按時交納規(guī)定的各種運(yùn)雜費(fèi)用，承運(yùn)方對其貨物有扣壓權(quán)。查不到收貨人或收貨人拒絕提取貨物，承運(yùn)方應(yīng)及時與托運(yùn)方聯(lián)系，在規(guī)定期限內(nèi)負(fù)責(zé)保管并有權(quán)收取保管費(fèi)用，對于超過規(guī)定期限仍無法交付的貨物，承運(yùn)方有權(quán)按有關(guān)規(guī)定予以處理。

2.承運(yùn)方的義務(wù)：在合同規(guī)定的期限內(nèi)，將貨物運(yùn)到指定的地點(diǎn)，按時向收貨人發(fā)出貨物到達(dá)的通知。對托運(yùn)的貨物要負(fù)責(zé)安全，保證貨物無短缺，無損壞，無人為的變質(zhì)，如有上述問題，應(yīng)承擔(dān)賠償義務(wù)。在貨物到達(dá)以后，按規(guī)定的期限，負(fù)責(zé)保管。

Thecarrier’sobligation:Deliveringthegoodstothedestinationontime,andinformingtheconsigneeofthearrivalintime.Thecarriershallberesponsibleforthesafetyofthegoods,protectthegoodsfromshortage,damage,andcontriveddeterioration.Otherwise,thecarriershallbeobligedtocompensatetheshipperorconsignee.Thecarriershallcustodythegoodsforstipulatedperiodafterthearrivalofthegoods.

三、收貨人的權(quán)利義務(wù)Therightsandobligationoftheconsignee

1.收貨人的權(quán)利：在貨物運(yùn)到指定地點(diǎn)后有以憑證領(lǐng)取貨物的權(quán)利。

Theconsignee’sright:Takingthegoodsatthedestinationbypresentingbillofcargo.

2.收貨人的義務(wù)：在接到提貨通知后，按時提取貨物，繳清應(yīng)付費(fèi)用。超過規(guī)定時間提貨時，應(yīng)向承運(yùn)人交付保管費(fèi)。

Theconsignee’sobligation:Takingthegoodsontimeuponreceiptofthenoticeofarrival,andpayingthecharges.Theconsigneeshallpaythecustodialfeeswhenthetimeisoverdue.

第十條違約責(zé)任

Article10.ObligationforBreach

一、托運(yùn)方責(zé)任：Theshipper

1.未按合同規(guī)定的時間提供托運(yùn)的貨物，托運(yùn)方應(yīng)償付給承運(yùn)方違約金___元。

Iftheshipperdoesnotdeliverythegoodstothecarrierasperthestipulatedtime,theshippershallpaytothecarrierRMB___asapenalty.

2.由于在普通貨物中夾帶、匿報危險貨物，錯報笨重貨物重量等招致吊具斷裂、貨物摔損、吊機(jī)傾翻、爆炸、腐燭等事故，托運(yùn)方應(yīng)承擔(dān)賠償責(zé)任。

Inthecaseoftheshipperputtingdangerousgoodstogetherwiththenormalcargo,orconcealingheavyitems,thusresultinbreakageofhoistingtools,droppingofgoods,turn-overofcrane,explosion,corrosion,etc.theshippershalltaketheobligationofcompensation.

3.由于貨物包裝缺陷產(chǎn)生破損，致使其他貨物或運(yùn)輸工具、機(jī)械設(shè)備被污染腐蝕、損壞，造成人身傷亡的，托運(yùn)方應(yīng)承擔(dān)賠償責(zé)任。

Ifother’scargoortransportfacilitiesarepollutedorcorroded,orpersonsareinjuredordeadduetothedefectofpackage,theshippershalltaketheobligationofcompensation.

二、承運(yùn)方責(zé)任：Thecarrier

1.不按合同規(guī)定的時間和要求配車、發(fā)運(yùn)的，承運(yùn)方應(yīng)償付甲方違約金____元。

4.在符合法律和合同規(guī)定條件下的運(yùn)輸，由于下列原因造成貨物滅失、短少、變質(zhì)、污染、損壞的，承運(yùn)方不承擔(dān)違約責(zé)任：
