3.ThePurchaserfurtheragreestocutandremoveallofthetimberconveyedinthiscontractinstrictaccordancewiththefollowingconditions:

BETWEEN協(xié)議訂立雙方為：

(1)VOLKSWAGENGROUPIMPORTCO.,LTD.(companynameinChinese:(formerlyknownasVolkswagenImportCo.,Ltd),awhollyforeignownedlimitedliabilitycompanyincorporatedunderthelawsofPRCwhoseregisteredaddressisatRoom519-3TengdaBuilding,No.18,InternationalTradeRoad,TianjinPortFreeTradeZone(the“VGIC”);and

大眾汽車（中國）銷售有限公司（以前叫做“大眾汽車銷售有限公司”），該公司為外商獨資有限公司，依據(jù)_的法律組建而成，注冊地址為：

EachofVGICandtheDealerisa“party”,andcollectivelyarethe“parties”.

大眾公司和經(jīng)銷商在本協(xié)議中單獨稱為“一方”，集體稱為“雙方”。

WHEREAS:鑒于：

A.ThepartiesenteredintoaContractwithAuthorizedPurchaser(Dealer)ofLamborghiniImport“DealerContract”).

協(xié)議雙方于日簽署了一份蘭博基尼授權(quán)買家（經(jīng)銷商）合同（下文中稱為“經(jīng)銷商合同”）。

B.ThepartiesagreetoterminatetheDealerContractinaccordancewith,andsubjectto,thetermsandconditionsofthisAgreement.

協(xié)議雙方同意根據(jù)本協(xié)議的條款和條件終止所述經(jīng)銷商合同。

THEREFOREthepartiesherebyagreeasfollows:故此，本協(xié)議雙方現(xiàn)此約定如下：

1.Termination第一條協(xié)議的終止“EffectiveDate”).本協(xié)議雙方約定從日起終止所述經(jīng)銷商合同（生效日期）。

Eachparty’srightsandobligationsundertheDealerContractshallceaseimmediatelyontermination,exceptfortheclauseswhichareexpressedtosurvivetermination.TheDealerherebyrenouncesandsurrendersanyandallrightsgrantedpursuanttoorinrelationtoDealerContract.

所述經(jīng)銷商合同終止時，本協(xié)議各方在該合同項下的權(quán)利和義務立即終止，除非該合同中明確規(guī)定某權(quán)利和/或義務應當在合同終止后繼續(xù)生效。經(jīng)銷商現(xiàn)此放棄并讓出自己和所述經(jīng)銷商合同相關的所有權(quán)利。

所述經(jīng)銷商合同的終止不會產(chǎn)生大眾公司向經(jīng)銷商給予任何補償?shù)牧x務，包括但不限于利潤和商譽的損失。

TheDealerherebywaives,releasesandforeverdischargesVGIC,VGIC’semployeesandaffiliates,andanyreplacingdealershipappointedbyVGICagainstanyactions,proceedings,claims,demands,costsandexpenseswhichtheDealermaynowhaveorwouldhavehadfortheterminationoftheDealerContract,includingbutnotlimitedtoanyapplicablerightsuponterminationofagreementsithasmayhavehadundertheDealerContractoranyapplicablelaw.經(jīng)銷商現(xiàn)此放棄、免除并永遠解除大眾公司、大眾公司的雇員和附屬公司、大眾公司指定的任何替代經(jīng)銷商就經(jīng)銷商針對所述經(jīng)銷商合同的終止可能享有的、將會享有的任何起訴、訴訟程序、索賠、權(quán)利主張、花費和開支而應當承擔的責任，包括但不限于所述經(jīng)銷商合同終止時經(jīng)銷商依據(jù)任何適用的法律而享有的、可能享有的任何適用權(quán)利。

TheDealerbyexecutingthisAgreement,forandonbehalfofDealerandallpersonsandentitieswhoatpresent,inthepastorinthefuturemayhave,havehadormayhereafterhavealegalorbeneficialownershiporotherinterestinDealer,andtheirrespectiveheirs,executors,administrators,successorsandassigns(collectivelythe“Releasors”),herebyagreestoanddoesherebyunconditionally,irrevocablyandforevervoluntarilyterminateandsurrendertoVGIC,asoftheEffectiveDate,theDealerContractandanyotheragreementsrelatingtothesaleoftheLamborghinibrandproductsandwaives,terminatesandsurrenderstoVGICanyandrightsarisingoutorrelatingtotheDealerContractorinconnectionwiththeDealerContract,including,withoutlimitation,anyandallrights,ifany,toacontinuation,extensionorrenewaloftheDealerContractoranyrelatedbusinessrelationshipsbetweenVGICandtheDealeroranyoftheotherReleasorsaftertheEffectiveDate,whichthey,oranyofthem,maynoworhereafterhaveoracquire.

通過本協(xié)議的簽署，經(jīng)銷商代表經(jīng)銷商、以及過去、現(xiàn)在和將來和經(jīng)銷商可能有、已經(jīng)有、之后可能有法律關系、受益所有權(quán)或者其它利益關系的任何人員和實體、其各自的繼承人、執(zhí)行人、管理人、繼任人和受讓人（總體稱為“放棄權(quán)利人”），現(xiàn)此同意為了大眾公司并無條件地、不可撤銷地且永遠自愿地從生效日期起終止并讓出所述經(jīng)銷商合同以及和所述蘭博基尼品牌產(chǎn)品的'銷售相關的其它任何協(xié)議，為了大眾公司放棄、終止和讓出因為所述經(jīng)銷商合同引起的或者與之相關的任何權(quán)利，包括但不限于延續(xù)、續(xù)展、續(xù)訂所述經(jīng)銷商合同或者大眾公司和經(jīng)銷商或者其它任何放棄權(quán)利人之間在生效日期后的任何相關業(yè)務關系的任何權(quán)利（如果有的話），因為大眾公司和經(jīng)銷商或者其它任何放棄權(quán)利人（或者其中的部分人員）在當前或者今后可能具有或者取得該種業(yè)務關系。

ThepartiesheretointendthatthisAgreementconstituteageneralreleaseofallclaims,demands,actions,causesofaction,whetherknownorunknown,suspectedorunsuspected,thattheDealerand/oranyoftheotherReleasorshad,mayhaveormayclaimtohavetotheEffectiveDate.

本協(xié)議雙方約定：本協(xié)議構(gòu)成了全面免除，免除了生效日期之前經(jīng)銷商和/或其它任何權(quán)利放棄人享有的、可能享有的或者可能會聲稱享有的任何索賠、權(quán)利主張、起訴和訴因，無論是明確的還是不明確的，無論是疑似的還是非疑似的。

2.ObligationsFollowingSigningofThisAgreement第二條簽署本協(xié)議產(chǎn)生的義務

FollowingthesigningofthisAgreement,bothpartiesshallmakebesteffortstocooperatewitheachother,includingprovidingandexecutingallnecessarydocumentsandmaterialsand

takingallnecessaryactions,toensureanuninterruptedsupplyofpartsandaftersalesservicesasrequiredbycustomersafterthedateofterminationoftheDealerContract.

本協(xié)議簽署后，協(xié)議雙方應當盡最大努力展開合作，包括但不限于提供并簽署所有必要的文件和材料并采取必要的措施，確保所述經(jīng)銷商合同終止后，能夠按照客戶的要求不間斷地提供零部件和售后服務。

FollowingthesigningofthisAgreement,theDealerundertakestoVGICthatitshall:本協(xié)議一經(jīng)簽署，經(jīng)銷商即向大眾公司保證：經(jīng)銷商應當

(a)Immediatelyinformitscustomers(especiallyownersofvehiclessoldbytheDealer)oftheDealer’sclosureusingthemutuallyagreedtemplateattachedtothisAgreement,andobtainthecustomers’consenttothetransferofthecustomer’sinformationtoVGICandVGIC’suseofsuchinformationsubjecttotheapplicablelawsandregulationsofPRC;

使用本協(xié)議隨附的且雙方一致同意的方式，把經(jīng)銷商和大眾公司之間簽訂的所述經(jīng)銷商合同的終止情況立即告知經(jīng)銷商自己的客戶（特別是從經(jīng)銷商處購買了汽車的車主），取得客戶同意后，把客戶信息移交給大眾公司，大眾公司應當按照適用的_的法律和法規(guī)來使用該種信息。

(b)Immediatelyexecutethenecessarycontractsforthetransferofitsrepair,returnandreplacementobligationspursuanttotheapplicablelawsandregulationsandtheDealer’ssalescontractsforvehiclessoldbytheDealertoamutuallyagreedaffiliate;

立即根據(jù)適用的法律和法規(guī)以及經(jīng)銷商就銷售給雙方一致同意的附屬公司的車輛而簽訂的銷售合同，為維修義務、產(chǎn)品退回義務和替換義務的讓與而簽署必要的合同。

(c)immediatelytransfer,andensureitsaffiliatedcompaniestransfer,toVGICorotherVolkswagenGroupcompaniesrespectively,withoutanyconsideration,thetrademarksregisteredinthePRCand/ortrademarkregistrationappliedinthePRC,whichbelongtoVGICorotherVolkswagenGroupcompanies,andanydomainnamesregisteredinthePRC,whichcontaintheLamborghinitrademarksornameofVGICorotherVolkswagenGroupcompanies;

立即向大眾公司或者大眾集團的其它公司讓與全部歸大眾公司所有的或者大眾集團其它公司所有的、在_注冊的商標和/或在_申請的商標注冊，以及包含蘭博基尼商標或者大眾公司名稱或者其它大眾集團公司名稱的任何域名，不得收取任何對價，并確保經(jīng)銷商自己的附屬公司也這樣做。

(d)immediatelyceaseusing,andensureitssubsidiariesandbranches(ifany)toceaseusing,theLamborghinitrademarksand“Lamborghini”oritsChinesetranslationsinitscorporatename;立即停止使用并確保其子公司和分公司（如果有的話）停止在其公司名稱中使用蘭博基尼商標、“Lamborghini”和Lamborghini的漢語譯文“蘭博基尼”;

(e)notapply,andensureitsaffiliatedcompaniesnotapply,directlyorindirectly,forregistrationofanytrademarksornames(includinganyChinesetranslations)belongingtoVGICorotherVolkswagenGroupcompanies.Otherwise,VGICorotherVolkswagenGroupcompaniesareentitledtorequestsuchtrademarksand/ornamestransferredtoVGICorotherVolkswagenGroupcompanies,freeofcharge,atanytime;

不得直接或者間接地申請注冊屬于大眾公司或者大眾集團其它公司的任何商標或名稱（包括漢語譯名），并確保其附屬公司也這樣做。否則，大眾公司或者大眾集團其它公司有權(quán)在任何時間要求把該等商標和/或名稱讓與給大眾公司或者大眾集團的其它公司。

(f)immediatelyremoveandreturntoVGIC(orotherwisedisposeofasVGICmayinstruct)allsignboardandsymbolscontainingtheLamborghinitrademarks;and

立即移除包含蘭博基尼商標的任何招牌和標識并歸還給大眾公司（或者按照大眾公司的指示處理這些招牌和標識）；以及

(g)immediatelyreturntoVGICorotherwisedisposeofasVGICmayinstructallequipmentandtools,samples,instructionbooks,technicalpamphlets,catalogues,advertisingmaterials,specificationsandothermaterials,documentsorpaperswhatsoeverprovidedbyVGICtotheDealerandrelatingtoVGIC’sbusiness(otherthancorrespondencewhichhaspassedbetweentheparties)whichtheDealermayhaveinitspossessionorunderitscontrol.

立即把經(jīng)銷商可能會擁有的或者控制的、大眾公司提供給經(jīng)銷商的且和大眾公司的業(yè)務有關的任何設備、工具、樣品、說明書、技術手冊、目錄、廣告材料、技術規(guī)范和其它材料、文件和文據(jù)返還給大眾公司，或者按照大眾公司的指示加以處理。

大眾公司同意把元人民幣歸還給經(jīng)銷商，這個金額包括：

’sdealershipaccount;and元人民幣的經(jīng)銷商經(jīng)銷賬戶余額；以及

banktransferwithin30workingdaysfromtheexecutionofthisAgreementbytheparties.元人民幣的依據(jù)本協(xié)議規(guī)定歸還招牌和標識的費用，本協(xié)議簽署后三十天內(nèi)，通過銀行電子轉(zhuǎn)賬支付經(jīng)銷商。

Within30daysfollowingthesigningofthisAgreement,theDealershouldapplytoderegisteritselfwiththerelevantgovernmentauthoritiesasanauthorizeddealerofLamborghinibrandproducts,includingrevisingitsbusinessscopeshownonthebusinesslicenseaccordingly.

本協(xié)議簽署后的三十天內(nèi)，經(jīng)銷商應當向相關的政府機關申請撤銷自己作為蘭博基尼品牌產(chǎn)品授權(quán)經(jīng)銷商的登記，包括相應地修改經(jīng)銷商營業(yè)執(zhí)照中業(yè)務范圍。

TheDealeragreestomaintainstrictconfidentialityregardingallVGIC’sconfidentialinformation,includinganydata,information,plans,drawings,specifications,documents,know-how,physicalobjects(suchasmodels,partsordevices)ormaterialsoforrelatingtotheproduction,engineering,technology,financing,marketingofVolkswagenandLamborghiniproducts,personnelofVGIC,theirparentcorporationortheirsubsidiariesoraffiliates,ifsuchconfidentialinformationisnotknownoravailabletothepublic(“ConfidentialInformation”).TheDealerundertakesthatitwillnot,atanytime,reveal,communicate,divulgeormakeavailableanyConfidentialInformationtoanyone,otherthantosuchextentandtosuchpersonsasmayspecificallybedesignatedbyVGICinwriting.

六、甲方的責任:

Landlord’sResponsibilities:

租賃期內(nèi)甲方不得無故收回房屋，如甲方中途要求收回房屋，乙方可以

拒絕。

PartyAisnotpermittedtotakebacktheleasedpropertyduringthetermofthecontractwithoutanyreason.IfPartyAwishestodoso,PartyBhastherighttoobject.

負責對乙方正常使用中發(fā)生的房內(nèi)家具、電器及其他設施損壞或故障進

行及時維修并承擔費用。

Toundertakeresponsibilityandassumesuchcostsfortimelyrepairstofurniture,electricalappliancesandotherfacilitiesthataredamagedorhavemalfunctionedthroughnormalusagebyPartyB.

督促物業(yè)公司提供充分的保安、消防工作及安靜清潔的居住環(huán)境。Tosupervisetheestatemanagementofficetoprovideadequatesecurity,firepreventionandquirt&circumstance.

督促管理公司向乙方提供所應提供的服務，如冷水、熱水、電的供應及

各種設備（包括空調(diào)）的正常工作，并提供公共區(qū)域和公共設施的開放，如健身房、兒童房和其他娛樂場所。督促公共區(qū)域和公共設施的清潔；公共區(qū)域的照明并提供道路指示牌。督促道路和公共區(qū)域的維護；督促修理、保養(yǎng)和更換大廈的保安設施、消防設施、電器設施、變壓器、煤氣、排水、空調(diào)、電梯和其它設施。

ToensuretheestatemanagertoprovideproperservicetoPartyB,suchassupplyofcoldwater,hotwater,electricity,propermaintenanceofallkindsofequipment(includingair-conditioners),andtoprovidefreeaccesstopublicareasandfacilitiessuchasgymnasium,children’sroomandotherrecreationalareas.Tocleanpublicareasandfacilities;toilluminatepublicareasandprovidesigns;torepairaccesswaysandpublicareas;torepair,maintain,andreplacesecurity,firefightingandelectricalappliances,transformer,gas,sewage,airconditioningsystems,elevators,liftsandotherfacilitiesofthebuilding.

七、乙方責任:

乙方應按本租約三、四、五條款規(guī)定交付租金，押金和各項費用，如有

拖欠，則作違約論。

PartyBshouldpromptlypaytherent,depositandotherchargesassetoutinClauses3,4and5oftheAgreement.Non-paymentofthesechargesconstitutesabreachofthisAgreement.

租賃期內(nèi)未經(jīng)甲方同意，乙方不能轉(zhuǎn)租其所租房屋，私自轉(zhuǎn)讓無效。DuringtheperiodofTenancy,unlesswiththeagreementofPartyA,PartyBcannotsub-letorletinpartorinfulltheleasedpropertytootherParty.

乙方應愛護房屋及其設備，如因使用不當導致?lián)p壞應負責賠償。

PartyBmusttakecareofthepropertyanditscontents,otherwisePartyBshouldpaycompensationtoPartyAforhisimproperuseoftheproperty.

在房內(nèi)已有的裝飾和設施之外，乙方如要增加設備或其他裝修須征得甲

方同意；租賃期滿必須恢復原狀如有損壞（正常使用磨損、結(jié)構(gòu)或原有的問題除外），并承擔其費用，經(jīng)甲方驗收認可后歸還甲方。

Inadditiontothedecorationandequipmentalreadyintheproperty,ifPartyBwishestomakeanyalterationsordecoratetheproperty,PartyBshouldgetthepermissionfromPartyA.Oncompletionofthetenancy,PartyBmusthand-overthepropertytoPartyAinitsoriginalcondition(fairwearandtear,structuralandinherentdefectsexpected),andallfeesarisingfromsuchworkhavetobebornebyPartyB.

保證賠償由于乙方或乙方有關系的官員、上司、雇員、客人、來訪者、

雇傭工人、代理、執(zhí)照持有者或被邀請人等（統(tǒng)稱與乙方相關的人）的粗心及疏忽造成的房屋的損害或損失，并允許甲方或其代理人在事先通知后進入房屋，對房屋的損失或損害進行彌補及修復，在此所發(fā)生的費用由乙方負擔。

ToindemnifyPartyAforanylossordamagetotheleasedpropertyfromnegligentactoromissionofPartyBoranyofficer,director,employee,guest,visitor,servant,agentlicenseeorininviteeofPartyB(eachreferredtohereinafterindividuallyasan“associate”),topermitPartyAorhisauthorizedrepresentatives,withanadvancenotice,toentertheleasedpropertytorepairanysuchlossordamageattheexpenseofPartyB.

在甲方預先通知后，乙方應允許甲方或其代理人在有理由的情況下在合

理的時間進入及巡視房屋進行必要的維修或修復工作；在租賃期最后一個月內(nèi)，允許甲方或其代理人帶領有意租賃或購買房屋的客人視察房屋，但乙方已按第條書面通知甲方將續(xù)租時除外。

WithPartyA’snoticeinadvance,PartyBshouldpermitPartyAandthepersonauthorizedbyPartyAunderreasonablecircumstancestoenterandviewtheleasedpropertyatreasonablehours,tocarryoutanyworkandrepairswhichisnecessarytobedone.DuringthelastonemonthsoftheTenancy,PartyAhastherighttoshowthe

leasedpropertytoprospectivelessorsorpurchasers,unlessaccordingtoclause,PartyBhasinformedPartyAofitsintentiontorenewtheLease.

在未經(jīng)甲方書面同意下，乙方不得擅自設立、安裝或移動設施及設備，

不能擅自設立隔段，不得擅自對房屋的結(jié)構(gòu)機關改動或增加。

租賃房屋過程中，必須嚴格遵守_的有關法律、細則、規(guī)

章及法令的規(guī)定，并嚴格禁止乙方利用房屋進行違犯法律及不道德的行為。

Strictlytocomplyandadhereintheuseoftheleasedpropertywithalllaws,regulationsanddecreesofthePeople’sRepublicofChinaapplicabletosuchuse,andspecificallynottopermitorsuffertheleasedpropertytobeusedforanypurposethatisunlawfulorimmoral.

房屋除供乙方居住之外，未經(jīng)甲方書面同意，房屋不可作辦公或協(xié)議未

曾說明之用。上述同意不應不合理地拒絕。

TousetheleasedpropertyexclusivelyastheresidenceofhisfamilyandnottousetheleasedpropertyasanofficeorforanyotherpurposewithoutthepriorwrittenconsentorPartyA,whichconsentshallnotbeueasonablywithheld.

未經(jīng)甲方書面同意，屋外不得擅自放置標示板及陳列任何設施，不允許

在房外、窗及門上掛曬衣物以影響房屋外觀面貌，該條件不得被不合理拒絕。

NottoaffixordisplayanysignboardorotherdevicevisiblefromoutsidetheleasedpropertywithoutthepriorwrittenconsentofPartyA,whichconsentshallnotbeueasonablywithheld,andnottousetheoutsideoftheleasedpropertyoranydoorsorwindowstohanganywashing.

租客必須遵守物業(yè)條例準則，如出現(xiàn)糾紛需與業(yè)主來協(xié)商調(diào)解。

八、房屋不能居住時其他事件:

房屋由于火災，惡劣天氣，戰(zhàn)爭或其它甲方不可抗拒因素，而不是

因為乙方直接或間接的疏忽及故意行為造成房屋毀壞而不能被正常使用及居住時，乙方從該日起停止支付租金，直至房屋可再被使用及居住時為止，如該房屋因任何不能歸因于乙方的原因不能正常使用超過10天，乙方有權(quán)終止合同并無需承擔任何責任，甲方應退還剩余部分押金及預付租金。甲方根據(jù)自己的意愿及經(jīng)濟、實際意義等原因，沒有義務必須修繕復原房屋。若此情況發(fā)生，甲方應書面通知乙方，并在作出上述通知的十天之內(nèi)將押金及預付租金全部退還乙方。
