甲方因工程需要，購(gòu)買乙方工程物資，經(jīng)雙方協(xié)商一致，簽訂本合同。

第一條供料工程概況如下：

第三條結(jié)算、發(fā)票、付款

結(jié)算方式：供貨完畢，乙方向甲方提交結(jié)算單，由甲方指定的材料員統(tǒng)計(jì)核實(shí)、甲方項(xiàng)目經(jīng)理簽字確認(rèn)。如供貨周期較長(zhǎng)，則每結(jié)算一次。

發(fā)票：乙方按甲方確認(rèn)的結(jié)算金額，提供稅務(wù)發(fā)票和銀行賬戶。乙方未能提供合法有效的發(fā)票的，甲方有權(quán)拒絕付款。乙方提交的發(fā)票金額與結(jié)算單金額不一致的(結(jié)算金額以結(jié)算單確認(rèn)為準(zhǔn))，甲方有權(quán)拒絕付款。

間、比例再予分次付款：月底付當(dāng)月料款的%;工程竣工、驗(yàn)收合格后，付料款的%;%為質(zhì)保金，質(zhì)保期滿后付清。由銀行轉(zhuǎn)賬支付。

甲方如需變更交付時(shí)間或地點(diǎn)，應(yīng)提前天通知乙方，乙方應(yīng)予以滿足。

第五條供貨數(shù)量及質(zhì)量的驗(yàn)收確認(rèn)

甲乙雙方共同依據(jù)現(xiàn)行技術(shù)標(biāo)準(zhǔn)及本合同約定，對(duì)乙方供應(yīng)的貨物(包括合同約定的附件等)數(shù)量及外觀質(zhì)量進(jìn)行驗(yàn)收，并在乙方的發(fā)貨單上簽字確認(rèn)。

貨物經(jīng)甲方表觀檢驗(yàn)，如有質(zhì)量異?，F(xiàn)象的，經(jīng)雙方核實(shí)后確屬質(zhì)量問題的，甲方有權(quán)拒收或退貨，并由乙方承擔(dān)違約責(zé)任。

交貨時(shí)，乙方應(yīng)向甲方一并提交產(chǎn)品技術(shù)質(zhì)量資料，包括但不限于：產(chǎn)品生產(chǎn)廠家營(yíng)業(yè)執(zhí)照、生產(chǎn)許可證復(fù)印件，該批次貨物的出廠檢驗(yàn)合格證，按規(guī)定需要第三方機(jī)構(gòu)認(rèn)證或檢驗(yàn)的還應(yīng)提供認(rèn)證或檢驗(yàn)報(bào)告，產(chǎn)品使用說明書等。乙方未提交上述資料的，視為貨物交付未完成。

按規(guī)定，貨物需要經(jīng)過進(jìn)一步檢驗(yàn)(試驗(yàn))的，乙方應(yīng)配合甲方進(jìn)行檢驗(yàn)(試驗(yàn))，相關(guān)費(fèi)用由乙方承擔(dān);檢驗(yàn)(試驗(yàn))不合格的，視為貨物交付未完成，甲方有權(quán)拒收或退貨，并由乙方承擔(dān)違約責(zé)任。

貨物質(zhì)量需要在投入使用或安裝、調(diào)試、運(yùn)行后才能驗(yàn)證的，經(jīng)驗(yàn)證合格，方可視為貨物質(zhì)量合格;否則，視為貨物交付未完成，甲方有權(quán)退貨，并由乙方承擔(dān)違約責(zé)任。

第六條雙方責(zé)任

貨物涉及特殊技術(shù)的，乙方應(yīng)當(dāng)對(duì)甲方進(jìn)行技術(shù)交底或培訓(xùn);貨物投入使用，需要調(diào)試的，乙方應(yīng)當(dāng)派員指導(dǎo)、參與調(diào)試，并提供相應(yīng)檢測(cè)、調(diào)試設(shè)備與工具，相關(guān)費(fèi)用已含在合同價(jià)款中。本合同□適用/□不適用本條款約定。

乙方應(yīng)保證其提供的貨物系其合法取得的合法產(chǎn)品，且貨物不存在知識(shí)產(chǎn)權(quán)糾紛;否則，乙方應(yīng)承擔(dān)全部賠償責(zé)任，包括甲方因此承擔(dān)的賠償款、處理糾紛所支出的各種合理費(fèi)用、工程受到影響而產(chǎn)生的各項(xiàng)損失，無論該糾紛是否得到司法機(jī)關(guān)裁決或裁決結(jié)果如何。質(zhì)保期從竣工驗(yàn)收合格之日起開始計(jì)算，質(zhì)保期一年。

其他約定：無。

第七條不可抗力

因不可抗力因素(包括戰(zhàn)爭(zhēng)、**、空中飛行物體墜落、自然災(zāi)害、非承租人出租人造成的火災(zāi)、爆炸等)所造成的貨物損失，在貨物完成交付前由乙方承擔(dān)，貨物完成交付后由甲方承擔(dān)。

第八條違約責(zé)任

甲方未按合同約定的付款期限和比例支付貨款的，逾期付款超過一個(gè)月，則按應(yīng)付未付金額、以日萬分之一的標(biāo)準(zhǔn)，承擔(dān)逾期付款違約金。

乙方未按合同約定或甲方通知的時(shí)間供應(yīng)符合合同要求的貨物的，每遲延一天，按元/天的標(biāo)準(zhǔn)承擔(dān)遲延供貨違約金;甲方工地停工待料產(chǎn)生的費(fèi)用(機(jī)械租賃費(fèi)、設(shè)施料租賃費(fèi)、項(xiàng)目部管理人員工資、待工工人工資及建設(shè)單位罰款)等實(shí)際損失高于該標(biāo)準(zhǔn)的，按實(shí)際損失賠償。乙方遲延供貨超過天，甲方有權(quán)解除合同。

乙方供應(yīng)的貨物經(jīng)檢驗(yàn)、驗(yàn)證不合格，或產(chǎn)權(quán)不合法的，甲方要求更換的，乙方按本條第2款約定承擔(dān)遲延供貨違約金;甲方解除合同的，乙方除按本條第2款約定承擔(dān)遲延供貨違約金外，還應(yīng)額外承擔(dān)元違約金，以彌補(bǔ)甲方另行購(gòu)買所發(fā)生的誤工及其他損失。

一方當(dāng)事人按照合同約定應(yīng)承擔(dān)多項(xiàng)違約金、賠償款的，合并計(jì)算。

乙方違約的，甲方可從當(dāng)期應(yīng)付款中直接扣除相應(yīng)的違約金，或在結(jié)算中扣減相應(yīng)價(jià)款。甲方的該項(xiàng)權(quán)利屬于抵銷權(quán)，無需乙方同意即可行使;也屬于對(duì)乙方要求甲方付款的抗辯權(quán)，在司法程序中無需單獨(dú)提出反訴。如甲方應(yīng)付乙方的款項(xiàng)不足以用以扣減乙方違約金的，甲方可另行追償。

乙方如不能及時(shí)提供相應(yīng)的技術(shù)質(zhì)量資料，甲方有權(quán)不予結(jié)算付款。

(2)當(dāng)高位發(fā)熱量(收到基，ADB)低于5400大卡，每低于100大卡單價(jià)扣減美元/噸。

3.人力不可抗拒(ForceMajeure)

由于一般公認(rèn)的人力不可抗拒原因而不能交貨或推遲裝運(yùn)，賣方不負(fù)責(zé)任。賣方必須在事故發(fā)生時(shí)立即電告買方并在事故發(fā)生后20天內(nèi)航空郵寄給買方災(zāi)害發(fā)生地點(diǎn)之有關(guān)政府或商會(huì)所發(fā)給的證件證實(shí)災(zāi)害的存在。除因不可抗拒推遲交貨或不能交貨，如賣方不能按合同規(guī)定期限交貨，則應(yīng)賠償買方直接由于遲期交貨或不能按合同交貨所遭受的一切合理損失及費(fèi)用。人力不可抗拒事故繼續(xù)存在60天以上時(shí)，買方有權(quán)撤銷合同或合同中未交付部分。

TheSellershallnotbehelpresponsibleiftheyfail,owingtoForceMajeurecauseofcauses,tomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverythegoods.However,theSellershallinformimmediatelytheBuyerbyfaxorotherwriterformoftheaccidentandairmailtoBuyerwithin20daysaftertheaccident,acertificateofaccidentissuedbythecompetentgovernmentauthoritiesorthechamberofcommercewhichislocatedattheplacewheretheaccidentoccursasevidentthereof.Withtheexceptionofdelayeddeliveryornon-deliverydueto“Forcemajeure”causes,incasetheSellermailtomakedeliverywithintimeasstipulatedinthecontract,theSellershouldindemnifytheBuyerforalljustifiableandnormallossesincurredtolatterdirectlyattributabletodelayeddeliveryorfailedtomakedeliveryofthegoodsinaccordancewiththetermsofthiscontract,ifthe“ForceMajeure”causelastsover60days,theBuyerhavetherighttocancelthecontractortheun-deliverypartofthecontract.

4.仲裁：

一起因執(zhí)行合同所發(fā)生與本合同有關(guān)之爭(zhēng)執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，應(yīng)提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外經(jīng)濟(jì)仲裁委員會(huì)，根據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁的裁決為終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)育重非有關(guān)仲裁機(jī)構(gòu)另有決定外均由敗訴方負(fù)擔(dān)。

Arbitration:AlldisputesarisinginconnectionwiththisSalesContractortheexecutionthereofshallbesettledbywayofamicablenegotiation.Incasenosettlementcanbereachedbetweenthetwoparties,thecaseatissueshallthenbesubmittedforarbitrationtotheArbitrationCommissionoftheChinaCouncilforthePromotionofInternationalTradinginaccordingwiththeRulesofProcedureofthesaidcommission.Theaardbysucharbitrationshallbedeemedasfinalandbindinguponbothparties.ThefeesforArbitrationshallbornebythelosingpartyunlessotherwiseawarded.

依據(jù)《國(guó)際商會(huì)國(guó)際貿(mào)易術(shù)語解釋通則2000版》，買賣雙方一致同意在以下時(shí)間期間內(nèi)，按照CIF中國(guó)主要港口交貨的交易條件，交易符合本合同條款的下列規(guī)格和數(shù)量的貨物：

.俄羅斯重油，最低保證規(guī)格見合同附件“A”。

第2條數(shù)量：CLAUSE2QUANTITY:

.此合同銷售和購(gòu)買的商品數(shù)量依據(jù)以下執(zhí)行：

.第一船試單25,000-50,000噸/船(裝船時(shí)可上下浮動(dòng)10%)。

1x25,000-50,000METRICTON(+/-10%invessel)ofM100asthefirmtrialshipment.

.在第一船試單成功后，接下來將在為期一年內(nèi)繼續(xù)訂貨120萬噸，每月10萬噸;每月2-4船，每船萬噸，裝船時(shí)可上下浮動(dòng)10%。

.如果對(duì)第一船試單買賣雙方都不滿意，任何一方有權(quán)取消合同。但自雙方著手操作第二船時(shí)起，任何一方均無權(quán)單方面取消本合同。

第3條質(zhì)量：CLAUSE3QUALITY:

.賣方必須按照合同附件“A”所附的規(guī)格要求保證其商品的質(zhì)量，附件“A”為本合同的重要組成部分。

SELLERguaranteethatthequalityofallproductsoldunderthisContractwillconformtotheguaranteedspecificationsasreportedonANNEX“A”whichconstitutesanintegralpartofthisContract.

第4條價(jià)格：CLAUSE4PRICE:

.CIF，中國(guó)主港，交貨價(jià)為每噸美元。買賣雙方同意此價(jià)格為該合同執(zhí)行期間的固定價(jià)格。

UNITPRICE:ThepriceasagreedbetweentheSellerandtheBuyershallbefixedduringcontractperiod,CIFChinamainport,USD(FivehundredandthirtyUSDollar).

第5條付款方式：CLAUSE5PAYMENT:

.買賣雙方簽訂正式合同后10個(gè)銀行工作日內(nèi)，賣方通過銀行間SWIFT管道向買方開出第一船試單貨物金額的2%的銀行履約保函(PerformanceBondGuarantee)PBG(保函格式詳見附件“C”)。

AftersigningtheformalContract,andsatisfactionbytheSellerthattheBuyeehasthefinancialcapabilityandavailability,theSellershallissueannon-operative2%ofoneshipmentvaluePerformanceBond(PB,aspertoANNEX“B”)viaSWIFTofbanktoBuyer’sbankwithin10bankingdays.

.支付方式：PAYMENTINSTRUMENT:

.買方在收到賣方的2%銀行履約保函后10個(gè)銀行工作日內(nèi)開出不可撤銷的、可轉(zhuǎn)讓的跟單信用證(信用證格式見附件“D”)。信用證金額為第一船試單貨物金額的100%。

BUYERwillissueanirrevocable,transferableDocumentaryLetterofCredit(DLC)toSeller’sbankafterBuyerreceiveda2%PerformanceBondGuaranteefromtheSellerwith10bankingdays.TheamountoftheDLCwillbe100%oftheoneshipmentvalueofthecontract.。

.買方在收到貨物后2個(gè)銀行工作日內(nèi)，通過銀行電匯(T/T)支付貨款。

Thebuyerwirepaymentbythebankwithin2bankworkingdaysafterreceivedgoods.

.在第一船試單成功(即買方收到貨物)后的5個(gè)銀行工作日內(nèi)，賣方向買方開出第二船50000公噸貨物的2%的銀行履約保函。買方收到2%銀行履約保函后的5個(gè)銀行工作日內(nèi)向賣方開出貨值100%的銀行信用證。

.從第三船開始，根據(jù)合同相關(guān)條款，信用證作為付款擔(dān)保，后續(xù)各船的信用證應(yīng)不遲于買方收到前一批貨物的日期。信用證應(yīng)規(guī)定電匯(T/T)付款條件按本合同第7條執(zhí)行。

Allthesubsequentletterofcreditshouldinnolaterthanthebuyerreceivedashipmentdateunderthecontracttermsbyletterofcreditastheguarantee.Letterofcreditshouldbetoperformtermsofpaymentinclause7ofthecontract.

.賣方的開證行應(yīng)當(dāng)是銀行，或世界前50名的大銀行在香港或中國(guó)大陸的分行。

第6條交易操作程序和貨物證明(POP):

.買方向賣方發(fā)出不可撤銷的公司購(gòu)買訂單(ICPO)。

.買方向賣方發(fā)出合同草案和NCNDA及IMEPA。

.賣方修改簽回合同草案和NCNDA及IMEPA。

.買賣雙方在買方公司簽訂正式買賣合同。

SELLERandBUYERsignContractHardCopyinbuyer'scompany.

.簽訂正式買賣合同后10個(gè)銀行工作日內(nèi)，賣方通過銀行間的SWIFT管道向買方開出第一船試單貨物金額2%的未生效的銀行履約保函PBG(參考附件“C”)。

SELLERshallissuenon-operative2%ofoneshipmentValuePerformanceBondguaranteeviaSWIFTofbanktoBuyer’sbankwithin10bankingdaysaftertheformalcontractsigned.

.買方銀行在收到賣方的2%未生效的銀行履約保函后的10個(gè)銀行工作日內(nèi)，向賣方開出跟單信用證(DLC)(見附件“D”)給賣方銀行，激活賣方的2%銀行履約保函。信用證擔(dān)保金額為第一船試單貨物金額的100%。

.賣方收到買方銀行信用證(DLC)后的五個(gè)銀行工作日內(nèi)通過銀行發(fā)出供貨能力證明文件(POP).

.賣方提供的供貨能力證明(POP)將包括以下文件：

g.運(yùn)送貨物至卸貨港的租船協(xié)議副本。

第7條付款所需文件：CLAUSE7DOCUMENTREGUIREDFORPAYMENT：

.受益人簽署的發(fā)票。注明合同號(hào)，貨物數(shù)量，船名，提單日期和裝運(yùn)港，1式3份。

Beneficiary’ssignedcommercialinvoiceintriplicateindigatingthenumberofcontract,quantity,vesselname,dateofB/Landportofloading.

.全套3/3份提單。以買方為收貨人的全套清潔空白背書的已裝運(yùn)海運(yùn)提單，標(biāo)明“運(yùn)費(fèi)已付”，注明信用證號(hào)、合同號(hào)。正本提單皆有船長(zhǎng)親筆簽字。

Fullsetof3/3originaland3non-negotiablecopiesof“CleanonBoard”marineBillofLadingmarked“FreightPrepaid”,blankendorsedandmadeouttoorder,indicatingtheL/xxxo.AndContractNo...Alloriginalstobeoriginallysignedbythevessel’smaster.

.由卸貨港口CIQ出具的質(zhì)量證書1份正本和2份副本。該證書的質(zhì)量標(biāo)準(zhǔn)應(yīng)符合附件“A”的規(guī)定。

CertificatesofQuality,issuedorsignedbyCIQattheportofdischarging,confirmingqualityconformitytospecifications,stipulatedinANNEX“A”hereto.Presentationofone(1)originalandtwo(2)copiesisneeded.

.由卸貨港口CIQ出具的數(shù)量證書1份正本和2份副本。

CertificatesofQuantity,issuedorsignedbyCIQattheportofdischargingPresentationofone(1)originalandtwo(2)copiesisneeded.

.全套一級(jí)航海規(guī)定保險(xiǎn)單，投保額為貨物價(jià)值的110%。保險(xiǎn)包含任何遺失或損毀風(fēng)險(xiǎn)，包括戰(zhàn)爭(zhēng)、搶劫、爆炸等，保險(xiǎn)期限從商品在裝載港越過船舷至甲板即刻開始，到貨物在卸貨港完全交付即卸貨法蘭斷開為止。

FullsetfirstclassMarineInsurancePolicy/Certificate,coveringinUSDollars110%ofcommodityvalue,coveringAllriskorlossordamagetothesaidcargo,includingwar,hijacking,explosion,etc,fromthetimethecargohaspassedtheship’smanifoldflangesattheloadingport.

.原產(chǎn)地證明。由商會(huì)或海關(guān)簽署，詳細(xì)說明貨物產(chǎn)地信息。

CertificateofOrigin,issuedorsignedbytheChamberofCommerceorcustomsauthorities,specifyingthecountryoforiginoftheGoods.

.貨物在裝運(yùn)港由SGS簽發(fā)的質(zhì)量和數(shù)量證書，正本3份，副本3份。

CertificateofquantityandqualitytobeissuedbySGSatloadingport,3originaland3copies.

第8條交貨條款：CLAUSE8DELIVERY：

.賣方同意按照CIF中國(guó)主要港口條件履行交貨。如買方發(fā)生特殊情況必須更改卸貨港時(shí)，買方必須在裝船前21日內(nèi)通知賣方。

TheSellerwarrantsperformingdeliveryofthetransactedCommodityinsidecustoms—outturnquantityandqualitybasistotheBuyersdesignateddischargeports:Chinamainport,designatedbytheBuyer.TheBuyermustinformtheSellertheportinformationwithintwenty-one(21)calendardaysbeforeshipment。

.第一船試單：賣方自買方開出信用證之日起，在45+/-10日內(nèi)交貨。后續(xù)交貨按本合同相關(guān)規(guī)定執(zhí)行。

不允許轉(zhuǎn)船;

不允許分批裝船;

交貨計(jì)劃按附件“B”執(zhí)行。

ThedeliveryforthetrialshalltakeplacewithinForty-Five(45)+/-10daysfromthedatereceivetheBuyer’sLC.

Transhipment:Prohibited.

Partialshipment:Notallowed.

ScheduleofdeliveryasperANNEX“B”

.買賣雙方須互相通知詳細(xì)租船信息及船齡(大概尺寸、貨船系統(tǒng)安排、最大卸載量、貨輪98%裝載容量、各種尺寸和船上可利用的縮圖)。此信息須在賣方指定油輪前至少三天提供給買方，船只經(jīng)雙方同意，不可作為拒付的理由。

BothBUYERorSELLERtonotifyBuyerorSellerrespectivelyofthecharteredship’sparticularandage(generaldimensions,cargosystemarrangement,maximumunloadingcapacityrate,cargotankcapacitiesat98%loaded,manifoldsizesandreductionsavailableonboard).ThisinformationmustbeprovidedtotheBuyeratleastthree(3)dayspriortotheSellervesselnomination.VesseltobeacceptablebyBuyerandSellerandsuchacceptanceshallnotbeunreasonablywithheld.

.船方在指定船只到達(dá)卸貨港前120小時(shí)，應(yīng)通知買方及卸貨港船只名稱、噸位、到岸貨物數(shù)量。在貨物到達(dá)卸貨港48、36、24、12小時(shí)前，分別通知1次到港確切時(shí)間。

Thevessel’sMastershalladvicetheBuyerandshipOwner’sAgentattheportofdischarge,theship’sETA120hoursbeforeherarrival,hername,tonnage,anddraught,onbardquantities,andactualtimeofarrival48,36,24and12hoursbeforeherarrivaltotheportofdischarge.

.賣方所租船只必須嚴(yán)格符合航海條款和港口規(guī)章制度，包括燃料及公共安全，壓艙操作及卸載量等，并有相關(guān)注冊(cè)登記。任何所有因不符合規(guī)則所導(dǎo)致的損害由賣方承擔(dān)責(zé)任。

TheSeller’svesselshallinallrespectsmeetportrulesandregulationsintermofseaworthiness,fireandcommonsafety,ballastingoperations,anddischargingrates.Thecharteredvessel(s)shallcomplywiththethree(3)MajorOilCompany’srequirementsandshallbeTOVALOP/PANDIregistered.Allandanydamagescausedbynon-compliancewithsuchrulesandregulationsshallbebornebytheSeller.

.安全停泊：SAFEBERTHANDUTILISATION：

.合同簽訂后，買方應(yīng)向賣方提供與卸貨港簽訂的碼頭租用協(xié)議。協(xié)議中應(yīng)包括本條款中的相關(guān)內(nèi)容。

BUYERshallofferthecopyoftheunloadberthrentagreementwiththedischargeberthdatamentionedinclause8.

卸貨碼頭應(yīng)具備國(guó)家批準(zhǔn)的5萬噸船只的接卸貨能力。買方并提供免費(fèi)的、安全的卸貨停泊位以便到港貨船能夠順利卸貨。

Theunloadportshallgetthelicenseforthefueloilunload/load.Fortheloadingofeachvesselhereunder,theBuyershallprovidefreeofchargeadischargeberthfornominatedvesselwithsufficientdepthtoallowthevesselwhenfullyladentoproceedthereto,liethereat,dischargetheproductsanddepartthefrom,alwayssafelyafloat.

.賣方保證船只遵循當(dāng)?shù)卣托敦浉鄣乃蟹ㄒ?guī)。

TheSellerwarrantsthatVesselshallcomplywithallapplicablerules,regulationanddirectionsofGovernmental,localauthoritiesandoftheLoadingTerminal.

.買方安排船只盡快卸貨，買方自備卸貨所需用具，如軟管、接線、管道等。

BUYERshallarrangetohavethevesseldischargeasexpeditiouslyaspossible.BUYERshallatitsownexpenseprovideorcausetobeprovidedallnecessaryflexiblehoses,connection,pipelines,tankagefacilitiesandanyotherequipmentorfacilitiesnecessaryforthesafeandefficientdischargeoftheProductsfromthevessel.

.如果賣方租的船到達(dá)指定卸貨港時(shí)，有一兩個(gè)油艙裝有廢物或垃圾，賣方必須負(fù)責(zé)履行LOT程序確保貨物免受污染，確保廢物與貨物隔離，保持所交貨物的純凈。

IftheSeller’scharteredvesselarrivestodischargeportwithoneortwotanksofgarbage/mess,thenitishisexclusivedutytoperformtheLOTproceduretokeepincomingcargofreeofcontamination.TheSellermusttakesamplesofthegarbage/messandkeepitseparatedfromincomingcargo.Thisprocessguaranteespurityoftherealcargocontracted.

.除非雙方有特別協(xié)議，否則不允許駁運(yùn)。任何駁運(yùn)費(fèi)用都由買方承擔(dān)。買賣雙方應(yīng)考慮所有風(fēng)險(xiǎn)和費(fèi)用損失，包括但不僅限于環(huán)境污染。由于駁運(yùn)所使用或延誤的時(shí)間均計(jì)入裝卸貨時(shí)間，如果致使船舶逾期，應(yīng)支付逾期費(fèi)用。

Unlessotherwisespecificallyagreedbyparties,lighteringshallnotbepermitted.AnylighteringshallbeatthesoleexpenseofBuyer.SellerandBuyershallassumeallrisksofliability,including,butnotlimitedto,environmentalpollution.Alltimeusedinsuchlighteringtogetherwithanyconsequentialdelay,shallcountasusedlaytime,oriftheshipisondemurrage,astimeindemurrage,asprovidedbytheSeller

第9條檢驗(yàn)—確定數(shù)量和質(zhì)量：

CLAUSE9INSPECTION:QUANTITY/QUALITYDETERMINATION：

.買賣雙方同意：在裝載港由SGS對(duì)商品數(shù)量和質(zhì)量進(jìn)行檢驗(yàn)，檢驗(yàn)費(fèi)用由賣方承擔(dān);在卸貨港由CIQ對(duì)商品數(shù)量和質(zhì)量進(jìn)行檢驗(yàn)，檢驗(yàn)費(fèi)用由買方承擔(dān)。CIQ出具的檢驗(yàn)報(bào)告作為買賣雙方最終檢驗(yàn)報(bào)告。

SELLERandBUYERshallmutuallyappointSGSattheloadingportandappointCIQatdischargingporttoassessandcertifythequalityandquantityofthecargoaccordingtotheCIQprovisionshereinstarted.Costsoftheinspectionshouldbeoneachresponsibleaccount,andCIQinspectionreportareconsideredbefinaltoboththeBuyerandtheSeller.

.對(duì)于商品數(shù)量和質(zhì)量的檢驗(yàn)，須由指定檢驗(yàn)公司(如SGS或CIQ)按照石油行業(yè)通常方法和程序進(jìn)行。任何操作須嚴(yán)格遵循修訂的ASTM/IP或CIQ國(guó)際標(biāo)準(zhǔn)和程序。

Quantityandqualitymeasurements,conductedbythesurveyorcompany,shallbeinaccordancewithmethodsandproceduresusuallyusedintheoilindustrypractice,andatalltimes,shallstrictlycomplywiththerevisedASTM/IPorCIQinternationalstandardsandproceduresenforcedatthedateofsuchinspection.

.常溫下的體積與標(biāo)準(zhǔn)溫度下的'體積換算：須使用ASTM制表最新修訂版，將觀測(cè)溫度下的體積換算成標(biāo)準(zhǔn)溫度下的體積，把體積的量度換算成重量。

Forconvertingvolumefromobservedtostandardtemperatures,andvolumemeasurestoweights,ASTMtables,latestrevisededitionmustbeused.

.如果檢測(cè)機(jī)構(gòu)認(rèn)為裝運(yùn)港或卸貨港的數(shù)量檢測(cè)設(shè)備不精確(流量計(jì)、儀表等不能按照ASTM的標(biāo)準(zhǔn)和程序進(jìn)行校準(zhǔn))，那么將請(qǐng)求具有船貨測(cè)算經(jīng)驗(yàn)的人，根據(jù)船只的總?cè)莘e來計(jì)算確定當(dāng)批的實(shí)際交貨數(shù)量。如果裝運(yùn)港的檢驗(yàn)機(jī)構(gòu)不同意卸貨港的檢驗(yàn)結(jié)果，則雙方同意請(qǐng)另一方檢驗(yàn)機(jī)構(gòu)進(jìn)行檢驗(yàn)，費(fèi)用則由不準(zhǔn)確檢驗(yàn)結(jié)果的委托一方負(fù)擔(dān)。

IntheeventofaninaccuracywiththedevicesusedtomeasurethequantityreceivedattheLoadingportorthedischargeport(failureofflowmeters,meterbanksandtobelievethatshorethanksarenotcalibratedinaccordancewiththeASTMStandardsandprocedure).thenship’sfiguresTotalCalculatedVolume(TVC)appliedtovalidVesselExperienceFactor(VEF),shallbeusedtocomputethedeliveredquantityofthecurrentbatch,Intheeventthatthesurveyor’sreportfromtheloadingportdonotagreewiththesurveyorfromtheunloadingport,theBuyerandSellershallappointanIndependentsurveyorattheexpenseofthepartywho’sSurveyorconductstheinaccuracyassessment.

.雙方都需有一代表在檢測(cè)現(xiàn)場(chǎng)并各自承擔(dān)己方費(fèi)用。

Atitsownexpense,eachPartymayhavearepresentativepresenttowitnessallmeasurementsandtest.

.仲裁樣品：ARBITRATIONSAMPLES：

.在裝運(yùn)時(shí)，仲裁樣品用自動(dòng)取樣器或流量計(jì)取出，取樣需在裝運(yùn)港根據(jù)當(dāng)前標(biāo)準(zhǔn)程序來執(zhí)行，提取的樣品要完全混合，再裝入瓶中密封保存。

Duringloadingofthetankerarbitrationsamplesaretobetakenfromtheautosamplerorflowmeter.Samplingshouldbeperformedaccordingtostandardprocedurecurrentlyacceptedatportofloading.Samplethustakenshallbethoroughlymixed,putintobottlesandsealed.

賣方或其指定代表將一部分樣品放入不少于兩個(gè)瓶中密封，由船長(zhǎng)負(fù)責(zé)保管，在卸貨港移交買方或其指定代表。

Onepartofthesamplesfilledintonotlessthantwo(2)bottlesandsealedbySellerorit’sappointedrepresentative,istobeplacedonboardthetankerunderthecareofCaptainfordeliverytoBuyerorit’sappointedrep
