2024版?zhèn)鶆罩亟M服務協議書合同編號：__________DebtRestructuringServiceAgreementThisDebtRestructuringServiceAgreement(the“Agreement”)isenteredintoasof__________(the“EffectiveDate”),andbetween:RECITALSWHEREAS,theDebtorisindebtedtotheCreditorintheaggregateamountof[DebtAmount](the“Debt”),asmoreparticularlysetforthinthePromissoryNotedated[NoteDate](the“Note”);WHEREAS,theDebtorhasexperiencedfinancialdifficultieswhichhavemadeitunabletofulfillitspaymentobligationsundertheNote;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:ARTICLE1:DEFINITIONS1.1.CapitalizedtermsusedinthisAgreementshallhavethemeaningsassignedtothemintheNote,unlessotherwisedefinedherein.ARTICLE2:DEBTRESTRUCTURING2.1.RestructuringTerms.ThepartiesagreetorestructuretheDebtonthetermsandconditionssetforthinthisAgreement.2.2.ExtensionofMaturity.ThematuritydateoftheDebtshallbeextendedto[NewMaturityDate],andtheDebtorshallmakepaymentstotheCreditorinaccordancewiththepaymentschedulesetforthinExhibitAattachedhereto.2.3.InterestAdjustment.TheinterestrateontheDebtshallbeadjustedto[NewInterestRate],effectiveasoftheEffectiveDate.2.4.PrincipalReduction.ThepartiesagreetoreducetheprincipalamountoftheDebt[PrincipalReductionAmount],effectiveasoftheEffectiveDate.2.5.Convertibility.TheDebtorshallhavetheoptiontoconvertaportionoftherestructuredDebtintoequityownershipintheDebtor,uponthetermsandconditionssetforthinExhibitBattachedhereto.ARTICLE3:PAYMENTSANDREPAYMENT3.1.PaymentSchedule.TheDebtorshallmakepaymentstotheCreditorinaccordancewiththepaymentschedulesetforthinExhibitAattachedhereto.3.2.ApplicationofPayments.AllpaymentsmadetheDebtorunderthisAgreementshallbeappliedfirsttointerestdueandpayable,thentoprincipaldueandpayable,andfinallytoanyoutstandingfeesorcosts.3.3.Default.IftheDebtorfailstomakeanypaymentwhendueunderthisAgreement,theDebtorshallbeindefaultandtheCreditorshallhavetherighttoexerciseanyremediesavailabletoitundertheNoteorapplicablelaw.ARTICLE4:CONDITIONSPRECEDENT4.1.RepresentationsandWarranties.TheDebtorrepresentsandwarrantstotheCreditorthatalloftherepresentationsandwarrantiesmadeitintheNotearetrueandcorrectasoftheEffectiveDate.4.2.ConsentandAcknowledgment.TheDebtorshallobtainallnecessaryconsents,approvalsandacknowledgmentsfromanythirdpartiesaffectedthisAgreement,including,withoutlimitation,anysecuredpartiesorothercreditors.ARTICLE5:MISCELLANEOUS5.1.GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[GoverningJurisdiction].5.2.EntireAgreement.ThisAgreement(includingtheexhibitshereto)constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandingsandnegotiations,whetheroralorwritten,betweentheparties.5.3.AmendmentsandModifications.ThisAgreementmaybeamended,modifiedorsupplementedonlyawritteninstrumentexecutedallpartieshereto.5.4.Notices.Allnoticesandother一、附件列表：1.附件A：債務重組后的還款時間表
