2024版工程師保密協(xié)議書合同編號：__________engineerconfidentialityagreementThisEngineerConfidentialityAgreement(the"Agreement")isenteredintoasof__________(the"EffectiveDate")andbetween__________(the"DisclosingParty"),and________________(the"ReceivingParty").RECITALSWHEREAS,theDisclosingPartyhasdevelopedcertainproprietaryandconfidentialinformation(the"ConfidentialInformation")thatitdesirestodisclosetotheReceivingParty;WHEREAS,theReceivingPartydesirestoreceivetheConfidentialInformationfromtheDisclosingPartyforthepurposeofdiscussingandevaluatingpotentialbusinessopportunities;andWHEREAS,thepartiesheretowishtosetforththeirrespectiverightsandobligationswithrespecttotheConfidentialInformation.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.DEFINITIONS2.USEANDPROTECTIONOFCONFIDENTIALINFORMATION(a)TheReceivingPartyagreesthatitwillnotusetheConfidentialInformationforanypurposeotherthanthediscussionsandevaluationscontemplatedtheparties.(b)TheReceivingPartyagreesthatitwillkeeptheConfidentialInformationstrictlyconfidentialandwillnotdisclosetheConfidentialInformationtoanythirdparty,exceptasrequiredlaworregulation,orasexpresslyauthorizedinwritingtheDisclosingParty.(c)TheReceivingPartyagreesthatitwilltakeallreasonablestepstoprotecttheconfidentialityoftheConfidentialInformation,atleasttothesameextentthattheReceivingPartyprotectsitsownproprietaryandconfidentialinformation.3.EXPIRATIONOFAGREEMENTThisAgreementshallexpireupontheearlierof:(a)theterminationofthediscussionsandevaluationscontemplatedtheparties;or(b)thedatethatallConfidentialInformationisreturnedtotheDisclosingPartyordestroyedasprovidedinSection4below.4.RETURNANDDESTRUCTIONOFCONFIDENTIALINFORMATION(a)UpontheexpirationorterminationofthisAgreement,theReceivingPartyshallpromptlyreturnallcopiesoftheConfidentialInformationtotheDisclosingParty,or,attheoptionoftheDisclosingParty,destroyallcopiesoftheConfidentialInformationandcertifyinwritingtotheDisclosingPartythatsuchConfidentialInformationhasbeendestroyed.(b)TheReceivingPartyshallcontinuetokeeptheExcludedInformationconfidentialandshallnotuseordisclosetheExcludedInformationforanypurpose.5.BREACHOFAGREEMENT(a)TheReceivingPartyagreesthatanybreachofthisAgreementmaycausetheDisclosingPartyirreparableharmanddamage,theextentofwhichmaybedifficulttoascertain.Intheeventofanysuchbreach,theDisclosingPartyshallbeendtoseekequitablerelief,includinganinjunctionandspecificperformance,withoutthenecessityofpostingabond,inadditiontoanyotherremediestowhichitmaybeend.(b)TheReceivingPartyagreesthattheDisclosingPartyshallbeendtorecoveritscostsandexpenses,includingreasonableattorneys'fees,inenforcingthisAgreement.6.GENERALPROVISIONS(a)ThisAgreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.(b)ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateofNewYork,withoutregardtoitsconflictoflawsprinciples.(c)AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.(d)ThepartiesheretoacknowledgethatthisAgreementdoesnotcreateapartnershiporjointventurebetween一、附件列表：1.EngineerConfidentialityAgreement二、違約行為及認(rèn)定：1.違約行為：ReceivingParty未按照約定保護(hù)ConfidentialInformation的安全，未按照約定時(shí)間返回或銷毀ConfidentialInformation。2.認(rèn)定：任何未經(jīng)DisclosingParty許可的使用或披露ConfidentialInformation的行為均視為違約行為。三、法律名詞及解釋：1.ConfidentialInformation：指DisclosingParty向ReceivingParty披露的所有信息，包括但不限于知識產(chǎn)權(quán)和相關(guān)信息。2.ExcludedInformation：指不屬于ConfidentialInformation的信息，如公開信息、ReceivingParty已知的、從無保密義務(wù)的第三方獲取的或獨(dú)立開發(fā)的信息。四、執(zhí)行中遇到的問題及解決辦法：1.問題：ReceivingParty無法履行保密義務(wù)。解決辦法：DisclosingParty有權(quán)尋求equitablerelief，包括injunction和spec
