ThewaiverbyeitherpartyofabreachofanyprovisionofthisAgreementshallnotoperateasorbeconstruedtobeawaiverofanysubsequentbreach.

23.Assignment

23.1AssignmentandTransfer

Neitherpartyshallassign,transfer,ordelegateanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptthatsuchconsentshallnotbeunreasonablywithheld.

24.ForceMajeure

24.1Definition

NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisAgreementwhichisduetoanyeventbeyondthereasonablecontrolofsuchparty,includingbutnotlimitedtoactsofGod,war,terrorism,civilcommotion,labordisputes,governmentalregulationsorrestrictions,naturaldisasters,andfailuresorinterruptionsofutilitiesortelecommunicationsservices.

25.Confidentiality

25.1ConfidentialInformation

DuringthetermofthisAgreementandthereafter,eachpartyagreestomaintaininconfidenceallConfidentialInformationdisclosedtoitbytheotherparty.

26.Indemnification

26.1Indemnity

Eachpartyagreestoindemnify,defend,andholdharmlesstheotherpartyanditsaffiliates,officers,directors,employees,andagentsfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforrelatedtoanybreachofthisAgreementbysuchindemnifyingparty.

27.GoverningLaw

27.1GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifygoverningjurisdiction],withoutregardtoitsconflictoflawprinciples.

28.DisputeResolution

28.1ResolutionofDisputes

AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmediationadministeredby[specifymediationprovider]in[specifylocation],andifmediationisunsuccessful,thenbyarbitrationadministeredby[specifyarbitrationprovider]in[specifylocation].

29.EntireAgreement

29.1EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtosuchsubjectmatter.

30.Execution

INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedbytheirdulyauthorizedrepresentativesasofthedatefirstabovewritten.
