Chapter1:GeneralProvisions

1.1PurposeoftheContract

Thiscontractisintendedtoclarifythecooperativerelationshipbetweenthesalespersonandthecompany,todefinethesalesperson'sjobresponsibilities,rights,andobligations,aswellascompensationandincentives,topromotemutualdevelopment.

1.2Definitions

Thefollowingtermsusedinthiscontractaredefinedasfollows:

"Salesperson"referstotheindividualwhoentersintothiscontractwiththecompany.

"Company"referstothecorporateentitythatentersintothiscontractwiththesalesperson.

"SalesTargets"refertothesalesobjectivesandtasksassignedbythecompanytothesalesperson.

1.3EffectivenessoftheContract

Thiscontractshallcomeintoeffectuponthesigningandstampingbybothpartiesandshallremaininforceuntiltheterminationdatestipulatedinthecontract.Anymodificationorsupplementtothiscontractshallrequirethewrittenconsentofbothparties.

Chapter2:DutiesoftheSalesperson

2.1SalesTargets

Thesalespersonshallactivelydevelopthemarketandachievesalestargetsinaccordancewiththesalestasksassignedbythecompany.Specificsalestasksincludebutarenotlimitedtoproductpromotion,customerdevelopment,andorderacquisition.

2.2CustomerService

Thesalespersonisrequiredtoprovidehigh-qualitycustomerservice,includingbutnotlimitedtoproductconsultation,after-salesservice,andcustomerrelationshipmaintenance,toenhancecustomersatisfactionandloyalty.

2.3MarketResearch

Thesalespersonshallconductregularmarketresearch,collectmarketinformation,analyzecompetitors,andprovidethecompanywithmarketdynamicsreportstosupportthecompany'smarketstrategyformulation.

2.3.1CollectionofMarketInformation

Thesalespersonshallregularlycollectmarketinformation,includingbutnotlimitedtoproductdemand,pricechanges,andcompetitordynamics.

2.3.2AnalysisofCompetitors

Thesalespersonshallanalyzetheproducts,prices,andmarketstrategiesofcompetitorsandprovidethecompanywithcompetitiveanalysisreports.

Chapter3:RightsandObligationsoftheSalesperson

3.1OverviewofRights

Thesalespersonhasthefollowingrights:

Toreceivetrainingandguidanceprovidedbythecompany.

Toreceivecompensationandincentivesasstipulatedinthecontract.

Tomakesuggestionsregardingthereasonablenessofsalestasks.

3.2OverviewofObligations

Thesalespersonshallfulfillthefollowingobligations:

Tocomplywiththecompany'srulesandregulationsandsalespolicies.

Tocompletethesalestasksassignedbythecompany.

Toprotectthecompany'stradesecretsandcustomerinformation.

3.3ConfidentialityAgreement

Thesalespersonshallkeepconfidentialthecompany'stradesecretsandcustomerinformationobtainedduringtheworkprocessandshallnotdisclosethemtoanythirdpartywithoutthecompany'swrittenconsent.

3.3.1DefinitionofTradeSecrets

The"tradesecrets"referredtointhiscontractincludebutarenotlimitedtothecompany'stechnicalinformation,customerlist,salesstrategy,priceinformation,etc.

3.3.2DurationofConfidentiality

Thesalesperson'sobligationofconfidentialityshallbevalidduringthecontractperiodandfortwoyearsaftertheterminationofthecontract.

Chapter4:CompensationandIncentives

4.1CompensationStructure

Thesalesperson'scompensationconsistsofabasicsalaryandsalescommission.Thebasicsalaryis______USDpermonth,andthesalescommissioniscalculatedbasedonactualsalesperformanceaccordingtothecompany'sstipulatedcommissionratio.

4.2IncentiveMechanism

Thecompanyestablishesanincentivemechanism,includingbutnotlimitedtosalesbonuses,performancerewards,andpromotionopportunities,toencouragethesalespersontoimprovesalesperformance.

4.3PerformanceAssessment

Thecompanywillregularlyassessthesalesperson'ssalesperformance,andtheassessmentresultswillbethebasisforsalaryadjustmentsandincentivedistribution.

4.3.1AssessmentCycle

Theperformanceassessmentcycleisonceeveryquarter,andthespecificassessmenttimeiswithin15workingdaysaftertheendofeachquarter.

4.3.2AssessmentCriteria

Theassessmentcriteriaincludebutarenotlimitedtosalesperformance,customersatisfaction,andthequalityofmarketresearchreports.

Chapter5:ContractAmendmentsandTermination

5.1ContractAmendments

Anychangestothecontentofthiscontractmustbeagreeduponbybothpartiesandconfirmedinwriting.Theamendedcontracttermsshallhavethesamelegaleffectastheoriginalcontract.

5.2ContractTermination

Thecontractmaybeterminatedunderthefollowingcircumstances:

Ifbothpartiesagreetoterminatethecontract.

Ifthesalespersonseriouslyviolatesthetermsofthecontract,thecompanyhastherighttounilaterallyterminatethecontract.

Ifthecompanyneedstoterminatethecontractduetobusinessadjustments,itshallnotifythesalespersoninwriting30daysinadvance.

5.3LiabilityforBreachofContract

Ifeitherpartyviolatesthetermsofthecontract,itshallbeartheliabilityforbreachofcontractandcompensatetheotherpartyforthelossessuffered.

5.3.1CompensationforBreach

Thebreachingpartyshallcompensatetheotherpartyforthedirecteconomiclossescausedbythebreach,includingbutnotlimitedtotheexpectedbenefitsfromtheperformanceofthecontract.

5.3.2NotificationofBreach

Ifonepartydiscoversabreachbytheotherparty,itshallimmediatelynotifytheotherpartyinwritingandprovideadetaileddescriptionofthebreach.

Chapter6:DisputeResolution

6.1NegotiationofDisputes

Anydisputesarisingduringtheperformanceofthecontractshallberesolvedthroughfriendlynegotiationfirst.

6.2ArbitrationClause

Ifthedisputecannotberesolvedthroughnegotiation,itmaybesubmittedtothearbitrationcommissionoftheplacewherethecompanyislocatedforarbitration.Thearbitrationawardisfinalandbindingonbothparties.

6.3ApplicableLaw

Theinterpretation,application,anddisputeresolutionofthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.

Chapter7:SupplementaryProvisions

7.1InterpretationoftheContract

Thecompanyreservestherighttointerpretthiscontract.Incaseofanydoubtsaboutthetermsofthecontract,thecompany'swritteninterpretationshallprevail.

7.2ModificationoftheContract

Anymodificationorsupplementtothiscontractmustbeagreeduponbybothpartiesandconfirmedinwriting.

7.3AdditionalAgreements

Bothpartiesmaymakeadditionalagreementsbasedontheactualsituation,andtheadditionalagreementsshallhavethesamelegaleffectasthiscontract.

7.3.1SupplementaryAgreement

Anysupplementaryagreementsignedbybothpartiesshallbeanintegralpartofthiscontract.

7.3.2DeliveryofNotices

Bothpartiesshallensurethatthecontactinformationprovidedinthecontractisaccurate,andanychangeofcontactinformationshallbenotifiedtotheotherpartyinwritinginatimelymanner.
