房屋買賣合同正規(guī)范本ThisRealEstateSaleAgreement(the"Agreement")ismadeandenteredintothis_____dayof___,20,byandbetween:SELLER:___________________________Address:_____________________________andBUYER:______________________________Address:_____________________________WHEREAS,theSelleristhelegalowneroftherealpropertydescribedhereinanddesirestosellthesame;andWHEREAS,theBuyerdesirestopurchasethesaidpropertyfromtheSeller,NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:1.PropertyDescription:Theproperty("theProperty")beingsoldislocatedat_____andisdescribedasfollows:[insertlegaldescriptionoftheproperty,includinganyandallimprovements,fixtures,andappurtenances].2.PurchasePrice:ThepurchasepriceforthePropertyisthesumof$_____(_____),whichtheBuyershallpaytotheSellerinaccordancewiththepaymenttermssetforthinthisAgreement.3.EarnestMoneyDeposit:TheBuyershalldepositwiththeSeller,concurrentlywiththeexecutionofthisAgreement,thesumof$_____(the"EarnestMoney")asevidenceoftheBuyer'sgoodfaith.TheEarnestMoneyshallbeappliedtowardsthepurchasepriceatClosing.4.Closing:TheClosingofthesaleoftheProperty(the"Closing")shalltakeplaceon_____at_____o'clock_____time,attheofficeof_____,locatedat_____,oratsuchotherplaceasthepartiesmayagreeupon.5.Prorations:Allpropertytaxes,assessments,rents,andotheritemsofincomeandexpenseshallbeproratedbetweentheSellerandtheBuyerasofthedateofClosing.6.TitleandEscrow:TheSellershallprovidetheBuyerwithatitleinsurancepolicyissuedbyareputabletitleinsurancecompany,andthepartiesshalldeposittheEarnestMoneyandotherrequireddocumentsandfundswith_____(the"EscrowHolder")toopenanescrowforthetransaction.7.Seller'sCovenants:TheSellercovenantsandagreesto:ConveymarketableandinsurabletitletothePropertytotheBuyerfreeandclearofallliensandencumbrances,exceptasdisclosed;ProvideallnecessarydocumentsandinformationtotheBuyerandtheEscrowHoldertofacilitatetheClosing;DelivertotheBuyeratClosingadeedtotheProperty.8.Buyer'sCovenants:TheBuyercovenantsandagreesto:ObtainfinancingforthepurchaseoftheProperty,ifrequired,fromafinancialinstitutionoftheBuyer'schoosing;ProvideallnecessarydocumentsandinformationtotheSellerandtheEscrowHoldertofacilitatetheClosing;PaythebalanceofthepurchasepriceandallotheramountsdueatClosing.9.Contingencies:ThisAgreementissubjecttothefollowingcontingencies:TheBuyer'ssatisfactorycompletionofapropertyinspectionwithin_____daysaftertheexecutionofthisAgreement;TheBuyer'sreceiptoffinancingapproval,ifrequired,within_____daysaftertheexecutionofthisAgreement.10.FinancingContingency:IftheBuyerisobtainingfinancing,theBuyershallapplyforandusereasonableeffortstosecurethenecessarymortgageloan.IftheBuyerisunabletosecurefinancingontermsacceptabletotheBuyer,thisAgreementmaybeterminatedbytheBuyer,andtheEarnestMoneyshallbereturned.11.PropertyConditionContingency:TheBuyermayterminatethisAgreementwithin_____daysaftertheexecutionofthisAgreementiftheBuyerisnotsatisfiedwiththeresultsofthepropertyinspection.12.Third-PartyApprovals:TheBuyermayrequireanynecessaryapprovalsfromthirdparties,suchasahomeowner'sassociation,andtheSellershallcooperateinobtainingsuchapprovals.13.BrokerageCommission:Ifarealestatebrokerisinvolvedinthistransaction,thecommissionandtermsofpaymentshallbeassetforthinaseparatebrokerageagreement.14.LegalDescription:ThelegaldescriptionofthePropertyisasfollows:[insertlegaldescription].15.FixturesandPersonalProperty:AllfixturesandpersonalpropertyincludedinthesalearelistedinExhibitAattachedheretoandshallbeconveyedtotheBuyeratClosing.16.UtilitiesandServices:TheSellershalldelivertotheBuyeratClosingallkeys,garagedooropeners,andanyotheraccessdevicesrelatedtotheProperty.17.Insurance:TheSellershallmaintaininsuranceonthePropertyuntiltheClosing,andtheBuyershallobtainhomeowner'sinsurancecoverageeffectiveasoftheClosingdate.18.TaxesandAssessments:TheSellershallpayallpropertytaxesandassessmentsdueandowinguptothedateofClosing.19.EnvironmentalandZoningCompliance:TheSellerrepresentsthat,tothebestoftheirknowledge,thePropertyisincompliancewithallapplicableenvironmentalregulationsandzoningordinances.20.RightofFirstRefusal:TheSellerreservestherightoffirstrefusaltopurchasethePropertybackfromtheBuyerwithin_____daysafterreceivingawrittennoticeoftheBuyer'sintenttosell.21.Confidentiality:BothpartiesagreetokeepthetermsofthisAgreementconfidentialandnotdisclosethemtoanythirdpartywithoutthewrittenconsentoftheotherparty.22.Notices:AllnoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourier,orthreedaysafterbeingsentbycertifiedmail,postageprepaid,totheaddresseslistedabove.23.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,representations,andagreements,whetherwrittenororal.24.Amendments:ThisAgreementmaynotbeamendedormodifiedexceptinwritingsignedbybothparties.25.Severability:IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruck,andtheremainingprovisionsshallbeenforced.26.Waiver:ThefailureofeitherpartytoenforceanyprovisionsofthisAgreementshallnotbeconsideredawaiverofsuchprovisionoroftherighttoenforcesuchprovision.27.Assignment:TheBuyershallnotassignthisAgreementoranyrightsorobligationshereunderwithoutthepriorwrittenconsentoftheSeller.28.TimeoftheEssence:TimeisoftheessenceinthisAgreement,andalldatesandtimesspecifiedhereinarematerial.29.Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.30.Execution:TheexecutionofthisAgreementbyfacsimile,PDF,orotherelectronicsignatureshallbedeemedanoriginalandvalidexecution.ThisAgreementisexecutedinduplicateoriginals,eachofwhichshallbedeemedanoriginal.SELLER:_____________________________Buyer:_____________________________By:_____________________________________________________________________(AuthorizedSignature)By:_______________________________________________________________________(AuthorizedSignature)NotaryPublic:_________________________Mycommissionexpires:______________________Pleasenotethatthisisatemplateandshouldbereviewedandmodifiedbyalegalprofessionaltoensureitmeetsthespecificrequirementsandlegalstandardsofthejurisdictioninwhichthepropertyislocated.31.InspectionandAppraisal:TheBuyershallhavetherighttoconductinspectionsandappraisalsofthePropertywithin_____daysaftertheexecutionofthisAgreement.Iftheappraisalvalueislessthantheagreedpurchaseprice,theBuyermayrequestanadjustmentofthepurchaseprice,whichtheSellermayacceptorreject.32.HomeownersAssociation(HOA):IfthePropertyissubjecttoanycovenants,conditions,orrestrictionsimposedbyahomeownersassociation,theSellershallprovidetheBuyerwithacopyoftheHOA'sgoverningdocuments,includinganyrulesandregulationsapplicabletotheProperty.33.Seller'sDisclosure:TheSellershallprovidetheBuyerwithacompleteandaccuratedisclosurestatementregardingtheconditionoftheProperty,includinganyknowndefectsorissuesthatmayaffectthevalueordesirabilityoftheProperty.34.EnvironmentalAssessment:TheSellershallprovidetheBuyerwithanyavailableenvironmentalassessmentsorstudiesrelatedtotheProperty,andshalldiscloseanyknownenvironmentalhazardsorconcerns.35.Lead-BasedPaintDisclosure:IfthePropertywasbuiltpriorto1978,theSellershallprovidetheBuyerwithalead-basedpaintdisclosurestatementinaccordancewithfederallaw.36.PropertyTaxes:TheSellershallberesponsibleforpayingallpropertytaxesdueandowinguptothedateofClosing.TheBuyershallberesponsibleforpropertytaxesfromandafterthedateofClosing.37.UtilityTransfers:TheSellershallarrangeforthetransferofallutilitiestotheBuyer'snameatClosing,andtheBuyershallassumeresponsibilityforallutilityservicesfromandafterthedateofClosing.38.Occupancy:TheSelleragreestodeliverpossessionofthePropertytotheBuyeratClosing,andtheBuyershallhavetherighttooccupythePropertyasoftheClosingdate.39.Renters:IfthePropertyiscurrentlyleased,theSellershallprovidetheBuyerwithacopyoftheleaseagreementandtheBuyershallassumetheobligationsofthelandlordunderthelease.40.InsuranceContinuation:TheSellershallmaintaininsuranceonthePropertyuntilClosing,andtheBuyershallobtainhomeowner'sinsurancecoverageeffectiveasoftheClosingdate.41.Seller'sRighttoCure:IftheBuyer'sinspectionsrevealissueswiththePropertythattheSelleriswillingtoaddress,theSellershallhavetherighttocuresuchissueswithinareasonabletimepriortoClosing.42.Buyer'sRighttoCure:IftheBuyerisresponsibleforanyissuesrevealedbytheinspections,theBuyershallhavetherighttocuresuchissueswithinareasonabletimepriortoClosing.43.MutualRepresentations:BoththeSellerandtheBuyerrepresentthattheyhavethefullright,power,andauthoritytoenterintothisAgreementandtocompletethetransaction.44.MutualCovenants:BothpartiescovenanttoactingoodfaithandtousetheirbesteffortstofulfilltheirobligationsunderthisAgreement.45.MutualIndemnification:Eachpartyshallindemnifyandholdharmlesstheotherpartyfromandagainstanyandallclaims,damages,losses,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreement.46.LegalFees:IntheeventofanylegaldisputearisingoutoforrelatedtothisAgreement,theprevailingpartyshallbeentitledtorecoverreasonableattorneys'feesandcosts.47.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof_____.48.DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmediationand,ifnecessary,arbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.49.SuccessorsandAssigns:ThisAgreementshallbebindinguponandinuretothebenefitoftheparties'respectivesuccessorsandassigns.50.ExecutioninCounterparts:ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginalandallofwhichtogethe
